英文版購銷合同設(shè)計合同編號：__________ContractAgreementforthePurchaseandSaleofGoodsThisContractAgreement(the"Agreement")isenteredintoasof__________(the"EffectiveDate"),andbetween:[BuyerInformation](the"Buyer")and[SellerInformation](the"Seller").RECITALS:WHEREAS,theBuyerwishestopurchasecertaingoods(the"Goods")fromtheSeller;WHEREAS,theSellerwishestoselltheGoodstotheBuyer;NOW,THEREFORE,inconsiderationofthemutualpromisescontainedherein,thepartiesheretoagreeasfollows:1.SaleandPurchaseofGoods1.1TheSelleragreestosell,andtheBuyeragreestobuy,theGoodsinaccordancewiththetermsandconditionsofthisAgreement.1.2Thedescription,specifications,quantity,andpriceoftheGoodsaresetforthinExhibitAattachedhereto(the"ScheduleofGoods").TheScheduleofGoodsformsanintegralpartofthisAgreementandisincorporatedhereinreference.2.Delivery2.1TheSellershalldelivertheGoodstotheBuyer'sdesignatedlocation(the"DeliveryLocation")onorbeforethedeliverydatespecifiedintheScheduleofGoods.2.2TheSellershallberesponsibleforthepackagingandtransportationoftheGoodstotheDeliveryLocationatitsownexpense.2.3TheBuyershallberesponsibleforunloadingtheGoodsattheDeliveryLocationatitsownexpense.3.Payment3.1TheBuyershallpaythepurchasepricefortheGoods(the"PurchasePrice")totheSellerinaccordancewiththepaymenttermsspecifiedintheScheduleofGoods.3.2ThePurchasePriceshallbepaidtheBuyertotheSellerwiretransfertotheSeller'sdesignatedbankaccount,orsuchothermethodasthepartiesmayagree.4.Warranties4.1TheSellerwarrantsthattheGoodsconformtothespecificationssetforthintheScheduleofGoodsandarefreefromanyliensandencumbrances.4.2TheSellerfurtherwarrantsthattheGoodsareofgoodquality,fitfortheirintendedpurpose,andfreefromanydefectsinmaterialsandworkmanship.5.InspectionandRejection5.1TheBuyershallhavetherighttoinspecttheGoodsupondelivery.IftheGoodsdonotconformtothespecificationssetforthintheScheduleofGoods,oriftheyaredefectiveinanymanner,theBuyermayrejecttheGoodsandshallnotifytheSellerinwritingofthenatureofthenonconformityordefect.5.2IftheBuyerrejectstheGoods,theSellershall,atitsownexpense,promptlyreplaceorrepairthenonconformingordefectiveGoodsorrefundthePurchasePriceforsuchGoods.6.ForceMajeure6.1NeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisAgreementduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,labordisputes,ordisruptionsintransportation,providedthattheaffectedpartypromptlynotifiestheotherpartyoftheexistenceandnatureofsuchcause.7.GoverningLawandDisputeResolution7.1ThisAgreementshallbegovernedandconstruedinaccordancewiththelawsofthe[GoverningJurisdiction].7.2AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution],andthedecisionofthearbitrator(s)shallbefinalandbindingupontheparties.8.EntireAgreement8.1ThisAgreement(includingtheScheduleofGoods)constitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal.8.2ThisAgreementmaybeamendedormodifiedonlyawritteninstrumentexecutedbothparties.INWITNESSWHEREOF,thepartieshaveexecutedthisAgreementasoftheEffectiveDate.[BuyerSignature][BuyerName][BuyerTitle][SellerSignature][SellerName][SellerTitle]一、附件列表：1.exhibitsA:ScheduleofGoods詳細(xì)列出商品的描述、規(guī)格、數(shù)量和價格等信息。二、違約行為及認(rèn)定：1.Seller'sfailuretodelivertheGoodsonorbeforethedeliverydatespecifiedintheScheduleofGoods.2.Seller'sfailuretoprovideGoodsthatconformtothespecificationssetforthintheScheduleofGoods.3.Seller'sfailuretoprovideGoodsthatareofgoodquality,fitfortheirintendedpurpose,andfreefromdefectsinmaterialsandworkmanship.4.Buyer'sfailuretomakepaymentofthePurchasePricetotheSellerinaccordancewiththepaymenttermsspecifiedintheScheduleofGoods.5.Buyer'sfailuretoinspecttheGoodsupondeliveryandtonotifytheSellerofanynonconformityordefect.6.Buyer'sfailuretorejecttheGoodsandtonotifytheSellerinwritingofthenatureofthenonconformityordefect.三、法律名詞及解釋：1.ContractAgreement:Alegallybindingagreementbetweentwopartiesthatoutlinestheirrightsandobligations.2.PurchasePrice:ThetotalamountofmoneythattheBuyeragreestopaytotheSellerfortheGoods.3.DeliveryLocation:ThedesignatedlocationwheretheBuyeragreestoreceivetheGoods.4.ForceMajeure:Anunforeseeableeventorcircumstancethatpreventsapartyfromfulfillingitscontractualobligations.5.GoverningLaw:Thelegalsystemorsetoflawsthatapplytoacontractandgovernitsinterpretation,application,andenforcement.6.DisputeResolution:Theprocessusedtoresolvedisputesthatarisebetweenpartiestoacontract.四、執(zhí)行中遇到的問題及解決辦法：1.Deliverydelays:TheSellermayfacetransportationissuesorlogisticalproblemsthatdelaythedeliveryoftheGoods.Thepartiesmayagreeonanextensionofthedeliverydateordiscussalternativedeliverymethods.2.NonconformingordefectiveGoods:IftheBuyerreceivesGoodsthatdonotmeettheagreeduponspecificationsoraredefective,theBuyershouldpromptlyrejecttheGoodsandnotifytheSeller.TheSellershouldthenreplaceorrepairthenonconformingordefectiveGoodsorrefundthePurchasePrice.3.Paymentissues:IftheBuyerf
