1.LeasedPremises:

6.Insurance:

Lesseeshallmaintaincomprehensivegeneralliabilityinsurance,aswellasinsuranceforthefullreplacementvalueofthePremisesanditscontents,throughoutthetermofthisAgreement.LesseeshallprovideLessorwithacertificateofinsuranceuponrequest.

7.Indemnification:

LesseeshallindemnifyandholdLessorharmlessfromandagainstanyandallclaims,actions,damages,liabilities,andexpenses(includingattorney'sfees)arisingoutoforinconnectionwithLessee'suseofthePremises.

8.DefaultandTermination:

Intheeventofamaterialbreachbyeitherparty,thenon-breachingpartymayterminatethisAgreementuponwrittennoticetothebreachingparty.Upontermination,LesseeshallpromptlyvacatethePremisesandsurrenderpossessiontoLessor.

9.GoverningLaw:

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningJurisdiction],andanydisputesarisingoutoforinconnectionwiththisAgreementshallbesubjecttotheexclusivejurisdictionofthecourtsof[GoverningJurisdiction].

10.EntireAgreement:

ThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreementsandunderstandings,whetherwrittenororal,relatingtothesubjectmatterofthisAgreement.
