銷售利益分紅合同SalesProfitSharingContractThisSalesProfitSharingContract(hereinafterreferredtoas"Contract")ismadeandenteredintoonthis__________dayof________,20,byandbetween:PartyA(Company):_________________________Address:_______________________________________ContactPerson:_________________________________Position:_______________________________________ContactNumber:_______________________________PartyB(Salesperson):_______________________Address:_______________________________________ContactNumber:_______________________________WHEREAS,PartyAisacompanyengagedinthebusinessof__________anddesirestoappointPartyBasitssalespersonforthepurposeofpromotingandsellingitsproducts/services;andWHEREAS,PartyBhasagreedtopromoteandselltheproducts/servicesofPartyAandisentitledtoreceiveashareoftheprofitsgeneratedtherefrom.Article1:AppointmentofSalesperson1.1PartyAherebyappointsPartyBasitssalespersonforthepurposeofpromotingandsellingtheproducts/servicesofPartyA.1.2PartyBacceptstheappointmentandagreestoperformthedutiesandresponsibilitiesassetforthinthisContract.Article2:TermofContract2.1ThisContractshallcommenceontheEffectiveDateandshallcontinueuntilterminatedbyeitherPartyinaccordancewiththeprovisionsofthisContract.Article3:Salesperson'sObligations3.1PartyBshalluseitsbesteffortstopromoteandselltheproducts/servicesofPartyA.3.2PartyBshallcomplywithallapplicablelawsandregulationsintheperformanceofitsdutiesunderthisContract.Article4:ProfitSharing4.1PartyBshallbeentitledtoashareoftheprofitsgeneratedfromthesalesofPartyA'sproducts/servicesmadebyPartyB.4.2Theprofitsharingshallbecalculatedasfollows:_______%ofthenetsalesrevenueattributabletoPartyB'sefforts.Article5:ReportingandRecordKeeping5.1PartyBshallprovidePartyAwithregularreportsonsalesactivities,includingbutnotlimitedto,salesfigures,customerfeedback,andmarkettrends.5.2PartyBshallmaintainaccurateandcompleterecordsofallsalestransactionsandshallprovidesuchrecordstoPartyAuponrequest.Article6:Confidentiality6.1PartyBshallkeepconfidentialallinformationrelatedtoPartyA'sbusiness,includingbutnotlimitedto,tradesecrets,customerlists,andmarketingstrategies.6.2TheobligationofconfidentialityshallsurvivetheterminationofthisContract.Article7:Non-Solicitation7.1DuringthetermofthisContractandforaperiodof_______yearsthereafter,PartyBshallnotdirectlyorindirectlysolicitorattempttosolicitthebusinessofanycustomerofPartyA.Article8:Non-Competition8.1DuringthetermofthisContractandforaperiodof_______yearsthereafter,PartyBshallnotengageinanybusinessthatisincompetitionwithPartyA.Article9:Termination9.1EitherPartymayterminatethisContractbygiving_______days'writtennoticetotheotherParty.9.2IntheeventofbreachofanymaterialtermofthisContractbyeitherParty,thenon-breachingPartymayterminatethisContractimmediatelyuponwrittennotice.Article10:DisputeResolution10.1AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthrougharbitrationinaccordancewiththerulesofthe_______ArbitrationCommission.10.2Theplaceofarbitrationshallbe_______.Article11:GoverningLaw11.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof_______.Article12:EntireAgreement12.1ThisContractconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,whetherwrittenororal.Article13:Amendments13.1ThisContractmaybeamendedonlyinwritingsignedbybothParties.Article14:Notices14.1AllnoticesunderthisContractshallbeinwritingandshallbedeemeddulygivenwhendeliveredpersonallyorsentbyregisteredmailtotheaddressessetforthinthisContract.Article15:IndependentContractors15.1TherelationshipbetweenPartyAandPartyBisthatofindependentcontractors,andnothinginthisContractshallbeconstruedtocreateapartnership,jointventure,oragencyrelationship.Article16:Assignment16.1PartyBshallnotassignitsrightsordelegateitsdutiesunderthisContractwithoutthepriorwrittenconsentofPartyA.Article17:Waiver17.1ThefailureofeitherPartytoenforceanyrightsunderthisContractshallnotbeconstruedasawaiverofsuchrights.TheaboverepresentsthefirsthalfoftheSalesProfitSharingContract.Thesecondhalfwillbeprovideduponrequest.Pleaseensurethatthespecifictermsareadjustedaccordingtoactualsituationsandlocallawsandregulations.Itishighlyrecommendedtoconsultwithaprofessionallegaladvisorbeforefinalizingthecontract.Article18:IntellectualPropertyRights18.1Allintellectualpropertyrightsrelatedtotheproducts/servicessoldbyPartyBshallremainthepropertyofPartyA.18.2PartyBshallnotclaimanyownershiporrightsinanyintellectualpropertyusedinconnectionwiththesalesactivities.Article19:RepresentationandWarranty19.1PartyArepresentsandwarrantsthatithastherighttoselltheproducts/servicesandthatthesamedonotinfringeuponanythird-partyintellectualpropertyrights.19.2PartyBrepresentsandwarrantsthatithastheauthoritytoenterintothisContractandthatitsperformancewillnotviolateanyapplicablelawsorregulations.Article20:Indemnification20.1PartyAshallindemnifyandholdharmlessPartyBfromanyandallclaims,damages,orlossesarisingoutoforinconnectionwithPartyA'sbreachofanyrepresentationorwarrantyunderthisContract.20.2PartyBshallindemnifyandholdharmlessPartyAfromanyandallclaims,damages,orlossesarisingoutoforinconnectionwithPartyB'sbreachofthisContractoritsviolationofanyapplicablelawsorregulations.Article21:ForceMajeure21.1NeitherPartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisContracttotheextentthatsuchfailureordelayiscausedbyeventsbeyonditsreasonablecontrol,includingbutnotlimitedto,actsofGod,war,civilunrest,oranyothercircumstancesbeyondtheaffectedParty'scontrol.21.2ThePartyaffectedbyforcemajeureshallpromptlynotifytheotherPartyinwritingandprovidereasonableevidenceoftheevent.Article22:AuditRights22.1PartyAshallhavetherighttoauditPartyB'ssalesrecordsandfinancialstatementsrelatedtothesalesactivitiesatanytimeuponreasonablenotice.22.2PartyBshallcooperatefullywithPartyAinconductingsuchauditsandshallprovideallnecessaryinformationandaccess.Article23:CovenantNottoSue23.1PartyBcovenantsnottobringanylegalactionorproceedingagainstPartyAinconnectionwiththesalesactivitiesortheprofitsharingarrangementunderthisContract.Article24:SuccessorsandAssigns24.1ThisContractshallbebindinguponandinuretothebenefitofthePartiesheretoandtheirrespectivesuccessorsandassigns.Article25:Severability25.1IfanyprovisionofthisContractisheldtobeinvalidorunenforceable,suchprovisionshallbestruckandtheremainingprovisionsshallremaininfullforceandeffect.Article26:ExecutioninCounterparts26.1ThisContractmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.Article27:NoThird-PartyBeneficiary27.1ThisContractisintendedforthebenefitofthePartiesheretoandshallnotconferanyrightsuponanythirdparty.Article28:Notices28.1Allnotices,requests,demands,andothercommunicationsunderthisContractshallbeinwritingandshallbedeemeddulygivenwhendeliveredpersonally,sentbyregisteredmail,orsentbyemailwithconfirmationofreceipt.Article29:EffectiveDate29.1ThisContractshallbeeffectiveasofthedatefirstabovewritten.Article30:Signatures30.1
