2024版英語法律合同與協(xié)議2024EnglishLegalContractandAgreementTHISAGREEMENTismadeontheDaydayofMonth,2024Between:1.CompanyName(hereinafterreferredtoas"PartyA"),RegisteredAddress:AddressAnd2.IndividualName/CompanyName(hereinafterreferredtoas"PartyB"),Address:AddressWhereas:PartyAisengagedinthebusinessofBusinessNatureandrequirestheservicesofPartyB.PartyBhasagreedtoprovideservicestoPartyAonthetermsandconditionssetforthinthisAgreement.NOWITISHEREBYAGREEDasfollows:1.DefinitionofServices:PartyBshallprovidethefollowingservicestoPartyA:DescriptionofServices.2.TermofAgreement:ThetermofthisAgreementshallcommenceontheEffectiveDateandshallcontinueuntilTerminationDate,unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.3.Compensation:PartyAshallpayPartyBfortheservicesrenderedattherateof$AmountperUnitofTime/Deliverable.4.PaymentTerms:PaymentforservicesshallbemadeFrequencyofPayment(e.g.,monthly,uponcompletionofproject)andshallbedueNumberofDaysdaysafterthereceiptofaninvoice.5.Confidentiality:PartyBagreestokeepconfidentialallinformationobtainedfromPartyAduringthetermofthisAgreementandnottodisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentofPartyA.6.IntellectualPropertyRights:AllintellectualpropertyrightsintheworkproductcreatedbyPartyBforPartyAshallbelongtoPartyAuponcreation.7.WarrantiesandRepresentations:PartyBwarrantsthattheservicesprovidedhereunderwillbeperformedinaprofessionalandworkmanlikemannerandwillconformtothestandardsoftheindustry.8.Termination:EitherpartymayterminatethisAgreementuponNumberofDaysdays'writtennoticetotheotherparty.9.BreachandDefault:IntheeventofabreachofanytermofthisAgreementbyeitherparty,thenon-breachingpartyshallbeentitledtoallremediesavailableatlaworinequity.10.Indemnification:PartyBshallindemnifyandholdPartyAharmlessfromanyclaims,damages,orexpensesarisingoutoftheperformanceofservicesunderthisAgreement.11.GoverningLaw:ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsoftheJurisdiction.12.DisputeResolution:AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedbyarbitrationinaccordancewiththerulesofArbitrationBody.13.EntireAgreement:ThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallpriornegotiations,understandings,oragreements.14.Amendment:ThisAgreementmaynotbeamendedormodifiedexceptinwritingsignedbybothparties.15.Assignment:PartyBshallnotassignthisAgreementoranyrightsorobligationshereunderwithoutthepriorwrittenconsentofPartyA.16.Notices:AllnoticesunderthisAgreementshallbeinwritingandshallbedeemeddulygivenwhendeliveredtotheaddressoftherespectiveparty.INWITNESSWHEREOF,thepartieshaveexecutedthisAgreementasofthedatefirstabovewritten.PartyA:CompanyNameBy:AuthorizedSignatoryName:NameTitle:TitlePartyB:IndividualName/CompanyNameBy:AuthorizedSignatoryName:NameTitle:Title(Theabovecontentconstitutesthefirsthalfofthecontract.Furthercontentwillbeprovideduponrequest.)17.ForceMajeure:NeitherpartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisAgreementtotheextentthatsuchfailureordelayiscausedbycircumstancesbeyondthereasonablecontrolofthatparty,includingbutnotlimitedtoactsofGod,war,civilunrest,ornaturaldisasters.18.Non-Waiver:NowaiverofanyprovisionofthisAgreementshallbeeffectiveunlessitisinwritingandsignedbythepartytobeboundbythewaiver.19.IndependentContractors:TherelationshipbetweenPartyAandPartyBisthatofindependentcontractors,andnothinginthisAgreementshallbeconstruedtocreateapartnership,jointventure,oremploymentrelationship.20.SuccessorsandAssigns:ThisAgreementshallbebindinguponandinuretothebenefitofthepartiesheretoandtheirrespectivesuccessorsandassigns.21.ExecutioninCounterparts:ThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.22.Severability:IfanyprovisionofthisAgreementisheldtobeinvalidorunenforceable,suchprovisionshallbestruckandtheremainingprovisionsshallbeenforced.23.Notices:AllnoticesandcommunicationshereundershallbeinEnglishandshallbedeemedgivenwhendeliveredpersonallyorbyemailwithconfirmationofreceipt.24.AgreementinEnglish:ThisAgreementisexecutedintheEnglishlanguage,whichlanguageshallcontrolinallrespects.INWITNESSWHEREOF,thepartieshaveexecutedthisAgreementasofthedatefirstabovewritten.PartyA:CompanyNameBy:AuthorizedSignatoryName:NameTitle:TitlePartyB:IndividualName/CompanyNameBy:AuthorizedSignatoryName:NameTitle:TitleAttachments:AttachmentA:DescriptionofServicesAttachmentB:PaymentScheduleAttachmentC:ConfidentialityAgreementAttachmentD:IntellectualPropertyAssignmentAttachmentE:ForceMajeureEventListI.BreachofContractandDetermination:BreachofServices:PartyBfailstoprovidetheservicesasdescribedinAttachmentA.BreachofPayment:PartyAfailstomakepaymentsasperthescheduleinAttachmentB.BreachofConfidentiality:PartyBdisclosesconfidentialinformationinviolationofAttachmentC.DeterminationofBreach:Breachisdeterminedbasedontheevidenceofnon-compliancewiththetermsofthisAgreement.II.LegalTermsandDefinitions:Agreement:ThislegalcontractbetweenPar
