article8repaymentplanandprepayment

repaymentofdebtsbecomeweak,thelendershallhaverightto

requesttheborrowerchangesguarantororprovidemortgageand

pawnsecuredforthisloanunderthiscontract.

article11representationsandwarranties

transactionscontemplatedinthiscontractandjointhe

litigation,theborrowerhasthepowertohandleitassetsused

inoperation.

2.theborrowerisatitsoptiontosignandperformthis

contract,itistheborrowerstruemeaningandhasthepowerto

signthiscontractanditisnotbreachitarticleof

associationorregulationsorcontracts,theprocedurefor

signatureandperformanceofthiscontracthasbeengone

throughandfullyeffectiveness.

3.thealldocuments,materials,reportsandcertificates

providedtothelenderbytheborrowerforconsummationofthis

contractistrue,real,competeandeffective

4.theborrowershallnotconcealthefollowingevents

whichisbeinghappenedorhavebeenhappenedwhichwillcause

thelenderrefusetoe_tendtheloan:

(1)theborrowerortheprincipale_ecutivesofthe

borrowerinvolveinmaterialeventswhichbreachregulations,

lawsorcompensationtoothers;

(2)pendingactionsandarbitration;

(3)theborrowersdebtsorproposeddebtsorliensandother

encumbrances;

(4)theothermatterswillimpactthefinancialstatusor

abilitiesofrepaymentforthedebts;

(5)theborrowerbreachedcontractwhichisbetweenthe

borrowerandothercreditors.

ii.theborrowerherebywarrantsasfollows:

1.usingthecapitaloftheloanasusagesetforthinthis

contract,theborrowerwillnotusetheloanasequity

investment;theborrowerwillnotusethecapitaloftheloan

investinsecurity,future,realestateetc.theborrowerwill

notlendtotheothersprivatelyorinvolvingothermaterswhich

isprohibitedbythecountry,theborrowerwillnotmisusing

orappropriationoftheloan.

2.makingpaymentandrelatede_pensesinaccordancewith

theprovisionssetforthinthiscontract;

3.providingupdatedfinancialstatementorfinancial

bulletineveryquarter;providingtheauditedfinancialreport

atthefirstquartofeachyear;providingoperationreport,

financialreportorotherfilesandmaterialsandshallwarrant

thereality,correctandeffectivenessforthefilesand

materials;

4.anyanti-guarantyorothersimilardocumentswillnot

makeanyimpactontherightsandbenefitsofthelenders;

5.acceptingthesupervisionofthelender,provides

assistanceandcooperationforthelenderssupervisions;

6.willnotreducetheregistrationcapital;priorapproval

fromthelendershallberequiredwhentheborrowerchangesof

shareholdersandoperationmanner(includingbutnotlimitedto

jointventure,cooperation,jointlycooperation;dissolution,

closedown,liquidation,transformation;merger;changeto

sharecompany,usethehousing,machineryorotherrealassets

ortrademark,intellectualproperty,knowhow,landingusing

rightsorotherintangibleassetstoinvestinsharecompany

orinvestmentcompany,tradingofoperationrightorownright

bycontracting,jointoperation,trusteeship)

7.theborrowershallinformthelenderandwarrantsthe

liabilityunderitssecuritywillnotmorethannetassetsof

theborrowerwhentheborrowerguaranteeforotherpartyor

mortgageitsassets,theborrowerwarrantsthatwillnot

disposetheassetswhichwillmakeadverseimpactonitsability

ofpayingdebts.

8.theborrowerwillnotpaytheothersimilarloansprior

tothelender;

9.theborrowerwarrantstoinformthelenderimmediately

whenthefollowingeventsoccurred:

(1)theeventofbreachofcontractunderthiscontractor

otherloanorguarantycontractsbetweentheborrowerandany

branchesofbankofchinaorotherbanks,non-bankfinancial

organization;

(2)theborrowerchangesshareholdersorrevisethearticle

ofassociation;

(3)theborrowersufferdifficultiesandbadresultin

financialandoperation;

(4)theborrowerinvolvesinmaterialactionsor

arbitration;

10.theborrowershallkeepsufficientbalancefor

repaymentprior[]totheduedate.

11.theborrowershallkeepitsbanktransactionsregarding

incomecollection,sellforeigncurrencyorbuyforeign

currencyect.shallbeconductedatthelenderorotherbranches

ofthelender,theturn-overforthecapitalshallsatisfythe

article12representationsandwarrantsofthelender

i.thelenderrepresentsandwarrantsasfollows:

1.thelenderisastate-ownedcommercialbankorbranch

dulyorganizedandvalidlye_istingunderthelawofp.r.cand

approvedbytheindustryandcommercialadministrationand

holdsthefinancialinstitutionslegalpersonlicensesand

financialinstitutionsoperationlicensetobequalifiedto

operatefinancialbusiness.

2.thelenderhastakenallnecessaryactiontoauthorize

obligationsunderthiscontract,thelenderisdulyauthorized

article13eventsofbreachcontractandsettlement:

(4)theborrowerbreachesotherloanagreementsorguaranty

agreementsortheguarantorbreachtheguarantyagreementwhich

maymakeimpacttheborrowertoperformtheobligationsunder

thiscontract.

(5)conclusiveevidencetoshowthattheborrowerlosethe

capacityofcreditorduringperformanceoftheobligation

underthiscontract,thefinancialconditionsoftheguarantor

areseriouslydeterioratingorotherreasonscausedthe

guarantorthecapacityofcreditdecline.

(6)theborrowerbreachestheotherobligationsunderthis

contract.

2.undertheabovecircumstances,thelendershallhave

rightto:

(1)requesttheborrowertorectifywithintheperiod

designedbythelender;

(2)ceaseine_tendingtheloanorcancelthecredit;

(3)declaretheloanunderthiscontractisdueandthe

lendershallhaverighttodeducttheoutstandingamountfrom

2.intheeventchangeoflaws,regulationsorlegal

practicewhichwillcauseanytermscontainedinthiscontract

becomeillegal,invalidorlossofpractice,theotherpartof

thiscontractshallnotbeimpairedbyit.thebothparties

shallmakeeffortstochangetheillegal,invalidorlossof

practicepart.

3.forthemattersnotreferredinthiscontractshallbe

construedinaccordancewiththeprovisionsofthepeoplesbank

article18disputeresolution,governinglawandwaiverof

1.theconclusion,interpretationanddisputeresolution
