鑒于你方向借款人供應了一筆貸款，我行特此為借款人出具本保函并保證如下：

InconsiderationofyourmakingaloanavailabletotheBorrower_____weherebyissuethisguaranteefortheaccountoftheBorrowerandagreeasfollows:

1.我行在此無條件地不行撤消地保證，借款人在貸款到期或發(fā)生加速還款或其他狀況下，按時償還貸款協(xié)議(包括經(jīng)我行書面同意的對該協(xié)議的修改和補充)項下現(xiàn)時或?qū)淼牡狡诳铐?。保證金額最高不超過_____美元(即貸款本金加利息的110%)。假如借款人到期不能歸還該等款項，我行將憑你方書面索賠馬上償還。除非有明顯的錯誤，由你方授權(quán)官員簽發(fā)的載明該等應還款細節(jié)及到期日的任何聲明應是終局的并對我行具有約束力。

1.Weherebyunconditionallyandirrevocablyguaranteetomakerepaymentontime(thedueandpunctualpayment—1)uptotheamountofUSD_____(110%oftheprincipalplusaccruedinterest)whichisormaybecomerepayable(payable—2)bytheBorrowerundertheLoanAgreementbetweentheLenderandtheBorrowerwhichshallincludeallsubsequentamendmentsandsupplementsmadetotheLoanAgreement(theLoanAgreementasamendedorsupplementedfromtimetotime—3)withourconsentinwriting,whetheratmaturityoruponaccelerationorotherwise.IftheBorrowerfailstorepay(pay—4)anysuchsumwhendue,weshallpayyoutheamountonthedateofourreceiptofyourclaiminwriting.Anystatementsignedbyyourdulyauthorizedofficerthatgives(settingout—5)detailsandtheduedateofanysuchclaimshallbeconclusiveandbindingonusexceptinthecaseofmanifesterror.

2.本保函自開立之日起生效，直至_____(貸款協(xié)議到期后6個月)失效。隨著貸款協(xié)議項下本金的每一期償還，我行的擔保責任亦應相應遞減。我行在本保函項下的擔保責任將不受下列大事的影響：對借款人賜予延期還款等優(yōu)待;或貸款人不行使對借款人享有的權(quán)利;或由于本款規(guī)定可能影響我行在本保函項下責任的其他緣由或狀況，但前提是對該貸款協(xié)議的任何修改或補充須經(jīng)我行事前書面確認，我行亦保證不會不合理地耽擱或拖延此種確認。對本保函項下的索賠可隨時進行，貸款人在向我行索賠前，無須實行任何措施以實現(xiàn)其對借款人或其繼承人的權(quán)利。

2.ThisGuaranteeshallbecome(be—6)effectiveonthedatehereofandshallexpireon_____(sixmonthsaftertheexpirydue—7)dateoftheLoanAgreement.FollowingeachrepaymentofprincipalundertheLoanAgreement,ourliabilityhereundershallbereducedaccordingly.OurliabilityhereundershallnotbeaffectedbythegrantingofanyindulgencetotheBorrower,orbyanydefectintherightsoftheLenderagainsttheBorrower,orbyanyothermatterorcircumstancewhich,duetothisprovision,mayaffectourliabilityhereunder,providedthatanyamendmentsorsupplementsto(of—8)theLoanAgreementaresubjecttoourpriorwrittenapprovalwhichweundertakewewillnot(undertakenotto—9)unreasonablywithhold(withhold—10)ordelay(delay—10).TheLendermayhereuponlodgedemandsuponusfromtimetotimeandwouldnotberequiredtotakeanysteptoexercisehisrightsagainsttheBorrowerbeforeclaiminguponus.

3.本保函項下索賠款的支付不得包括任何抵消、反索賠、限制以及豁免于任何現(xiàn)有或?qū)淼亩愂栈蚱渌蹨p或任何性質(zhì)的預留。假如在索賠款的支付中必需包含任何扣減或預留，我行除索賠款金額外，還將支付該等必要的附加費用，從而確保貸款人得到應收回的足額還款。

3.A1lpaymentsunderthisGuaranteeshallbemadewithoutanysetofforcounterclaimor(any—11)restrictionorexemptfrom(conditionandfreeof—12anypresentorfuturetaxesorotherdeductionsorwithholdingsofanynature.Ifanydeductionorwithholdingmustbeincludedinthepaymentoftheclaim(isrequiredtobemadefromanysuchpayment—13)weshall(togetherwithpayment—14)oftheclaim)paysuchadditionalamounttogetherwithpaymentoftheclaim(suchpayment—15)asisnecessarytoensuretheLender'sreceiptof(theLenderreceive—16)thefullamountduetohim(them—17).

4.我行在此確認已獲得對本保函或與本保函有關(guān)的全部法人同意，認可以及相應政府部門或其他有關(guān)當局的批準，該等批準是充分有效的。本保函的條款構(gòu)成我行合法、有效并具有約束力的責任，我行在本保函項下的責任將在任何時刻至少與我行其他未擔保以及非從屬債務處于同等地位，我行保證為此目的的全部必要授權(quán)始終是充分的、有效的。

4.Weherebyrepresentandundertakethatallcorporateconsentsandapproval，andapprovalfromthegovernmentaloranyotherauthoritiesinvolvedinthisGuaranteehavebeenobtainedandareinfullforceandeffect.ThisGuaranteeconstitutesourlegal.validandbindingobligationsenforceableinaccordancewithitsterms，andourobligationshereunderwillatalltimesrankatleastpari-passuwithallofourotherunsecuredandinsubordinate(unsubordinated—18)obligations.Weconfirm(willensure—19)thatallauthorizationsnecessaryforthispurposeremaininfullforceandeffect.

5.貸款人在本保函項下疏于或怠于行使任何權(quán)利或補救措施等，均不應視為對該等權(quán)利的放棄;任何單項或部分行使上述權(quán)利也不能排解貸款人進一步實行行動或行使其他權(quán)利或補救措施的權(quán)利。假如在任何時候本保函的任何條款已是或變?yōu)榉欠?、無效或在任何方面不行執(zhí)行，本保函其他條款的合法性、有效性及可執(zhí)行性均不應受到影響或相應降低。

5.NofailureordelaybytheLenderinexercisinganyright。powerorremedyunderthisGuaranteeshalloperateaswaiverthereof，norshallanysingleorpartialexerciseofthesameprecludeanyfurtherexercisethereofortheexerciseofanyotherright，powerorremedy.Ifatanytimeanyprovisioninthisguarantee(hereof—20)isorbecomesillegal，invalidorunenforceableinanyrespect，neitherthelegality，validityorenforceabilityoftheremainingprovisionshereinshallinanywaybeaffectedorimpairedthereby.

6.我行將償付貸款人因行使其在本保函項下權(quán)利而發(fā)生的全部合理費用(包括律師費用)。

6.WeshallreimbursetheLenderforallreasonable(feesand—21)expenses(includinglawyer'sfee)incurredinconnectionwiththeenforcementofhisrightshereunder.

7.我行將對本保函項下的任何遲付金額按借款人應用的利率水平支付利息，該付息期間的計算從你方索償之日起，直至實際付款日止(在判決前或判決后)。

7.Weshallpayinterestonanyamountduehereunderfromthedateofdemandtothedateofactualpayment(beforeandafterjudgement)attherate0rrateswhichshouldbeapplied(wouldbepayable—23)bytheBorrower.

8.未經(jīng)我行事前書面同意，本保函項下的權(quán)益不行以轉(zhuǎn)讓，我行亦確認不會不合理地拖延該等同意。

8.ThebenefitofthisGuaranteemaynotbeassignedwithoutourpriorwrittenconsent，suchconsentnottobeunreasonablywithheld.

9.本保函應確保貸款人和其相應后繼者的權(quán)益。不論我行或我行相應后繼者的組織和機構(gòu)有任何變化，在保函項下的義務對我行及我行后繼者持續(xù)具有約束力。在不違反上述第8條的狀況下，貸款人可以將其在本保函項下或由于本保函、貸款協(xié)議及其他擔保契約(依據(jù)貸款協(xié)議的定義)而派生的權(quán)利或權(quán)益全部或部分地轉(zhuǎn)讓給任何他人。

9.ThisGuaranteeshallassure(ensuretothebenefitof—24)theLenderandhis(their—25)successor/Sofhis/theirrightsandinterests(its—26).Ourobligationshereundershallbebindingonusandoursuccessor/snotwithstandinganychangeinourconstitutionorstatusorthatofOursuccessor/S.Subjectt0Article8above,theLendermayassigntoanyotherpersonalloranypartofhis(its—27)rightsandbenefitsunderorarisingfromthisGuarantee,theLoanAgreementandanyothersecuritydocuments(asdefinedintheLoanAgreement)(subjecttoArticle8above—28).

10.我行在此確認本保函的簽定和執(zhí)行是一種商業(yè)行為，并同意放棄實行與本保函有關(guān)的任何法律行為或程序的豁免權(quán)。

11.本保函受中華人民共和國法律管轄并按其法律解釋，我行將不行撤消地接受中華人民共和國法院的司法管轄。

(a)letteroftheSeller'sacceptanceofthesaiddefectasjustifyingremedyundertheGuaranteeprovisions,or

b.買方出具的證明，申明在上述通知后×日內(nèi)沒有得到賣方的回應;和

(b)acertificatefromtheBuyerstatingthatnoresponsewasreceivedfromtheSellerwithin

(a)anoriginalinvoiceorinvoices(induplicate)fromtherelevantShipyard,manufacturerorsupplier,whichshallbecountersignedbytheShipyard'sguaranteeengineer(asdefinedintheShippingContract),or

b.有關(guān)造船廠、制造商或供貨人出具的一張或數(shù)張原始發(fā)票(一式兩份)，連同經(jīng)信譽良好的損壞評級機構(gòu)鑒定員簽署的證明書。

(b)anoriginalinvoiceorinvoices(induplicate)fromtherelevantShipyard,manufacturerorsupplier,togetherwithacertificatesignedbyareputableclassificationsocietysurveyor;
