CommissionAgreement

ThisCommissionAgreement("Agreement")ismadeandenteredintoon___________(Date)byandbetween:

PartyA:[NAME],alegalentityregisteredandoperatingunderthelawsofChina,withitsprincipalplaceofbusinesslocatedat[ADDRESS],China("Company").

PartyB:[NAME],anindividualresidingat[ADDRESS],China("Recipient").

Whereas,CompanydesirestoengageRecipienttoprovidecertainservicesforthesolicitationofbusinesswithintheterritoryspecifiedbyCompany,andRecipientdesirestoaccepttheengagementandprovidethenecessaryservicesforCompany.

Therefore,inconsiderationofthepremisesandmutualcovenantscontainedherein,thepartiesherebyagreeasfollows:

1.ScopeofServices

CompanyherebyengagesRecipienttosolicitandobtainbusinesswithintheterritoryspecifiedbyCompany,inaccordancewiththetermsandconditionssetforthinthisAgreement.

2.Recipient'sDutiesandObligations

Recipientagreesto:

a.SolicitcustomersforCompanyintheterritoryspecifiedbyCompany;

b.ObtainordersfromcustomersforthepurchaseofCompany'sproductsorservices;

c.ProvideCompanywithallnecessarymaterialsandinformationregardingcustomersandorders;

d.SubmitallordersreceivedfromcustomerstoCompany;

e.CooperatewithCompanyinanyandallreasonablerequestsforinformationorassistance;

f.MaintainaccuraterecordsofalltransactionsandprovideperiodicreportstoCompany;

g.Conductallactivitiesincompliancewithallapplicablelawsandregulations.

3.Company'sDutiesandObligations

Companyagreesto:

a.PaycommissionstoRecipientassetforthinSection4ofthisAgreement;

b.ProvideRecipientwithallnecessarymaterialsandinformationregardingproductsandservices,andtrainingandsupportasnecessary;

c.CooperatewithRecipientinanyandallreasonablerequestsforinformationorassistance.

4.Commission

AscompensationfortheservicesprovidedbyRecipient,CompanyagreestopayRecipientacommissionof[INSERTPERCENTAGE]%ofallgrosssalesofCompany'sproductsorservicesresultingfromordersobtainedbyRecipientduringthetermofthisAgreement.Commissionsshallbepaidwithin[INSERTTIMEFRAME]daysofreceiptofpaymentfromcustomers.

5.TermandTermination

ThisAgreementshallcommenceon____________(Date)andshallcontinueuntilterminatedbyeitherpartyuponwrittennoticetotheotherparty.Upontermination,eachpartyshallfulfillanyoutstandingobligationstotheotherparty.

6.ConfidentialInformation

RecipientacknowledgesthatcertaininformationprovidedbyCompanymaybeconfidentialandproprietaryinnature.RecipientagreestokeepsuchinformationconfidentialandtouseitsolelyforthepurposeofperformingtheservicescontemplatedbythisAgreement.

7.GoverningLawandArbitration

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofChina.AnydisputearisingunderthisAgreementshallberesolvedthroughbindingarbitrationinaccordancewiththerulesoftheChinaInternationalEconomicandTradeArbitrationCommission.

8.Severability

IfanyprovisionofthisAgreementisheldtobeinvalidorunenforceable,theremainingprovisionsofthisAgreementshallremaininfullforceandeffect.

9.EntireAgreement

ThisAgreementconstitutestheentireunderstandingbetweenthepartiesandsupersedesallpriornegotiations,agreements,andunderstandings,whetherwrittenororal.

10.Counterparts

ThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedtobeanoriginalbutallofwhichtogethershallconstituteoneandthesameinstrument.
