中英銷售合同英文銷售合同SALESCONTRACTTHISSALESCONTRACT(hereinafterreferredtoas"Contract")ismadeonthis_____dayof_____20__,byandbetween_____(hereinafterreferredtoasthe"Seller")and_____(hereinafterreferredtoasthe"Buyer").WHEREAS,SellerdesirestosellandBuyerdesirestopurchasetheproductsonthetermsandconditionsassetforthherein;NOW,THEREFORE,inconsiderationofthemutualpromises,undertakings,andcovenantshereincontained,thepartiesheretoagreeasfollows:1.BasicinformationoftheParties.1.1Seller:FullName:______________Address:______________PhoneNumber:______________EmailAddress:______________1.2Buyer:FullName:______________Address:______________PhoneNumber:______________EmailAddress:______________2.ScopeofContract2.1TheSelleragreestosellandtheBuyeragreestopurchasetheproductsasperthespecificationsmentionedinExhibitAattachedhereto.2.2TheBuyershallpurchasetheproductsatthepriceandonthetermsandconditionsmentionedinthisContract.3.Paymentterms3.1TheBuyershallpaythefullamountfortheproductsuponthedeliveryoftheproductstotheBuyer.3.2ThemodeofpaymentshallbeasmutuallyagreeduponbetweentheParties.4.Delivery4.1ThedeliveryoftheproductsshallbemadebytheSellertotheBuyerattheaddressmentionedbytheBuyerinExhibitAattachedhereto.4.2TheSellershalldelivertheproductswithinthetimeframementionedinExhibitAattachedhereto.5.Qualityofproducts5.1Theproductssuppliedshallbeofthequality,description,andspecificationsagreeduponbetweentheParties.5.2TheSellerwarrantsthattheproductssuppliedshallbefreefromanydefectsinmaterialandworkmanship.6.DefaultandTermination6.1IfanyPartybreachesthisContract,thenon-breachingPartyhastherighttoterminatethisContractimmediately.6.2IntheeventofterminationofthisContract,thebreachingPartyshallbeliabletopaythenon-breachingPartythedamagescausedbythebreach.7.GoverninglawandJurisdiction7.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina.7.2AnydisputearisingoutoforinconnectionwiththisContractshallbesettledbyarbitrationinaccordancewiththerulesoftheChinaInternationalEconomicandTradeArbitrationCommission(CIETAC)inBeijing.8.Miscellaneous8.1ThisContractcontainstheentireagreementbetweenthePartiesandsupersedesallpriornegotiations,representations,andagreements,whetherwrittenororal,relatingtothesubjectmatterhereof.8.2NoamendmentorvariationofthisContractshallbeeffectiveunlessitisinwritingandsignedbybothParties.8.3ThisContractshallbebindinguponandinuretothebenefitofthePartiesandtheirrespectivesuccessorsandassigns.INWITNESSWHEREOF,thePartiesheretohaveexecutedthisContractonthedatefirst
