FIDIC國際土木建筑工程承包合同〔中英文第三局部〕CommencementandDelays開工和延誤41.1CommencementofWorks工程的開工TheContractorshallcommencetheWorksassoonasisreasonablypossibleafterthereceiptbyhimofanoticetothiseffectfromtheEngineer,whichnoticeshallbeissuedwithinthetimestatedintheAppendixtoTenderafterthedateoftheLetterofAcceptance.Thereafter,theContractorshallproceedwiththeWorkswithdueexpeditionandwithoutdelay.

承包商在接到工程師有關(guān)開工的通知后，應(yīng)在合理可能的情況下盡快開工，開工通知應(yīng)在中標(biāo)函頒發(fā)日期之后，在投標(biāo)書附件中規(guī)定的期限內(nèi)發(fā)出。此后，承包商應(yīng)迅速且毫不遲延開始工程的施工。42.1PossessionofSiteandAccessThereto現(xiàn)場占有權(quán)及其通道SaveinsofarastheContractmayprescribe除合同另有規(guī)定外：a.theextentofportionsoftheSiteofwhichtheContractoristobegivenpossessionfromtimetotime,andb.

theorderinwhichsuchportionsshallbemadeavailabletotheContractorandsubjecttoanyrequirementintheContractastotheorderinwhichtheWorksshallbeexecuted,theEmployerwill,withtheEngineer'sNoticetoCommencetheWorks,givetotheContractorpossessionofc.

suchaccessas,inaccordancewiththeContract,istobeprovidedbytheEmployerasmayberequiredtoenabletheContractortocommenceandproceedwiththeexecutionoftheWorksinaccordancewiththeprogrammereferredtoinClause14(ifany)andotherwiseinaccordancewithsuchreasonableproposalsastheContractorshall,bynoticetotheEngineerwithacopytotheEmployer,make.TheEmployerwill,fromtimetotimeastheWorksproceed,givetotheContractorpossessionofsuchfurtherportionsoftheSiteasmayberequiredtoenabletheContractortoproceedwiththeexecutionoftheWorkswithduedispatchinaccordancewithsuchprogrammeorproposals,asthecasemaybe.

〔a〕隨時(shí)給予承包商占有現(xiàn)場各局部的范圍；以及

〔b〕承包商可占用現(xiàn)場各局部的順序。并根據(jù)合同中對于工程竣工順序的任何要求，在工程師發(fā)出開工通知的同時(shí)，雇主應(yīng)使承包商占有：

〔c〕一定大小的所需局部現(xiàn)場；以及

〔d〕按照合同由雇主提供的此類通道。

以便使承包商能夠根據(jù)第14條〔如果任何〕提到的工程進(jìn)度方案開始并進(jìn)行施工，否那么，將根據(jù)承包商提出的合理建議開工。此時(shí)應(yīng)將該建議通知工程師，并將一份副本呈交雇主。雇主應(yīng)隨工程進(jìn)展，適時(shí)讓承包商占用工程施工所需現(xiàn)場的其它局部，以使承包商能以應(yīng)有的速度并視具體情況或按上述進(jìn)度方案或按承包商的合理建議進(jìn)行工程施工。42.2FailuretoGivePossession未提供占有權(quán)IftheContractorsuffersdelayand/orincurscostsduetofailureonthepartoftheEmployertogivepossessioninaccordancewiththetermsofSub-Clause42.1,theEngineershall,afterdueconsultationwiththeEmployerandtheContractor,determine:如果由于雇主未能按第42.1條規(guī)定給出上述占有權(quán)而導(dǎo)致承包商延誤工期和／或付出費(fèi)用，那么工程師應(yīng)在及時(shí)與雇主和承包商協(xié)商之后，作出如下決定：a.

theamountofsuchcosts,whichshallbeaddedtotheContractPrice,andshallnotifytheContractoraccordingly,withacopytotheEmployer.

〔b〕應(yīng)在合同價(jià)格中增加此類費(fèi)用總額。

工程師應(yīng)通知承包商，并將一份副本呈交雇主。42.3Way-leavesandFacilities進(jìn)-出場和設(shè)備TheContractorshallbearallcostsandchargesforspecialortemporaryway-leavesrequiredbyhiminconnectionwithaccesstotheSite.TheContractorshallalsoprovideathisowncostanyadditionalfacilitiesoutsidetheSiterequiredbyhimforthepurposesoftheWorks.承包商應(yīng)承當(dāng)其進(jìn)出現(xiàn)場所需要的專用或臨時(shí)道路通行權(quán)的一切費(fèi)用的開支。承包商還應(yīng)自費(fèi)提供他所需要的供工程使用的位于現(xiàn)場以外的任何附加設(shè)備。43.1TimeforCompletion竣工時(shí)間ThewholeoftheWorksand,ifapplicable,anySectionrequiredtobecompletedwithinaparticulartimeasstatedintheAppendixtoTender,shallbecompleted,inaccordancewiththeprovisionsofClause48,withinthetimestatedintheAppendixtoTenderforthewholeoftheWorksortheSection(asthecasemaybe),calculatedfromtheCommencementDate,orsuchextendedtimeasmaybeallowedunderClause44.

在投標(biāo)書附件中規(guī)定的某一具體時(shí)間內(nèi)竣工的整個工程及任何區(qū)段，應(yīng)按第48條的規(guī)定，在投標(biāo)書附件中為整個工程或任何區(qū)段規(guī)定的從開工之日算起的期限內(nèi)竣工；或在第44條可能允許的延長工期內(nèi)竣工。

44.1ExtensionofTimeforCompletion竣工期限的延長Intheeventof如果由于：a.

theamountornatureofextraoradditionalwork,orb.

anycauseofdelayreferredtointheseConditions,orc.

exceptionallyadverseclimaticconditions,ord.anydelay,impedimentorpreventionbytheEmployer,ore.otherspecialcircumstanceswhichmayoccur,otherthanthroughadefaultoforbreachofcontractbytheContractororforwhichheisresponsible,beingsuchasfairlytoentitletheContractortoanextensionoftheTimeforCompletionoftheWorks,oranySectionorpartthereof,theEngineershall,afterdueconsultationwiththeEmployerandtheContractor,determinetheamountofsuchextensionandshallnotifytheContractoraccordingly,withacopytotheEmployer.〔a〕額外或附加工作的數(shù)量或性質(zhì)，或

〔b〕本合同中提到的任何誤期原因，或

〔c〕異常惡劣的氣候條件，或

(d)由雇主造成的任何延誤、干擾或阻礙，或

(e)除去承包商不履行合同或違約或由他負(fù)責(zé)的以外，其它可能發(fā)生的特殊情況，使承包商有理由延期完成工程或其任何區(qū)段或局部，那么工程師應(yīng)在與雇主和承包商適當(dāng)?shù)貐f(xié)商之后，決定竣工期延長的時(shí)間，并相應(yīng)地通知承包商，同時(shí)將一份副本呈交雇主。44.2ContractortoProvideNotificationandDetailedParticulars承包商提供通知和詳細(xì)說明ProvidedthattheEngineerisnotboundtomakeanydeterminationunlesstheContractorhas但工程師不一定必須作出任何決定，除非承包商已經(jīng)：a.

within28daysaftersucheventhasfirstarisennotifiedtheEngineerwithacopytotheEmployer,andb.

within28days,orsuchotherreasonabletimeasmaybeagreedbytheEngineer,aftersuchnotificationsubmittedtotheEngineerdetailedparticularsofanyextensionoftimetowhichhemayconsiderhimselfentitledinorderthatsuchsubmissionmaybeinvestigatedatthetime.

〔a〕在此類事件開始發(fā)生之后的28天內(nèi)通知工程師并將一份副本呈交雇主，以及

〔b〕在上述通知后的28天內(nèi)，或在工程師可能同意的其它合理的期限內(nèi)，向工程師提交承包商認(rèn)為他有權(quán)要求的任何延期的詳細(xì)申述，以便可以及時(shí)對他申述的情況進(jìn)行研究。44.3InterimDeterminationofExtensionProvidedalsothatwhereaneventhasacontinuingeffectsuchthatitisnotpracticablefortheContractortosubmitdetailedparticularswithintheperiodof28daysreferredtoinSub-Clause44.2.b,heshallneverthelessbeentitledtoanextensionoftimeprovidedthathehassubmittedtotheEngineerinterimparticularsatintervalsofnotmorethan28daysandfinalparticularswithin28daysoftheendoftheeffectsresultingfromtheevent.Onreceiptofsuchinterimparticulars,theEngineershall,withoutunduedelay,makeaninterimdeterminationofextensionoftimeand,onreceiptofthefinalparticulars,theEngineershallreviewallthecircumstancesandshalldetermineanoverallextensionoftimeinregardtotheevent.InbothsuchcasestheEngineershallmakehisdeterminationafterdueconsultationwiththeEmployerandtheContractorandshallnotifytheContractorofthedetermination,withacopytotheEmployer.NofinalreviewshallresultadecreaseofanyextensionoftimealreadydeterminedbytheEngineer.如果某一事件具有持續(xù)性的影響，以致使要求承包商按77.2〔b〕款所述的28天內(nèi)提交詳細(xì)申述成為不可能時(shí)，如果承包商以不超過28天的間隔向工程師遞交臨時(shí)詳情，并在事件影響結(jié)束后28天內(nèi)提交了最終詳情，承包商仍有權(quán)要求延長工期。工程師在收到上述詳情報(bào)告后，不得無故延誤，應(yīng)作出關(guān)于延長工期的臨時(shí)決定，在收到最終詳情之后，工程師應(yīng)復(fù)查全部情況，并提出有關(guān)該事件所需的延長全部工期的決定。在上述兩種情況下，工程師在與雇主和承包商適當(dāng)協(xié)商之后作出決定，并將此決定通知承包商，同時(shí)將一份副本呈交雇主。終審結(jié)果不應(yīng)導(dǎo)致減少工程師業(yè)已決定的任何延長工期的時(shí)間。45.1RestrictiononWorkingHours工作時(shí)間的限制SubjecttoanyprovisiontothecontrarycontainedintheContract,noneoftheWorksshall,saveashereinafterprovidedbecarriedonduringthenightoronlocallyrecogniseddaysofrestwithouttheconsentoftheEngineer,exceptwhenworkisunavoidableorabsolutelynecessaryforthesavingoflifeorpropertyorforthesafetyoftheWorks,inwhichcasetheContractorshallimmediatelyadvisetheEngineer.在合同中無相反規(guī)定的條件下，除下文規(guī)定的情況外，非經(jīng)工程師同意，任何工程均不得在夜間或當(dāng)?shù)毓J(rèn)的休息日施工，但為搶救生命或財(cái)產(chǎn)，或?yàn)楣こ痰钠桨捕豢煞乐够蚪^對必要的作業(yè)除外，在此情況下，承包商應(yīng)立即向工程師提出建議。ProvidedthattheprovisionsofthisClauseshallnotbeapplicableinthecaseofanyworkwhichitiscustomarytocarryoutbymultipleshifts.

但本款規(guī)定不適用于習(xí)慣上采用多班制的任何作業(yè)。46.1RateofProgress施工進(jìn)度Ifforanyreason,whichdoesnotentitletheContractortoanextensionoftime,therateofprogressoftheWorksoranySectionisatanytime,intheopinionoftheEngineer,tooslowtocomplywiththeTimeforCompletion,theEngineershallsonotifytheContractorwhoshallthereupontakesuchstepsasarenecessary,subjecttotheconsentoftheEngineer,toexpediteprogresssoastocomplywiththeTimeforCompletion.TheContractorshallnotbeentitledtoanyadditionalpaymentfortakingsuchsteps.在承包商無任何理由要求延長工期的情況下，如工程師認(rèn)為工程或其任何區(qū)段在任何時(shí)候的施工進(jìn)度太慢，不符合竣工期限要求，那么工程師應(yīng)將此情況通知承包商，承包商即在工程師的同意之下，采取必要的步驟，加快工程進(jìn)度，以使其符合竣工期限要求。承包商無權(quán)要求為采取這些步驟支付附加費(fèi)用。If,asaresultofanynoticegivenbytheEngineerunderthisClause,theContractorconsidersthatitisnecessarytodoanyworkatnightoronlocallyrecogniseddaysofrest,heshallbeentitledtoseektheconsentoftheEngineersotodo.Providedthat,ifanystepstakenbytheContractorinmeetinghisobligationsunderthisClauseinvolvetheEmployerinadditionalsupervisioncosts,suchcostsshall,afterdueconsultationwiththeEmployerandtheContractor,bedeterminedbytheEngineerandshallberecoverablefromtheContractorbytheEmployer,andmaybedeductedbytheEmployerfromanymoniesdueortobecomeduetotheContractorandtheEngineershallnotifytheContractoraccordingly,withacopytotheEmployer.如果由于執(zhí)行工程師按有關(guān)條款規(guī)定發(fā)出的任何通知，承包商認(rèn)為有必要在夜間或當(dāng)?shù)毓J(rèn)的休息日進(jìn)行任何工作，那么承包商有權(quán)請求工程師對此給予準(zhǔn)許。如果承包商根據(jù)本條規(guī)定的承包商義務(wù)所采取的任何步驟，使雇主開支了附加管理費(fèi)，那么工程師應(yīng)在與雇主和承包商適當(dāng)協(xié)商之后，確定該項(xiàng)費(fèi)用款額，并應(yīng)由承包商歸還給雇主，亦可由雇主從任何應(yīng)支付或?qū)⒅Ц督o承包商的任何款項(xiàng)中扣除，工程師應(yīng)相應(yīng)地通知承包商，并將一份副本呈交雇主。47.1LiquidatedDamagesforDelay誤期損害賠償IftheContractorfailstocomplywiththeTimeforCompletioninaccordancewithClause48,forthewholeoftheWorksor,ifapplicable,anySectionwithintherelevanttimeprescribedbyClause43,thentheContractorshallpaytotheEmployertherelevantsumstatedintheAppendixtoTenderasliquidateddamagesforsuchdefaultandnotasapenalty(whichsumshallbetheonlymoniesduefromtheContractorforsuchdefault)foreverydayorpartofadaywhichshallelapsebetweentherelevantTimeforCompletionandthedatestatedinaTaking-OverCertificateifthewholeoftheWorksortherelevantSection,subjecttotheapplicablelimitstatedintheAppendixtoTender.如果承包商未能按第48條規(guī)定的全部工程竣工期限完成整個工程，或未能在第43條規(guī)定的時(shí)間內(nèi)完成任何區(qū)段，那么承包商應(yīng)向雇主支付投標(biāo)書附件中寫明的相應(yīng)金額作為該項(xiàng)違約的損害賠償費(fèi)，而不是作為自相應(yīng)的竣工期限起至頒發(fā)整個工程或相應(yīng)區(qū)段的移交證書之日止之間的每日或缺乏一日的罰款，但上述損害賠償費(fèi)應(yīng)限制在投標(biāo)書附件中注明的前提下。TheEmployermay,withoutprejudicetoanyothermethodofrecovery,deducttheamountofsuchdamagesfromanymoniesdueortobecomeduetotheContractor.ThepaymentordeductionofsuchdamagesshallnotrelievetheContractorfromhisobligationtocompletetheWorks,orfromanyotherofhisobligationsandliabilitiesundertheContract

雇主可從應(yīng)支付或?qū)⒅Ц督o承包商的任何款項(xiàng)中扣除該項(xiàng)損害賠償費(fèi)。此損害賠償費(fèi)的支付或扣除不應(yīng)解除承包商對完成該項(xiàng)工程的義務(wù)或合同規(guī)定的承包商的任何其他義務(wù)和責(zé)任。47.2ReductionofLiquidatedDamages.誤期損害減讓If,beforetheTimeforCompletionofthewholeoftheWorksorifapplicable,anySection,aTaking-OverCertificatehasbeenissuedforanypartoftheWorksorofaSection,theliquidateddamagesfordelayincompletionoftheremainderoftheWorksorofthatSectionshall,foranyperiodofdelayafterthedatestatedinsuchTaking-OverCertificate,andintheabsenceofalternativeprovisionsintheContract,bereducedintheproportionwhichthevalueofthepartsocertifiedbearstothevalueofthewholeoftheWorksorSection,asapplicable.TheprovisionsofthisSub-Clauseshallonlyapplytotherateofliquidateddamagesandshallnotaffectthelimitthereof.在整個工程或任何區(qū)段的竣工期限之前，如果工程或區(qū)段的任何局部已簽發(fā)移交證書，那么在合同中無替代條款的情況下，對于在該移交證書注明的日期之后的任何拖延期間該工程或區(qū)段剩余局部的誤期損害賠償費(fèi)，應(yīng)按已簽發(fā)局部的價(jià)值對整個工程或區(qū)段的價(jià)值比例相應(yīng)地減少。本款的規(guī)定僅適用于誤期損害賠償費(fèi)的比率，并不應(yīng)影響上述限額。48.1Taking-OverCertificate移交證書WhenthewholeoftheWorkshavebeensubstantiallycompletedandhavesatisfactorilypassedanyTestsonCompletionprescribedbytheContract,theContractormaygiveanoticetothateffecttotheEngineerwithacopytotheEmployer,accompaniedbyawrittenundertakingtofinishwithdueexpeditionanyoutstandingworkduringtheDefectsLiabilityPeriod.SuchnoticeandundertakingshallbedeemedtobearequestbytheContractorfortheEngineertoissueaTaking-OverCertificateinrespectoftheWorks.當(dāng)全部工程根本完工并圓滿通過合同規(guī)定的任何竣工檢驗(yàn)時(shí)，承包商可將此結(jié)果通知工程師，并將一份副本呈交雇主，同時(shí)附上一份有缺陷責(zé)任期內(nèi)以應(yīng)有速度及時(shí)地完成任何未完工作的書面保證。此項(xiàng)通知書和書面保證應(yīng)視為承包商要求工程師頒發(fā)移交證書的申請。TheEngineershall,within21daysofthedateofdeliveryofsuchnotice,eitherissuetotheContractor,withacopytotheEmployer,aTaking-OverCertificatestatingthedateonwhich,inhisopinion,theWorksweresubstantiallycompletedinaccordancewiththeContract,orgiveinstructionsinwritingtotheContractorspecifyingalltheworkwhich,intheEngineer'sopinion,isrequiredtobedonebytheContractorbeforetheissueofsuchCertificate.TheEngineershallalsonotifytheContractorofanydefectsintheWorksaffectingsubstantialcompletionthatmayappearaftersuchinstructionsandbeforecompletionoftheWorksspecifiedtherein.TheContractorshallbeentitledtoreceivesuchTaking-OverCertificatewithin21daysofcompletion,tothesatisfactionoftheEngineer,oftheWorkssospecifiedandremedyinganydefectssonotified.

工程師應(yīng)于上述通知書發(fā)出之日起21天內(nèi)，或發(fā)給承包商一份移交證書，說明工程師認(rèn)為根據(jù)合同要求工程已根本完工的日期，并將一份副本呈交雇主；或給承包商書面指示，經(jīng)工程師的意見詳細(xì)說明在頒發(fā)該證書之前，承包商尚需完成的全部工作。工程師還應(yīng)向承包商指出工程中影響根本竣工的任何缺陷，這些缺陷可能會在此所說的給出書面指示之后和工程竣工之前出現(xiàn)。承包商在完成預(yù)定工程和修補(bǔ)好所指出的任何缺陷，并使工程師滿意后，有權(quán)在21天內(nèi)收到上述移交證書。48.2TakingOverofSectionsorParts階段或局部移交Similarly,inaccordancewiththeproceduresoutinSub-Clause48.1,theContractormayrequestandtheEngineershallissueaTaking-OverCertificateinrespectof:同樣，根據(jù)第48.1條規(guī)定的程序，承包商可以要求工程師，而工程師也應(yīng)就以下各項(xiàng)簽發(fā)移交證書：a.

anySubstantialpartofthePermanentWorkswhichhasbeenbothcompletedtothesatisfactionoftheEngineerand,otherwisethanasprovidedforintheContract,occupiedorusedbytheEmployer,orc.

anypartofthepermanentWorkswhichtheEmployerhaselectedtooccupyorusepriortocompletion(wheresuchprioroccupationoruseisnotprovidedforintheContractorhasnotbeenagreedbytheContractorasatemporarymeasure)..〔a〕投標(biāo)書附件中規(guī)定有不同竣工時(shí)間的任何區(qū)段；或〔b〕已經(jīng)竣工且工程師認(rèn)為滿意并且已被雇主所占有或使用的永久工程的任何主要局部，但合同另有規(guī)定者除外；或

〔c〕在竣工之前已由雇主選擇占有并使用的永久工程的任何局部。

48.3SubstantialCompletionofParts根本完工局部IfanypartofthePermanentWorkshasbeensubstantiallycompletedandhassatisfactorilypassedanyTestsonCompletionprescribedbytheContract,theEngineermayissueaTaking-OverCertificateinrespectofthatpartofthePermanentWorksbeforecompletionofthewholeoftheWorksand,upontheissueofsuchCertificate,theContractorshallbedeemedtohaveundertakentocompletewithdueexpeditionanyoutstandingworkinthatpartofthePermanentWorksduringtheDefectsLiabilityPeriod.如果永久工程的任何局部已根本竣工，并圓滿地通過了合同規(guī)定的任何竣工檢驗(yàn)，那么在全部工程竣工之前，工程師可就該永久工程的一局部頒發(fā)移交證書，且一經(jīng)發(fā)給此類證書，即視為承包商已承當(dāng)在缺陷責(zé)任期內(nèi)及時(shí)迅速地完成該局部永久工程的任何未完成的工作。48.4SurfacesRequiringReinstatement外表要求復(fù)原ProvidedthataTaking-OverCertificategiveninrespectofanySectionorpartofthePermanentWorksbeforecompletionofthewholeoftheWorksshallnotbedeemedtocertifycompletionofanygroundorsurfacesrequiringreinstatement,unlesssuchTaking-OverCertificateshallexpresslysostate.在全部工程竣工之前發(fā)給的關(guān)于永久工程任何區(qū)段或局部的移交證書，不應(yīng)認(rèn)為是證明任何需要恢復(fù)原狀的場地或地外表的工作已經(jīng)完成，除非該移交證書對此有明確的說明。

DefectsLiability缺陷責(zé)任49.1DefectsLiabilityPeriod缺陷責(zé)任期IntheseConditionstheexpression_r"DefectsLiabilityPeriod〞shallmeanthedefectsliabilityperiodnamedintheAppendixtoTender,calculatedfrom在本合同中，缺陷責(zé)任期是指投標(biāo)書附件中指定的缺陷責(zé)任期間，并從以下時(shí)間起算：a.

thedateofcompletionoftheWorkscertifiedbytheEngineerinaccordancewithClause48,orb.

ntheeventofmorethanonecertificatehavingbeenissuedbytheEngineerunderClause48,therespectivedatessocertifiedandinrelationtotheDefectsLiabilityPeriodtheexpression_r"theWorks"shallbeconstruedaccordingly.

〔a〕從工程師根據(jù)第48條證明的工程竣工的日期；或者

〔b〕在工程師根據(jù)第48條簽發(fā)了一份以上證書的情況下，各個被證明了的日期。有關(guān)工程缺陷責(zé)任期的表述應(yīng)作相應(yīng)的解釋。49.2CompletionofOutstandingWorkandRemedyingDefects未完工程和缺陷補(bǔ)救的完工TotheintentthattheWorksshall,atorassoonaspracticableaftertheexpirationoftheDefectsLiabilityPeriod,bedeliveredtotheEmployerintheconditionrequiredbytheContract,fairwearandtearexceptedtothesatisfactionoftheEngineer,theContractorshall為在缺陷責(zé)任期滿后立即或一旦可行即按合同要求的條件并以使工程師滿意的狀態(tài)將工程移交給雇主，承包商應(yīng)

a.

completethework,ifany,outstandingonthedatestatedintheTaking-OverCertificateassoonaspracticableaftersuchdateandb.

executeallsuchworkofamendment,reconstruction,andremedyingdefects,shrinkagesorotherfaultsasEngineermay,duringtheDefectsLiabilityPeriodorwithin14daysafteritsexpiration,asaresultofaninspectionmadebyoronbehalfoftheEngineerpriortoitsexpiration,instructtheContractortoexecute.〔a〕在移交證書注明的日期之后，切實(shí)盡快地完成在當(dāng)時(shí)尚未完成的工作；以及

〔b〕按工程師的要求或以工程師名義在缺陷責(zé)任期滿之前進(jìn)行檢查后，指示承包商修補(bǔ)、重建和補(bǔ)救缺陷、收縮或其它毛病時(shí)，承包商應(yīng)在缺陷責(zé)任期內(nèi)或期滿后的14天內(nèi)實(shí)施工程師可能指示的上述所有工作。

49.3CostofRemedyingDefects缺陷補(bǔ)救費(fèi)用AllworkreferredtoinSub-Clause49.2(b)shallbeexecutedbytheContractorathisowncostifthenecessitythereofis,intheopinionoftheEngineer,dueto:如果工程師認(rèn)為第49.2(b)所述工作的必要性是由于以下情況之一引起的，那么所有此類工作應(yīng)由承包商以自己的費(fèi)用進(jìn)行：a.

theuseofmaterials,PlantorworkmanshipnotinaccordancewiththeContract,orb.

wheretheContractorisresponsibleforthedesignofpartofthePermanentWorks,anyfaultinsuchdesign,orc.

heneglectorfailureonthepartoftheContractortocomplywithanyobligation,expressedorimplied,ontheContractor'spartundertheContract.If,intheopinionoftheEngineer,suchnecessityisduetoanyothercause,heshalldetermineanadditiontotheContractPriceinaccordancewithClause52andshallnotifytheContractoraccordingly,withacopytotheEmployer.

(a)所用材料、設(shè)備或工藝不符合合同要求；

(b)當(dāng)由承包商負(fù)責(zé)設(shè)計(jì)的局部永久工程出現(xiàn)了任何失誤；

〔c〕由于承包商的疏忽或者未能按合同規(guī)定履行承包商方面的明確的或隱含的任何義務(wù)。

如果工程師認(rèn)為上述工程承包商未作的必要性是由于任何其他原因造成的，那么工程師應(yīng)根據(jù)第52條確定在合同價(jià)格中增加一筆款額，并相應(yīng)地通知承包商，同時(shí)將一份付本呈交雇主。

49.4Contractor'sFailuretoCarryOutInstructions承包商未能執(zhí)行指示IncaseofdefaultonthepartoftheContractorincarryingoutsuchinstructionwithinareasonabletime,theEmployershallbeentitledtoemployandpayotherpersonstocarryoutthesameandifsuchworkisworkwhich,intheopinionoftheEngineer,theContractorwasliabletodoathisowncostundertheContract,thenallcostconsequentthereonorincidentaltheretoshall,afterdueconsultationwiththeEmployerandtheContractor,bedeterminedbytheEngineerandshallberecoverablefromtheContractorbytheEmployer,andmaybedeductedbytheEmployerfromanymoniesdueortobecomeduetotheContractorandtheEngineershallnotifytheContractoraccordingly,withacopytotheEmployer.能在合理的時(shí)間內(nèi)執(zhí)行這些指示時(shí)，雇主有權(quán)雇用他人從事該項(xiàng)工作，并給付報(bào)酬。如果工程師認(rèn)為該項(xiàng)工作按合同規(guī)定應(yīng)由承包商自費(fèi)進(jìn)行，那么在與雇主和承包商協(xié)商之后，工程師應(yīng)確定所有由此造成或隨之產(chǎn)生的費(fèi)用，此費(fèi)用應(yīng)由雇主向承包商索取，并可由雇主從其應(yīng)支付或?qū)⒅Ц督o承包商的款項(xiàng)中扣除，工程師應(yīng)相應(yīng)地通知承包商，并將一份副本呈交雇主。

50.1ContractortoSearch承包商調(diào)查Ifanydefect,shrinkageorotherfaultintheWorksappearsatanytimepriortotheendoftheDefectsLiabilityPeriod,theEngineermayinstructtheContractor,withcopytotheEmployer,tosearchunderthedirectionsoftheEngineerforthecausethereof.Unlesssuchdefect,shrinkageorotherfaultisoneforwhichtheContractorisliableundertheContract,theEngineershall,afterdueconsultationwiththeEmployerandtheContractor,determinetheamountinrespectofthecostssosuchsearchincurredbytheContractor,whichshallbeaddedtotheContractPriceandshallnotifytheContractoraccordingly,withacopytotheEmployer.Ifsuchdefect,shrinkageorotherfaultisoneforwhichtheContractorisliable,thecostoftheworkcarriedoutinsearchingasaforesaidshallbebornebytheContractorandheshallinsuchcaseremedysuchdefect,shrinkageorotherfaultathisowncostinaccordancewiththeprovisionsofClause49.如果缺陷責(zé)任期滿之前的任何時(shí)間，工程出現(xiàn)任何缺陷、收縮或其它不合格之處，工程師可指示承包商在工程師的指導(dǎo)下，調(diào)查上述情況下的原因，并將副本呈交雇主。除非按合同規(guī)定，上述缺陷、收縮或其它不合格之處應(yīng)屬承包商的責(zé)任，否那么工程應(yīng)在與雇主和承包商協(xié)商之后，確定承包商由于上述調(diào)查所支出的費(fèi)用總額，并應(yīng)將其增加到合同價(jià)格中，工程師應(yīng)相應(yīng)地通知承包商，并將一份副本呈交雇主。如上述缺陷、收縮或其它不合格之處是承包商的責(zé)任，那么上述有關(guān)調(diào)查工作的費(fèi)用應(yīng)由承包商承當(dāng)。在此種情況下，承包商應(yīng)按第49條規(guī)定自費(fèi)修補(bǔ)上述缺陷、收縮或其它不合格之處。

lterations,AdditionsandOmissions變更、附加和免除51.1Variations變更TheEngineershallmakeanyvariationoftheform,qualityorquantityoftheWorksoranypartthereofthatmay,inhisopinion,benecessaryandforthatpurpose,orifforanyotherreasonitshall,inhisopinion,beappropriate,heshallhavetheauthoritytoinstructtheContractortodoandtheContractorshalldoanyofthefollowing如果工程師認(rèn)為有必要對工程或其中任何局部的形式、質(zhì)量或數(shù)量作出任何變更，為此目的或出于任何其它理由，工程師認(rèn)為上述變更適當(dāng)時(shí)，他應(yīng)有權(quán)指示承包商進(jìn)行而承包商也應(yīng)進(jìn)行以下任何工作：a.

IncreaseordecreasethequantityofanyworkincludedintheContract,b.

Omitanysuchwork(butnotiftheomittedworkistobecarriedoutbytheEmployerorbyanothercontractor),c.

Changethecharacterorqualityorkindofanysuchwork,d.

Changethelevels,lines,positionanddimensionsofanypartoftheWorks,e.

ExecuteadditionalworkofanykindnecessaryforthecompletionoftheWorks,f.

ChangeanyspecifiedsequenceortimingofconstructionofanypartoftheWorks.NosuchvariationshallinanywayvitiateorinvalidatetheContract,buttheeffect,ifany,ofallsuchvariationsshallbevaluedinaccordancewithClause52.ProvidedthatwheretheissueofaninstructiontovarytheWorksisnecessitatedbysomedefaultoforbreachofcontractbytheContractororforwhichheisresponsible,anyadditionalcostattributabletosuchdefaultshallbebornebytheContractor.

〔f〕改變工程任何局部的任何規(guī)定的施工順序或時(shí)間安排。上述變更不應(yīng)以任何方式使合同作廢或失效，但對所有上述變更的影響應(yīng)按第52條估價(jià)。但凡由于承包商的違約或毀約或他對此負(fù)有責(zé)任，使工程師有必要發(fā)出指示變更工程，那么任何由此類違約造成的附加費(fèi)用應(yīng)由承包商承當(dāng)。

51.2InstructionsforVariations指示變更TheContractorshallnotmakeanysuchvariationwithoutaninstructionoftheEngineer.ProvidedthatnoinstructionshallberequiredforincreaseordecreaseinthequantityofanyworkwheresuchincreaseordecreaseisnottheresultofaninstructiongivenunderthisClause,butistheresultofthequantitiesexceedingorbeinglessthanthosestatedintheBillofQuantities.沒有工程師的指示承包商不得作任何變更。當(dāng)工程量的增加或減少不是因按本條發(fā)出的指示所造成的，而是由于工程量超出或少于工程量表中所規(guī)定者，那么不必發(fā)出增加或減少工程量的指示。52.1ValuationofVariations變更的估價(jià)AllvariationsreferredtoinClause51andanyadditionstotheContractPricewhicharerequiredtobedeterminedinaccordancewithClause52(forthepurposesofthisClausereferredtoas"variedwork"),shallbevaluedattheratesandpricessetoutintheContractif,intheopinionoftheEngineer,thesameshallbeapplicable.IftheContractdoesnotcontainanyratesorpricesapplicabletothevariedwork,theratesandpricesintheContractshallbeusedasthebasisforvaluationsofarasmaybereasonable,failingwhich,afterdueconsultationbytheEngineerwiththeEmployerandtheContractor,suitableratesorpricesshallbeagreeduponbetweentheEngineerandtheContractor.IntheeventofdisagreementtheEngineershallfixsuchratesorpricesasare,inhisopinion,appropriateandshallnotifytheContractoraccordingly,withacopytotheEmployer.Untilsuchtimeasratesorpricesareagreedorfixed,theEngineershalldetermineprovisionalratesorpricestoenableon-accountpaymentstobeincludedincertificatesissuedinaccordancewithClause60.
