國(guó)際多式聯(lián)運(yùn)合同（中英文對(duì)照）目錄TABLEOFCONTENTS一、貨物運(yùn)輸標(biāo)的I.SUBJECTMATTEROFCARGOTRANSPORTATION二、貨物運(yùn)輸要求II.REQUIREMENTSOFGOODSTRANSPORT三、甲方的權(quán)利與義務(wù)III.THEPARTYA‘SRIGHTSANDOBLIGATIONS四、乙方的權(quán)利與義務(wù)IV.THEPARTYB’SRIGHTSANDOBLIGATIONS五、運(yùn)輸合同價(jià)款及支付方式V.CONTRACTPRICEANDMODEOFPAYMENT六、合同變更與解除VI.AMENDMENTSANDCANCELLATIONOFTHECONTRACT七、違約責(zé)任VII.LIABILITYFORBREACHOFCONTRACT八、不可抗力VIII.FORCEMAJEURE九、爭(zhēng)議處理IV.DISPUTESETTLEMENT十一、合同的完整性和分割性XI.INTEGRITYANDDIVISIONOFTHECONTRACT十、合同的修改X.ModificationoftheContract十二、合同的生效XII.EFFECTIVENESSOFTHECONTRACT部分章節(jié)示例如下：貨物運(yùn)輸標(biāo)的I.SUBJECTMATTEROFCARGOTRANSPORTATION本合同為甲方委托乙方開(kāi)展國(guó)際貨物多式聯(lián)運(yùn)服務(wù)的合同。貨物情況如下：項(xiàng)目名稱(chēng)、多式聯(lián)運(yùn)物流服務(wù)貨物名稱(chēng)、甲方指定供貨商交付的商品貨物總件數(shù)、總重量、和總立方量按甲方詢價(jià)、訂單要求確定。ThiscontractisforPartyAtoentrustPartyBtoprovidedtheservicesofinternationalmultimodalcargotransportation.Thegoodsareasfollows.Thenamesoftheprojectandthegoodsofmultimodallogisticsservice,andthetotalnumberofpieces,thetotalweight,andthetotalcubicvolumeofcommoditygoodswhichdeliveredbyPartyA'sdesignatedsuppliersaredeterminedinaccordancewithPartyA'senquiryandorderrequirements.貨物運(yùn)輸要求II.REQUIREMENTSOFGOODSTRANSPORT甲方委托乙方開(kāi)展國(guó)際貨物多式聯(lián)運(yùn)服務(wù)，具體提貨地點(diǎn)、目的港、運(yùn)輸方式信息如下：PartyAentrustsPartyBtocarryoutmultimodaltransportservicesforinternationalcargo,withspecificinformationonpick-uplocations,destinationportsandmodesoftransportasfollows.提貨地點(diǎn)\啟運(yùn)港：按甲方或者甲方的供貨方指定的倉(cāng)庫(kù)、貨棧、堆場(chǎng)等地點(diǎn)。PlaceofDelivery\PortofDeparture:atthewarehouse,store,yard,etc.asdesignatedbyPartyAoritssupplier.目的港PortofDischarging：運(yùn)輸：多式聯(lián)運(yùn)（公路及海運(yùn)/公路及鐵路/公路及航空）Transport:multimodal(roadandsea/roadandrail/roadandair)三、甲方的權(quán)利與義務(wù)III.THEPARTYA‘SRIGHTSANDOBLIGATIONS3.1甲方負(fù)責(zé)在貨物運(yùn)輸?shù)闹付康母?、目的地派?chē)輛接收并驗(yàn)收貨物。3.1PartyAisresponsibleforsendingvehiclestoreceiveandinspectthegoodsatthedesignateddestinationportanddestinationofthegoodstobetransported.3.2甲方負(fù)責(zé)聯(lián)系供貨方對(duì)出口貨物進(jìn)行包裝及刷嘜，若需要，可對(duì)大型設(shè)備提供三視圖、標(biāo)明吊點(diǎn)和安全標(biāo)識(shí)。3.2PartyAisresponsibleforcontactingthesuppliertopackandmarktheexportedgoods,andifrequired,toprovidethreeviews,markingofliftingpointsandsafetysignsforlargeequipment.3.3甲方應(yīng)督促供貨方如實(shí)提供貨物名稱(chēng)、種類(lèi)、包裝、件數(shù)、重量、尺碼等貨物狀況，并提供貨物運(yùn)輸及進(jìn)出口所需要的全部文件、單證等。3.3PartyAshallsuperviseandurgethesuppliertotruthfullyprovidethename,type,packaging,numberofpieces,weight,sizeandotherconditionsofthegoods,andtoprovidealldocumentsandpapersrequiredforthetransportation,importandexportofthegoods.3.4甲方或者甲方指定供貨方負(fù)責(zé)貨物包裝，貨物包裝應(yīng)適合多式聯(lián)運(yùn)運(yùn)輸或者貨物的特殊屬性，包裝外面應(yīng)注明搬運(yùn)、儲(chǔ)存、防護(hù)等標(biāo)識(shí)。甲方如果對(duì)貨物的儲(chǔ)存、防護(hù)或者出口運(yùn)輸有特殊要求，應(yīng)在明確告知。3.4PartyAorthesupplierdesignatedbyPartyAshallberesponsibleforthepackagingofthegoods,whichshallbesuitableformultimodaltransportorfortheparticularpropertiesofthegoods,andtheoutsideofthepackagingshallindicatethesignsofhandling,storage,protectionandother.PartyAshall,ifhasspecialrequirementsforthestorage,protectionorexporttransportofthegoods,definitelyinformthesame.3.5甲方負(fù)責(zé)按照“費(fèi)用確認(rèn)單”的約定與乙方進(jìn)行結(jié)算。3.5PartyAisresponsibleforsettlementwithPartyBinaccordancewiththeConfirmationofCosts.四、乙方的權(quán)利與義務(wù)IV.THEPARTYB’SRIGHTSANDOBLIGATIONS4.1乙方的責(zé)任期限為自提貨開(kāi)始至交貨為止，負(fù)責(zé)全程運(yùn)輸。乙方應(yīng)對(duì)運(yùn)輸方案及路線進(jìn)行規(guī)劃，并對(duì)沿途情況做先行預(yù)判，并作為甲方代理人，對(duì)多式聯(lián)運(yùn)各區(qū)段物流運(yùn)輸負(fù)責(zé)。4.1TheperiodofresponsibilityofPartyBisforthethroughcarriagewhichfromthetimeofpick-upuntildelivery.PartyBshallmakeplanningofthetransportschemeandroute,inadditiontomakeapriorassessmentofthesituationalongtheway,andshall,astheagentofPartyA,takeresponsibilityforthelogisticsofthemultimodaltransportinanyandallsections.4.2乙方在收到甲方的貨物運(yùn)輸委托通知后應(yīng)按照甲方提出的時(shí)間、地點(diǎn)等要求安排提貨運(yùn)輸事宜；并將提貨憑證（FCR）及時(shí)提交甲方指定方；乙方必須嚴(yán)格按甲方要求或者事先約定安排貨物運(yùn)輸，并對(duì)貨物的安全負(fù)責(zé)，保證貨物不受損害。4.2PartyBshall,uponreceiptofPartyA'snoticeofcargotransportationcommission,arrangeforthepick-upandtransportationofthegoodsinaccordancewithPartyA?srequirementsofthetimeandplace;andsubmitthepick-upvoucher(FCR)toPartyA'sdesignatedpartywithdueexpeditionandwithoutdelay.PartyBmustarrangethetransportofthegoodsstrictlyinaccordancewithPartyA'srequirementsorasagreedinadvance,andisresponsibleforthesafetyofthegoodswhichareensuredfreefromdamage.4.3乙方應(yīng)按約定將甲方委托的貨物承運(yùn)到指定地點(diǎn)。根據(jù)甲方要求，乙方可以簽發(fā)船東提單或其為承運(yùn)人/經(jīng)營(yíng)人的多式聯(lián)運(yùn)提單。除電放提單外自開(kāi)航后3個(gè)工作日內(nèi)，乙方向甲方提供提單正本，電放提單自開(kāi)航后1個(gè)工作日內(nèi)，乙方向甲方提供電放提單及有效電放信息。4.3PartyBshall,asagreed,transportthegoodsentrustedbyPartyAtothedesignatedplace.PartyBmayuponPartyA’srequest,issueashipowner'sbillofladingoramultimodalbillofladingofthecarrier/operator.Exceptfortheelectricreleasebilloflading,PartyBwill,withinthreeworkingdaysfromthecommencementofsailing,providePartyAwiththeoriginalbilloflading,andPartyBwill,withinoneworkingdayfromsailing,providePartyAwiththeelectricreleasebillofladingandvalidelectricreleaseinformation.4.4?乙方應(yīng)當(dāng)對(duì)接受之貨物進(jìn)行檢查，包括貨物外觀（裸裝）包裝、嘜頭、運(yùn)輸?shù)觞c(diǎn)標(biāo)示等貨物情況以及必要運(yùn)輸和包裝的單證，如發(fā)現(xiàn)任何不適合運(yùn)輸?shù)那闆r，乙方應(yīng)立即與甲方協(xié)商并有權(quán)拒收貨物。4.4PartyBshallmakeinspectionoftheacceptedgoods,includingtheappearanceofthegoods(barecargo),packaging,shippingmark,transportliftingpointmarkingsandotherconditionsofthegoodsinadditiontothenecessarydocumentsoftransportandpackaging,andPartyBshall,ifanyunsuitabilityfortransportisfound,immediatelyconsultwithPartyAandshallhavetherighttorefusetoacceptthegoods.4.5乙方需對(duì)承運(yùn)貨物進(jìn)行必要的、適合運(yùn)輸?shù)募庸?；辦理出口清關(guān)等手續(xù)。4.5PartyBshallcarryoutnecessaryandtransportablereinforcementofthegoodstobesuitablefortransportation;gothroughexportcustomsclearanceandotherprocedures.4.6如貨物在承運(yùn)期間發(fā)生任何損害，乙方應(yīng)向甲方提供有關(guān)貨損證明并全力配合甲方與保險(xiǎn)公司及相關(guān)損害責(zé)任方進(jìn)行索賠，包括乙方責(zé)任的賠償，甲方為最終受益人。4.6Providedthatanydamageoccurstothegoodsduringcarriage,PartyBshallprovidePartyAwithproofofthedamageandcooperatefullywithPartyAinmakingclaimswiththeinsuerandthepartywhichresponsibleforthedamage,includingcompensationforPartyB'sliability,withPartyAastheultimatebeneficiarythereof.4.8乙方負(fù)責(zé)貨物運(yùn)輸全過(guò)程的跟蹤和監(jiān)控，并對(duì)相關(guān)情況做及時(shí)反饋，海運(yùn)、鐵路區(qū)段每周反饋，提貨、交付、陸運(yùn)區(qū)段每天反饋。4.8PartyBisresponsibleforthetrackingandmonitoringofthewholeprocessofcargotransportation,andtodotimelyfeedbackontherelevantsituation,weeklyfeedbackforseaandrailwaysections,dailyfeedbackforpick-up,deliveryandlandtransportsections.4.9乙方應(yīng)當(dāng)對(duì)貨物運(yùn)輸全程的各可免收費(fèi)項(xiàng)目進(jìn)行有效申請(qǐng)，如免費(fèi)堆放、免費(fèi)用箱、免超重費(fèi)，免滯期費(fèi)和免附加費(fèi)等，并書(shū)面告知甲方。4.9PartyBshallfileeffectiveapplicationfortheexemptionofeachchargeableitemthroughoutthetransportationofthegoods,suchasfreestowage,freecrates,freeoverweightcharges,freedemurrageandfreesurcharges,andinformPartyAinwritingthereof.4.10乙方對(duì)下列原因所造成的貨物滅失和損壞免責(zé)：（免責(zé)舉證由乙方負(fù)責(zé)）。4.10PartyBisexemptfromliabilityforlossofanddamagetothegoodscausedbythefollowingreasons:(PartyBshallberesponsiblefortheproofofexemption).（1）貨物的自然特性和固有缺陷；(1)Thenaturalcharacteristicsandinherentdefectsofthegoods.（2）海關(guān)、商檢、承運(yùn)人行使檢查權(quán)所引起的貨物合理?yè)p耗；(2)ReasonablelossofgoodsarisingfromtheexerciseofinspectionrightsbyCustoms,commodityinspectionandcarriers.（3）不可抗力；包括自然災(zāi)害，但不限于雷電、臺(tái)風(fēng)、地震、洪水等，不可預(yù)見(jiàn)的意外事故，如火災(zāi)、爆炸、戰(zhàn)爭(zhēng)或者武裝沖突。但是如果乙方延誤或者擅自修改運(yùn)輸方案、運(yùn)輸線路、運(yùn)輸期限，發(fā)生的不可抗力損失仍由乙方負(fù)責(zé)。(3)Forcemajeure;includingnaturaldisasters,butnotlimitedtolightning,typhoon,earthquake,flood,etc.,unforeseenaccidentssuchasfire,explosion,warorarmedconflict.However,ifPartyBdelaysormodifies,withoutauthorization,thetransportationplan,transportationroute
