Chapter3EstablishmentoftheCooperativeVentureCompanyArticle2InaccordancewiththeCooperativeVentureLawandotherrelevantChineselawsandregulations,bothpartiesoftheCooperativeventureagreetosetup__KK___Cooperativelimitedliabilitycompany(hereinafterreferredtoastheCooperativeventurecompany).Article3ThenameoftheCooperativeventurecompanyis____KK__LimitedLiabilityCompany.Thenameinforeignlanguageis_KK_.Thelegaladdressofthejointventurecompanyisat__KK__street__KK__(city)__KK___province.Article4AllactivitiesoftheCooperativeventurecompanyshallbegovernedbythelaws,decreesandpertinentrulesandregulationsofthePeople'sRepublicofChina.Article5TheorganizationformoftheCooperativeventureisalimitedliabilitycompany.Theprofits,risksandlossesoftheCooperativeventurecompanyshallbesharedbythepartiesaccordingtotherelevantprovisionsthereafter.Chapter4ThePurpose,ScopeandScaleofProductionandBusinessArticle6ThegoalsofthepartiestotheCooperativeventurearetoenhanceeconomiccooperationtechnicalexchanges,toimprovetheproductquality,developnewproducts,andgainacompetitivepositionintheworldmarketinqualityandpricebyadoptingadvancedandappropriatetechnologyandscientificmanagementmethods,soastoraiseeconomic

resultsandensuresatisfactoryeconomicbenefitsforeachCooperator.(Note:Thisarticleshallbewrittenaccordingtothespecificsituationsinthecontract).Article7TheproductiveandbusinessscopeoftheCooperativeventurecompanyistoproduce__KK__products;providemaintenanceserviceafterthesaleoftheproducts;studyanddevelopnewproducts.(Note:Itshallbewritteninthecontractaccordingtothespecificconditions).Article8TheproductionscaleoftheCooperativeventureisasfollows:1.TheproductioncapacityaftertheCooperativeventureisputintooperationis_KK_.2.Theproductionscalemaybeincreasedupto__KK__withthedevelopmentoftheproductionandoperation.Theproductvarietiesmaybedevelopedinto_KK___.(Note:Itshallbewrittenaccordingtothespecificsituation).Chapter5TotalAmountofInvestmenttheRegisteredCapitalArticle9ThetotalamountofinvestmentoftheCooperativeventurecompanyisRMB___RRR___(orforeigncurrencyagreeduponbybothparties).Article10TheregisteredcapitalofthejointventurecompanyisRMB__RRR__.(ExclusiveoftherighttotheuseofthesiteortherighttotheexploitationofthenaturalresourcesandpremisescontributedbyPartyA.)Article11PartyAandPartyBwillcontributethefollowingtothecooperativeventure:

PartyA:premises__RRR__m2;therighttotheuseofthesite__RRR__m2PartyB:cash___RRR____Yuan;machinesandequipment__RRR____Yuan;industrialproperty__RRR___Yuan;others__RRR___Yuan,__RRR___Yuaninall.(Note:Whencontributingindustrialpropertyasinvestment,PartyAandPartyBshallconcludeaseparatecontracttobeapartofthismaincontract).Article12TherighttotheuseofsitecontributedbyPartyAshallbefortheuseofthecooperativeventurecompanywithin__RRR__daysaftertheapprovalofthecontract.ThecashcontributedbyPartyBshallbepaidin__RRR__installment.Eachinstallmentshallbeasfollows:(Note:itshallbewrittenaccordingtotheconcreteconditions).Article13ThemachinesandequipmentcontributedbyPartyBasinvestmentshallmeettheneedsofthecooperativeventurecompany,andshallbecarriedtoChineseport_RRR__daysbeforethecompletionofthepremisesconstruction.Chapter6ResponsibilitiesEachPartytotheJointVentureArticle14PartyAandPartyBshallberespectivelyresponsibleforthefollowingmatters:ResponsibilitiesofPartyA:Handlingofapplicationsforapproval,registration,businesslicenseandothermattersconcerningtheestablishmentofthecooperativeventurecompanyfromrelevantdepartmentsinchargeofChina;Processingtheapplicationfortherighttotheuseofasitetotheauthorityinchargeoftheland;Organizingthedesignandconstructionofthepremisesandother

engineeringfacilitiesofthecooperativeventurecompany;AssistingPartyBtoprocessimportcustomsdeclarationforthemachineryandequipmentcontributedbyPartyBasinvestmentandarrangingthetransportationwithinChineseterritory;Assistingthecooperativeventurecompanyinpurchasingorleasingequipment,materials,rawmaterials,articlesforofficeuse,meansoftransportationandcommunicationfacilitiesetc.;Assistingthecooperativeventurecompanyincontactingandsettlingthefundamentalfacilitiessuchaswater,electricity,transportationetc.;AssistingthecooperativeventureinrecruitingChinesemanagementpersonnel,technicalpersonnel,workersandotherpersonnelneeded;Assistingforeignworkersandstaffinapplyingforentryvisas,worklicensesandhandlingtheirtravelprocedures;Responsibleforhandlingothermattersentrustedbythecooperativeventurecompany.ResponsibilitiesofPartyB:Providingcash,machineryandequipment,industrialproperty...inaccordancewiththeprovisionsofArticle11andArticle12,13,andresponsibleforshippingcapitalgoodssuchasmachineryandequipmentetc.contributedasinvestmenttoaChineseport;Handlingthemattersentrustedbythecooperativeventurecompany,suchasselectingandpurchasingmachineryandequipmentoutsideChina,etc.;Providingnecessarytechnicalpersonnelinstalling,testingandtrialproductionoftheequipmentaswellasthetechnicalpersonnelforproductionandinspecting;Trainingthetechnicalpersonnelandworkersofthecooperativeventurecompany;

channels:Thecooperativeventurecompanymaydirectlysellitsproductsontheinternationalmarket,accountingfor__RRRThecooperativeventurecompanymaysignsalescontractswithChineseforeigntradecompanies,entrustingthemtobethesalesagenciesorexclusivesalesagencies,accountingfor__RRR__%.ThecooperativeventurecompanymayentrustPartyBtosellitsproducts,accountingfor_RRR_%.Article18Thecooperativeventure'sproductstobesoldinChinamaybehandledbytheChinesematerialsandcommercialdepartmentsbymeansofagencyorexclusivesales,ormaybesoldbythecooperativeventurecompanydirectly.Article19InordertoprovidemaintenanceservicetotheproductssoldbothinChinaorabroad,thecooperativeventurecompanymaysetupsalesbranchesformaintenanceservicebothinChinaorabroadsubjecttotheapprovaloftherelevantChinesedepartment.Chapter9TheBoardofDirectorsArticle20Thedateofregistrationofthecooperativeventurecompanyshallbethedateoftheestablishmentoftheboardofdirectorsofthecooperativeventurecompany.Article21Theboardofdirectorsiscomposedof_RRR_directors,ofwhich_RRR_shallbeappointedbyPartyA,_RRR_byPartyB.ThechairmanoftheboardshallbeappointedbyPartyA,anditsvice-chairmanbyPartyB.Thetermofofficeforthedirectors,chairmanandvice-chairmansfouryears,theirtermofofficemayberenewedifcontinuouslyappointedbytherelevantparty.

Article22Thehighestauthorityofthecooperativeventurecompanyshallbeitsboardofdirectors.Itshalldecideallmajorissuesconcerningthecooperativeventurecompany.Unanimousapprovalshallberequiredforanydecisionsconcerningmajorissues.Asforothermatters,approvalbymajorityorasimplemajorityshallberequired.(Note:Itshallbeexplicitlysetoutinthecontract).Article23Thechairmanoftheboardisthelegalrepresentativeofthecooperativeventurecompany.Shouldthechairmanunabletoexercisehisresponsibilitiesforanyreason,heshallauthorizethevice-chairmanoranyotherdirectorsrepresentthejointventurecompanytemporarily.Article24Theboardofdirectorsconveneatleastonemeetingeveryyear.Theshallbecalledandpresidedoverbythechairmanoftheboard.Thechairmanmayconveneaninterimmeetingbasedonaproposalmadebymorethanonethirdofthetotalnumberofdirectors.Minutesofthemeetingsshallbeplacedonfile.Article25Themeetingshallbevalidonlywhenmorethantwothirdsofthetotalnumberofdirectorsattend.Incaseofabsence,thedirectorshallentrustanotherpersontoattendandvoteforhimwithatrustdeed.Chapter10BusinessManagementOfficeArticle26Thecooperativeventurecompanyshallestablishamanagementofficewhichshallberesponsibleforitsdailymanagement.Themanagementofficeshallhaveageneralmanager,appointedbyParty__X___,___X___deputygeneralmanagers,___X__by

Party__X___;___X__byParty___X___.Thegeneralmanageranddeputygeneralmanagerswhosetermsofofficeis__RRR___yearsshallbeappointedbytheboardofdirectors.Article27Theresponsibilityofthegeneralmanageristocarryoutthedecisionsoftheboardandorganizeandconductthedailymanagementofthecooperativeventurecompany.Thedeputygeneralmanagersshallassistthegeneralmanagerinhiswork.Article28Thegeneralmanagershallreporttotheboardofdirectorstheoperationconditionsofthecooperativecompanyeverythreemonths,andmakeafinancialreporteverysixmonths.Article29Incaseofgraftorseriousderelictionofdutyonthepartofthegeneralmanageranddeputygeneralmanagers,theboardofdirectorsshallhavethepowertodismissthematanytime.Chapter11LaborManagementArticle30Laborcontractcoveringtherecruitment,employment,dismissalandresignation,wages,laborinsurance,welfare,rewards,penaltiesandothermattersconcerningthestaffandworkersofthecooperativeventurecompanyshallbedrawnupbetweenthecooperativeventurecompanyandthetradeunionofthecooperativeventurecompanyasawhole,ortheindividualemployeesinthecooperativeventurecompanyasawholeorindividualemployeesinaccordancewiththelawofthePeople'sRepublicofChinaonChinese-ForeignCooperativeJointVentures.Thelaborcontractsshall,afterbeingsigned,befiledwiththelocallabormanagementdepartment.

Article31Theappointmentofhigh-rankingadministrativepersonnelrecommendedbybothparties,theirsalaries,socialinsurance,welfareandthestandardoftravellingexpensesetc.shallbedecidedbythemeetingoftheboardofdirectors.Chapter12Taxes,FinanceandAuditArticle32ThecooperativeventurecompanyshallpaytaxesinaccordancewiththeprovisionsofChineselawsandotherrelativeregulations.Article33StaffmembersandworkersofthecooperativeventurecompanyshallpayindividualincometaxaccordingtotheIndividualIncomeTaxLawofthePeople'sRepublicofChina.Article34ThefiscalyearofthejointventurecompanyshallbefromJanuary1toDecember31.Allvouchers,receipts,statisticstatementsandreportsshallbewritteninChinese.(Note:Aforeignlanguagecanbeusedconcurrentlywithmutualconsent).Article35FinancialcheckingandexaminationofthecooperativeventurecompanyshallbeconductedbyanauditorregisteredinChinaandreportsshallbesubmittedtotheboardofdirectorsandthegeneralmanager.IncasePartyBconsidersitnecessarytoemployaforeignauditorregisteredinanothercountrytoundertakeannualfinancialcheckingandexamination,PartyAshallgiveitsconsent.AlltheexpensesthereofshallbebornebyPartyB.Article36Inthefirstthreemonthsofeachfiscalyear,themanagershallpreparethe

previousyear'sbalancesheet,profitandlossstatementandproposalregardingthedisposalofprofits,andsubmitthemtotheboardofdirectorsexaminationandapproval.Chapter13DurationoftheCooperativeVentureArticle37Thedurationofthecooperativeventurecompanyis_RRR_years.Theestablishmentdateofthejointventurecompanyshallbethedateonwhichthebusinesslicenseofthecooperativeventurecompanyisissued.Anapplicationfortheextensionoftheduration,proposedbyonepartyandunanimouslyapprovedbytheboardofdirectors,shallbesubmittedtotheMinistryofForeignTradeandEconomicCooperation(ortheexaminationandapprovalauthorityentrustedbyit)sixmonthspriortotheexpirydateofthejointventure.Chapter14TheDisposalofAssetsaftertheExpirationoftheDurationArticle38Upontheexpirationoftheduration,theassetsshallbelongtoPartyA.Chapter15InsuranceArticle39InsurancepoliciesofthejointventurecompanyonvariouskindsofrisksshallbeunderwrittenwiththePeople'sRepublicofChina.Types,valueanddurationofinsuranceshallbedecidedbytheboardofdirectorsinaccordancetheprovisionsofthePeople'sInsuranceCompanyofChina.Chapter16TheAmendment,AlterationandTerminationtheCon-tractArticle40TheamendmentofthecontractorotherappendicesshallcomeintoforceonlyafterawrittenagreementhasbeensignedbyPartyAandPartyBandapprovedbytheoriginalexaminationandapprovalauthority.

Article41Incaseofinabilitytofulfilthecontractortocontinueoperationduetoheavylossesinsuccessiveyearsasaresultofforcemajeure,thedurationofthecooperativeventureandthecontractshallbeterminatedbeforethetimeofexpirationafterbeingunanimouslyagreeduponbytheboardofdirectorsandapprovedbytheoriginalexaminationandapprovalauthority.Chapter17LiabilityforBreachofContractArticle42Shouldthecooperativeventurecompanybeunabletocontinueitsoperationorachieveitsbusinesspurposeduetothefactthatoneofthecontractingpartiesfailstofulfiltheobligationsprescribedbythecontractandarticlesofassociation,orseriouslyviolatestheprovisionsofthecontractandarticlesofassociation,thatpartyshallbedeemedtohaveunilaterallyterminatedthecontract.Theotherpartyshallhavetherighttoterminatethecontractinaccordancewiththeprovisionsofthecontractafterapprovalbytheoriginalexaminationandapprovalauthority,andtoclaimdamages.IncasePartyAandPartyBofthecooperativeventurecompanyagreetocontinuetheoperation,thepartywhofailstofulfilitsobligationsshallbeliablefortheeconomiclossescausedtherebytothejointventurecompany.Article43ShouldeitherPartyAorPartyBfailtoprovideonschedulethecontributionsinaccordancewiththeprovisionsdefinedinChapter5ofthiscontract,thepartyinbreachshallpaytotheotherparty_RRR__Yuan,or_RRR_%ofthecontributionstartingfromthefirstmonthafterexceedingthetimelimit.Shouldthepartyinbreachfailtoprovideafter_RRR__months,__RRR__Yuan,or_RRR__%ofthecontributionshallbepaidtotheotherparty,whoshallhavetherighttoterminatethe

contractandtoclaimdamagesfromthepartyinbreachinaccordancewiththeprovisionsofArticle42ofthecontract.Article44Shouldallorpartofthecontractanditsappendicesbeunabletobefulfilledowingtothefaultofoneparty,thepartyinbreachshallbeartheliabilitytherefor.itbethefaultofbothparties,theyshallbeartheirrespectiveliabilitiesaccordingtotheactualsituation.Article45Inordertoguaranteetheperformanceofthecontractanditsappendices,bothPartyAandPartyBshallprovideeachotherwithbankguaranteesforperformanceofthecontractwithin__________daysafterthecontractcomesintoforce.Chapter18ForceMajeureArticle46Shouldeitherofthepartiestothecontractbepreventedfromexecutingthecontractbyforcemajeure,suchasearthquake,typhoon,flood,fire,warorotherunforeseenevents,andtheiroccurrenceandconsequencesareunpreventableandunavoidable,thepreventedpartyshallnotifytheotherpartybytelegramwithoutanydelay,andwithin15daysthereafterprovidedetailedinformationoftheeventsandavaliddocumentforevidenceissuedbytherelevantpublicnotaryorganizationexplainingthereasonofitsinabilitytoexecuteordelaytheexecutionofallorpartofthecontract.Bothpartiesshall,throughconsultations,decidewhethertoterminatethecontractortoexemptpartoftheobligationsforimplementationofthecontractorwhethertodelaytheexecutionofthecontractaccordingtotheeffectsoftheeventsontheperformanceofthecontract.Chapter19ApplicableLaw
