establishedunderthelawsofthePRCandhavingitslegaladdressatNo.8,BaogangRoad,XiashanDistrict,ZhanjiangCity,Guangdongprovince,PRC("PartyB").湛江港（），系根據(jù)中民法律正式成立并注冊(cè)的企業(yè)，其法定地址為中國省湛江市[霞山區(qū)寶港大道8號(hào)]（以下COSCOSHIPLOGISTICS(ZHANJIANG)CO.,(in湛江中遠(yuǎn)海運(yùn)物流),a establishedunderthelawsofthePRCandhavingitslegaladdressatNo.7RenminRoad,(E,1),XiashanDistrict,ZhanjiangCity,Guangdongprovince,PRC("PartyC").湛江中遠(yuǎn)海運(yùn)物流，系根據(jù)中民（P”）法律正式成立并的企業(yè)其法定地址為中國省湛江市[霞山區(qū)人民東一路7號(hào)]（以下簡稱為“丙方”）。PartyA,PartyBandPartyCwillhereinafterbereferredtoindividuallyasa“Party”andcollectivelyasthe“Parties”.ThePartiesenteredintoaServicesAgreement(the“Agreement”)dated28June2018628日簽署了一份《服務(wù)協(xié)議》（以下簡稱“協(xié)議ThePartieswishtoincludetheservicesonreloadingtheCargoforoffshorecustomersofPartyAintheServicesundertheAgreement,andtoamendtheAgreementbythetermsofthisAmendment;and各方希望針對(duì)甲方國外客戶的貨物，在協(xié)議項(xiàng)下的服務(wù)內(nèi)包括重新裝FollowingdiscussionsamongsttheParties,thePartiesagreedtoenterintothisNOW,THEREFORE,thePartiesagreeasUnlessotherwisedefinedinthisAmendment,capitalizedtermsusedinthisAmendmentshallhavethesamemeaningastheoneascribedtothosetermsintheThefollowingdefinitionsshallbeaddedtoClause1ofthe1“"contamination"or"contaminations"meansanythingotherthanthesametypeandgradeofironoreproductsthatismixedintheCargo,nomatterwhenandwhereitcomesfrom;“污染物”指貨物中混入的除與同種類和品質(zhì)的鐵礦石產(chǎn)品外的任何其“Customers”meansDomesticCustomerandOffshore“客戶”系指國內(nèi)客戶與國外客戶“OffshoreCustomer”meansapurchaseroftheCargofromPartyAwhichorwhoisnotlocatedinthePRC;“國外客戶”系指位于中國之外的向甲方采購貨物的買方“ReloadingOrderforOffshoreCustomer”meansanyorder(includingamendmentsthereto)sentbyPartyAinconnectionwithreleaseoftheCargotoOffshoreCustomer,settingoutallinformationthatPartyAdeemsnecessary,whichmayincludethetyandtypeofCargotobereloaded,therequiredcommencementdateofthereloadingoftheCargo,thenameofvesseltoreloadtheCargo,andanyspecialconditionsasmaybeagreedbetweenPartyAandPartyBand/orPartyC;Thedefinitionof“WorkOrders”inClause1oftheAgreementshallbedeletedintheirentiretyandrecedbythefollowingwords:“WorkOrders”shallmeancollectively,thePreparation,Discharge,Transfer&StorageWorkOrders,BlendingWorkOrders,DeliveryOrdersandReloadingOrdersforOffshoreCustomer.“工作通知單”系指《準(zhǔn)備、卸載、轉(zhuǎn)運(yùn)與堆存工作通知單》、《混配AllreferencesintheAgreementtothewords“DomesticCustomer(s)”or“DomesticCustomer”or“DomesticCustomers”or“customers”inClauses2.4.4,2.4.5,5.2.21,5.2.27,6.4.3,6.4.5,and9.1oftheAgreement,andClauses3.1.3ofSchedule2oftheAgreementshallbedeletedandrecedbytheword“Customers”...2.條中所提及的“國內(nèi)ThefollowingclauseshallbeaddedasClause2.4.6ofthe2.4.6“2.4.6ForpurposeofreleaseoftheCargotoOffshoreCustomer,PartyAshallsendtheReloadingOrderforOffshoreCustomerthroughanyofitsrelevantrepresentatives’followinge-mailaddresses: PartyAmaychangeanyoftheabovee-mailaddressesatitssolediscretionbyservingPartyBand/orPartyCapriorwrittennotice.PartyBand/orPartyCshallverifyauthenticityoftheReloadingOrderforOffshoreCustomer,completealltherelevantformalitiesandreloadtheCargoonthereceivingvesselarrangedbyOffshoreCustomerorPartyAinaccordancewithExhibitBofSchedule1oftheAgreement.PartyARepresentativehasrightstosupervisethereloadingprocess.IncaseofcargolossbeyondreasonabletoleratedlossasperClause6.4,PartyBand/orPartyCshallcompensatePartyAagainstandholdPartyAharmlessfromanylossestherefrom.在事先向乙方以及/或者丙方發(fā)出通知之后，甲方可以自行決Clauses30.1and30.2oftheAgreementshallbedeletedintheirentiretyandrecedbythefollowingwords:30.130.2“30.1Ifadispute,controversyorclaimarisesoutoforinconnectionwiththisAgreementoritsperformanceorvalidity(a“Dispute”),theneitherPartyshallgivetotheotherwrittennoticeoftheDispute,settingoutitsnatureandfullparticulars(a“DisputeNotice”),togetherwithrelevant s.UponserviceofaDisputeNotice,thepartiesshallengageindiscussionsingoodfaithtoresolvetheDispute.IfthePartiesareunabletoresolvetheDisputeinthismannerwithin(30)BusinessDaysfollowingthedateoftheDisputeNotice,itshallberesolvedinaccordancewithclause30.2.因本協(xié)議或其履行或有效性引起或與之相關(guān)的爭議、或30.2Subjecttoclause30.1,anyDisputeshallberesolvedandfinallydeterminedbyarbitrationbeforetheShanghaiInternationalArbitrationCenter(“SHIAC”)inaccordancewiththeSHIAC’sRulesofArbitrationinatthetimeofapplyingforarbitration,whichRulesaredeemedtobeincorporatedbyreferenceintothisclause.ThevenueofarbitrationwillbeShanghaiandthelanguagetobeusedinthearbitralproceedingswillbeEnglish.受限于第30.1條的規(guī)定，任何爭議應(yīng)由國際仲裁中（“SHIAC”）根據(jù)申請(qǐng)仲裁時(shí)有效的SHIAC仲裁規(guī)則（該等規(guī)則視為通過援引納入本條通過仲裁最終解決仲裁地點(diǎn)在，Thearbitraltribunalshallconsistofthree(3)arbitrators.EachofPartyA,ontheonehand,andPartyBand/orPartyCjointly,ontheotherhand,shallhavetherighttoappointone(1)arbitratorandthethirdarbitrator,whoshallactasthechairmanofthetribunal,shallbenominatedbythetwo(2)arbitratorsappointedbytheParties.IfeitherPartyA,ontheonehand,orPartyBand/orPartyCjointly,ontheotherhand,failstochooseanarbitrator,orifthetwo(2)arbitratorsappointedbythePartiesfailtoagreeuponthethirdarbitratorwithinthespecifiedperiodoftimeundertheSHIAC’sRulesofArbitration,sucharbitrator(s)shallbeappointedbythechairmanofSHIAC.IfbothPartyBandPartyCarepartiestothearbitration,theyshallappointonearbitrationjointly,failingwhichsucharbitratorshallbeappointedbythechairmanofSHIAC.仲裁員，或如果各方指定的兩（2）SHIAC仲裁規(guī)裁員，否則，該等仲裁員應(yīng)由SHIAC指定。ThedecisionofthearbitraltribunalwillbefinalandbindinguponthePartiesandmaybeenteredinanycourthavingjurisdictions.ThecostofarbitrationshallbebornebythelosingParty,unlesstheawardotherwisespecifies.權(quán)的執(zhí)行。仲裁費(fèi)用由敗訴一方承擔(dān)，但裁決中另有規(guī)定的Duringtheperiodwhenadisputeisbeingresolved,thePartiesshallinallotherrespectscontinuetheirimplementationofthisAgreement.在爭議解決期間內(nèi)，各方應(yīng)在所有其他方面繼續(xù)履行本合同。Thecontentof“4.IfaDeliveryOrderisreceivedbyPartyBand/orPartyCinrespectofthedeliveryofCargotoaDomesticCustomerattheFacilities(i.e.aftertheCargohasbeeninstorageand/orblendedattheFacilities)”inClause4ofSchedule1oftheAgreementshallbedeletedandrecedbythefollowingcontent:《協(xié)議》附件1第4條“如果乙方和/或丙方收到提貨單，要求在港口向客戶“4.IfaDeliveryOrderisreceivedbyPartyBand/orPartyCinrespectofthedeliveryofCargotoaDomesticCustomerattheFacilitiesoraReloadingOrderforOffshoreCustomerisreceivedbyPartyBand/orPartyCinrespectofthedeliveryofCargotoanOffshoreCustomerattheFacilities(i.e.aftertheCargohasbeeninstorageand/orblendedattheFacilities)求在港口向國外客戶交付貨物，（即在貨物在港口和/或混合ThefollowingclausesshallbeaddedasClause4.4through4.8ofSchedule1oftheAgreement,immediayfollowingClause4.3ofSchedule1oftheAgreement:條“4.4liaisewithPartyAand/orPartyARepresentative,theshipagentandthePortwithrespecttoanchoringandberthingofthevesseltoreloadtheCargototheCustomers,andfurnishsuitableberthandquayfortheCargoreloading;就船舶的下錨和靠泊以便重新裝載給客戶的貨物，和甲方和或甲方代表、船舶和港務(wù)機(jī)關(guān)聯(lián)絡(luò)，并且為貨物的重新裝載inrespecttothespecifiedCargototheOffshoreCustomer,liaisewiththemaritimesafetyadministration,arrangethesamplingbyqualifiedpartyasrequiredbythemaritimesafetyadministration,andobtaintheofmoisturecontentissuedbyqualifiedpartyasrequiredbythemaritimesafetyadministration;就向國外客戶的指定貨物而言，和海事局聯(lián)絡(luò)、安排海事質(zhì)的單位出具含水量；releaseofthespecifiedCargototheOffshoreCustomerattheFacilities(includingliaisingwithPartyAwithrespecttothereloadingnandscheduleoftheCargototheOffshoreCustomer,andreloadingtheCargoonthereceivingvesselarrangedbyPartyAortheOffshoreCustomerincompliancewiththereloadingrateandrequirementsprovidedinSchedule1ExhibitB);在港口向國外客戶放行指定貨物（包括就重新裝載給國外客1附錄B規(guī)定的重新裝載率和要求將該貨物重新裝載上甲方或國外客戶informPartyAtheprogressofCargoreloadingfortheOffshoreCustomerthroughadailyreportpreparedinaformatsatisfactorytoPartyA;and以甲方滿意的格式編制每日?qǐng)?bào)告，將給國外客戶的貨物重liaisewiththePort,preparethenecessaryformsands,carryouttherequisitecustomsfilingand/ordeclarationprocedures,therequisiteinspectionandproceduresandtherequisitemaritimesafetyproceduresrequiredfortheCargotobedispatchedtotheOffshoreCustomer,andmakepaymentsettlementoftheCIQorCCICfeesandthefeesformandatorilyrequiredsamplingandmoisturetestonbehalfofPartyA.客戶所需的備案和申報(bào)手續(xù)、檢驗(yàn)檢疫手續(xù)和海事局手續(xù)，CIQCCIC費(fèi)用和法定要求的取樣和水份ThePartiesherebyagreethatthefollowingexhibitshallbeaddedasExhibitBofSchedule1oftheAgreement,immediayfollowingExhibitAofSchedule1oftheAgreement:1A1B“EXHIBIT附錄VESSELLOADINGPERFORMANCEFOROFFSHORE針對(duì)國外客戶的裝船作NoticeofReadinessandLaytimeforreloadingtheCargoforOffshoreCustomers準(zhǔn)備就緒通知書以及給國外客戶的貨物的重新裝載時(shí)NoticeofreadinessforreceivingvesseloftheCargoforOffshoreCustomerswillbepresentedatanytimebythevesselafterherarrivalattheinnerharbourareaofthePort,whetherinberthornot,whetherinpratiqueornot,whethercustomsclearedornot,providedthevesselisinallrespectsreadytoloadtheCargo.LaytimeforreloadingtheCargoforOffshoreCustomersshallcommence12hoursafterthenoticeofreadinessistendered,whetherthevesselisinberthornot,unlessreloadingcommencessoonerinwhichcasesuchtimeusedshallcountaslaytime.，無論船舶是否在泊給國外客戶的貨物的裝船時(shí)間應(yīng)在準(zhǔn)備，1.3.Ifavesselcannotberthduetobadweather,suchtimeshallnotcountaslaytimeused;ifmasterofthereceivingvesselsolelyconsiderscargounsuitableforreloadingandrejectstocommencereloadingafterportauthorityhasgivenitsapprovaltotheshipment,suchtimeshallnotbecountedaslaytimeused;ifreloadingoperationisnotallowedbyPortAuthorityduetoholdisuncleanorloadingfileis suchkindoftimelossshallnotcountaslaytimeused;ifreloadingoperationsuspendedduetovessel’sdeballastreason,suchkindoftimelossshouldnotcountaslaytimeused;iftheberthnisdelayedsolelyduetothecustomformalityinconnectionwiththeCargosoldtoOffshoreCustomersdelayedbyPartyA’sfailuretoproviderelevantinaccordancewithClause4.1.4andClause4.1.5ofthisAgreement,suchkindoftimelossshallnotcountaslaytimeused.Incasereloadingactuallycommencesbeforelaytimecommences,asspecifiedabove,timeactuallyusedinreloadingshallcountaslaytime.Shiftingtimefromanchoragetoreloadingberthshallnotcountaslaytimeused.Intheeventthatthevesselisrequiredtoshiftalongthepiers,shiftingcostsbetweenpiersshallbeonPartyBand/orPartyC’saccount,andtimeshallcountaslaytimeusedunlessthatsuchshiftingbetweenpiersisamustforsafetyreasonsduetobadIntheeventthatlighteringorlighteningisrequired,timeandcostofshallbeonPartyBand/orPartyC’saccount.TrimmingshallbeonPartyBand/orPartyC’saccountandtimeshallcountaslaytimeused.Laytimeshallterminateuponcompletionofreloading.However,anytimelostinweightdeterminationshallcountaslaytimeusedinreloading,exceptforweightdeterminationcannotbecarriedoutduetobadweatherorvesselitself.IncasethereceivingvesselhastowaitfortheCargorelateds,whicharerequiredbythePortforthereceivingvesseltodepartfromthePort,timewaitingforthosesshallnotcountaslaytime.TheCargototheOffshoreCustomersshallbereloadedbyPartyBand/orPartyCbyusingshorecranesatthePort,ofexpenseandrisktothereceivingvesselortoOffshoreCustomerortoPartyA(exceptfortheServiceFeeasprovidedinSchedule2),accordingtothefollowingrates:針對(duì)給國外客戶的貨物乙方以及/或者丙方應(yīng)利用岸邊起重TypeofReloadrateperweatherworkingday24(twenty-four)consecutivehours,Saturday,Sundaysandholidaysincluded,unlessused,ifused,actualtimeusedto24（二十四小時(shí)晴天工作日的裝25,000metric25,00025,000metric25,000IncaseofrelevantchangesonreloadingrateappliedbyOffshoreCustomer’sorPartyA’sshipowners,thePartiesherebyagreethatPartyAshallhavetherighttoreviseabovereloadingrates,andtherevisednewreloadingratesshallbeappliedonlyafterPartyBand/orPartyC’sagreement.Demurrage/DespatchinconnectionwiththeCargo和貨物裝載相關(guān)的滯期費(fèi)和速遣Thevessel,onceondemurrage,shallbealwaysondemurrage.Demurrage,ifany,shallbepaidbyPartyBand/orPartyCtoPartyAaccordingtothefollowing:TypeofDemurragerateperdayorprorataforanypartofthedayUS$10,000US$12,500IncaseofrelevantchangesondemurragerateappliedbyPartyA’sshipowners,thePartiesherebyagreethatPartyAshallhavetherighttoreviseabovedemurragerates,andtherevisednewdemurrageratesshallbeappliedonlyafterPartyBand/orPartyC’sagreement.Despatch,ifany,shallbepaidbyPartyAathalfofthedemurragerateonlaytimesaved.Thedemurrageand/ordespatchamount,ifany,shallbepresentedcalculationandtherespectivedebitnote.IncasePartyBand/orPartyCdisagreeswiththeamounts,PartyBand/orPartyCshallfurnishreasonableevidencestodiscussthedemurrageand/ordespatchthedatewhenthecalculationwasprovided.Failingtodoso,theamountspresentedbyPartyAshallbedeemedasacceptedandfinalandbindingupontheParties.甲方每半年應(yīng)將滯期費(fèi)以及/或者速遣費(fèi)（）的金額、裝船時(shí)速遣額計(jì)算的提供日期開始后的十五（15）個(gè)連續(xù)日歷日內(nèi)提供合理的證明以討論甲方提供的滯期費(fèi)以及/或者速遣額。否則甲方提供的滯期費(fèi)以及/或者速遣額應(yīng)視為被認(rèn)可的最PaymentofdemurrageshallbemadebyPartyBand/orPartyCbywiretransferwithintwenty(20)consecutivedaysfromtheissuancedateoftherelevantdebitnoteor,oratPartyA’sconsent,tobesettledalongwithServiceFeetobepaidbyPartyAtoPartyBand/orPartyC.Foravoidanceofdoubt,PartyAshallbeentitledtodirectlyoff-settheamountofdemurragefromanyamounttobepaidbyPartyAtoPartyBand/orPartyC.乙方和/或丙方應(yīng)在相關(guān)索款通知單或出具日起二十(20)個(gè)Paymentofdespatch,amountofwhichisdeterminedinaccordancewithaboveclause2.4,shallbemadebyPartyAbywiretransferwithintwenty(20)consecutivedaysfromtheissuancedateofrelevantdebitnoteandissuedbyPartyB.甲方應(yīng)在乙方出具的相關(guān)索款通知單或出具日起二十（20）個(gè)連續(xù)日歷里內(nèi)通過電匯支付根據(jù)以上第2.4條確定的速遣ShipAgent(s)NominatedbyParty甲方指定的船ThePartiesagreethattheshipagent(s)nominatedbyPartyAshallbeentitledtomonitortheloadingoperationsatthePort.Stevedore裝卸損Clause4ofExhibitAofSchedule1oftheAgreementshallbeincorporatedintothisclauseasifsetoutinfullwithappropriatechanges.”1A5條規(guī)定應(yīng)當(dāng)插入本條款，如同意進(jìn)行Clause2.1Table1ofSchedule2oftheAgreementshallbedeletedinitsentiretyandshallberecedbythefollowingClause2.1Table1:“2.1Table1ApplicableFeerate(RMB/費(fèi)率（（元）/濕噸Volume重量（濕噸ThepartywhichshallbeartheAgreedPricesPartA:Preparation,Discharge,Transfer,StorageServices(asperSchedule1)PartC:CustomerDeliveryServices(asperSchedule1)1部分：準(zhǔn)備、卸CIQor團(tuán)）ApplicabletotheCargosoldtoDomesticCustomersorPartyA’sAffiliateinthePRCActualpricechargedbyCCIC,andCIQfeeshallbe ofCCIC實(shí)際收取的價(jià)格，但無論如何不得超過0.50/濕噸，并且CIQ費(fèi)用免費(fèi)PartyBandPartyCshallchargethisCCICfeeagainstPartyA’sAffiliateinthePRConlyfortheCargotobeimportedtothePRCbyPartyA’sAffiliateinthePRC,andwaivetheirright(ifany)tochargethisfeeagainstPartyA.就由甲方的關(guān)聯(lián)方進(jìn)CCIC費(fèi)ApplicabletotheCargowhichissoldtoOffshoreCustomersActualpricechargedbyCCIC,whichshallnotexceedRMB0.5/WMTinanycase,andCIQfeeshall
