5：XXXXX兩方權益義務

5.1甲方權益義務

甲方按本合同規(guī)定的內容，向乙方

提交景觀設計所必需的資料和文

件作為乙方設計的依照，并對其完

整性和正確性負責。

甲方應按本合同規(guī)定的金額和時

間向乙方支付設計花費。在設計過

程中，如因甲方的需要，對已確認

的設計要求做出重要改正，而造成

乙方增添額外開銷，花費由甲方負

責，詳細花費由甲乙兩方磋商確

定。

在收到乙方提交的階段性設計文件后，甲方應實時以書面形式確認，明確的提出改正建議及達成時間。

甲方指定陳愨為本項目甲方負責人；乙方指定KarlPrincic為本項目主要設計師，假如乙方改換本項目設計負責人或主要設計師，須提早一周書面以公函并法人署名通知甲方，同時須征得甲方贊同。

甲方負責本合同中各方面與設計內容有關的人員，在現場交流中的組織協調工作。甲方負責景觀設計各階段向政府部門進行申報工作。

甲方上司對設計文件不審批或本合同項目停緩建，甲方應按乙方實質達成的工作量支付對付的設計費。

若因為甲方的原由延遲設計工期，合同條款中相應的出圖日期將向后順延。

5：XXXXXRightsandObligations

5.1RightsandObligationsofPartyA

exactness.PartyAshallpayPartyBfortheProjectdesigninaccordancewiththeAgreement.IfmaterialmodificationismadebyPartyBaccordingtotheorderofPartyA,whichcausesadditionalexpense,PartyAshallpayPartyBtheadditionalincurredfees.TheamountofsuchadditionalfeesshallbenegotiatedingoodfaithbybothParties.PartyAshallcheckandacceptthedesigndocumentsinwritingintimeafterreceipt.AndPartyAshallindicateitsrevisecommentsandtimerequirement.PartyAassignswayneasitsPrincipaloftheProject,andPartyBassignsKarlPrincicasitsPrincipaloftheprojectmaynotchangeitsPrincipalormainarchitectwithout7-daypriorwrittennotificationtoandwrittenapprovalofPartyA.PartyAwillarrangeforcommunicationbetweeneachdesignfirmofthePartiesandapplyforthecommissioningoftheProject.IftheparentcompanyofPartyArefusestoapprovethedesignortheProjectissuspended,PartyAshallpayPartyBbasedontheamountofthedesignworkperformedbyPartyBanddeliveredtoPartyAinaccordancewiththerelevantarticlesofthisAgreement.IfthescheduleoftheProjectisdelayedbecauseofPartyA,thedesignworkPage4of286/4/2020設計景觀標準合同

對于乙方為執(zhí)行本合同向甲方供應的所有階段性和最后設計成就，及因執(zhí)行本合同所產生的其余研究成就，兩方贊同其所含有的全部知識產權含著作權、申請專利權和專利權等權益屬于甲方所有。成就提交甲方后，經甲方書面贊同，乙方能夠發(fā)明人/作者的名義在學術研究領域發(fā)布、申報評獎。甲方在征詢乙方贊同后,能夠自行或拜托別人為任何方式之使用、改正和處罰乙方提交的設計成就。未經甲方事先書面允許，乙方不得對上述設計成就做任何復制、改正、轉讓、自行或供應給別人做任何方式的

使用。乙方違犯本條規(guī)定的，甲方有權單方排除本合同，乙方應返還甲方所有設計費并補償甲方所以遇到的損失。

5.2乙方權益義務乙方一定依照中國及東莞市公布的有關規(guī)范、規(guī)定及本合同商定內容進行設計，并應使設計聽從甲方對本項目景觀設計的整體構想；在設計過程中一定增強與甲方的交流和協調；乙方對本項目設計的合用性、正確性、經濟合理性負責。

合同奏效起一周內，乙方應向甲方提交詳盡的設計計劃書，包含設計進度、設計師及有關人員裝備情

deliverydateshallbepostponedaccordingly.Anyandallintellectualpropertyrights,theamplificationrightsofsuchintellectualproprietaryrightsandtheirderivativescreatedbyaPartyorbothPartiesinrelationtodesign,anduseofthedesignworkshallbethesoleandexclusivepropertyofPartyA.PartyBcanpublishorapplyforawardsasauthorinthestudyandresearchfieldswithpriorapprovalofPartyA.WiththeagreementofPartyB,PartyAhastherighttouse,allowotherstouse,modifyorallowotherstomodify,ortransferPartyB’sdesignworktoanythirdParty.PartyBshallnotcopy,modify,transfer,useorprovidethedesignworkprovidedtoPartyAtoanythirdPartytouseinanywaywithoutpriorwrittenapprovalofPartyA.IfPartyBbreachesthisarticle,PartyAhastherighttoterminatetheAgreement.UponterminationoftheAgreement,PartyBshallreturnallthefeespaidbyPartyAandreimburseanyandallcostsandlossescaused.5.2RightsandObligationsofPartyBPartyBshallperformthedesigninaccordancewiththisAgreementandrelevantrulesandregulationsinDongGuangCityandassumeresponsibilityforthefeasibility,exactnessandrationalityoftheeconomyofthedesignworks.PartyBshalluseitsbestefforttomakethedesignworkinaccordancewithPartyA’sgenerallandscapeconcept.Toensureaccordancewiththespecifications,PartyBshallmakesufficientcommunicationwithPartyA.WithinoneweekofexecutingthisPage5of286/4/2020設計景觀標準合同

況、設計人員簡歷、設計總負責人、主辦人及聯系電話等，報甲方備

案；乙方一定為本項目的設計裝備經驗豐富且富于創(chuàng)新精神的設計師擔當設計工作。工程結束從前，乙方應保證該項目主要設計人員的穩(wěn)固。

在設計過程中，乙方有責任應甲方要求就設計圖紙的進度狀況作闡釋交流，參加甲方組織的景觀方案報告和施工圖紙的會審，以保證最后的設計成效，按期配合甲方確立有關景觀成效的主要資料。

對設計過程中所需的設計資料或其余需甲方配合的事項應實時通知甲方。若甲方因銷售或企劃等部門對外宣傳需要對設計作解說或邀請乙方參加議論時，則乙方有輔助義務。

對于設計過程中的各階段性設計或其余重要問題，乙方均應先送甲方審察后方可進行下一步的設計，此類問題主假如指波及整體布局和重要景觀因素確實認和調整、波及工程量和投資變化較大的調整等問題。

乙方對設計文件出現的遺漏或錯誤應無條件改正或增補。若因乙方原由造成設計返工，所造成的花費，由乙方自理；若因為乙方原由此使設計進度有遲延或設計錯誤，而使甲方承受經濟、時間或質量上

Agreement,PartyBshalldelivertoPartyAthedetailedplanofdesignservices,includingnotlimitedto,schedule,listofprincipalsoftheProject,mainarchitects,architects,andothernecessarypersonsinvolved;resumesofthosepersons,andcontacttelephonenumbers.PartyBshallassignprofessionalandexperiencedpersonswithhighlycreativitytoperformthedesignandshallnotchangethemduringperformanceoftheAgreement.PartyBshallcommunicatewithPartyAregardingPartyA’sschedulerequirements,attendlandscapeschemeconferencesormeetings,reviewtheconstructiondrawingstoinsuretheconsistencyofthefinaldesignwork,andperiodicallyassistPartyAinselectingmainlandscapedecorationsmaterials.PartyBshallnotifyPartyAinatimelyfashionforanyandallnecessaryassistanceneededfromPartyA.PartyBshallassistPartyAbyexplainingthedesignworkupontherequestoforasrequiredbyPartyA.WithoutpriorwrittenapprovalofPartyA,PartyBshallnotstartanyadditionaldesignworkphases,includingbutnotlimitedto,confirmationormodificationoftheProject’sgenerallayoutormainlandscapeelements,ormaterialadjustmentontheamountoftheconstructionorinvestment.Minorchangesorproblemswithcompleteddesignworkshallnotprecludebeginninganeworadditionaldesignphase.PartyBshallcorrectandamendanyandallerrorsoromissionsofthedesignworkatitsownexpense.IfPartyBredoesthedesignworkbecauseofitsownerrororomission,alladditionalfeesincurredPage6of286/4/2020設計景觀標準合同

的損失，則乙方應賜予甲方補償，此損失補償可在甲方向乙方的任何支付中拘留。

成本控制

乙方應做到所有設計方案經濟合理，如甲方以為乙方在設計過程中存在經濟性方面的問題，乙方對付景觀方案做出改正。

邀請顧問或輔助部門

乙方在必需時可邀請顧問進行設計指導工作，其花費由乙方決定并在設計費中分攤或支付，但設計成就一致由乙方向甲方負責。未經甲方書面允許，乙方不得轉拜托。甲方因工作需要自行邀請或建議邀請的專業(yè)顧問，其花費由甲方決定并由甲方支付。

乙方負責原定設計范圍內的必需改正設計，包含調整設計及增補設計。在乙方執(zhí)行設計任務時期，甲方若有較小改正設計、更改設計，乙方將不另行收費，甲方若有重要更改設計，甲、乙兩方應立刻簽署增補協議，花費另計，乙方應實時安排更改設計，不得影響工程施工進行。（注：XXXXX重要更改設計是指設計范圍的改正和景觀方案的重要調整，并造成乙方五個工作日以上的工作量的）

乙方認識在與甲方合作過程中所獲取或知悉的對于甲方的信息包

Controlofthecosts

PartyBshalluseitsbesteffortstomake

alldesignconceptsorschemeoftheeconomicallyrationale;otherwise,PartyBshallmodifythedesignatPartyA’srequest.

AppointmentofcounselororrequestforassistancePartyBmayappointacounselortoassistintheProjectdesign.AnyreasonablefeescausedbysuchappointmentshallbepaidbyPartyAontheconditionthatPartyBshallremainliablefortheDesignaccordingtotheAgreement.WithoutpriorwrittenapprovalofPartyA,PartyBshallnotassignitsobligationstoanythirdParty.IfPartyAappointsacounseloronbenefitofitself,PartyAshallpayforsuchfees.PartyBshallmodifythedesignwithinthescopeofthisAgreement,includingbutnotlimitedto,modification,adjustmentandamendment.Ifthemodificationisminor,thefeesshallbeincludedinthefeesdescribedinArticle6;ifmaterialmodificationismadebecauseofPartyA,PartyAshallpayforsuchservicesprovidedbyPartyBandbothPartiesshallnegotiatetodeterminetheamountofextrafeespayable“M.“Materialmodification”meansthechangesinthedesignoradjustmentsofthelandscapingschemerequiringPartyBtospendfiveormoreadditionalworkingdays.“Confidentialinformation”shallmean(a)Page7of286/4/2020設計景觀標準合同

括項目信息、技術圖紙、資料、經營信息、人力資源、本合同所波及的設計/研究內容、設計/研究成就等等所有未公然之信息為甲方的商業(yè)奧密，應嚴守其奧密性。未經甲方預先書面贊同，乙方不得將乙方商業(yè)奧密或甲方供應給乙方的技術資料、圖紙等用于執(zhí)行本合同以外的其余用途。乙方上述保密義務的限時，從乙方知悉該資料或信息之日起，直至民眾可經過合法門路獲取、知悉有關資料、信息之日止。

乙方應保證其向甲方提交的成就

（包含階段性和最后性成就）及乙

方為實現該成就所使用的必需方

法不入侵第三人的合法權益。甲方

因使用乙方提交的成就被第三人

指控侵權、提出異議或權益主張

的，乙方應該踴躍輔助解決，并承

擔由此給甲方造成的損失。同時，

甲方有權選擇排除合同或不排除

合同要求乙方提交切合合同要求

的代替設計成就。

乙方應該保證其提交的成就切合國家及地方現有法律、法例、規(guī)章政策及行業(yè)規(guī)范之要求、切合本合同目的。假如因不切合上述要求給甲方或其余第三人造成損失的，乙方應予以補償。

甲方收到乙方提交的所有設計圖紙資料后，如發(fā)現乙方違反合同規(guī)定的責任和義務時，乙方又不改正圖紙，甲方則可暫不支付本合同規(guī)定的對付乙方的相應金額。

anyinformation,includingbutnotlimitedto,theinformationoftheProject,drawings,managementinformation,personnel,research,developmentcontentsanddesigninrelationtotheAgreement,disclosedtoorlearnedbyPartyBpursuanttothisAgreement.PartyBacknowledgesthatinthecourseoftheperformanceoftheAgreement,itmayobtainconfidentialinformationfromPartyA.PartyBwill,atalltimes,bothduringthetermofthisAgreementandatalltimesthereafter,keepinconfidenceandtrustallofthePartyA’sconfidentialinformationreceivedbyit.PartyBwillnotusetheconfidentialinformationotherthanasnecessarytoperformitsobligationsorexerciseitsrightsunderthisAgreement.PartyBwarrantsthatthedesignworkandthemethodsusedtofulfillthedesignworkdonotinfringeanythirdPartyintellectualpropertyrightorotherrightsofanythirdParty.Ifsuchinfringementoccurs,PartyAhastherighttoterminatetheAgreementorrequestPartyBtomakealternativedesign.Notwithstandingtheforegoing,PartyAhastherighttorequestPartyBtoreimbursePartyAanyandallcostsandlossescaused.PartyBwarrantsthatthedesignworksdeliveredbyPartyBdonotbreachanydemandsortargetsofthisAgreement,relevantlawsandregulations,orarchitecturetradition.Ifanysuchbreachoccurs,PartyBshallreimburseanyandallcostsandlossescaused.

IfPartyBrefusestocorrectanydefectofthedesignworks,PartyAhastherighttosuspendtherelevantpaymentuntilPartyBcorrectsthedefect.

仟元整（$245000.00）.包含觀點方

案設計、方案深入設計、擴初設計及

施工圖審察及現場服務五階段。

此花費包含項目進行時期，乙方安

排到深圳與甲方會見或查察現場12次，每次2天的所有花費。

6.2設計進度、花費和支付方式以下：

7：XXXXX違約責任7：XXXXXLiabilityforBreach7.1甲方因自己原由不可以執(zhí)行本合同，應7.1IftheAgreementisterminatedbecauseof依照合同付清已達成階段設計任務PartyA,PartyAshallpayPartyBforthe對應的設計費，若往后工程仍再度進workcompletedinaccordancewiththe行，甲方與乙方應就還沒有執(zhí)行的原合amountofthework.IftheProjectis同或新的服務范圍，磋商新的收費方resumed,thePartiescanrenegotiatethe式或從頭簽署合同。甲方上司對設計feesorsignanewAgreement.Ifthe文件不審批或本合同項目停緩建，甲Projectissuspendedortheparent方應按乙方實質達成的工作量支付companyofPartyArefusestoapprovethe對付的設計費。Project,PartyAshallpayPartyBforthe7.2乙方按工作進度分階段提交帳單/發(fā)workcompleted.票，甲方核審無誤后，依照本合同約7.2IfPartyAdelaysthepaymentduetoitsown定付款，如無正當原由逾期付款達faultmorethan60days,PartyBhasthe60天以上時，乙方有權暫停執(zhí)行下righttosuspenddesignworkwithawritten階段工作，并書面通知甲方。notificationtoPartyA.7.3乙方因自己原由沒法執(zhí)行合同或導7.3IfPartyBfailstofulfillthisAgreementor致甲方依照合同規(guī)定排除合同者，應thisAgreementisterminatedbyPartyA支付合同總數的10%違約金，乙方已duetoPartyB’sdefault,PartyBshallpay提交部分工作成就的，兩方則依照PartyA10%ofthetotalfeesdescribedin合商定辦理設計成就和設計article6ascompensationforbreachofthe費；未提交工作成就的，乙方則應返Agreement.IfPartyBhasfinishedPartyof還甲方所有已付設計費。thedesignwork,thePartiesshallsettlethepaymentanddealwiththedesignworkinaccordancewitharticle8.3.2;ifPartyBdoesnotstartwork,PartyBshallreturntoPartyAallthefeespaidbyPartyA.7.4因為乙方自己原由，延遲了按本合同7.4IfPartyBisunabletosubmitthedesign規(guī)定的設計文件交托時間，超出三天workonschedule,alatefeeequalto0.03的，則每延遲一天，應減收該項目相percentofthefeesforrelevantphaseofthe應階段應收設計費的0.3‰；但乙方designwillincurforeachdayofthedelay.If不因為郵政造成的延遲負責；延遲超suchadelayisover15days,PartyAhas過15天的，甲方有權排除本合同并therighttoterminatetheAgreement要求乙方支付合同總金額的10%違immediatelyandrequestPartyBpay10約金。percentofthetotalfeesoftheAgreementascompensationforbreachoftheAgreement.7.5設計不切合甲方要求的，乙方應該按7.5Ifthedesignworkfailstomeetthe照甲方和合同商定的要求限時改正，requirementsofPartyA,PartyBshall改正兩次仍不可以切合要求的，甲方有revisethedesignworkwithintheperiod權單方排除本合同，并要求乙方依照allowedbyPartyA.IfPartyBfailsto第7.3條擔當違約責任。Page11of286/4/2020設計景觀標準合同

8.1本合同需經甲乙兩方署名蓋印后奏效；本合同奏效日期以甲乙兩方中最后一方署名（并蓋?。┑娜掌跒闇省?/p>

8.2若乙方發(fā)生下述情況之一，甲方有權停止本合同，而不擔當當何違約責任，同時甲方有權依照本合同有關規(guī)定和法律規(guī)定采納相應救援舉措。

乙方進行破產或破產和解的程序。

乙方有轉移財產、抽逃資本或其余喪失名譽及履約能力之情況。

乙方嚴重違犯本合同規(guī)定義務，經過甲方限時更正，而未更正者。

法律法例或本合同其余規(guī)定甲方有排除權的。

8.3合同停止結果

本合同停止后，乙方應該于甲方指按時期內返還甲方所有商業(yè)奧密資料、信息，不可以返還的予以銷毀。

因乙方原由致使合同停止或合同停止前甲方已支付乙方相應酬勞的，合同的停止不影響甲方對合同停止前乙方提交的成就享有的知識產權。

各自有足夠的權益和能力執(zhí)行本合同，知足合同中的各項條件和兌現各項要乞降花費支付。.

9.2完好合同：XXXXX本合同書和本合同增補協議應視為甲方同乙方之間的完好合同。它代替從前所有的口頭或書面的談判、報告或協議。若要改正，一定有兩方的書面贊同。

9.3不行抗力致使的停止合同：XXXXX

假如不行抗力發(fā)生，如行政命令、政

策法例、戰(zhàn)爭、自然災禍（如洪水或

地震）或其余高出合同兩方控制的事

件，因此一方沒法執(zhí)行合同，遇到不

可抗力影響的一方能夠提早十五天

書面通知對方停止合同，兩方互不承

擔違約責任。

9.4不行抗力時的設計花費支付：

不行抗力發(fā)生時，甲方決定停止合同，乙方在合同停止日為止所供應的全部服務都應獲取酬勞。一旦對付款已付清，乙方將供應甲方在合同停止日前達成的所有設計文件。

9.1ThePartiesguaranteethattheyhavefullpowerandauthoritytoenterintothisAgreementandtocarryouttheirobligationsunderthisAgreement.9.2EntireAgreement：XXXXXThisAgreementtogetherwithitsattachedexhibitsistheentireunderstandingbetweenthePartiesonthisProjectdesign,andmergesallpriordiscussions,negotiationsandagreementsbetweenthem,whetheroralorwritten,expressorimplied.NoalterationsormodificationsofthisAgreementshallbebindinguponeitherPartyunlessmadeinwritingandsignedbyanauthorizedrepresentativeofeach.9.3Thenon-performanceordelayinperformancebyeitherParty,ofanyobligationundertheAgreementshallbeexcusedifandtotheextentthatsuchnon-performance,delayorresponsibilityiscausedbyaneventofForceMajeure.UpontheoccurrenceofanyeventofForceMajeure,thePartysufferingthereforeshallimmediatelygivetheotherPartywrittennoticethereofincludingastatementdescribingtheeventofForceMajeureanditseffectupontheperformanceoftheAgreement.ThesufferingPartycanterminatetheAgreementby15-daypriornotificationoftheotherPartyinwritingwithoutanyliability.TheForceMajeureincludesordersofthegovernment,policyandregulationsofPRC,war,andnaturaldisaster(suchasearthquakeandflood).9.4IfPartyAterminatestheAgreementduetoForceMajeure,allworkcompletedbyPartyBanddeliveredtoPartyAshallbepaidforinaccordancewiththeAgreement.Uponsettlementoftherelevantfees,PartyAhastheownershipandintellectualpropertyrightsofthedesignwork.Page13of286/4/2020設計景觀標準合同

9.5通知：XXXXX除本合同還有規(guī)定的外，通知以傳真、電子郵件、郵局掛號、快遞等方式。如通知以傳真或電子郵件方式，則以發(fā)傳真或電字郵件當天為送到日；如通知以郵局掛號或快遞方式寄送的，則甲方收到日為送到日。

9.6糾葛解決：XXXXX本合同在執(zhí)行過程中發(fā)生糾葛，甲方與乙方應磋商解決。磋商不行時，可向中國境內甲方所在地有管轄權的人民法院提起訴訟，并恪守其依據中國法律所做出的判決。

9.7本合同書兩方署名后，表示兩方在指明的日期贊同上述合同書條款。同時也表示兩方有完好和最后威望使各自代表的一方能完好恪守本合同所列條款。

9.8本合同要求甲方供應的有關資料和

文件與本合同一并使用，并與本合同

擁有同樣法律效勞，如二者之間有不

符之處，以本合同為準。

9.9本合同未盡事宜，兩方可簽署增補協

9.5Notice：XXXXXUnlessotherwiseprovidedherein,allnoticesorcommunicationstobemadeandrelatedtothisAgreementmustbesentbyfacsimile,mail,courier,ore-mail,whichtakeseffectwhendispatchedtotheaddresslistedbelowinthisAgreement.Notwithstandingtheforegoing,anynoticesorcommunicationssentbyexpresscouriershallbeeffectiveonthedatePartA’sreceiptofdispatch.9.6ThisAgreementshallbeconstruedandgovernedbythelawofthePeople’sRepublicofChina.AnydisputesconcerningtheconstructionorinterpretationofthisAgreementoraParty’sperformanceofitsobligationshereunder,whicharenotresolvedthroughgoodfaithconsultationbetweentheParties,maythereafterbesubmittedbyeitherPartytothenon-exclusivejurisdictionoftheShenzhenDistrictCourts.9.7UponsignatureofbothParties,thePartiesagreetobeboundbyallthearticlesoftheAgreementfromthedateofsignature.Furthermore,suchsignaturecanbedeemedasthateachPartyhasthefullpowerandauthoritytoperformthisAgreement.

9.8ThedocumentsprovidedbyPartyAinaccordancewiththeAgreementhavethesameeffectwiththeAgreement.IntheeventthatthereareconflictsbetweentheAgreementandthedocumentsabove,theAgreementshallprevail.

9.9Shouldanyotherissuesoccur,thetwosidesmayenterintoasupplementary

議作為附件，增補協議與本合同擁有同樣法律效勞。經兩方磋商簽署的增補協議應按次序編號，當本合同與增補協議不一致時，應按增補協議的最新商定執(zhí)行。

9.10合同一式四份，兩方各持二份，擁有同樣的法律效勞。

9.11本合同中文版本與英文版本不一致的，以中文為準。
