Notwithstanding anythingcontainedinthisAgreementor2023GlobalSharePlan,intheeventoftheTerminationofServicewiththeCompanywithinthefour-yearvestingschedule,butsuchTerminationoccursbeforeInitialPublicOffering(“IPO”),theCompanyshallrefund10%oftheactualPurchasePrice〔asdefinedinExhibitG)fortheactuallyexercisedOptions,andterminatesuchvestedOptionedSharesimmediately.ItisyourresponsibilitytoexercisetheOption,ifyousodesire,beforeitexpiresorterminates.但是，被授權(quán)人在效勞終止日時,只有已經(jīng)依行權(quán)打算及行權(quán)條件被授予的期權(quán)才可以行權(quán)，在終止日期之后的期權(quán)不能再行權(quán)。無論本協(xié)議或是2023股權(quán)鼓勵打算所包含的規(guī)定，但凡員工因(i)侵害公司利益的行為〔包括但不限于與公司競業(yè)，未經(jīng)公司允許于雇傭關(guān)系期間兼職，擅自泄露公司隱秘信息以及商業(yè)隱秘，詆毀公司聲譽〕(EF)或是(ii)任何嚴峻違反中華人民共和國法律法規(guī)或是公司內(nèi)部規(guī)章的行為導致的雇傭關(guān)系的終止，公司有權(quán)在終止與被授權(quán)人的雇傭關(guān)系之日起自主打算收回其全部獲得或購置的股票。無論本協(xié)議或是2023股權(quán)鼓勵打算所包含的規(guī)定，在四年行權(quán)打算時間內(nèi)，但在公司未上市時即與公司終止雇傭關(guān)系的員工，公司應就實際行權(quán)價(G)10%回購其已被授予的期權(quán)，并且馬上停頓此期權(quán)。被授權(quán)人有責任在行權(quán)日期滿之前或者終止事項發(fā)生之前行權(quán)。TheParticipantisawarethat,notwithstandinganythingtothecontraryinthisPRCShareOptionAgreement(the“OptionAgreement”),theexerciseoftheOptionissubjecttocertainregulationsofthePRC,includingthoseimplementedbytheStateAdministrationofForeignExchange(the“Restriction”).
