heauthorizeddepartmentoforiginalcountry.8)One(1)originalandfour(2)copiesoftheinsurancepolicycoveringonehundredandtenpercent(110%)oftheinvoicevalueofthepriceofthisbatchofshippedContractEquipmentandcoveringallrisksandwarrisks;namingtheBuyerasbeneficiary;9)Five(5)originalsoftheproformainvoicecoveringonehundredpercent(100%)ofthetotalContractprice(onlyforthefirstbatch);如果賣方未能在規(guī)定的時(shí)間內(nèi)提交支付單據(jù)，由此在卸貨港發(fā)生的所有費(fèi)用，包括但不限于倉儲費(fèi)和滯期費(fèi)，應(yīng)由賣方承擔(dān)。IftheSellerfailstosubmitthepaymentdocumentsinduetime,allthecoststhusincurredattheportofunloadingincludingbutnotlimitedtostorageexpensesandoverduefineshallbebornebytheSeller.3.4在賣方有義務(wù)根據(jù)合同的規(guī)定向買方支付違約金和/或賠償金的情況下，買方有權(quán)從上述任何一筆應(yīng)付款中予以扣除。3.43.5買方銀行發(fā)生的銀行費(fèi)用應(yīng)由買方負(fù)擔(dān)，而買方銀行以外發(fā)生的銀行費(fèi)用均應(yīng)由賣方負(fù)擔(dān)。3.5ThebankingchargesincurredintheBuyer’sBankshallbebornebytheBuyerwhilethoseincurredoutsidetheBuyer’sBankshallbebornebytheSeller.交貨和保險(xiǎn)Article4DeliveryandInsurance4.1所有本合同項(xiàng)下的設(shè)備將分為二(2)批交貨。第一批（1、2號機(jī)組）閥門：2007年10月17日前到目的港；第二批（3、4號機(jī)組）閥門：2008年6月10日注：第二批（3、4號機(jī)組）閥門的具體交貨時(shí)間，買賣雙方需于2007年12月10日前協(xié)商確認(rèn)，買方然后再按照確認(rèn)后的交貨時(shí)間進(jìn)行排產(chǎn)、交貨。其中第一批貨物包括隨機(jī)備品備件。詳見附表4。4.1TheContractEquipmentshallbedeliveredintwo(2)batchesonthetimeasbelow:1stbatch（Unit1,2）:before:Oct.17th,2007arrivaldestinationseaport;2ndbatch(Unit3,4):before:Jun.10th,2008arrivaldestinationseaport.Thepowerplantdonotgetthepermissionofthegovernmentfortheconstructionofsecondlot(Unit3,4).TheBuyerwillconfirmtheshipmentdateofthesecondlotcontractequipmentbeforeDec.10th,2007..TheSparePartsareincludedinthefirstbatchoftheContractEquipment.ThedetaileddeliveredscheduleisstipulatedinAppendix4.4.2裝運(yùn)港：歐洲主要海港4.2PortofShipment:MainseaportsinEurope4.3卸貨港：上海4.3PortofUnloading:Shanghai4.4賣方應(yīng)在裝船前十五(15)天，將合同號、貨物的名稱、大約的數(shù)量、金額、包裝件數(shù)、毛重、尺寸以及貨物在裝運(yùn)港備妥的時(shí)間以傳真方式通知買方。4.4TheSellershall,fifteen(15)daysbeforethedateofshipment,advisetheBuyerbyfaxofContractNo.,commodity,estimatedquantity,value,numberofpackages,grossweight,measurementandthedateofreadinessattheportofshipment.4.5賣方應(yīng)預(yù)訂艙位并且不遲于艙位確定前十(10)天用傳真通知買方建議租用船只的名稱、船齡、國籍、注冊地、船東、船公司、航線以及預(yù)計(jì)離開卸貨港的時(shí)間，以便買方確認(rèn)。如果買方在收到上述通知后五(5)天內(nèi)沒有給予書面評論或否定，賣方關(guān)于該船只的建議視為被買方接受。4.5TheSellershallbooktheshippingspaceandshall,notlaterthanten(10)daysbeforeitisfixed,informtheBuyerbyfaxofthenameoftheproposedvessel,age,nationality,theregisteredplaceandtheowner,theshippingline,theshippingrouteandtheexpecteddateofdepartureforapproval.Incasenocommentordisapprovalisgiveninwritingwithinfive(5)daysupontheBuyer’sreceiptofthesaidnotification,thevesselshallbedeemedasaccepted.4.6除非買方同意，否則不接受“甲板運(yùn)輸”或“轉(zhuǎn)船運(yùn)輸”。4.6Unlessotherwiseagreedupon,“shippedondeck”or“transhipment”isnotacceptable.4.7在合同設(shè)備裝船完畢后，賣方應(yīng)立即將合同號、貨物名稱、裝運(yùn)數(shù)量、包裝件數(shù)、毛重、尺寸、發(fā)票金額、裝運(yùn)船只名稱、啟航時(shí)間和船只預(yù)計(jì)到達(dá)卸貨港的時(shí)間以傳真的方式通知買方。如果有易燃設(shè)備和危險(xiǎn)設(shè)備，亦應(yīng)注明有關(guān)細(xì)節(jié)。4.7TheSeller,immediatelyuponthecompletionoftheloadingoftheContractEquipment,shallnotifytheBuyerbyfaxoftheContractNo.,nameofcommodity,quantity,numberofpackages,grossweight,measurement,invoicedvalue,nameofcarryingvessel,departuredateandexpecteddateofarrivalatthePortofUnloading.Thedetailsofinflammableand/ordangerousequipment,ifany,shallalsobeindicated.4.8在合同設(shè)備裝運(yùn)后五(5)天內(nèi)，賣方應(yīng)向買方和提貨人分別航寄以下副本各一份：提單、手簽商業(yè)發(fā)票、出廠質(zhì)量檢驗(yàn)證書、原產(chǎn)地證明、保險(xiǎn)單或保險(xiǎn)證明書，以及裝箱單各一份副本。4.8Withinfive(5)daysafterloadingtheContractEquipment,theSellershallairmailone(1)duplicatecopyoftheBillofLading,manuallysignedcommercialinvoice,ex-worksqualitycertificate,certificateoforigin,certificateorpolicyofinsuranceandpackinglisttotheBuyerandtheconsigneerespectively.4.9不接受第三方海運(yùn)提單。4.9ThethirdpartyOceanBillofLadingisnotacceptable.4.10如果賣方未能在合同規(guī)定的裝運(yùn)日期交貨，賣方應(yīng)按每周為遲交設(shè)備金額(0.5%)的比率支付違約金。遲交不足一(1)周的按一(1)周計(jì)算。違約金的總金額不超過合同總價(jià)的百分之五(5%)。違約金的支付不免除賣方實(shí)際交付遲交設(shè)備的義務(wù)。如果賣方在合同規(guī)定的裝運(yùn)日期后六(6)周內(nèi)仍未能交付全部或部分設(shè)備，在不妨礙買方其他救濟(jì)手段的情況下，買方可以向賣方發(fā)出書面違約通知從而全部或部分地終止合同。4.10IncasetheSellerfailstomakedeliveryatthedateofshipmentasspecified,theSellershallpaytheliquidateddamageattherateofzeropointfivepercent(0.5%)ofthevalueofthedelayedequipmentperweek.Odddayslessthanone(1)weekshallbecountedasone(1)weekforcalculatingtheliquidateddamage.Thetotalamountoftheliquidateddamagesshallnotexceedfivepercent(5%)oftheContractprice.ThepaymentofliquidateddamagesshallnotreleasetheSellerfromitsobligationtodeliverthedelayedequipment.IncasetheSellerfailstodeliveranyoralloftheequipmentwithinsix(6)weeksafterthedateofshipmentasspecified,theBuyermay,withoutprejudicetoanyotherremedy,bywrittennoticeofdefaultsenttotheSeller,terminatetheContractinwholeorinpart.4.11賣方應(yīng)向一流的保險(xiǎn)公司投保金額為裝運(yùn)的合同設(shè)備的發(fā)票金額110%的、以買方為受益人的一切險(xiǎn)、戰(zhàn)爭險(xiǎn)和甲板險(xiǎn)(如果適用的話)。賣方應(yīng)以合同貨幣投保，保險(xiǎn)單上應(yīng)注明“可以在中華人民共和國理賠”并且保險(xiǎn)單不應(yīng)含有抵免條款。如果合同設(shè)備在海運(yùn)途中丟失或損壞，賣方應(yīng)協(xié)助買方向保險(xiǎn)公司請求賠償，并有責(zé)任根據(jù)買方要求盡快以原合同價(jià)格補(bǔ)供丟失或損壞的合同設(shè)備。4.11TheSellershalleffectinsuranceagainstallrisks,warriskandtheondeckriskifapplicable,withafirstclassinsurancecompanycovering110%oftheinvoicevalueoftheContractEquipmentwiththeBuyerasthebeneficiary.TheinsurancehastobecoveredintheContractcurrencyshowingclaimspayableinP.R.Chinawithnodeductibleclause.IncaseContractEquipmentarelostand/ordamagedintheoceantransportation,theSellershallassisttheBuyertoapplyforcompensationtotheinsurancecompany,upontheBuyer’srequest,supplementarysupplyofthelostand/ordamagedequipmentattheoriginalContractprice.包裝與標(biāo)記Article5PackingandMarking5.1合同設(shè)備總毛重大約為4噸，總體積大約為10立方米。5.1ThetotalgrossweightofContractEquipmentisapproximately4metrictonsandthetotalvolumeisapproximately10cubicmeters.5.2除非合同中另有規(guī)定，合同設(shè)備應(yīng)由賣方用新的堅(jiān)固的木箱進(jìn)行包裝并采取防潮、防雨、防銹、防腐蝕、防震動(dòng)及防止其它損壞的必要保護(hù)措施，從而保證合同設(shè)備能夠經(jīng)受多次搬運(yùn)、裝卸及遠(yuǎn)洋和內(nèi)陸的長途運(yùn)輸。5.2UnlessotherwisespecifiedintheContract,theContractEquipmentshallbepackedbytheSellerinnewandstrongwoodencasesandnecessarymeasuresshallbetakentoprotecttheContractEquipmentfrommoisture,rain,rust,corrosion,shockanddamagessoastomaketheContractEquipmentwithstandnumeroushandling,loadingandunloadingaswellaslongdistanceoceanandinlandtransportation.賣方應(yīng)在每件合同設(shè)備的包裝箱相對的兩個(gè)側(cè)面上用不褪色的油漆以明顯易見的英文字樣印刷以下標(biāo)記：合同號/項(xiàng)目名稱：嘜頭：目的港收貨人合同設(shè)備名稱及項(xiàng)號箱號/件號毛重/凈重(公斤)尺寸(長寬高(厘米))根據(jù)合同設(shè)備在裝卸、運(yùn)輸上的不同要求，應(yīng)以英文明顯地在包裝箱上印刷“輕放”、“勿倒置”、“保持干燥”等字樣以及其它國際運(yùn)輸中通用的標(biāo)記。對于重量為兩噸或超過兩噸的合同設(shè)備，還應(yīng)在包裝箱上標(biāo)明重量、重心和掛鉤位置。5.3TheSellershall,ontwo(2)oppositesidesofeachpackage,markconspicuouslythefollowingitemsinEnglishwithindeliblepaint:1)ContractNo/ProjectName.;2)Shippingmarks;3)Destination;4)Consignee;5)NameoftheequipmentanditemNo.;6)CaseNo./BaleNo.;7)Gross/Netweight(kg);8)Measurement(length×width×heightincm)Inaccordancewiththerequirementsinloading,unloadingandshippingoftheContractEquipment,thepackageshallbeconspicuouslymarkedinEnglishwith“HANDLEWITHCARE”,“RIGHTSIDEUP”,“KEEPDRY”andotherillustrativetermsappropriateininternationaltransportation.ShouldtheContractEquipmentweightwo(2)orovertwo(2)metrictons,theweight,gravitycentreandhoistingpositionthereofshallbemarked.5.4在合同設(shè)備的每件包裝中都應(yīng)附有下列單據(jù)：裝箱明細(xì)單副本一式兩份；質(zhì)量合格證書副本一式兩份；相關(guān)合同設(shè)備的技術(shù)資料一份；需要組裝的部件及機(jī)器的系統(tǒng)裝配圖一式兩份。5.4ThefollowingdocumentsshallbeenclosedineachpackageofContractEquipment:1)Two(2)duplicatecopiesofdetailedpackinglist;2)Two(2)duplicatecopiesofqualitycertificate;3)One(1)copyoftechnicaldocumentsforrelevantContractEquipment;4)Two(2)copiesofsystematicassemblingdrawingsforthemachinesandpartstobeassembled.5.5如果使用集裝箱運(yùn)輸，賣方應(yīng)在裝箱以前對集裝箱的狀況進(jìn)行檢查，以確保用于運(yùn)輸合同設(shè)備的集裝箱狀態(tài)良好。集裝箱內(nèi)應(yīng)備有充足的貨物支架和包裝墊木，以防止合同設(shè)備在集裝箱內(nèi)移動(dòng)。賣方應(yīng)對因其疏忽而導(dǎo)致的合同貨物的任何損壞負(fù)責(zé)。5.5Incaseofcontainertransportation,theSellershallexaminetheconditionsofthecontainersbeforepackingsothatonlythoseingoodconditionsshallbeusedfordeliveryoftheContractEquipment.SufficientshoresorchocksshallbeprovidedinordertopreventtheContractEquipmentfrommovinginsidethecontainers.TheSellershallbeliableforanydamagetotheContractEquipmentthusincurredduetothenegligenceoftheSeller.5.6凡由于對貨物包裝不當(dāng)或采取防護(hù)措施不充分致使貨物損壞或丟失時(shí)，賣方均應(yīng)負(fù)責(zé)按照合同規(guī)定修理、更換或賠償。如果因賣方在包裝和嘜頭方面發(fā)生錯(cuò)誤或混淆不清造成合同設(shè)備的誤運(yùn)，賣方應(yīng)承擔(dān)由此發(fā)生的額外運(yùn)輸費(fèi)用。5.6IftheContractEquipmentaredamagedorlostduetoimproperpackingand/orinadequateprotectivemeasures,theSellershallberesponsibleforrepair,replacementand/orcompensationinaccordancewiththeContract.ShouldContractEquipmentbemistransportedduetothemistakeorambiguousnessinpackageand/orshippingmarks,theSellershallbeartheadditionaltransportationexpensesthusincurred.5.7賣方應(yīng)使用未經(jīng)昆蟲侵蝕的木質(zhì)包裝材料。如果在動(dòng)植物檢疫中發(fā)現(xiàn)任何昆蟲侵蝕，賣方應(yīng)負(fù)擔(dān)在卸貨港發(fā)生的熏蒸和更換包裝費(fèi)用。木質(zhì)包裝材料應(yīng)按照ISPM-15標(biāo)準(zhǔn)進(jìn)行處理。5.7TheSellershallusewoodenpackagefreefrominsectinfestation.Shouldanyinsectinfestationbefoundinquarantineinspection,theSellershallbearthecostincurredinfumigationorreplacementofpackingatthePortofUnloading.Allwoodenpackagesshallbetreatedinaccordancewiththe技術(shù)資料Article6TechnicalDocumentation賣方應(yīng)在合同生效后的二十(20)天內(nèi)將附件3規(guī)定的技術(shù)資料航寄給買方。TheSellershallsendtotheBuyerbyairmailthetechnicaldocumentationasspecifiedinAppendix3withintwenty(20)daysaftereffectivedateofthisContract.第7條檢驗(yàn)Article7Inspection7.1賣方應(yīng)對合同設(shè)備進(jìn)行檢驗(yàn)并出具出廠質(zhì)量合格證書和交貨前檢驗(yàn)記錄，有關(guān)費(fèi)用由賣方負(fù)擔(dān)。賣方應(yīng)將質(zhì)量合格證書和交貨前檢驗(yàn)記錄提交給買方。7.1TheSellershallinspecttheContractEquipmentandissuetheex-worksqualitycertificateaswellaspre-deliveryinspectionrecords,allexpensesinvolvedshallbefortheSeller’saccount.Theex-worksqualitycertificatesandpre-deliveryinspectionrecordsshallbesubmittedtotheBuyer.7.2合同設(shè)備到達(dá)卸貨港和/或工作現(xiàn)場四十五(45)天內(nèi)，買方應(yīng)通過當(dāng)?shù)爻鋈刖硻z驗(yàn)檢疫機(jī)構(gòu)對貨物的外觀、品質(zhì)、數(shù)量和重量進(jìn)行檢驗(yàn)，而在開箱檢驗(yàn)中發(fā)現(xiàn)交付的合同設(shè)備有短少、缺陷、損壞或其它與合同規(guī)定不符合的情形，無論賣方人員是否到場，賣方同意開箱檢驗(yàn)的記錄應(yīng)作為買方向賣方提出索賠的有效證據(jù)。7.2Withinfortyfive(45)daysafterarrivalofContractEquipmentattheportofunloadingand/orjobsite,theBuyershallapplytothelocalinspectionbranchofStateAdministrationforEntry-ExitInspectionandQuarantine(hereinafterreferredtoasthe“InspectionAuthorities”)foraninspectioninrespectoftheoutwardappearance,specificationsandquantity/weightofContractEquipment.Shouldanyshortage,defect,damageorothernon-conformitywiththeContractbefoundwiththedeliveredequipmentduringtheopenpackageinspection,whethertheSellerreachesthejobsiteornot,theinspectioncertificatewillbeissuedandshallbetakenaseffectiveevidencetoclaimagainsttheSeller.7.3如果在保證期滿前發(fā)現(xiàn)合同設(shè)備存在缺陷，不論該缺陷是由于歸咎于賣方的何種原因，包括但不限于隱蔽性缺陷或使用不適當(dāng)?shù)脑牧弦鸬?，買方均有權(quán)提請檢驗(yàn)當(dāng)局進(jìn)行檢驗(yàn)并有權(quán)憑商檢證書向賣方提出索賠。7.3ShouldtheContractEquipmentbefounddefectivebeforeexpirationofwarrantyperiodforanyreasonattributabletotheSeller,includingbutnotlimitedtolatentdefectsortheuseofunsuitablematerials,theBuyerhastherighttoapplytotheInspectionAuthoritiesforinspectionandclaimagainsttheSelleronthestrengthoftheinspectioncertificate.技術(shù)服務(wù)和考核驗(yàn)收Article8TheTechnicalServiceandAcceptanceTest8.1合同設(shè)備的安裝、試運(yùn)行、性能考核應(yīng)在賣方技術(shù)人員的安裝指導(dǎo)下完成。詳細(xì)情況應(yīng)在合同內(nèi)記錄在工作日志上并經(jīng)雙方授權(quán)代表簽字。賣方提供的技術(shù)服務(wù)和技術(shù)培訓(xùn)范圍詳見附件7。8.1Theerection,testrunandperformancetestoftheContractEquipmentshallbecarriedoutandcompleted,withtheinstructionofthetechnicalpersonneloftheSeller,detailsofwhichshallberecordedinthelogbookandsignedbytheauthorizedrepresentativesofbothparties.ThescopeoftechnicalserviceandtechnicaltrainingsuppliedbytheSellerisspecifiedinAppendix7.8.2在安裝工作按照技術(shù)資料的規(guī)定完成后，雙方當(dāng)事人應(yīng)在安裝結(jié)束后五(5)日內(nèi)簽署安裝證書。該證書的簽署日期應(yīng)視為安裝工作完成日。8.2Whentheerectioniscompletedinaccordancewithtechnicaldocumentation,bothPartiesshallsignthecertificateforerectionwithinfive(5)daysfollowingitscompletion.Thesigningdateofthesaidcertificateshallbedeemedasthecompletiondateoftheerection.8.3如果合同附件5所規(guī)定的所有保證指標(biāo)在初步驗(yàn)收中都已經(jīng)達(dá)到，雙方授權(quán)代表應(yīng)在性能考核后5天內(nèi)簽署合同設(shè)備的初步驗(yàn)收證書一式四(4)份，雙方各持兩(2)份。如果考核驗(yàn)收由于賣方原因造成延誤，則證書出據(jù)日期應(yīng)相應(yīng)推遲。8.3IncasealltheguaranteeindicesspecifiedinAppendix5arereachedintheperformancetest,theauthorizedrepresentativesofbothpartiesshallsignfour(4)copiesofacceptancecertificatewithinfive(5)daysfollowingitscompletion,two(2)foreachparty.IfdelayoccursduetoSeller’sreason,theissuingofAcceptanceCertificatewillbedelayedaccordingly.8.4性能考核期內(nèi)，如果一項(xiàng)或數(shù)項(xiàng)指標(biāo)在性能考核期間未能達(dá)到附件5所規(guī)定的要求，賣方應(yīng)自第一次性能考核失敗后在三十(30)天內(nèi)或雙方同意的期間內(nèi)自費(fèi)對合同進(jìn)行再次考核，性能考核總次數(shù)不得超過貳(2)次。8.4IncaseanyitemorseveralitemsdonotmeettheguaranteeindicesspecifiedinAppendix5intheperformancetest,theSellershallcarryoutfurthertestatitsownexpensesfornomorethantwo(2)timeswithinthirty(30)daysfromthefailureofthefirsttestoranyperiodagreeduponbetweentheparties.如果試運(yùn)行和/或投料試生產(chǎn)和/或性能考核因賣方原因發(fā)生遲延和/或發(fā)生額外費(fèi)用，買方有權(quán)就因遲延發(fā)生的損害和損失和/或任何額外費(fèi)用請求賠償。IncasetheTestRunand/orCommissioningand/orthePerformanceTestaredelayedand/oradditionalcostarisesforthereasonattributabletotheSeller,theBuyerhastherighttoclaimfordamagesandlossesthusincurred.如果上述性能考核中的任何指標(biāo)仍未達(dá)到附件5規(guī)定的要求，買方有權(quán)根據(jù)第10條向賣方提出索賠。IfanyoftheguaranteeindicesspecifiedinAppendix5isnotreachedinthefurthertests,theBuyerisentitledtoclaimupontheSellerpursuanttoArticle10.第9條保證Article9GuaranteeandWarranty9.1賣方應(yīng)在每批設(shè)備發(fā)運(yùn)前肆拾伍(45)天內(nèi)向買方提供由賣方銀行開具的、被買方銀行接受的、以買方為受益人的、金額為合同總價(jià)百分之十(10%)的履約保函原件一份(格式見附件10)。如果賣方未能按期提供此保函，買方有權(quán)終止合同。履約保函的有效期為到最后一批合同設(shè)備質(zhì)量保證期滿。9.145daysbeforeshipmentofeachbatchthecontractequipment,theSellershallprovideOne(1)originalofthePerformanceSecuritybankguarantee,(specimenasperAppendix10oftheContract)whichisacceptedbytheBuyer’sbank,issuedbytheSeller’sbankinfavoroftheBuyercovering)tenpercent(10%)ofTotalContractPrice.IftheSellerfailstoprovidethePerformanceSecuritybankguaranteeintime,theBuyerhastherighttoterminatetheContract.ThevalidityofthePerformanceSecurityBankGuaranteeshallexpireattheendofthewarrantyperiodofthelastshipmentoftheContractEquipment.9.2賣方保證合同設(shè)備是全新的、技術(shù)先進(jìn)的、質(zhì)量優(yōu)良的、沒有設(shè)計(jì)上和材料及工藝上的缺陷、符合附件1的規(guī)定并且適合于合同規(guī)定的用途和目的。9.2TheSellerguaranteesthattheContractEquipmentsuppliedshallbecompletelynew,advancedintechnologyandsuperiorinquality,freefromanydefectindesign,materialandworkmanship,inconformitywiththestipulationofAppendix1andsuitablefortheuseandpurposespecifiedintheContract.9.3賣方保證所交付的技術(shù)資料應(yīng)是完整的、清楚的和正確的，并且能夠滿足合同設(shè)備安裝、試運(yùn)行、性能考核、操作和維修的要求。9.3TheSellerguaranteesthatthetechnicaldocumentationshallbecomplete,clearandcorrectinordertomeettherequirementsoferection,testrun,performancetest,operationandmaintenanceoftheContractEquipment.9.4賣方保證及時(shí)派遣合格的技術(shù)人員提供合同設(shè)備運(yùn)行必需的、專業(yè)的、正確的和高效的技術(shù)服務(wù)和技術(shù)培訓(xùn)。9.4TheSellerguaranteesthatqualifiedtechnicalpersonnelshallbedispatchedinduetimetorenderprofessional,correctandefficienttechnicalserviceandtechnicaltrainingrequisiteforoperationoftheContractEquipment.9.5賣方保證它是與合同設(shè)備和技術(shù)資料有關(guān)的知識產(chǎn)權(quán)的合法所有者或持有者。如果買方因在中華人民共和國境內(nèi)使用合同設(shè)備而被訴稱非法使用或侵犯了知識產(chǎn)權(quán)，買方應(yīng)通知賣方，由賣方以買方名義并在買方的協(xié)助下自費(fèi)處理與第三方的訴訟事務(wù)，賣方應(yīng)補(bǔ)償買方由此遭受的任何花費(fèi)、賠償或損失。9.5TheSellerguaranteesthatitisthelegitimateownerand/orholderoftheintellectualpropertyrightsrelevanttotheContractEquipmentandtechnicaldocumentation.IncasetheBuyerisaccusedofillegalexploitationorinfringementoftheintellectualpropertyrightsarisingfromtheuseoftheContractEquipmentinPRC,theBuyershallgivetheSelleranoticeandtheSellershalltakeupthematterwiththethirdpartyatitsowncostintheBuyer’snameandwiththeBuyer’sassistanceandindemnifytheBuyerforanycosts,compensationsordamagesarisingtherefrom.9.6合同設(shè)備質(zhì)量保證期為雙方簽署合同設(shè)備初步驗(yàn)收證書后十二(12)個(gè)月，或賣方設(shè)備到港后二十四(24)個(gè)月，兩者以先到為準(zhǔn)。對合同設(shè)備的具體保證詳見合同附件?！巴ㄟ^初步驗(yàn)收”指通過××××××發(fā)電廠4x600MW新建工程單臺機(jī)組168小時(shí)試運(yùn)行測試。9.6ThewarrantyperiodoftheContractEquipmentshallbetwelve(12)monthsafterthedateofAcceptanceCertificateoftheContractEquipmentbytheBuyerortwentyfour(24)monthsafterContractEquipmentarrivedtheShanghaiport.ThewarrantyfortheContractEquipmentisspecifiedinContractAppendixes.‘Passthepreliminaryacceptance’meansthatonesingleunitof4x600MWnewpowerplantprojectin××××××passes168-hourtestrun.合同設(shè)備質(zhì)量保證期滿后，業(yè)主和買方出具合同設(shè)備質(zhì)量保證期期滿證書正副本各一(1)份。AttheexpirationoftheWarrantyPeriod,theOwnerandBuyershallissueaCertificatefortheExpirationoftheWarrantyPeriodoftheContractEquipmentinone(1)originalandone(1)duplicatecopy.在保證期內(nèi)，如果因賣方原因合同設(shè)備停機(jī)，保證期應(yīng)相應(yīng)延長。DuringtheWarrantyPeriod,iftheoperationoftheContractPlanthastobestoppedforthereasonattributabletoSeller,theWarrantyPeriodshallbeprolongedaccordingly.9.7備品備件要求：質(zhì)量保證期內(nèi)正常運(yùn)行所需的必備件9.7Requirementforspareparts:necessarysparepartsrequiredfornormalrunduringqualityguaranteeperiod.第10條索賠Article10Claim10.1如果合同設(shè)備在檢驗(yàn)、安裝、試運(yùn)行、性能考核和保證期內(nèi)賣方未能履行其在本合同項(xiàng)下承擔(dān)的義務(wù)，買方有權(quán)向賣方提出索賠并按下列方式處理：10.1IncasetheSellerfailsinperforminganyofitsobligationundertheContractduringtheinspection,erection,testrun,performancetestandwarrantyperiod,theBuyerhastherighttolodgeclaimsagainsttheSellerforthefollowingremedies:由賣方自負(fù)費(fèi)用修理有缺陷的合同設(shè)備。免費(fèi)維修與更換缺陷部件的期限為賣方收到買方通知后10天。如果賣方不能派遣人員到工作現(xiàn)場，買方有權(quán)自行修理或消除缺陷或不符合合同之處，由此產(chǎn)生的一切費(fèi)用均應(yīng)由賣方承擔(dān)。1)RepairthedefectiveContractEquipmentattheSeller’sexpenses.Theperiodforfreemaintenanceandreplacingthedefectivepartsandcomponentsis10daysaftertheseller’sreceiptofthenoticefromthebuyer.IncasetheSellerfailstodispatchitspersonneltotheJobSite,theBuyerhastherighttorepairoreliminatethedefectsordiscrepanciesbyitselffortheSeller’saccount.由賣方自負(fù)費(fèi)用以新設(shè)備替換有缺陷的合同設(shè)備或用新的技術(shù)資料替換有錯(cuò)誤的技術(shù)資料，或者補(bǔ)供遺漏的合同設(shè)備或技術(shù)資料，同時(shí)賣方應(yīng)在重新起算的保證期內(nèi)對替換后的設(shè)備做出質(zhì)量保證。賣方應(yīng)自負(fù)費(fèi)用和風(fēng)險(xiǎn)將替換或補(bǔ)供的設(shè)備運(yùn)抵工作現(xiàn)場。對于急需的設(shè)備，賣方應(yīng)自負(fù)費(fèi)用將其空運(yùn)到工作現(xiàn)場。2)ReplacethedefectiveContractEquipmentortechnicaldocumentationinerrorwithnewoneorsupplementtheomittedContractEquipmentortechnicaldocumentationattheSeller’sexpensesandtheSellershallwarrantthequalityofthesubstituteequipmentinanewlycalculatedwarrantyperiod.Thesubstituteand/orsupplementedequipmentshallbedeliveredtotheJobSiteattheSeller’scostandriskandtheequipmentinurgentneedshallbeairbornetotheJobSite.按缺陷的嚴(yán)重程度、買方受損害的程度及損失的多少對合同設(shè)備進(jìn)行降價(jià)。3)DevaluetheContractEquipmentaccordingtothedegreeofinferiority,extentofdamageandamountoflossessufferedbytheBuyer.拒收貨物,并由賣方退還買方合同價(jià)款和承擔(dān)相關(guān)的損失和費(fèi)用包括利息、銀行費(fèi)用、運(yùn)費(fèi)、保費(fèi)、檢驗(yàn)費(fèi)、倉儲費(fèi)、裝卸費(fèi)以及全部保管和維護(hù)被拒收貨物必需的其它費(fèi)用。4)Rejectthegoods,andtheSellershallrefundtotheBuyertheContractpriceandbearlossesandexpensesincludinginterest,bankingcharges,freight,insurancepremium,inspectioncharges,storage,stevedorechargesandallothernecessaryexpensesrequiredforthecustodyandprotectionoftherejectedgoods.賠償由賣方違約引起的其它損失。5)CompensateforotherlossesanddamagesarisingoutoftheSeller’sdefault.10.2如果索賠通知是在保證期滿后三十(30)天內(nèi)提出的，應(yīng)被認(rèn)為是有效的。10.2Theclaimnoticeshallbeeffectiveifitisissuednotlaterthanthirty(30)daysaftertheexpirationofthewarrantyperiod.10.3如果賣方在收到買方索賠要求后十四(14)天內(nèi)未能作出回復(fù)，該索賠要求將被視為已被賣方接受。10.3IncasetheSellerfailstoreplywithinfourteen(14)daysuponreceiptoftheBuyer’sclaim,theclaimshallberegardedasacceptedbytheSeller.不可抗力Article11ForceMajeure11.1如果任何一方當(dāng)事人受到戰(zhàn)爭、嚴(yán)重的火災(zāi)、臺風(fēng)、地震、洪水以及其他任何不能預(yù)見、不能避免且不能克服的不可抗力事件的影響而無法履行合同項(xiàng)下的任何義務(wù)，受影響的一方當(dāng)事人應(yīng)將此類事件的發(fā)生以傳真方式通知另一方當(dāng)事人并應(yīng)在不可抗力事件發(fā)生后十四(14)天內(nèi)以航空掛號信將有關(guān)當(dāng)局或機(jī)構(gòu)出具的證明文件提交給另一方當(dāng)事人。11.1ShouldeitherpartybepreventedfromperforminganyofitsobligationsunderthisContractduetotheeventofForceMajeure,suchaswar,seriousfire,typhoon,earthquake,floodandanyothereventswhichcouldnotbeexpected,avoidedandovercome,theaffectedpartyshallnotifytheotherpartyofoccurrenceofsuchaneventbyfaxandsendbyregisteredairmailacertificateissuedbycompetentauthoritiesoragencyconfirmingtheeventoftheForceMajeurewithinfourteen(14)daysfollowingitsoccurrence.11.2受不可抗力事件影響的一方當(dāng)事人對于不可抗力事件導(dǎo)致的合同義務(wù)的遲延履行或不能履行不承擔(dān)任何責(zé)任。但該方當(dāng)事人應(yīng)盡快以傳真的方式將不
