(hereinafterreferredtoasthe“Company”)areconfidentialandcanbringaboutmarketbenefits;鑒于(下公司”)的信息資源及技術(shù)具有保密性及市場(chǎng)效益。Whereas: (hereinafterreferredtoasduringyourservicewiththeCompany,directlyorindirectlytouchwith,know,understandandgraspthebusinessinformationandtechnicalinformationoftheCompany,andsuchbusinessinformationandtechnicalinformationarenotknowntothepublic,canbringeconomicbenefitstotheCompany,havebeentreatedbytheCompanyasconfidential,andbelongtotheCompany’strade鑒于(下你”)在公司工作期間,將直接或間接地接觸、知悉、了解和掌握公司的經(jīng)營(yíng)信息技術(shù)信息,而該經(jīng)營(yíng)信息和技術(shù)信息均屬于不為公眾所知悉、能為公司帶來(lái)經(jīng)濟(jì)利益,并已由公司采取保密措施,系屬公司的商業(yè)秘密;Whereas:Youunderstandandacknowledgethat,ifyoudisclosetoanyexistingorpotentialcompetitorsanyabove-mentionedbusinessinformationandtechnicalinformation,suchdisclosurewillcausetheCompanytobeinaverydisadvantageouscompetitivepositionanddamagetheCompany’sinterests;ifyouareemployedbyorserveanyenterprisecompetitivewiththeCompany,theemploymentorservicewillnecessarilycauseirremediabledamagetotheCompany;造成無(wú)可補(bǔ)救的損害;Therefore,accordingtotheCompany’snon-disclosuresystem,boththeCompanyandyou(hereinafterreferredtoas“bothparties”)agreeuponasfollowsthroughconsultation:因此,根據(jù)公司的保密制度,你與公司雙方(以下合稱“雙方”)經(jīng)協(xié)商,達(dá)成如下協(xié)議條款:Non-Competition競(jìng)業(yè)禁止CompetitionBehavior競(jìng)業(yè)行為YouagreethatduringyouremploymentwiththeCompanyyoushallinnoeventandwithoutanyclaimsforanyformsofcompensationconductanyCompetitionBehavior(asdefinedbelow).你同意在公司任職期間不可從事任何競(jìng)業(yè)行為(定義如下)Youfurtheragreethatfortheperiodof 6(six)monthsfollowingtheterminationofyouremploymentwiththeCompanyoroneofitsaffiliates(regardlessofthereasonsfortermination)(“Post-employmentNon-compete Period”), you will not conduct any Competition Behavior (Post CompetitionBehavior)inChinaarea.你進(jìn)一步同意在結(jié)束與公司或其關(guān)聯(lián)企業(yè)的勞動(dòng)關(guān)系后的六個(gè)月內(nèi)(無(wú)論離職原因?yàn)楹危ā半x職后競(jìng)業(yè)禁止期”),你不可在中國(guó)境內(nèi)從事任何競(jìng)業(yè)行為(或離職后競(jìng)業(yè)行為)CompetitionBehaviorreferstoyourbehaviorto,withoutfirstobtainingtheexpresswrittenconsentoftheCompany,whetheronyourownaccountorforanyotherperson,firmorcompanyandwhetherornotforcompensation,directlyorindirectly(whetherasprincipal,servant,agent,consultantorotherwise)beengagedasfollows:競(jìng)業(yè)行為是指你未事先獲得公司的書面同意,無(wú)論是為自己或?yàn)樗嘶驗(yàn)槠渌髽I(yè)或公司,無(wú)論有償或無(wú)償,直接或間接的從事以下行為:Operate,foryourselforforanyotherperson,anyproductorbusinessthesameasorsimilartotheCompany’sproductsorbusiness,ordirectlyorindirectlyinvestinanycompanyand/orenterpriseand/orothereconomicentityengaginginanyproductsorbusinessthesameassimilartotheCompany’sproductsorbusiness;自營(yíng)或?yàn)樗私?jīng)營(yíng)與公司相同或類似的產(chǎn)品或業(yè)務(wù),或直接或間接地投資于與公司從事相同或類似產(chǎn)品或業(yè)務(wù)的公司和/或企業(yè)和/或其他經(jīng)濟(jì)組織;Beretainedand/oremployedbyanycompanyand/orenterpriseand/orothereconomicentitywhosebusinessiscompetitivewiththeCompany’sbusiness,orprovideanyadvisoryservicesorotherassistanceforanyofsuchcompaniesand/orenterprisesand/orothereconomicentities,regardlessofthepositionheldbyyouandwhetheryouworkonafullorpart-timebasis;受聘和/或受雇傭于與公司業(yè)務(wù)構(gòu)成競(jìng)爭(zhēng)的公司和/或企業(yè)和/或其他經(jīng)濟(jì)組織,或提供任何咨詢服務(wù)或其他協(xié)助給前述此類公司、企業(yè)和其他經(jīng)濟(jì)組織,無(wú)論你擔(dān)任何種職位,亦不論系全職抑或兼職;Beentrustedto,orentrust,authorizeorpermitanythirdpartyto,engageinanybusinessthescopeprovidedintheabove-mentionedItemsa)andb);受托或委托、授權(quán)、允許第三方從事上述a)和b)項(xiàng)范圍內(nèi)的業(yè)務(wù);Theabove-mentionedcompaniesand/orenterprisesand/orothereconomicentitieswhosebusinessesarecompetitivewiththeCompany’sbusinesses,shallincludebutnotlimitedtothesuppliersoftechnology,productsandequipmentrelatingtotheindustryinwhichthecompanyinvolved,aslongastheyproduceorengageinthesameorsimilarproductsoftheCompanyorengageinthesameorsimilarbusiness;同類或相似的業(yè)務(wù);SolicitorendeavortoenticeawayfromtheCompanyoranyofitsaffiliatesanyemployees,distributors,retailstores,customers,oranyotherpersons/entitiesengagedbytheCompanyoraffiliatesinthecourseofconductingtheCompany’sbusiness,whetherornotsuchaperson/entitywillcommitanybreachofcontractbyreasonofleavingtheserviceorengagementoftheCompanyoritsaffiliates./DisclosetoanyunauthorizedpersonorpersonsormisuseanyconfidentialinformationorsecretsoftheCompanyoranyofitsaffiliates.向任何未授權(quán)的個(gè)人或群體披露或?yàn)E用公司或其關(guān)聯(lián)企業(yè)的任何機(jī)密信息或商業(yè)秘密。CompensationforPostEmploymentNon-Competition離職后競(jìng)業(yè)禁止之補(bǔ)償 BothpartiesacknowledgethattheCompanyhasthesolediscretiontodecidewhetherornotitwillrequestyourcompliancewithPostEmploymentNon-Competition.IftheCompanydoesrequestyoutocomplywiththenon-competitionrestrictionsinpostemployment,theCompanymayprovideyouapriornoticetoterminatethisAgreement.IftheCompanyrequestsyoutocomplywiththenon-competitionrestrictions,itwillpayyouareasonablecompensation.雙方同意,公司有權(quán)決定是否要求你遵守離職后競(jìng)業(yè)禁止的條款。若公司不要求你遵守離公司將給予合理的競(jìng)業(yè)禁止補(bǔ)償。 Inconsiderationofyouagreeingtoperformthenon-competitionobligationsasoutlinedinArticle1.1aboveduringthePost-employmentNon-competitionPeriod,theCompanyagreestopay you monetary compensation on a monthly basis during the Non-competitionPeriod. Theaforesaidmonetarycompensationshallbepaidintheamountof30%ofyouraveragemonthlysalaryforthelasttwelve(12)monthsprecedingtoyourdepartureifyouareemployedbyanon-competitoroftheCompany,ortheCompanywillpayyoutheaverageofyourmonthlysalaryforthelast twelve(12)monthsprecedingtoyourdepartureifyouareunemployedduetothenon-competitionrestrictionsandyoudonotengageinanyactionswhichviolateyournon-competitionobligationswiththeCompany(“Non-competitionCompensation”).Forthepurposeabove,youshallprovideproofofyouremploymentwithanew employer(s) or proof that you are unemployed on a monthly basis during Post-employmentNon-competitionPeriod,andtheproofyouprovideshallbeusedasthebasisofnon-competitioncompensationtobepaidbytheCompany.1.1條所言之競(jìng)業(yè)限制義務(wù)的條件下,公司單位就業(yè)的,該等經(jīng)濟(jì)補(bǔ)償?shù)慕痤~應(yīng)為你離職前十二個(gè)月的月平均工資的你離職前十二個(gè)月的月平均工資“競(jìng)業(yè)限制經(jīng)濟(jì)補(bǔ)償金。為此目的,你應(yīng)按月向公司付經(jīng)濟(jì)補(bǔ)償金的依據(jù)。 IftheaforesaidcalculationcausesthecompensationlowerthantheminimumwageofShanghaiMunicipality,thecompensationshouldbepaidaccordingtotheminimumwageofShanghaiMunicipality.按照上述方法計(jì)算的經(jīng)濟(jì)補(bǔ)償金若低于上海市最低工資標(biāo)準(zhǔn)的,則該等經(jīng)濟(jì)補(bǔ)償應(yīng)根據(jù)上海市最低工資標(biāo)準(zhǔn)支付。BreachofNon-CompetitionObligation 違反競(jìng)業(yè)禁止Ifyoubreachthecovenantscontainedherein,theCompanyshallnotberequiredtopaycompensationdescribedintheprecedingparagraph,andyouagreetopaytotheCompanythefollowing:若你違反本競(jìng)業(yè)禁止協(xié)議的規(guī)定,公司不會(huì)給予任何上述補(bǔ)償金,同時(shí)你同意支付公司下列款項(xiàng):TheequivalentoftheamountalreadypaidbytheCompanytoyouforPostEmploymentNon-Competition;and公司已經(jīng)給付你的離職后競(jìng)業(yè)禁止補(bǔ)償金全額,以及Penaltyequaltosix(6)timestheaveragemonthlysalaryofthetwelve(12)monthsprecedingyourdeparture;and相當(dāng)于你離職前十二個(gè)月的月平均工資的六倍的違約金;以及Anyotherdamagescausedbyyouduetoyourbreachofthecovenantsherein,includingbutwithoutlimitationlegalfees,witnessfees,etc.其它任何因你違反此競(jìng)業(yè)禁止條款所造成的公司損失,包括法律費(fèi)用、舉證費(fèi)等。YourecognizethedifficultyinprovingtheCompany’sdamageinmonetaryvalueandthereforeagreetoexempttheCompanyfromprovidingproofforitsdamageunderItem(c)above.你認(rèn)識(shí)到公司所受損失的貨幣價(jià)值難以舉證衡量,因此同意公司不負(fù)上述(c)項(xiàng)所述之損害的舉證責(zé)任。Furthermore,thetimeperiodfortherestrictionsetforthinthisparagraphshallbeautomaticallyextendedforaperiodequaltotheperiodofsuchnon-compliance.此外,此條款所載之競(jìng)業(yè)限制期間將自動(dòng)延長(zhǎng)到等同于違反此條款的期間。NotificationObligation 通知義務(wù)UponleavingfromtheCompanyandwithinsix(6)monthsofleavingtheCompany,youundertaketonotifytheCompanythenameofyournewemployer,ifany.TheCompanyreservestherighttoyournewemployeroftheexistenceandcontentsofyournon-competitionobligation.當(dāng)你離開公司時(shí)及之后的六個(gè)月內(nèi),你承諾將你的新雇主的名稱通知給公司(如有通知你新雇主有關(guān)你的競(jìng)業(yè)禁止義務(wù)之相關(guān)內(nèi)容的權(quán)利。ApplicableLawsandDisputeSettlement 法律適用和爭(zhēng)議解決Theconclusion,interpretation,content,andperformanceofthisAgreementshallbegovernedbythelawsofthePeople’sRepublicofChina.WithregardstoalldisputesarisinginconnectionwiththisAgreement,iffailedtobesettledbybothpartiesthroughconsultation,theyshallbesubmittedtothelabordisputearbitrationcommissionoracompetentpeople’scourtoftheplacewhere theCompanyislocated.本協(xié)議的成立、解釋、內(nèi)容、履行均受中華人民共和國(guó)法律的管轄。因本協(xié)議發(fā)生的所有爭(zhēng)議,Effectiveness效力ThisAgreementshallcomeintoforceasofthedatewhenitissignedbyyouandtheCompany.ThisAgreemen
