This deposit shall be placed with20and held by them in a joint account fo

6、r the Sellers and the Buyers, to be released in accordance21with joint written instructions of the Sellers and the Buyers. Interest, if any, to be credited to the 22Buyers. Payment付款方式25The said Purchase Price shall be paid in full free of bank charges to26on delivery of the Vessel, but not later than 3 banking days after the Vessel is in every respect27

Inspections 檢查30a)* The Buyers have inspec

9、ted and accepted the Vessels classification records. The Buyers 31 have also inspected the Vessel at/in on 32 and have accepted the Vessel following this inspection and the sale is outright and definite,33 subject only to the terms and conditions of this Agreement.34買方已經(jīng)檢查并承受船舶的船級(jí)記錄。買方也已經(jīng)在日期在地點(diǎn)對(duì)船舶進(jìn)展

11、舶檢查。The Buyers shall undertake the inspection without undue delay to the Vessel. Should the 38Buyers cause undue delay they shall pensate the Sellers for the losses thereby incurred.39買方應(yīng)該承諾該檢查不得給船舶造成無故不合理的延誤。如果買方造成了無故不合理的延誤，則應(yīng)當(dāng)賠償賣方因此而遭受的損失。The Buyers shall inspect the Vessel without opening up and

12、without cost to the Sellers. 40買方將檢查船舶，但不得翻開/拆開以及不能給賣方造成任何費(fèi)用。During the inspection, the Vessels deck and engine log books shall be made available for 41e*amination by the Buyers. If the Vessel is accepted after such inspection, the sale shall 42bee outright and definite, subject only to the terms an

When the Vessel is at the place54of delivery and in every respect physically ready for delivery in accordance with this 55 Ag

19、 not be ready for delivery by the canceling date they may notify the Buyers in 63writing stating the date when they anticipate that the Vessel will be ready for delivery and 64propose a new canceling date. Upon receipt of such notification the Buyers shall have the 65option of either canceling this

20、Agreement in accordance with Clause 14 within 7 running 66days of receipt of the notice or of accepting the new date as the new canceling date. If the 67Buyers have not declared their option within 7 running days of receipt of the Sellers 68notification or if the Buyers accept the new date, the date

Cancellation or failure

24、d the Vessel bee an actual, constructive or promised total loss before delivery 77the deposit together with interest earned shall be released immediately to the Buyers 78whereafter this Agreement shall be null and void.79如果在交接前該船舶實(shí)際全損，推定全損或協(xié)議全損，保證金連同所計(jì)利息將立即全數(shù)返還買方，此后本協(xié)議應(yīng)是作廢和無效。6.Drydocking / Divers I

25、nspection進(jìn)船塢/水下檢查/檢驗(yàn)80a)*The Sellers shall place the Vessel in drydock at the port of delivery for inspection by the 81Classification Society of the Vessels underwater parts below the deepest load line, the 82e*tent of the inspection being in accordance with the Classification Societys rules. If the

26、 83rudder, propeller, bottom or other underwater parts below the deepest load line are found 84broken, damaged or defective so as to affect the Vessels class, such defects shall be made 85good at the Sellers e*pense to the satisfaction of the Classification Society without 86 condition/remendation.*

27、 賣方應(yīng)在交船港口安排船舶進(jìn)塢，以承受船級(jí)社對(duì)低于最深載重線水下局部進(jìn)展檢驗(yàn)，檢驗(yàn)的圍程度要遵循船級(jí)社的規(guī)則。如果發(fā)現(xiàn)船舵、螺旋槳、船底或其它低于最深載重線的水下局部，有影響船舶船級(jí)的破裂、損壞或缺陷，則，賣方應(yīng)該承當(dāng)費(fèi)用完成這些缺陷的修復(fù)工作，直到符合船級(jí)社規(guī)定，并且不得遺留船級(jí)條件/批注*。87b)*(i)The Vessel is to be delivered without drydocking. However, the Buyers shall 88have the right at their e*pense to arrange for an underwater inspe

28、ction by a diver approved 89by the Classification Society prior to the delivery of the Vessel. The Sellers shall at their 90cost make the Vessel available for such inspection. The e*tent of the inspection and the 91conditions under which it is performed shall be to the satisfaction of the Classifica

29、tion 92Society. If the conditions at the port of delivery are unsuitable for such inspection, the 93Sellers shall make the Vessel available at a suitable alternative place near to the delivery 94port.船舶不安排進(jìn)船塢交船。然而，買方應(yīng)該有權(quán)在交船前安排由船級(jí)社認(rèn)可的潛水員進(jìn)展水下檢驗(yàn)，并自己承當(dāng)費(fèi)用。賣方應(yīng)該自費(fèi)安排船舶以備此類檢查。執(zhí)行此檢驗(yàn)的圍和條件應(yīng)符合船級(jí)社的要求。如果在交船地點(diǎn)的條件狀況

30、不適合這種檢驗(yàn)，賣方應(yīng)當(dāng)安排船舶在靠近該交船港口的一個(gè)適宜的替代地點(diǎn)進(jìn)展檢查。95(ii)If the rudder, propeller, bottom or other underwater parts below the deepest load line 96are found broken, damaged or defective so as to affect the Vessels class, then unless 97repairs can be carried out afloat to the satisfaction of the Classification So

31、ciety, the Sellers98shall arrange for the Vessel to be drydocked at their e*pense for inspection by the99Classification Society of the Vessels underwater parts below the deepest load line, the 100e*tent of the inspection being in accordance with the Classification Societys rules. If the 101rudder, p

32、ropeller, bottom or other underwater parts below the deepest load line are found 102broken, damaged or defective so as to affect the Vessels class, such defects shall be made 103good by the Sellers at their e*pense to the satisfaction of the Classification Society104without condition/remendation*. I

33、n such event the Sellers are to pay also for the cost of 105the underwater inspection and the Classification Societys attendance.如果發(fā)現(xiàn)船舵、螺旋槳、船底或其他低于最深載重線水下局部有影響船級(jí)的破裂、損壞或缺陷，除非能在船舶漂浮狀態(tài)下進(jìn)展維修并滿足船級(jí)社的要求，否則，賣方應(yīng)該自費(fèi)安排船舶進(jìn)塢和船舶船級(jí)社對(duì)低于最深載重線的水下局部進(jìn)展檢查，檢查的圍程度遵循船級(jí)社的規(guī)定。如果發(fā)現(xiàn)船舵、螺旋槳、船底或其他低于最深載重線水下局部有影響船級(jí)的破裂、損壞或缺陷，這些缺陷應(yīng)該由賣

34、方承當(dāng)費(fèi)用完成修復(fù)，直到符合船級(jí)社規(guī)定，并且不得遺留船級(jí)條件/批注*。在此情況下，賣方應(yīng)該承當(dāng)水下檢驗(yàn)費(fèi)用以及船級(jí)社驗(yàn)船師的出勤費(fèi)用。106(iii)If the Vessel is to be drydocked pursuant to Clause 6b) (ii) and no suitable dry- 107docking facilities are available at the port of delivery, the Sellers shall take the Vessel 108to a port where suitable drydocking facilitie

35、s are available whether within or outside the 109delivery range as per Clause 5b). Once drydocking has taken place the Sellers shall deliver 110the Vessel at a port within the delivery range as per Clause 5b) which shall, for the 111 purpose of this Clause, bee the new port of delivery. In such even

36、t the canceling date 112 provided for in Clause 5b) shall be e*tended by the additional time required for the 113drydocking and e*tra steaming, but limited to a ma*imum of 14 running days.如果船舶根據(jù)第6條(b)款(ii)項(xiàng)規(guī)定進(jìn)塢，但在交船港口并沒有適合的干船塢設(shè)施空閑可用，賣方應(yīng)安排船舶進(jìn)入一處具有適宜可用的干船塢的港口，無論是在第5(b)條款規(guī)定交船圍之或者之外。一旦船舶完成塢修，賣方應(yīng)該可以在第5(b

37、)條款規(guī)定的交船圍之任一港口進(jìn)展交船，為此，該港口應(yīng)當(dāng)成為新的交船港口。在此情況下，第5(b)條款規(guī)定的解約日，應(yīng)根據(jù)塢修工作所需增加的時(shí)間和額外航行時(shí)間而相應(yīng)地的延長(zhǎng)，但最長(zhǎng)不得超過14天。114c)If the Vessel is drydocked pursuant to Clause 6a) or 6b) above如果船舶根據(jù)上述條款6a或6b進(jìn)船塢115(i)The Classification Society may require survey of the tailshaft system, the e*tent of 116the survey being to the s

38、atisfaction of the Classification surveyor. If such survey is not 117required by the Classification Society, the Buyers shall have the right to require the tailshaft 118to be drawn and surveyed by the Classification surveyor. The e*tent of the survey being in 119accordance with the Classification So

39、cietys rules for tailshaft survey and consistent with 120the current stage of the Vessels survey cycle. The Buyers shall declare whether they 121require the tailshaft to be drawn and surveyed not later than by the pletion of the 122inspection by the Classification Society. The drawing and refitting

40、of the tailshaft shall be 123arranged by the Sellers. Should any parts of the tailshaft system be condemned or found 124defective so as to affect the Vessels class, those parts shall be renewed or made good at 125the Sellers e*pense to the satisfaction of the Classification Society without 126condit

42、ailshaft system shall be borne 128by the Buyers unless the Classification Society requires such survey to be carried out, in 129which case the Sellers shall pay these e*penses. The Sellers shall also pay the e*penses 130if the Buyers require the survey and parts of the system are condemned or found

44、Societys fees shall be paid by 134the Sellers if the Classification Society issues any condition/remendation* as a result 135of the survey or if it requires survey of the tailshaft system. In all other cases the Buyers 136shall pay the aforesaid e*penses, dues and fees.137如果是由于本次檢驗(yàn)導(dǎo)致船級(jí)社簽發(fā)任何船級(jí)條件/批注，或

45、者船級(jí)社要求對(duì)尾軸系統(tǒng)進(jìn)展檢驗(yàn)，則船舶進(jìn)塢和出塢的有關(guān)費(fèi)用，包括船塢費(fèi)和船級(jí)社費(fèi)用，都應(yīng)該由賣方承當(dāng)。在其它任何情況下，上述費(fèi)用應(yīng)由買方承當(dāng)。(iv)The Buyers representative shall have the right to be present in the drydock, but 138without interfering with the work or decisions of the Classification surveyor.139買方代表應(yīng)有權(quán)參加船舶在干船塢的檢查活動(dòng)，但不得阻礙船級(jí)社驗(yàn)船師的工作或決定。(v)The Buyers shall h

46、ave the right to have the underwater parts of the Vessel 140cleaned and painted at their risk and e*pense without interfering with the Sellers or the 141Classification surveyors work, if any, and without affecting the Vessels timely delivery. If, 142however, the Buyers work in drydock is still in pr

47、ogress when the Sellers have 143pleted the work which the Sellers are required to do, the additional docking time 144needed to plete the Buyers work shall be for the Buyers risk and e*pense. In the event 145that the Buyers work requires such additional time, the Sellers may upon pletion of the 146Se

48、llers work tender Notice of Readiness for delivery whilst the Vessel is still in drydock 147and the Buyers shall be obliged to take delivery in accordance with Clause 3, whether 148the Vessel is in drydock or not and irrespective of Clause 5b).149在不影響賣方或船級(jí)社驗(yàn)船師工作假設(shè)有，以及不影響船舶及時(shí)交接的前提下，買方應(yīng)該有權(quán)對(duì)船舶水下局部進(jìn)展清洗和

51、er the Vessel to the Buyers with everything belonging to her on board and on 155Shore. All spare parts and spare equipment including spare tail-end shaft(s) and/or spare 156propeller(s)/propeller blade(s), if any, belonging to the Vessel at the time of inspection used or 157unused, whether on board

52、or not shall bee the Buyers property, but spares on order are to be 158e*cluded. Forwarding charges, if any, shall be for the Buyers account. The Sellers are not required to 159replace spare parts including spare tail-end shaft(s) and spare propeller(s)/propeller blade(s) which 160are taken out of s

53、pare and used as replacement prior to delivery, but the replaced items shall be the 161property of the Buyers. The radio installation and navigational equipment shall be included in the sale162without e*tra payment if they are the property of the Sellers. Unused stores and provisions shall be 163inc
