5、.貨到付款:買方在收到貨物后天內(nèi)將全部貨款支付賣方(不適用于fb、cfr、cif術(shù)語)。cash n delivery (cd)：the buyers shall pay t the sellers ttal amunt within days after the receipt f the gds .(this clause is nt applied t the terms f fb，cfr，cif).12單據(jù)：賣給方應(yīng)將下列單據(jù)提交銀行議付/托收。dcuments ：the sellers shall present the fllwing dcuments required t the

10、ments n.directly t the buyers by curier service.13裝運條款：fb賣方應(yīng)在合同規(guī)定的裝運日期前30天，以電報/電傳/傳真通知買方合同號、品名、數(shù)量、金額、包裝件、毛重、尺碼及裝運港可裝日期，以便買方安排租船/訂艙。裝運船只按期到達裝運港后，如賣方不能按時裝船，發(fā)生的空船費或滯期費由賣方負擔。在貨物超過船舷并脫離吊鉤以前一切費用和風險由賣方負擔。the sellers shall ，30 days befre the shipment date specified in the cntract advise the buyers by cable

15、date by tl/fa/cable withinhurs .15質(zhì)量保證：quality guarantee :貨物品質(zhì)規(guī)格必須符合本合同及質(zhì)量保證書之規(guī)定，品質(zhì)保證期為貨到目的港個月內(nèi)，在保證期限內(nèi)，因制造廠商在設(shè)計制造過程中的缺陷造成的貨物損害應(yīng)由賣方負責賠償。the sellers shall guarantee that the cmmdity must be in cnfrmity with the quality and specificatins specified in this cntract and letter f quality guarantee .the gua

16、rantee peridnths after the arrival f the gds at the prt f destinatin ， and during the perid the sellers shall be respnsible fr the damage due t the defects in designing and manufacturing f the manufacturer.16商品檢驗：賣方須在裝運前日委托檢驗機構(gòu)對合同之貨物進行檢驗并出具檢驗證書，貨到目的港后，由買方委托檢驗機構(gòu)進行復(fù)檢。gds inspectin : the sellers shall

17、have the gds inspected by inspectin authrity days befre the shipment and issued the inspectin certificate . the buyers shall have the gds reinspected by $inspectin authrity after the gds arrival at the destinatin.17索賠claims:如經(jīng)中國共產(chǎn)黨檢驗機構(gòu)復(fù)檢，發(fā)現(xiàn)貨物有損壞、殘缺或品名、規(guī)格、數(shù)量及質(zhì)量與本合同及質(zhì)量保證書之規(guī)定不符，買方可于貨到目的港后天內(nèi)憑上述檢驗機構(gòu)出具的證明

18、書向賣方要求索賠。如上述規(guī)定之索賠期與質(zhì)量保證期不一致，在質(zhì)量保證期限內(nèi)買方仍可向賣方就質(zhì)量保證條款之內(nèi)容向賣方提出索賠。the buyers shall ldge claims against the sellers based n the inspectin certificate issued by china inspectin authrity days after the arrival f the gds at the destinatin ， if the gds are fund t be damaged ， missing r the specificatins ， qua

20、 quality guarantee.18延期交貨違約金late delivery and penalty除雙方認可的不可抗力因素外，賣方遲于合同規(guī)定的期限交貨，如買方同意遲延交貨，賣方應(yīng)同意對信用證有關(guān)條款進行個性和同意銀行在議付貨款時扣除本條規(guī)定的違約金。違約金總值不超過貨物總價值的5%，差率按7天.%計算，不滿7天仍按7天計算。在未采用信用證支付的情況下，賣方應(yīng)將前述方法計算的違約金即付買方。if the sellers fail t make delivery n time as stipulated in the cntract ， with eceptin f frce majeu
