5、eritor，tothepropertyofthecompany.1.5thecontraetfactorymeanstheplacewhichpartypartyamanufacturesthecontractproducts.thatis.1.6 sparep'menasreplacementpartsforcontractproductsorforanypartthere-of.1.7componentsmeansthosecomponentsandpartsofcontructproduetswhichpar-tybhasagreedormayfromtimetotimeagr

6、eeinwritingtopermitpartyatomanufactureorsell.1.8technicaldocumentsmeaneengineering，manufacturingandoriginatinginforna-tionrelatiogtothemanufactureandservicingofcontractproducts，includingdrawings，blueprints，designsheets，materialspecifications，photographs，photostatsandgeneralda-ta，anddesignsandpecific

7、ationsrelatingtomanufacturingcontractproducdtstoolsandfix-tures，butincludes，however，onlysuchinformationasisavailabletopartybandapplicabletotheoperationsofpartyaunderthiscontractwhichdetaileasperappendis1tothecon-tract.1.9netsellingpricemenansremainingamountofinvoicevalueofthecontractprod-ucts，afterd

8、eductionofpackahing，installationandfreightcharges，tradeanddiscount，commission，insuranceandtaxesandduties.ifany，directlyapplicabletotheprdduct.1.10thedateofcomingintoeffectofthecontractmeansthedateofraificationofthecontractbythemanagingconstructureofthepartiesorbythecompetentauthoritiesofbothparties，

9、whichevercomeslater.article2scopeofthecontract2.1partyaagreestoacquirefrompartybandpartybagreestotransfertopartyathepatentedtechnologyforcontractproducts.suchpatentedtechnologyshallbeinexactaccordancewiththetechnologyofpartybslatestproducts.2.2partybgrantspartyathenon-exclusiverighttodesignandmanufa

10、cturecontractproductsinchinaandtomarkdtthesaidproductsinchinaandabroad.2.3partybshallberesponsible toprovidepartyawithdocumentsrelevanttothesaidpaptentsandwithspecialfittingsofthesamplemachinetheirconcretedetailsandscheduleofdelivarybeingsetoutinappendix2tothecontract.2.4thecontractdoesnotc

11、overthepatentedtechnologyforthepartsfromothercoun-tres.butpartybshallprovidepartyawiththespecimensandthetecincalspecificationsandthenameofthemanufacturersoftheparts.2.5partybshallberesponsibleforthetrainingofpartyastechniclpersonnelinpartybsrelevantfacilitiesandalsodoitsbesttoenablepartyastechnicalp

12、ersonneltomasterthepatentedtechnplogyoftheaforesaidcontractproduct(detailsasperappendix5tothecontract).2.6partybisobligedtosendatitsownexpensetechnicalpersonneltopartyasfacto-ryfortechnicalservice(detailsasperappendix6tothecontract).2.7ifitisrequiredbypartya.pafrtybshallbeunderanobligationtoprovidep

13、artyaatthemostfavourablepricewityparts，accessories，rawmaterials，fittings，etc.forcon-trademarkthetwoparties.2.8partybgrantspartyatherignttousepartybstrademark，andusethecombinedtrade，markofbothpartiesormarkthewoudingproductionaccordingtolicensorslicenceonthecontractproduets.article3priceofthecontract3

14、.1priceofthecontractshallbecalculatedonroyaltyinaccordancewiththecontentandscopesipulatedinartice2tothecontractandshallbepaidin.3.2royaltyunderthecontractshallbepaidfrommonthsafterthethedateofcomingintoeffectofthecontractintermsofcalendaryear.thedateofsettlingaccountsshallbe31decemberofeachyear.3.3r

15、oyaltyattherateof%(percent)shallbecalcuatedintermsofnetsellingpriceafterthecontractproductsaresoldinthisyear，thecontractproductswhichnotsoldshallnotbeincluded.3.4thereportofthesellingquantity，netsellingamountofthecontractproductsandroyaltywhichshouldbepaidinlastyearshallbesubmittedtopartybinwrittenf

16、ormbypartyawithin10(ten)daysafterthedateofsettlingaccountstoroyalty.thespecificmethodswhichcalculatenetsellingamountandroyaltyaredetailedinappendix3tothecontract.3.5thecontractproductssoldbypartyapursuanttothepatentlicensehereingrantedshallbedeemedtohavebeensoldwhenpaidfor.3.6ifthecontractproductsar

17、ereturnedorallowancesmadethereonaftertheroyaltythereonhasbeenpaidpartyashallbeentitledtotakeppropriateerditforsuchoverpay-mentagainstroyaltiesthereafteraccruing.3.7ifpartybdemandtoaudittheaccountsofpartya，itshallnoticepartyawithinl0(ten)daysafterreceivingthewrittennoticeofpartyainaccordancewithartic

18、le3.4ofthecontract.thespeeificcontentandprocedureofauditingaccountsaredetailedinappendix4tothecontract.article4couditionsofpayment4.1royaltystipulatedinsection3tothecontractshallbeeffectedbypartyatoartybthroughthebank(hereitisthebusinessbankofpartya，andthebank(hereitisthebusinesbankofpartyb)，payrnen

19、tshallbesettledin.4.2partybshallimmediatelyissuetherelateddocumentsofterreceivingthewrittennotieesubmittedbypartyainaccordancewithartiele3.4ofthecontract，theroyaltyshallbepaidbypartyatopartybwithin30（thirty）daysafterpartyahasreceivedthefol-lowingdocumentswhichareprovidedbypartybandfoundtheminconfoum

20、itywiththestipulationsofthcontract.（1）fourcopiesofthestatementoncalculationoftheroyalty;（ 2） fourcopiesofthecommercialinvoice;（3）twocopiesofthesightdraft.4.3partyashallhavetherighttodeductfromanyoftheabovementionedpaymenttheppenaltiesand/orcompensationswhichpartybshallpayinaccordancewiththestipulati

21、onsofthecontract.article5technicalserviceandtraining5.1technicglservice（ 1） duringthevalidityperiodofthecontract，partybshallsendaspecialisttopartya'sfactorytoexplainthedrawingsandtechnicaldocumentsandtoprovideteehnicalserviseindesigning.manufacturing，adjustment，inspectionandmaintenanceofthecontr

22、actedpro-duetsotoeheblepartyatouse，asfastaspossible，homematerialsandrawcomponentswithoutaffeetingthepropertiesoftheproductssomanufactured.（2）partybshalltwicesenditsspecialiststopartyasfactorytoprovldetechnicalserviceforatotalof30workingdaysman.（ 3） thefirsttechnicalservicesha1lstartinthesixthmonthaf

23、terthecontraytcomesintoeffect.partybshallsendaspecialisttopartyasfactorytoprovidetechnicalservicefor12workingdays/man.（4）thesecondtechnicalserviceshallstartduringtheverificationofthecortractedproduets.parthbshallsendaspecialisttopartyasfactorytoprovidetechnicalservicefor18workingdays/man.（5）partybsh

24、all，foritsspecialistsbeartheirtravellingexpensee.parthashallberesponsibleforboardingandlodgingandaffordingthemeansof5.2conveyancefromthelodgingplacetothefactoty.technicaltraining（1）partybshalltrainpartyastechnicalpersonnelsoastoenablethemtomasterpartybsdesign，performancetestandtechnologyinmachining，

25、erectionandinspectionofthecontractedproducts，sothatpartyacanusethetechnicaldocumentsandknow-howsuppliedbypartybtoproducethesameproductsinthecontractfactory.partybshalldoitsbesttoarrangeforpartyaspersonneltovisitthemajorusersandthemanufacturingprocessofthecomponentsfromothercountriesofthecontractedpr

26、oducts.（2）partyashallsendtwiceitstechnicalpersonneltopartybsfactoryfortraining，andthetotalnumberoftheparticipantsshallnotexceed320days/man（excludingtheinter-preter）.（3）thefirsttrainingshallbefromthethirdtothefourthmonthafterthecontractcomesintoeffect.thereshallbe4technicalpersonsandaninterpretertobe

27、senttopartybfortrainingfor16oworkingdays/man（5daysweek）.thetrainingshallcoverthedesignofthecontractedproductsandmanufacturingtechnology.（4）thesecondtrainingshallbefromtheeighthtotheninethmonth.partyashallsent4technicalpersonsandaninterpretertopartybsfactoryfortrainingfor160workingdays/man（5daysperwe

28、ek）.thetrainingshallcoverthedesigning，themanufacturingtechnology，erectionandadjustmentofthecontractedproducts.（5）partyashallbearthetravellingexpensesofitstrainees;partybshallprovidepartyastraineesfreeofchargewithboarding，lodgingandmeansofconveyancefortravel-lingbetweenthelodgingplaceandthefactory.ar

30、farrival.6.3withintwenty-fourhoursafterthedespatchofeachlotofthetechnicaldocumente，partybshal1notifypartyabycableortelexofthecontractnumbernumberanddateoftheairconsignmentnote，itemsofthedocuments，numberofpieces，airmailtopartyatwocopiesofeachoftheairconsignmentnoteanddetaikledlistofthetechnicaldocume

31、nts.6.4ifthetechnicaldocumentsarefoumdlost，damagedormutilatedduringairtrans-portation，partybshallsupplypartyafreeofchargewithasecondlotofdocumentswithinthechortestpossibletimebutnotlaterthanthirtydaysafterithasreceivedfrompartyathewrittennotice.withinsixtydaysafterpartyahasreceivedthedocumentsfrompartyb，ifpartyadoesnotdeclaretheshortageandrequesttocoverthesame，itiscon
