4、o the packing.包裝：用牢固的適于長途空運(yùn)的紙箱或木箱或集裝箱包裝,賣方對所有因不適當(dāng)?shù)陌?裝而引起的銹蝕及損壞而負(fù)責(zé)任.4.SHIPPING MARKThe Seller shall mark on each package with fadeless paint the package number, gross weight , net weight , measurement and the wordings:Keep away from moisture ,Handle with Care THIS SIDE UP etc. and the shipping mark.嗟

PAYMEN咐款(A) The Buyers shall open an irrevocable letter of credit with Bank of China, Beijing , in favor of the Sellers , for the total value of the shipment.The credit shall be available against Seller s draft d

7、rawn at sight on the opening bank for 90% invoice value accompanied by the shipping documentsspecified in Clause 10 hereof. Payment shall be effected by the opening bank against presentation to them the aforesaid draft and documents. The letter of credit shall be valid until the 21thday of the shipm

8、ent is effected.The remaining 10% shall be released against the final acceptance certificatesigned by the Buyer and the Seller.買方將通過中國銀行開出一份金額為發(fā)貨全額以賣方為受益人的不可撤銷的信用證.信用證將隨同賣方的即期匯票和合同第十章所述單據(jù)及向開證行議付90滁額發(fā)票.開證行將憑所提示的上述單據(jù)付款.信用證的有效期為發(fā)貨后的21天.(B) After shipment , the Sellers may draw on the Buyers at sight an

9、d send the draft together with the shipping documents specified in Clause 10 hereofto the Buyers through the Seller s bank and Bank of China , Beijing for co llection.發(fā)貨后,賣方可以通過其銀行向中國銀行提交合同第十章規(guī)定的單據(jù)向賣方托收.(C) The Buyers shall effect the payment within fifteen working days by Telegraphic Transfer again

10、st the Buyer receipt the documents stated in Clause 9of the contract from the Seller and found them in order.買方在收到賣方按第九章所規(guī)定的單據(jù)并審核無誤后的十五個(gè)工作日內(nèi)以電匯的方式 支付貨款.10. DOCUMENTS 據(jù)(1) Each original and Photostatted Airway Bill marked Freight to Collect/Freight Prepaid , contract number and shipping marks , and c

11、onsigned to Buy ers notifying the Buyers.The third partys documents are acceptable.The Airway Bill issued by Air-Lines (Aviation Co.) or the House Airway Bill (HAWB) issued by the agent named by the Buyer for air transportation shall be acceptable. The HAWB not issued by agent named by the Buyer sha

12、ll not b e acceptable.注明運(yùn)費(fèi)預(yù)/到付,合同號(hào)和麥頭收貨人為買方,通知買方的空運(yùn)提單正副本各一份.第三方文件可以接受.航空公司簽發(fā)的運(yùn)單或買方的運(yùn)輸代理簽發(fā)的分運(yùn)單可以接受.非買方的運(yùn)輸代理簽發(fā)的分運(yùn)單不可以接受.(2) Invoice in 6 (six ) originals indicating contract number and container numbers made out in details as per the relative contract.一式六份標(biāo)明合同號(hào)和集裝箱號(hào),并詳列與附件一致的發(fā)票(如有兩個(gè)以上的集裝箱應(yīng)分別列明).(3) Pa

13、cking list in 6 (six ) copies issued by the Manufacturer.一式兩份由生產(chǎn)廠家開出的與發(fā)票相符的裝箱單.(4) Certificate of quality and quantity issued by the Manufacturer由生產(chǎn)廠家開出的品質(zhì)/數(shù)量證書.(5) Copy of cable/fax/telex to the Buyer advising the particulars of shipment immediately after shipment is made.一份裝船后電傳/ 通知買方發(fā)貨的發(fā)貨通知.(6) F

14、or CIF terms , one original and one copies of Insurance Policy for 110% of the invoice value , showing claims payable in China , incurrency of t he draft , blank , covering air transportation All Risks and War Risks.在CIF條件下,保險(xiǎn)單一份正本兩份副本兩份.(7) One Photostatted copy of effective Export License issued b

15、y the Government , if necessary.如有必要一份政府出具的出口許可證.In addition , the Seller shall , within 7 days after shipment , send by airmail one set of aforesaid documents (except item 5) one set directly to theBuyers and one set to the Buyers by Fax within 48 hours after shipment.另外,賣方應(yīng)在交貨后的七天內(nèi)空郵上述一套單據(jù)不含第五項(xiàng)給買方

16、,并在發(fā)貨后48小時(shí)內(nèi) 一套給買方.The number of the document and their contents shall be complete and correc t , if the Buyer fails to pass the Customs and take-over the goods in time due to the Seller not having provided the documents specified as above, all losses shall be borne by the Seller.上述文件的數(shù)量和內(nèi)容應(yīng)是完整無誤.假設(shè)由

SHIPMENTThe seller shall , 15 days before the date of shipment stipulated in the Clause 5 of the contract , advise the Buyer by fax of the contract No., commodities , quantity , value , number of package , gross weight , measurement and date of readiness at the

18、port of shipment.The Seller shall pay any taxes , custom duties and fees as well as charges levied in respect of the exportation of the goods contracted, and bear risks of the goods before the goods have been delivered to the above-mentioned air carrier at the port of shipment specified in the contr

19、act.賣方應(yīng)在本合同第5條所述的裝運(yùn)日期前15天以 通知買方合同號(hào),商品名稱,數(shù) 量,總價(jià),裝箱數(shù)量,重量,體積及在起運(yùn)港的備貨日期.賣方應(yīng)自負(fù)與出口貨物有關(guān)的各種稅賦,關(guān)稅及費(fèi)用,并承擔(dān)貨物的全部風(fēng)險(xiǎn)直到貨 物被交付前述的起運(yùn)港空運(yùn)承運(yùn)人掌握.In case of FOB:The Seller shall deliver the goods within the time of deliver into the charge of the air carrier or his agent named by the Buyer at the port of shipment specifie

20、d in the contract.在FOB青況下：賣方負(fù)責(zé)在裝運(yùn)期內(nèi)將貨物運(yùn)輸?shù)胶贤?guī)定的交貨港交付由買方指定的 空運(yùn)承運(yùn)人或其代理掌握.In case of CFR:The Seller shall deliver the goods within the time of delivery from the port of delivery to port of destination. The Seller shall, immediately after dispatch of the goods, advise the Buyer by fax of the contract No.

21、 , commodity , invoice value and the date of dispatch for the Buyer to arrange insurance in time.Should the port of destination marked on the airway bill be found not in conformity with the stipulations of this contract, the Buyer shall have theright to refuse to effect the payment.在CFR青況下：賣方負(fù)責(zé)在裝運(yùn)期內(nèi)

23、ods contracted sha ll be borne by the Seller.在CIF,情況下：賣方負(fù)責(zé)在裝運(yùn)期內(nèi)將貨物從裝運(yùn)港運(yùn)輸?shù)侥康母?與出口貨物有關(guān)的 合同貨物的運(yùn)費(fèi),保險(xiǎn)費(fèi)由賣方承擔(dān).12. SHIPPING ADVICEThe Sellers shall , immediately upon the completion of the loading of the g oods, advise by fax the Buyers of the Contract No., commodity , quantity, invoiced value , gross weigh

24、t and date of sailing etc. In case the Buye r fails to arrange insurance in time due to the Seller not having informed in time , all losses shall be borne by the Seller.裝運(yùn)通知：賣方應(yīng)該在貨物裝船完畢后,馬上通知買方合同號(hào),貨物,數(shù)量,發(fā)票金 額,毛重,船名及起航時(shí)間.如果由于賣方?jīng)]有及時(shí)通知買方發(fā)貨時(shí)間而導(dǎo)致買方?jīng)] 有投保,所有的損失將由賣方負(fù)擔(dān).13. GUARANTEE OF QUALITYThe Sellers gua

25、rantee that the commodity hereof is made of the best materials with first class workmanship , brand new and unused , and complies in al l respects with the quality and specification stipulated in this Contract a nd conforms to the data sheets or technical manuals of the commodities cont racted. The

26、guarantee period shall be 12 months counting from the date on w hich the commodity arrives at the port of destination, and /or counting from the date on which the Acceptance Certificate has been signed by the repr esentatives of both parties , if the installation and inspection for accept ance of th

28、 except those claims for which the insurance company or th e owners of the vessel are liable , the Buyers shall , on the strength of t he Inspection Certificate issued by the State Administration of Import and Export Commodities Inspection of the People s Republic of China (hereinaft er referred to

29、as SACI) , have the right to claim for replacement with new goods, or for compensation or repair and all expenses (such as inspection charges , repairing fee , freight for returning the goods and for sending t he replacement , or the repaired goods , insurance premium , storage and lo ading and unloading charges etc.) shall be borne
