5、Buyer,freeonboardvesselspouttrimmedattheloadingport.7.2 NoticeofReadinessmaybetenderedduringofficehour(Monday-Friday:09:00-17:00,Saturday:09:00-13:00)afterthevesselhasarrivedattheloadingport,whetherinberthornot,whetherinportornot,providedthevesselisinallrespectsreadytoloadandsubjecttofreepratiquebei

6、nggrantedpriortooronarrivalattheberth.Laytimeforloadingshallcommencetwelve(12)hours(exceptIndonesian6majorholidays-IdulFitri2days,IdulAdha1day,IndependenceDay1day,Christmas1day,NewYear1day)afterNoticeofReadinessistenderedorwhenloadingcommences,whicheverisearlier.Ifafterberthingthevesselisfoundnottob

7、einfreepratiqueandinallrespectsnotreadytoloadorfreepratiqueisnotgrantedonarrivalattheberth,laytimeshallbedeemednottohavecommenceduntilwhenthevesselisinfactinfreepratiqueandinallrespectsreadytoload7.3 Fortheloadingofeachshipmentunderthiscontract,theSellershallprovide,freeofchargetotheBuyer,asafeancho

8、rageorasafeberthatloadingportwherethevesselcan,whenfullyladen,safelyreachandleaveandwhereshecanalwaysliesafelyafloat.7.4 TheSellershallloadcoalonboardthevesselatthefollowingloadingrate:8,000mtPWWDSHINCexcepttheabovementioned6MajorIndonesianholidaysAllcostsrelatingtotheberthingandsailingofthevesselar

9、etobefortheaccountoftheVesselOwner/Buyer(i.e.Tugboats,Linesmen,HarbourDues,Governmentchargesetc.).CoalloadingchargesarefortheaccountoftheSeller.7.5 IftheSellerfailtomeettheloadingrequirementsspecifiedinClause7.4,theSellershallpaydemurragetotheBuyerforalltimelostaftertheexpirationoflaytimeallowed.Ift

10、heSellercancompleteloadingearlierthanthelaytimeallowed,theBuyershallpaydispatchmoneytotheSellerforlaytimesaved.7.6 DemurrageanddispatchratetobeasperrelevantCharterParty.DemurrageordispatchmoneyshallbesettledbetweentheSellerandtheBuyerwithin45daysfromthedateofcompletionofloadingofthecoal(B/Ldate).7.7

11、 Anytimelostbyreasonofanyofthefollowing(whetherornottheVesselisalreadyonDemurrage)shallnotbecountedasLaytimeorforDemurrage:(i) awaitingpratique,Customsclearance;(ii) inwardpassagefromanchorageuntiltheVesselissecurelymorredattheberth;(iii) dischargeofballasttotheextentthatthisisnotconcurrentwithloadi

12、ngandwhichcausesdelayattheloadingberth;(iv) restrictionsimposedbytheOwner,chartererormasteroftheVessel;(v) timespentinfirsttimeopeningand/orlasttimeclosinghatchcovers;(vi) timespentinconductingadraftsurveyoftheVessel,ifapplicable,priortotheloadingofthecoalor,bytherequestoftheVesselside,duringtheload

13、ingoftheCoal;(vii) breakdownorfailureoftheVesseltocomplywiththerequirementsorregulationsoftheloadingportcausingdelayorrestrictiontoloadingoperations;(viii) cleaningandinspectionoftheVesselsholds;(ix) anyotherdelayattributabletotheVesselortheBuyersAgents.LoadingshallbedeemedtobecompletedandLaytimeand

14、Demurrageshallceaseuponcompletionofthespouttrimmingoperation.7.8 TheBuyer/OwnershallappointashippingagentnominatedbySellerattheloadingport.TheSellershallberequestedtomakeclosecontactwiththeshippingagent.8. QualityDetermination:8.1 TheSellershall,atitsowncost,appointanIndependentSurveyortocarryoutthe

15、samplingandanalysisofthecoalatatheloadingportinaccordancewithClause4aboveandissueaCertificateofQualitydetailingtheresultsobtainedinrespectofcoalloaded.Theanalysisresultssodeterminedattheloadingportshallbefinalandbindinguponthepartieshereto.8.2 Thethree“samplesets”shallbeestablishedforeachshipmentand

16、distributedasfollows:a) OnesamplesetshallbeusedforanalysisofthatshipmentofcoalbyIndependentSurveyorattheloadingporttodetermineitsqualityandcharacteristicpursuanttoClause8.1.b) Onesamplesetshallbedeliveredwithin7daysaftertheB/LdateattheSellercosttotheBuyerinasuitableairtightcontainer,properlysealedan

17、dlabeled,byairparcelorinsuchothermannerastheBuyermaydirect.c) OnesamplesetshallberetainedbyIndependentSurveyorattheloadingportinasuitableairtightcontainer(hereinafterreferredtoas“UmpireSample”),properlysealedandlabeled,foraperiodofthreemonthsaftercompletionofloadingofthatshipmentofcoal.8.3 QualityDi

18、screpancyTheBuyermay,within45daysfromthedatethedischargingportInspectionCertificateofQualityisreleased,challengethequalityofcoal,supportedbyanalysiscarriedoutbyCIQ(Chinaentry-exitinspectionandQuarantineBureau).Insuchevent,UmpireSampleshallbesenttoanInternationalIndependentSurveyorLaboratory(UmpireLa

19、boratory)inthethirdcountryagreeablebybothpartiesforanalysisandthedeterminationbysuchlaboratoryofthequalityofsaidshipmentofcoalshallbefinal,conclusiveandbindingontheparties;provided,however,thatifthedifferencebetweensuchUmpireLaboratorysdeterminationhereunderandthedeterminationofIndependentSurveyorat

20、theloadingportunderClause8.1iswithinthetolerancelevelrecognizedundertherelevantISOstandardsfor“reproducibility”,suchdifferenceshallbedisregardedforallpurposesandthedeterminationofIndependentSurveyoratloadingportshallbefinal,conclusiveandbindingonthebothparties.ThecostoftheanalysisbysuchUmpireLaborat

21、oryshallbeborneandpaidforbythepartywhoseanalysisresultsdiffermorefromtheUmpireLaboratorysdetermination.IftheUmpireLaboratorysdeterminationstandsatthemiddlebetweentheloadingportresultsandthedischargingportresults,thenbothpartiesshallsharethecostoftheanalysisoftheUmpireSample.8.4 TheBuyershallhavether

22、ighttoappointarepresentativetoattendandobservetheweightandqualitydeterminationattheloadingportatanytimeandatitsownexpenses.9. WeightDetermination:Thesellershallathisowncost,determinetheweightoftheshipmentattheloadingportbymeansofdraftsurveywhichshallbeconductedbyanIndependentInspectionCompanyatloadi

23、ngportasperClause8,whoshallissuetheCertificateofWeightandtheDraftSurveyReport.Theresultofwhichisfinalandbindinguponthepartieshereto.10. Payment:Byirrevocable,atsightletterofcreditinaformatagreeabletotheSeller,openedbyafirstclassbankagreeabletotheSellerandpayableatthecountersofanyfirstclassinternatio

24、nalbanknominatedbytheSeller.SuchL/Ctobereceivednolaterthanfifteen(15)runningdayspriortothecommencementdateofthelaycanofeachshipment.SellershallnotberesponsibleforthecostofanydelaysinloadinganominatedshipmentduetoanyfailureoftheBuyercomplywiththesepaymentterms.TheL/Cshallcover100%thevalueofthequantit

28、t,- OncopytotheCertificateofOrigin.Thetotalamountoftheinvoiceshallbecalculatedtothenearestcents.Theweightshallbecountedtothenearestmetricton.Partialshipmentnotallowed.Transshipmentnotallowed.11. Taxes,Dutiesetc.:Alltaxes,duties,levies,duesetc.ofthecoalloadingintothevessel,ifany,attheportofloadingsha

29、llbetotheSellersaccount.Alltaxes,duties,levies,duesetc.ofthecoaldischargingfromthevessel,ifany,atthedischargingpotshallbetotheBuyersaccount.12. ForceMajeure:12.1 TheSellershallnotbeliabletotheBuyernorshallbetheBuyerbeliabletotheSellerforanydelayorfailureintheperformanceofobligationsunderthiscontract

30、ifsuchdelayoffailureisduetoorresultfromorisconsequentialuponMajeure.Theterm“ForceMajeure”shallincludebutnotlimitedtonaturalcalamities,actsofpublicenemies,insurrections,strikes,lockouts,labororunionorganizedreductionofproduction,fires,war,explosions,floods,interruptionoftransportationoressentialsuppl

31、iesandservices,embargoes,ordersoractsofcourts,governmentorgovernmentalauthoritiesandanyothercauseeventorcircumstancenotwithinthecontrolofthepartyclaimingsuspensionwhich,bytheexerciseofduediligence,suchpartyisunabletopreventorovercome.12.2 Thepartywhoseperformanceofanyobligationisaffectedbyreasonofan

32、ythecausesreferredto12.1shallpromptlygivenoticethereofbyfaxtotheotherpartyfollowed,assoonaspracticablebyanoticeinwritingsettingforththeparticularsoftherelevanteventand,ifpossible,supportingevidenceissuedbythecompetentgovernmentalauthoritieswithin14days.Thepartysoaffectedshalltakereasonablestepstores

33、umewiththeleastpossibledelayincompliancewithitsobligationunderthiscontractbutshallnotberequiredtosettleanystrike,lockoutorotherlabordifficultyontermsnotacceptabletoit.12.3 ForceMajeureshallnotrelieveeitherpartyfrommakingpaymentduetotheotherparty.13. Law/Arbitration:GOVERINGLAW:Thiscontract,including

34、thearbitrationclause,shallbegovernedby,interpretedandconstruedinaccordancewithEnglishlaw.AnydisputethatmayariseoutoforinrelationtothisAgreement,whichcannotbesettledbymutualunderstandingbetweenSellerandBuyer,shallbereferredtotheLondonInternationalEconomicandTradeArbitrationCommission(LIETAC)interpretationandsettlement.ThearbitrationshallbeinEnglishantthedecisionshallbefinalandbindingonbothparties.ARRBITRATION:AlldisputesorcontroversiesarisingbetweentheSellerandtheBuyerunderorinconnectionwiththiscontractshallbesubmittedtotheLondonIntern
