3、itment1) 甲方將如上的模具寄存于乙方。所有寄存模具的所有權(quán)歸甲方所有。非經(jīng)甲方書面同意，乙方不得為自己或他人復(fù)制或仿制該模具。Party A puts the above moulds in Party B. The own ership of the storage mouldsbelongs to Party A. Party B cannot copy or imitate the moulds for itself or for others without the writte npermissi on of Party A.2) 乙方承諾不去掉寄存模具上的名稱和標(biāo)記，并將這

4、些寄存模具與其它企業(yè)的物品分開存放，使這些寄存模具能夠很容易地被辨別出來。Party B promises not to remove the n ame and marks on the storage moulds and keep them separately with other items in order that they can be identified easily.3) 任何寄存于乙方的本約模具只能由受過專門培訓(xùn)的員工使用和操作。除正常磨損外，乙方承諾對 這些寄存模具 進(jìn)行維護(hù)以使其保持良好的狀態(tài)，且保管期間發(fā)生的一切費(fèi)用由乙方承擔(dān)。在保管或使用這 些寄存模具時，乙方要

5、為這 些模具投保，保險(xiǎn)金額應(yīng)等同于這些寄存模具的替換成本，若有丟失或損壞， 則以同等價格賠付給甲方。 Only specially trained staff can use and operate the moulds. In addition to normal wear and tear, Party B promises to maintain the storage moulds in order to keep them in good condition and undertake all the costs that occurred during the keeping ti

6、me. Party B should buy insurance for the storage moulds when keeping or using them. The insurance amount should be equal to the replacement cost of the storage moulds. If lost or damaged, Party B should compensate Party A with the mould price listed on the agreement.4) 乙方應(yīng)當(dāng)對用寄存模具生產(chǎn)出的樣件進(jìn)行檢驗(yàn)，以確定這些模具是否

7、符合甲方的工程圖紙和規(guī)范 要求。乙方必 須在收到甲方的書面確認(rèn)樣件合格后正式批量生產(chǎn)產(chǎn)品。Party B should inspect the samplewhich is produced by the storage mould to determine whether the moulds fit with the engineering drawings and specifications from Party A. Party B will start mass production after receiving the written confirmation and acce

8、ptance from Party A.5) 乙方每月向甲方提交一份有關(guān)各模具的維護(hù)報(bào)告。報(bào)告內(nèi)容應(yīng)包括：上一個月對模具進(jìn)行維護(hù)的 情況以及該模 具的當(dāng)前狀況。 Party B should submit a monthly maintenance report about the moulds to Party A. The report should include the moulds maintenance conditions of last month and its currentsituation.6) 未經(jīng)甲方書面同意，乙方如利用或提供本約之模具為甲方以外之人加工、生產(chǎn)或?qū)⑵?/p>

9、生產(chǎn)之產(chǎn)品 銷售給甲方以 外之任何人時，乙方須給付甲方其生產(chǎn)、轉(zhuǎn)售總值之十倍違約金。 If Party B uses the storage mould to process, produce or manufacture the products to sell to any person other than Party A without the written permission of Party A, Party B shall pay Party A of its production and resale value of ten times the penalty.7) 甲方

10、可隨時取回該模具，乙方不得以任何理由扣留，否則自甲方要求取回該模具之日起，每逾期 一日，按該模 具總價之 25%進(jìn)行罰款，由甲方支付給乙方之貨款中自行扣除。如貨款不敷抵扣時，由乙方另行賠償。 Party A can takeback the storage moulds at any time, Party B should not detain them for any reason or from the date that PartyA required to take back the moulds, each overdue day, Party B shall pay the pe

11、nalty of 25% of total mouldscost to Party A and the penalties will be deducted from the mouldskeeping cost paid to Party B. If payment is insufficient to offset, Party B should pay for the compensation separately.and technical information which四、 保密責(zé)任 / Confidentiality 未經(jīng)甲方允許，乙方不得將甲方所提供的圖紙及技術(shù)資料以口頭、書

12、面、出示和借用的方式轉(zhuǎn)泄露給第三 方。如有發(fā)生 信息泄露 , 甲方有權(quán)追究其法律責(zé)任。 Without the permission of Party A, Party B should not disclose the drawingsare provided by Party A in oral, written, showing and lending way to the thirdParty. If Party B revealed such information, Party A has the right to pursue Party B s legal responsibi

13、lity. 五、 其他約定 / Others1) 本協(xié)議受中華人民共和國的法律法規(guī)管轄，并應(yīng)依照中華人民共和國的法律法規(guī)解釋。 The agreement shall be governed by, and interpreted in accordance with, the laws and regulations of the People s Republic of China.2) 除非雙方采用書面形式，否則對本協(xié)議的任何修正均屬無效。Any amendments to this agreement shall not bevalid unless made by the Parti

14、es in writing.3) 本協(xié)議一式兩份， 每份皆具有同等法律效力。 This agreement is madein two original copies, both of which are equally valid.4) 本協(xié)議在雙方簽訂本協(xié)議之日立即生效。 This agreement shall take effect immediately upon thedate of execution by the Parties.5) 凡涉及本協(xié)議或因本協(xié)議而發(fā)生的所有爭執(zhí)，都應(yīng)通過友好協(xié)商解決。如果在書面要求協(xié)商的通知 發(fā)出后的三 十 (30) 天內(nèi)不能解決， 則該爭執(zhí)應(yīng)提交

15、乙方所在地有管轄權(quán)的法院進(jìn)行裁決。All the disputes andcontroversies of every kind and nature between the Parties arising out of or in connection with the agreementor the execution hereof shall be settled by friendly negotiation between the Parties. If no settlement canbe reached within thirty (30) days after delivery of the written notice requesting the said negotiation, suchdispute or controversy shall be submitted a competent court located in the business place of Party A for judgment.6) 當(dāng)本協(xié)
