3、 the mold delivery to)三、模具開(kāi)發(fā)周期及要求/Work Day & Requirement1) 模具的開(kāi)發(fā)周期/ Mold Work Day首件樣件完成時(shí)間/Time of fin ishi ng first product of mold:從接到訂單到首件樣品完成需要 天/days from buildi ng time ARO (after receipt of order) to first POM (product of mold) samplepour;開(kāi)發(fā)時(shí)間/Development Time:從首件樣品到整個(gè)樣件提交需要 天/days from fi

4、rstsample pour to sample submissi on.2) 模具驗(yàn)收/Mold Inspection:模具必須符合甲方的技術(shù)要求。The product shall completely fit the tech ni cal requireme nts.精品資料3) 由于模具的開(kāi)發(fā)周期和質(zhì)量問(wèn)題造成甲方項(xiàng)目延期,乙方將賠償甲方的一切損失。 If Party A 's projectdelayed due to the work day and the quality of the mold, Party B should compensate Party A fo

5、r all the losses.四、模具的維護(hù) /Mold Maintenance正常使用壽命內(nèi)的模具在生產(chǎn)過(guò)程中發(fā)生的損壞或磨損,相關(guān)的維修及保養(yǎng)等都由乙方負(fù)責(zé)。 If the mold iswithin the normal working life but damaged or worn during the production process, Party B should be responsible for the related repair and maintenance.五、模具費(fèi)用的支付 /Payment Terms在鑄件得到最終用戶(hù)的確認(rèn)及甲方收到最終用戶(hù)模具費(fèi)用后3

6、0 天內(nèi)支付。 Party A will fully pay to Party Bwithin 30 days after casting approval by final customer, and receipt of tooling payment by party A.六、模具所有權(quán) /Ownership模具的 所有權(quán) 為甲方所有 ,甲方享有收回和處理的權(quán)利。 Mold 's ownership belongs to Party A. Party A enjoys the right to taking back and dealing with the mold.七、保密責(zé)

7、任 /Confidentiality1) 未經(jīng)甲方允許，乙方不得將甲方所提供的圖紙及技術(shù)資料以口頭、書(shū)面、出示和借用的方式轉(zhuǎn)泄露 給第三方。 如有發(fā)生信息泄露 ,甲方有權(quán)追究其法律責(zé)任。 Without the permission of Party A, Party B should not disclose the drawings and technical information which are provided by Party A in oral, written, showing and lending way to the third Party. If Party B r

8、evealed such information, Party A has the right to pursue Party B 's legal responsibility.2) 當(dāng)雙方履行完該協(xié)議后，乙方必須歸還甲方所提供的用于開(kāi)發(fā)該模具的所有保密信息及其全部副本 (不論其是否是在計(jì)算機(jī)磁盤(pán)、光盤(pán)讀取器、光盤(pán)、硬盤(pán)或軟件中或硬拷貝載體上存儲(chǔ)、保存或記錄的) ； 如果乙方退還上述保密信息及其全部副本為不可行，則應(yīng)將其銷(xiāo)毀，或者從計(jì)算機(jī)或其他電子系統(tǒng)中將其 刪除或抹除。 After the Parties fulfill the agreement, Party B should

9、return to Party A all confidential information and all copies of developing the mould thereof whether or not the same are stored, maintained or recorded in computer disks, CD-ROM drives, CD-ROMs, hard disks or software or in hard copy format and, to the extent that it is not feasible to return the s

10、ame, shall destroy such confidential information or cause the same to be deleted or erased from any computer or other electronic system.八、其他約定 /Others1) 本協(xié)議受中華人民共和國(guó)的法律法規(guī)管轄，并應(yīng)依照中華人民共和國(guó)的法律法規(guī)解釋。 The agreement shall be governed by, and interpreted in accordance with, the laws and regulations of the Peop

11、le 's Republic of China.精品資料Any amendments to this agreement2) 除非雙方采用書(shū)面形式，否則對(duì)本協(xié)議的任何修正均屬無(wú)效。 shall not be valid unless made by the Parties in writing.3) 本協(xié)議一式兩份， 每份皆具有同等法律效力。 This agreement is made in two original copies, both of which are equally valid.4) 本協(xié)議在雙方簽訂本協(xié)議之日立即生效。This agreement shall ta

12、ke effect immediately upon thedate of execution by the Parties.5) 凡涉及本協(xié)議或因本協(xié)議而發(fā)生的所有爭(zhēng)執(zhí)，都應(yīng)通過(guò)友好協(xié)商解決。如果在書(shū)面要求協(xié)商的通知 發(fā)出后的三十 (30) 天內(nèi)不能解決， 則該爭(zhēng)執(zhí)應(yīng)提交乙方所在地有管轄權(quán)的法院進(jìn)行裁決。 All the disputes and controversies of every kind and nature between the Parties arising out of or in connection with the agreement or the executi

13、on hereof shall be settled by friendly negotiation between the Parties. If no settlement can be reached within thirty (30) days after delivery of the written notice requesting the said negotiation, such dispute or controversy shall be submitted a competent court located in the business place of Party A for judgment.6) 當(dāng)本協(xié)議中文文本與英文文本發(fā)生歧義時(shí)，應(yīng)以中文文本為準(zhǔn)。The Chinese version of thisagreement will prevail if ther
