1、2000年國際貿(mào)易術(shù)語解釋通則一一 FOB （中英文版）FOB船上交貨（指定裝運港）船上交貨（ 指定裝運港）"是當貨物在指定的裝運港越過船舷，賣方即完成交貨。這意味著買方 必須從該點起承擔貨物滅失或損壞的一切風險。FOB術(shù)語要求賣方辦理貨物出口清關(guān)手續(xù)。該術(shù)語僅適用于海運或內(nèi)河運輸。如當事各方無意越過船舷交貨，則應使用FCA術(shù)語。A賣方義務B買方義務A1提供符合合同規(guī)定的貨物賣方必須提供符合銷售合同規(guī)定的貨物和商業(yè)發(fā)票或有同等作用的電子訊息，以及合同可能要求的、 證明貨物符合合同規(guī)定的其他任何憑證。B1支付價款買方必須按照銷售合同規(guī)定支付價款。A2許可證、其他許可和手續(xù)賣方必須自擔風

2、險和費用，取得任何岀口許可證或其他官方許可，并在需要辦理海關(guān)手續(xù)時，辦理岀 口貨物所需的一切海關(guān)手續(xù)。B2許可證、其他許可和手續(xù)買方必須自擔風險和費用取得任何進口許可證或其他官方許可，并在需要辦理海關(guān)手續(xù)時，辦理貨物 進口和在必要時從他國過境的一切海關(guān)手續(xù)。A3運輸合同和保險合同a）運輸合同無義務。b ）保險合同無義務。B3運輸合同和保險合同a）運輸合同買方必須自付費用訂立從指定的裝運港運輸貨物的合同。b）保險合同無義務。A4交貨賣方必須在約定日期或期限內(nèi)，在指定的裝運港，按照該港習慣方式，將貨物交至買方指定的船只上。B4受領(lǐng)貨物買方必須在賣方按照 A4規(guī)定交貨時受領(lǐng)貨物。A5風險轉(zhuǎn)移除B5規(guī)

3、定外，賣方必須承擔貨物滅失或損壞的一切風險，直至貨物在指定的裝運港越過船舷為止。B5風險轉(zhuǎn)移買方必須按照下述規(guī)定承擔貨物滅失或損壞的一切風險：自貨物在指定的裝運港越過船舷時起；及由于買方未按照B7規(guī)定通知賣方，或其指定的船只未按時到達，或未接收貨物，或較按照B7通知的時間提早停止裝貨，則自約定交貨日期或交貨期限屆滿之日起，但以該項貨物已正式劃歸合同項下，即 清楚地劃出或以其他方式確定為合同項下之貨物為限。A6費用劃分除B6規(guī)定者外，賣方必須支付與貨物有關(guān)的一切費用，直至貨物在指定的裝運港越過船舷時為止；及在需要辦理海關(guān)手續(xù)時， 貨物岀口需要辦理的海關(guān)手續(xù)費用及岀口時應交納的一切關(guān)稅、稅款和其他

4、費用。B6費用劃分買方必須支付貨物在指定的裝運港越過船舷之時起與貨物有關(guān)的一切費用；及由于買方指定的船只未按時到達，或未接收上述貨物，或較按照B7通知的時間提早停止裝貨，或買方未能按照B7規(guī)定給予賣方相應的通知而發(fā)生的一切額外費用，但以該項貨物已正式劃歸合同項下，即 清楚地劃出或以其他方式確定為合同項下之貨物為限；及在需要辦理海關(guān)手續(xù)時，貨物進口應交納的一切關(guān)稅、稅款和其他費用，及辦理海關(guān)手續(xù)的費用，以及貨物從他國過境的費用。A7通知買方賣方必須給予買方說明貨物已按照 A4規(guī)定交貨的充分通知。B7通知賣方買方必須給予賣方有關(guān)船名、裝船點和要求交貨時間的充分通知。A8交貨憑證、運輸單據(jù)或有同等作

5、用的電子訊息賣方必須自付費用向買方提供證明貨物已按照A4規(guī)定交貨的通常單據(jù)。除非前項所述單據(jù)是運輸單據(jù)，否則應買方要求并由其承擔風險和費用，賣方必須給予買方一切協(xié)助，以取得有關(guān)運輸合同的運輸單據(jù)（如可轉(zhuǎn)讓提單、不可轉(zhuǎn)讓海運單、內(nèi)河運輸單據(jù)或多式聯(lián)運單據(jù)）。如 買賣雙方約定使用電子方式通訊，則前項所述單據(jù)可以由具有同等作用的電子數(shù)據(jù)交換（EDI）訊息代替。B8交貨憑證、運輸單據(jù)或有同等作用的電子訊息買方必須接受按照 A8規(guī)定提供的交貨憑證。A9查對、包裝、標記賣方必須支付為按照 A4規(guī)定交貨所需進行的查對費用（如核對貨物品質(zhì)、丈量、過磅、點數(shù)的費用）. 賣方必須自付費用，提供按照賣方訂立銷售合同

6、前已知的該貨物運輸（如運輸方式、目的港）所要求的包裝（除非按照相關(guān)行業(yè)慣例，合同所述貨物無需包裝發(fā)運）。包裝應作適當標記。B9貨物檢驗買方必須支付任何裝運前檢驗的費用，但岀口國有關(guān)當局強制進行的檢驗除外。A10其他義務應買方要求并由其承擔風險和費用，賣方必須給予買方一切協(xié)助，以幫助其取得由裝運地國和/或原產(chǎn)地國所簽發(fā)或傳送的、為買方進口貨物可能要求的和必要時從他國過境所需的任何單據(jù)或有同等作用的電 子訊息（A8所列的除外）.應買方要求，賣方必須向買方提供投保所需的信息。B10其他義務買方必須支付因獲取A10所述單據(jù)或有同等作用的電子訊息所發(fā)生的一切費用，并償付賣方因給予協(xié)助而發(fā)生的費用。FOB

7、FREE ON BOARD(named port of shipment)s rail at the named“ Free on Board" means that the seller delivers when the goods pass the ship port of shipment. This means that the buyer has to bear all costs and risks of loss of or damage to thegoods from that point. The FOB term requires the seller to

8、clear the goods for export. This term can be used only for sea or inland waterway transport. If the parties do not intend to deliver the goods across the ship ' s rail, the FCA term should he used.A THE SELLER S OBLIGATIONSB THE BUYER S OBLIGATIONSA1 Provision of goods in conformity with the con

25、urpose of delivering the goods in accordance with A4.The seller must provide at his own expense packaging (unless it is usual for the particular trade to ship the goods of the contract description unpacked) which is required for the transport of the goods, to the extent that the circumstances relati

26、ng to the transport (for example modalities, destination) are made known to the seller before the contract of sale is concluded. Packaging is to be marked appropriately.B9 Inspection of goodsThe buyer must pay the costs of any pre - shipment inspection except when such inspection is mandated by the

27、authorities of the country of export.A10 Otber obligationsinThe seller must render the buyer at the latter' s request, risk and expense, every assistanceobtaining any documents or equivalent electronic messages (other than those mentionedin A8) issuedor transmitted m the country of shipment and/or of originwhich the buyer may require for the import of the goods and, where necessary, for their transit through any country.The seller must provide the buyer, upon request, with the necessary information for procuring insurance.B10 Other obligationThe buyer must pay all costs and charge
