The produc

3、t 雙方同意，由買方向賣方采購(gòu)xxxxxxxxxxxxx。Both parties agreed that The buyer purchase xxxxxxxxxxx (hereinafter referred as “xxxxxxxxxxx”) from the seller. 二、 采購(gòu)數(shù)量及價(jià)格2. Quantity and price買方本次下訂單采購(gòu)xxxxxxxxxxx，數(shù)量及價(jià)格見(jiàn)下表。 The buyer shall place an order of xxxxxxxxxxx , with quantity and price set below table,三、 樣品、質(zhì)量

Quality and sampling Inspection如約定以樣品作為質(zhì)量標(biāo)準(zhǔn)，應(yīng)約定：樣品的封存辦法視產(chǎn)品的類型不同而不同， 體積較小的產(chǎn)品可以在雙方監(jiān)督下，用信封封存且雙方在封口蓋章。大的樣品也可以找公證保存。同時(shí)，雙方也可以在合同或封袋上對(duì)質(zhì)量進(jìn)行書面描述。In the event that the parties agree to verify quality as per sample product, we need to stipulate that: Method of sample-sealing shall vary from different pro

5、duct. Sample of small size product can be sealed in an envelope with both parties chop on the seal, under both parties supervision. Sample of big size product can be preserved by Notary. Moreover, both parties can stipulate the quality in the contract or on the sealing bag. 賣方生產(chǎn)完成后應(yīng)及時(shí)通知買方，買方將派人員到賣方工

6、廠現(xiàn)場(chǎng)驗(yàn)收，包括檢驗(yàn)貨物的儲(chǔ)存、包裝、標(biāo)簽和裝運(yùn)，進(jìn)行數(shù)量清點(diǎn)、表面檢查、取樣等。取樣的方式是：每批由檢驗(yàn)人員隨機(jī)取樣一百臺(tái)。 The seller shall notify The buyer the finish of production and The buyer shall arrange inspector(s) to implement inspection & acceptance in the factory of The seller, include verify the storage, packing, marking, loading and will co

The sampling shall be conduct as follow, the inspectors sample 100xxxxx from the batch. 取樣后，在雙方代表的監(jiān)督下，根據(jù)第一條的標(biāo)準(zhǔn)對(duì)產(chǎn)品進(jìn)行檢查，驗(yàn)證產(chǎn)品是否合格。雙方約定，如果抽樣產(chǎn)品的合格率(僅限主要功能)低于90%，則買方有權(quán)解除合同；如果抽樣產(chǎn)品的合格率(僅限主要功能)高于90%（含）低于95%，則產(chǎn)品的價(jià)格應(yīng)在原先基礎(chǔ)上下調(diào)2%。上述合格率應(yīng)當(dāng)按返工換貨后的合格率計(jì)算。After the sampling, the prod

It is agreed that if the pass rate(for main function) is below 90%, The buyer shall has the right to cancel the Contract and if more than 90%(in

The aforesaid pass rate shall be the rate after one time reproduction. 如設(shè)備需要安裝，亦可約定有關(guān)政府部門的驗(yàn)收并發(fā)合格證為驗(yàn)收，同時(shí)盡量使合同的質(zhì)量標(biāo)準(zhǔn)與政府驗(yàn)收的標(biāo)準(zhǔn)一致；盡量避免提出客戶驗(yàn)收的事項(xiàng)，使付款條件盡快成就。In the event that the product need to be installed, we suggest we governmental

Also we suggest the quality norm shall be the same as governmental inspection & acceptance. Thus we can speed up the payment. 四、 交貨4. Delivery交貨日期為：xxxxxxxx。賣方在深圳倉(cāng)庫(kù)（地址為xxxxxxx）交

11、貨后，應(yīng)當(dāng)提供必要的用于買方出口的單據(jù)：包括不限于清潔海運(yùn)提單、三份簽章的商業(yè)發(fā)票、三份裝箱單、兩份原產(chǎn)地證、商檢證、CE證書等技術(shù)資質(zhì)證書）。買方收貨人員為：xxx(身份證號(hào)xxxxx)。如賣方要求延遲交貨，則應(yīng)當(dāng)承擔(dān)每天xx元的倉(cāng)儲(chǔ)費(fèi)用。買方如對(duì)交付產(chǎn)品的瑕疵（包括不限于數(shù)量、質(zhì)量、型號(hào)種類等）有異議，應(yīng)當(dāng)在交付后十五天內(nèi)向賣方提出；（或買方如對(duì)交付產(chǎn)品的瑕疵（包括不限于數(shù)量、型號(hào)種類等）有異議，應(yīng)當(dāng)在交付時(shí)向賣方提出，對(duì)質(zhì)量的異議應(yīng)當(dāng)在交付后十五天內(nèi)提出。）The delivery date shall be xxxxxx. In the event that the buyer request a postpone of delivery, the buyer shall pay a daily warehouse expense at RMB xxxx. The buyer is obliged t

14、o raise a claim within 15 days after the delivery to the seller in the event that there is any defect(e.g. quantity, type, quality)of the goods. (The buyer is obliged to raise a claim when delivery to the seller on defect of quantity, type and to raise a claim on quality within 15 days after deliver

15、y.) 五、 付款及進(jìn)度5. Payment and proceedings買方應(yīng)當(dāng)于下訂單后匯付25%的定金，并于深圳倉(cāng)庫(kù)收貨后再匯付55%，收到賣方17%的增值稅發(fā)票后，買方再支付20%余款。The buyer shall T/T 25% of the contract value after placing the order and shall T/T 55% after receipt the goods in Shenzhen warehouse. After receipt 17% VAT invoice, The buyer shall T/T the balance of 2

In case that transactions are long term purchases, any late payment for one order shall cause that all orders delivered automatically change to due and payable. 如屬長(zhǎng)期采購(gòu)，則約定如有任何一次交貨的付款超過(guò)付款期限，則所有已交貨都應(yīng)當(dāng)立即付款；In the even that there is installation and the payment be made after inspection and acceptanc

17、e, it can be provided that: In case that the buyer fails to inspect and accept the installation or relating governmental inspection and acceptance does not finished due to the buyer, the buyer shall pay the installment provided within 30 days after the seller inform the buyer the completion of insta

18、llation. 如有安裝事項(xiàng)，約定驗(yàn)收后有部分付款的，可約定：由于非賣方原因致使相關(guān)部門未能按期前來(lái)驗(yàn)收的或買方未能按期驗(yàn)收的，自賣方書面告知買方安裝完工、可交付使用之日起30日內(nèi)，買方應(yīng)向賣方支付余款。The ownership of the goods remains to the seller before the buyer finishes full payment. 買方未付清貨款，貨物所有權(quán)仍歸賣方所有。六、 包裝要求6. Packing Requirementxxxxxxx包好xxxxxxx，并內(nèi)置于xxxxxxx，然后裝入xxxxxxx中，選擇的紙箱規(guī)格需經(jīng)過(guò)買方的同意。x

20、er-sales service雙方同意質(zhì)保的范圍應(yīng)為產(chǎn)品自身質(zhì)量問(wèn)題造成的問(wèn)題，非賣方原因的產(chǎn)品問(wèn)題不在質(zhì)量保證范圍內(nèi)。前述非賣方原因包括不限于以下情形：The parties agree that quality guarantee shall only cover defects due to the product itself, and shall not cover defects due to other reasons. Abovementioned other reasons include but not limited to:1) 因買方運(yùn)輸過(guò)程中造成的問(wèn)題；Defect

21、 due to transportation by the buyer; 2) 因買方使用不當(dāng)而造成的問(wèn)題； Defect due to improper operation or usage by the buyer; 3) 未經(jīng)認(rèn)可或授權(quán)的維修公司維修或未經(jīng)賣方認(rèn)可或授權(quán)的安裝公司不適當(dāng)?shù)陌惭b所導(dǎo)致的問(wèn)題；Defect due to improper installation or maintenance by company not approved or authorized by the seller; 4）因不可抗力造成的問(wèn)題，包括不限于洪水、地震、泥石流、海嘯等；Defect d

22、ue to force majeure, include but not limited to flood, earthquake, mudslide, tsunami. 5）因失竊、火災(zāi)等人為因素造成的問(wèn)題；Defect due to theft, fire; 6）未經(jīng)賣方認(rèn)可的配套設(shè)備或配套部件材料造成的問(wèn)題；Defect due to supporting facility or material; 7）耗材需要更換；Consumable parts or materials;         &#

23、160;                              建議雙方約定質(zhì)量保證期少于兩年。否則無(wú)須約定，法定為兩年。It is suggested that the quality guarantee period be less than 2 years. Otherwise it is

24、 not necessary to provide it, the mandatory period is 2 years. 八、 知識(shí)產(chǎn)權(quán)保護(hù)及保密8. Intellectual property protection and confidentiality買方不得以任何方式（包括不限于復(fù)制、模仿等）侵犯賣方產(chǎn)品所含有的知識(shí)產(chǎn)權(quán)（名稱及標(biāo)志、專利、商標(biāo)、商業(yè)秘密、版權(quán)等）；雙方亦應(yīng)對(duì)本合同內(nèi)容保密；The buyer is prohibited to infringe the intellectual property(name and symbol, patent, trademark,

25、commercial secret, copyright) contained in the goods in any methods(include but not limited to counterfeiting, copying). The parties is obliged to keep the content of this contract in confidential. 九、 違約責(zé)任9. Liability on breach of the contract買方延遲付款，應(yīng)承擔(dān)每天0.01%未付款的違約金，但違約金不超過(guò)合同價(jià)值的30%；如延遲付款超過(guò)xxx天，買方亦可

26、選擇解除合同收回貨物，并以追索違約金、運(yùn)費(fèi)以及按每日0.2%計(jì)算的折舊費(fèi)；In the event of the buyers late payment, the buyer shall bear a daily penalty at 0.01% of outstanding payment. If the late is more than x days, The seller shall has the right to choose to terminate the contract , return the goods and pursue the penalty, freight a

27、nd depreciation charge(0.2% per day).賣方為方便安裝或驗(yàn)收而先行承擔(dān)費(fèi)用不影響賣方嗣后依約主張買方承擔(dān)的權(quán)利。In the event that the seller pay relating expense for the buyer to speed up the installation or inspection & acceptance, the seller shall still has the right to recover the payment from the buyer. 十、不可抗力十. Force Majeure賣方如因

28、不可抗力而造成交貨的延誤，可得以免責(zé)。如發(fā)生不可抗力情形，賣方應(yīng)立即于五天內(nèi)將情況書面通知買方，并盡快傳真和航空快遞發(fā)送相關(guān)證明，作為相應(yīng)的證據(jù)。在此情況下，賣方仍然有義務(wù)采取一切必要的措施來(lái)促成貨物的交付。The seller shall not be held responsible for the delay in delivery due to Force Majeure. The seller who encounter Force Majeure shall advise the buyer of the occurrence mentioned above within five

29、 days thereafter, shall fax and send by airmail to the buyer as evidence thereof. Under such circumstances the seller, however, is still under the obligation to take all necessary measures to hasten the delivery of the goods. 十一、爭(zhēng)議解決11. Dispute Settlement本合同適用中華人民共和國(guó)法律；如在合同執(zhí)行過(guò)程中有爭(zhēng)議，雙方應(yīng)當(dāng)進(jìn)行協(xié)商；如協(xié)商無(wú)法解決，

30、因本合同引起的或與本合同有關(guān)的任何爭(zhēng)議，均提請(qǐng)深圳仲裁委員會(huì)按照該會(huì)仲裁規(guī)則進(jìn)行仲裁。仲裁裁決是終局的，對(duì)雙方均有約束力。敗訴一方應(yīng)當(dāng)承擔(dān)對(duì)方發(fā)生的相關(guān)費(fèi)用，包括不限于律師費(fèi)、差旅費(fèi)等。This Contract will be interpreted in accordance with the law of the Peoples Republic of China. All disputes arising from or in connection with this Contract shall be submitted to Shenzhen Arbitration Commiss

31、ion for arbitration in accordance with its rules of arbitration in effect at the time of applying for arbitration. The arbitral award is final and binding up on both parties.
