2、sultancy to the preliminary design concept of XXXXX project, and to assist XXXXX in completing preliminary design drawings.甲方授權(quán)委托乙方執(zhí)行其在 xxxxX展示工程初步設(shè)計(jì)概念的顧問(wèn)工作，并幫助甲方完成初 步設(shè)計(jì)稿。2. Project stages 項(xiàng)目階段The project shall be carried out in cooperation and in close guidance by the xxxxxx. The general consulting

3、 plan shall be provided before the design starts, a detailed plan shall be sent to xxxxx after each biding conference or press release meeting as follows: An idea explanation presentation shall be showed within 7 days after the tender starting date. A draft design drawing shall be submitted within 7

4、 days after the first presentation meeting between xxxxxxxx and xxxxxxxx. Following the meeting of draft design drawing, a number of amendments requested by x shall be carried out. The final presentation of the preliminary design shall be submitted within 3 days before the bidding deadline to assist

5、 xxxxx in completing the tendering documents.本項(xiàng)目應(yīng)在相互合作以及吸取xxxxX指導(dǎo)方針的前提下開(kāi)展。乙方應(yīng)在設(shè)計(jì)前期提供整體咨詢(xún)計(jì)劃書(shū)，每次招標(biāo)或信息發(fā)布大會(huì)后，乙方也應(yīng)按如下提供詳細(xì)計(jì)劃：投標(biāo)開(kāi)始后的 七日內(nèi)向甲方展示初步設(shè)想；設(shè)想探討會(huì)議結(jié)束后的七日內(nèi)遞交設(shè)計(jì)草圖，遞交后，乙方 須執(zhí)行甲方的修改要求；最終初始設(shè)計(jì)稿應(yīng)在招標(biāo)截止期前三天內(nèi)交予甲方，從而幫助甲 方整理其投標(biāo)文件。3. Term of validity 合同效力期限The consultancy contract shall apply from 1 Jan 2011 to 31

Force Majeure 不可抗力“ Force Majeure ” under the contract means the external circumstances that can not be foreseen, avoided and surmounted in the process of fulfilment of the contract, the incidents of which makes either party fails to fulfill th

7、e obligations under the contract, such as wars, riots, government behaviors, earthquake, fire, storms, floods or other severe weathers.本合同下的 “不可抗力 ”是指在執(zhí)行合同的過(guò)程中不能被預(yù)見(jiàn)、避免、克服的外在因素，從 而導(dǎo)致合同任意一方無(wú)法履行合同責(zé)任，如戰(zhàn)爭(zhēng)、暴亂、政府行為、地震、火災(zāi)、風(fēng)暴、 洪水或其他惡劣天氣。5 / 6The period required to complete the obligations shall be extended a

Intellectual Property Rights and confidentiality知識(shí)產(chǎn)權(quán)與保密XXXXX

9、shall ensure that the results of his design are not with any flaw to any right and none of the rights of third parties is impinged, and shall ensure that XXXXX is not claimed by any third party for using XXXXXs design results to be against the intellectual property rights. Should the case above occu

10、r, XXXXX shall be responsible for disposing and assuming all legal liabilities arised therefrom.乙方應(yīng)確定其設(shè)計(jì)不存在任何所有權(quán)瑕疵，不會(huì)牽涉到任何第三方的權(quán)利，并保證甲方不 會(huì)因使用乙方的設(shè)計(jì)而產(chǎn)生侵權(quán)賠償。如果發(fā)生上述情況，乙方應(yīng)負(fù)責(zé)處理所有因此造成 的法律責(zé)任。All texts, graphics, charts, datas and other documents described about this project are the properties belonging to XX

XXXXX shall not disclose any information of this project to any third party without authorization, shall not use any of the documents and informations above in any other project, otherwise, all resulting legal liabilities shall be assumed by XXXXX. 本項(xiàng)目涉及的所有材料均屬于甲方。乙方在未授權(quán)的情況下，不應(yīng)向任何第三方透露本項(xiàng) 目的任何信息

12、，也不能在其他項(xiàng)目中使用本項(xiàng)目的任何資料與信息，否則，由此產(chǎn)生的法 律責(zé)任由乙方負(fù)責(zé)。The copyright (except authorship) of the design results in this project is belonging to XXXXX. XXXXX shall not use the design results under this project on the irrelated intentions and purposes to the project, shall not authorize any third party or disclose

XXXXX may inform XXXXX before using the design results submitted by XXXXX on other occasions besides this project, XXXXX shall not have any right to reject the foregoing acts.本項(xiàng)目涉及的所有版權(quán)(除著作權(quán)外)均屬于甲方，乙方不得在與本項(xiàng)目無(wú)關(guān)的意圖或 目的下使用其設(shè)計(jì)成果，也不可以授權(quán)第三方或透露任何設(shè)計(jì)細(xì)節(jié)。甲方在與本項(xiàng)目無(wú)關(guān) 的場(chǎng)合下使用乙方提交

14、的設(shè)計(jì)成果，可提前告知乙方，乙方無(wú)權(quán)拒絕前述行為。All technologies, laws and financial informations relating to this contract are trade secrets, shall not be disclosed to the third parties listed out of the contract without the consent of all parties under the contract, otherwise, the telltale party shall be liable to assum

15、e 10% of the total contract price for breach of the contract to the other party. Should the compensation not be sufficient for the actual losses, the amount of the compensation shall be increased in accordance with the actual losses. 與本項(xiàng)目相關(guān)的所有技術(shù)、法律和金融信息都被視為商業(yè)秘密，任何一方不得透露給合同 外的第三方，否則，泄密的一方因違約須賠償合同總額的

The first installment shall be 30% of the budget (RMB 129,000), the second installment shall be 30% of the budget (RMB 129,000), the third installment shall be 40% of the budget (RMB 172,000). 18、XX Design B.V. 款項(xiàng)支付情況如下： 合同款共 43 萬(wàn)人民幣，分三期支付，第一期、第二期各支付總款項(xiàng)的 30% (即壹拾貳萬(wàn) 玖千元整)，第三期支付總款項(xiàng)的 40%(即壹拾柒萬(wàn)貳千圓整)。款項(xiàng)應(yīng)匯入 XXXXX 的 銀行賬戶(hù)：7. Scope of service服務(wù)范圍XXXXX shall provide the individual services described during the specified time period. The decision as to the priority of the individual measures shall be t

20、d on a high international standard.設(shè)計(jì)概念 乙方協(xié)助甲方確定上海自然博物館(上?？萍拣^分館)項(xiàng)目的設(shè)計(jì)概念，并保證概念的國(guó) 際化高標(biāo)準(zhǔn)。ConsultancyXXXXX offers individual consultanting services to XXXXX in different phases of the project and direct XXXXX to a way of which a proper design result could come out. Experienced and qualified experts shal

21、l be transferred to XXXXX during the design period as required.咨詢(xún)顧問(wèn)工作 乙方向甲方提供不同階段的咨詢(xún)顧問(wèn)服務(wù)，引導(dǎo)甲方更好的完成設(shè)計(jì)成果。設(shè)計(jì)期內(nèi)，乙 方應(yīng)根據(jù)需要將有經(jīng)驗(yàn)和資質(zhì)的專(zhuān)家調(diào)職到甲方。PresentationsXXXXX is in charge of all the presentations designed for Shanghai Nature History Museum (subbranch of Shanghai Science and Technology Museum).
