境外代理銷售協(xié)議

1、海外代理協(xié)議SALES AGENC Y AGREEMENT編號/No:日期/Date:此協(xié)議是雙方在平等互利基礎(chǔ)上建立的，共同遵守下列條款：This Agreeme nt is made among the parties concerned on the basis of equality and mutual ben efits to develop bus in ess on terms and con diti ons mutually agreed up on as follows:1. 協(xié)議相關(guān)各方當事人The parties concerned生產(chǎn)商：鴻安企業(yè)(香港)子公司宜昌瑞

2、英機電有限公司(以下簡稱 甲方”Manu facturer: Subsidiary of Hano ver En terprises Ltd.Yicha ng Union Inc. (here in after referred to as Party A)代理商：(以下簡稱乙方”Age nt:(here in after referred to as Party B)2. 獨家代理權(quán)的授予 Appo in tme nt of Exclusive Age nt甲方授權(quán)乙方為其單頭電磁爐產(chǎn)品在日區(qū)域特約總經(jīng)銷商，全權(quán)負責甲方 生產(chǎn)的產(chǎn)品在日本市場的推廣，銷售和售后服務事宜。Party A her

3、eby appo ints Party B as its sole age ncy in the Japa n market to en gage in the promotio n, sales and after sales service of its sin gle-hob in ducti on cooker.產(chǎn)品：由甲方生產(chǎn)的單頭電磁爐。Commodity: Sin gle-hob in ducti on cookers produced by Party A.代理區(qū)域：僅限日本區(qū)域內(nèi)Territory: In Japa n on ly.3. 訂單的確認 Con firmation

4、 on Orders關(guān)于協(xié)議所規(guī)定的上述商品的每筆交易，其數(shù)量、價格及裝運條件等以甲 乙雙方另行簽定的銷售合同為準。4. 付款 Payment Terms訂單確認后，乙方須通過 T/T先向甲方支付30%定金，在出貨前須將余款通 過T/T的方式付清，或者按照有關(guān)銷售合同所規(guī)定的時間開立以甲方為受益人的 保兌的、不可撤消的即期信用證。乙方開出信用證后，應立即通知甲方，以便 甲方準備交貨。After con firmati on of the order, Party B should pay 30% for deposit by T/T to Par ty A, the bala nee shou

5、ld be paid before shipp ing by T/T, or the Party B shall arrange t o ope n a eon firmed, irrevocable L/C available by draft at sight in favor of Party A with in the time stipulated in the releva nt S/C. Party B shall also no tify Party A immediatel y after L/C is ope ned, so that Party A can get pre

6、pared for delivery.說明：若訂單數(shù)量500pcs，貝偽發(fā)貨前100%付清款。Remark: In case the qua ntity of orders is less tha n 500pcs, 100% T/T before ship men t.5. 價格條款Price Terms價格：為了保證長期的合作，促進共同的發(fā)展，甲方提供產(chǎn)品價格表給乙 方，各款報價詳見其他附件。Price: Party A provide quotati on list of products to Party B so as to en sure the lo ng term cooper

Detailed quotati on is as additi onal attac hme nt.注1,如甲方推出新款產(chǎn)品，甲方將通過電郵通知乙方；注2,甲方保證報給乙方的價格為在日本區(qū)域內(nèi)最低的價格。注3,乙方不得擅自將價格表內(nèi)容透漏給任何第三方，乙方必須嚴格執(zhí)行和 遵守甲方的價格體系。Remarks:1, Once Party A promote new products, will inform Party B by email.2, Party A make sure offered the lowest price f

8、or Party B within Japa n area.3, Party B should not let out the quotati ons to any third parties but must execut e strictly and adhere to the price system of Party A.6. 甲乙雙方責任 Liability of Two Parties6.1 產(chǎn)品質(zhì)量 Quality of Product:甲方保證向乙方提供優(yōu)質(zhì)產(chǎn)品（甲方生產(chǎn)的電磁爐等一系列產(chǎn)品），保證供 貨穩(wěn)定;當產(chǎn)品出現(xiàn)重大的質(zhì)量問題，引起相關(guān)的投訴和法律糾紛時，甲方需要 承擔

9、相應的責任。6.2 產(chǎn)品配置 Product Configuration如乙方?jīng)]有特殊要求，則按照甲方公司提供的產(chǎn)品標準機型配置（如有特殊要求需要重新報價）。Without special request from Party B, all products are just as Party A offered, or will be n eeded to renew the quotati on.6.3產(chǎn)品包裝及交貨時間 Packaging and Delivery Time甲方發(fā)貨要保證貨物的安全及包裝適合長距離運輸。產(chǎn)品的顏色，商標， 包裝由乙方指定或中性包裝。一般貨物的交貨期為30個

10、工作日，特殊機種雙方另行約定交貨時間。Party A shall guara ntee the security and suitable package for Ion g-dista nee of shi pme nt. 11、 eparately.6.4 產(chǎn)品認證 Certification of Products甲方現(xiàn)有產(chǎn)品及以后由甲方單獨開發(fā)或者委托第三方生產(chǎn)的產(chǎn)品，由甲方 提供出口日本所需的相關(guān)產(chǎn)品認證證書。Party A should provide the n ecessary certificati on for all products (now available and developed Ion ely in the future or produced by the appo in ted third party ) exporti ng to Japa n.6.5乙方需嚴格保密甲方的產(chǎn)品報價

12、，技術(shù)資料，合作方式等商業(yè)機密。經(jīng) 營活動不得損壞甲方的聲譽。Party B should keep the quotatio n, tech ni cal data, bus in ess in formatio n of Party A strictly con fide ntial. Operati ng activities cannot damage the reputati on of Party A.6.6乙方應盡力在日本區(qū)域市場推廣銷售產(chǎn)品，未經(jīng)甲方許可，嚴禁跨區(qū)域 銷售甲方產(chǎn)品。Party B should do best promot ing products in Jap

13、a n, cannot sell products in othe r area without permissi on of Party A.6.7乙方無論任何情況下，不得銷售假冒偽劣或者未經(jīng)授權(quán)許可產(chǎn)品，若因 此引發(fā)第三方法律責任，則由乙方負責，一概與甲方無關(guān)，甲方將保留日后法 律追究權(quán)利。In any case, Party B cannot sell coun terfeit and shoddy products or other un auth orized products. If it caused loss for third party, Party B shall tak

N o any matter with Party A but will reserve the rights to pursue legal acti on in future.7. 業(yè)績考核 Performanee Evaluation在本協(xié)議期限內(nèi)，乙方應當銷售甲方的產(chǎn)品到達金額。如乙方在本協(xié)議期 限內(nèi)未完成前述銷售金額，則甲方可另行選擇第三方作為日本區(qū)域的總代理 商。Within the agreed period, Party B shall achieve the sales goal of PartA produc t:.In ca

15、se Party Bfcan achieve the goal within the agreed period, Party Ashall choose the third partyto be the gen eral age nt in Japa n.8. 知識產(chǎn)權(quán)保護 Intellectual Property Protection乙方應當承擔起協(xié)助保護該產(chǎn)品在其銷售區(qū)域的專利保護責任，如協(xié)助在 日本區(qū)域申請專利保護、申請注冊商標及制止他人的侵權(quán)等，另外，甲方應申 請注冊商標。Party B shall un dertake the resp on sibility of assist

16、 ing with pate nt protecti on in t he sales area, such as to apply for regi onal pate nt protecti on, registered trademarks a nd stop the infrin geme nt of others in Japa n. In additi on, Party A shall apply for registe red trademark.9. 協(xié)議終止的情形 Termi nation of Agreeme nt9.1協(xié)議期限屆滿或甲乙雙方當事人協(xié)商一致終止本協(xié)議止等情

17、況應當自動 終止；The agreeme nt shall be term in ated automatically once in the end of agreed peri od or both parties invo Ived agreed to end the agreeme nt9.2如乙方在協(xié)議期限內(nèi)無法完成本協(xié)議第7條的業(yè)績金額，則甲方有權(quán)單方提前終止本協(xié)議；In case Party Bcouldn achieve the sales goal as Article 7 stated, Party A shall ha ve the right to end the ag

18、reeme nt in adva nee.9.3在本協(xié)議有效期內(nèi)，如果一方被發(fā)現(xiàn)違反本協(xié)議條款，另一方有權(quán)終止 本協(xié)議。Withi n the agreed period, in case one party was found aga inst the agreeme nt, t he other party shall have the right to end the agreeme nt.10. 違約責任 Liability of Default若乙方每逾期一天支付貨款，則乙方每天按照應付金額的千分之一向甲方 支付違約金。In case Party B overdue the paym

19、e nt for one day, Party B shall pay pen alty(milli of sum payable) to Party A each day.11. 技術(shù)支持 Technical support甲方會提供完整的產(chǎn)品信息資料及必要的售后服務技術(shù)培訓給乙方。注：甲方免收培訓費用，乙方需自行承擔相關(guān)住宿往返交通費用。The Party A will offer the fully-formed products data to the Party B,as well as the n ecessary tech ni cal trai ning for after-s

20、ales service.12. 協(xié)議有效期 Validity of Agreement為年月日開始至年月日有效，雙方須嚴格按照本協(xié)議執(zhí)行，若發(fā)現(xiàn)任何一方違背協(xié)議規(guī)定，雙方均有權(quán)終止本協(xié)議，違約方造成的損失法律責任 由違約一方承擔。本協(xié)議未盡事項及需變更事項，經(jīng)甲乙雙方協(xié)商后以補充協(xié) 議形式確定，補充協(xié)議與本協(xié)議具有同等效力。The validity of this Agreeme nt is fromto , each party shall executes strictly in accorda nee with the agreeme nt, if any party violates
