1、動(dòng)漫品牌授權(quán)合同contract for brand authorization簽約各方：between: 甲方（授權(quán)方）：北京北城奇跡網(wǎng)絡(luò)科技有限公司乙方（被授權(quán)方）：丙方（生產(chǎn)加工方）： 丁方（生產(chǎn)加工方）：party a (authorizing party): party b (authorized party): party c (manufacturing and processing party): party d (manufacturing and processing party): 定義：definitions:1、七彩魚(yú)系列公仔毛絨玩具系指由在中國(guó)直接生產(chǎn)的或者由丙方、

2、丁方依據(jù)乙方的指示，按照甲方提供的制造工藝和相關(guān)技術(shù)生產(chǎn)制造的，并由甲方依據(jù)本合同的約定授權(quán)乙方在中華人民共和國(guó)境內(nèi)銷(xiāo)售的相關(guān)品牌產(chǎn)品。1. the term “color fish” as used herein means such brand products as directly manufactured in korea or as jointly manufactured by party c and party d subject to instructions of party b and with the manufacture processes and related

3、technologies provided by party a hereunder, and as party a authorizes party b to sell within the territory of the peoples republic of china in accordance with terms agreed herein.2、 發(fā)貨方：系指收到乙方書(shū)面訂購(gòu)七彩魚(yú)產(chǎn)品訂單的本合同當(dāng)事方，包括甲方、丙方和丁方。2. “supplier” as referred to herein means such party to this contract as may r

4、eceive written orders from party b for color fish, including party a, party c as well as party d.鑒于：whereas, 1、甲方系一家依據(jù)中國(guó)法律設(shè)立的企業(yè)法人，有意依據(jù)本合同之約定授權(quán)乙方在中華人民共和國(guó)境內(nèi)銷(xiāo)售七彩魚(yú)產(chǎn)品，并愿意向丙方和丁方提供生產(chǎn)七彩魚(yú)產(chǎn)品的相關(guān)制造工藝和技術(shù)，以便丙方和丁方可即使依據(jù)乙方的指示向乙方提供七彩魚(yú)產(chǎn)品；1. party a, a corporation duly incorporated and valid existing under the laws of

5、the republic of korea, desires to, pursuant to provisions contained herein, authorize party b as its agent to sell color fish within the territory of china, and agrees to provide party c and party d with related manufacturing processes and technologies for intended manufacture of color fish, thus en

6、abling party c and party d hereto to furnish to party b color fish subject to instructions of party b; 2、乙方系一家依據(jù)中華人民共和國(guó)法律、法規(guī)設(shè)立的有限責(zé)任公司，愿意接受甲方的授權(quán)和委托，按照本合同之約定在中華人民共和國(guó)境內(nèi)銷(xiāo)售七彩魚(yú)產(chǎn)品；2. party b, a limited liability corporation duly incorporated and valid existing under the applicable laws and regulations of t

7、he peoples republic of china, hereby agrees to accept such authorization and entrustment by party a hereunder whereby to sell color fish products within the territory of china pursuant to provisions described herein;3、丙方和丁方均系依據(jù)中華人民共和國(guó)法律、法規(guī)設(shè)立的有限責(zé)任公司，且具備生產(chǎn)毛絨玩具產(chǎn)品的能力，愿意依據(jù)本全責(zé)的約定為乙提供毛絨玩具產(chǎn)品。 3. party c and

8、 party d, both limited liability companies duly incorporated and existing under the laws and regulations of the peoples republic of china and having sufficient capability and competence to manufacture the said pile toy products, hereby agree to provide party b with desired pile toy products in accor

9、dance herewith.上述各方經(jīng)協(xié)商一致、就上術(shù)事宜，達(dá)成簽訂本合同，以茲各方共同信守執(zhí)行。 now, therefore, in consideration of promises and mutual covenants contained herein, the parties hereto agree as follows: 第一條 授權(quán)銷(xiāo)售區(qū)域：article 1 authorized territory依據(jù)本合同之約定及甲方之授權(quán)，乙方僅限于在中華人民共和國(guó)境內(nèi)銷(xiāo)售七彩魚(yú)毛絨玩具產(chǎn)品；未經(jīng)甲方事先另行書(shū)面授權(quán)，乙方不得擅自在中華人民共和國(guó)境外銷(xiāo)售甲方的產(chǎn)品或者授權(quán)任何第三方

10、在中華人民共和國(guó)境內(nèi)外銷(xiāo)售七彩魚(yú)產(chǎn)品。based on or pursuant to provisions contained herein and authorization by party a hereunder, party b is only allowed to market color fish pile toy products within the territory of china; party b is precluded from any intended sales by itself of or from intended permitting party a t

11、o market any of party as products outside the territory of china in the absence or default of further written authorization from party a.第二條七彩魚(yú)毛絨玩具產(chǎn)品：article 2 color fish pile toy products 1、毛絨玩具產(chǎn)品之個(gè)體品牌為； 2.1 the specific or particular brands of * products as described hereunder are as follows: _. 2

12、、毛絨玩具產(chǎn)品之名稱(chēng)、品種、規(guī)格、單位、價(jià)格由雙方屆時(shí)以書(shū)面形式在本合同之附件一中約定； 2.2 the name, type, specifications, unit as well as price of the * products hereunder are as provided for in appendix a as attached hereto which is to be reached by related parties hereto in writing through friendly negotiation; 3、如甲方開(kāi)發(fā)出七彩魚(yú)產(chǎn)品新的品牌成產(chǎn)品，或者七彩魚(yú)

13、產(chǎn)品之名稱(chēng)、品種、規(guī)格發(fā)生變動(dòng)的，雙方應(yīng)以書(shū)面形式確認(rèn)，確認(rèn)書(shū)應(yīng)作為本合同附件。 2.3 any new brand or product as may be developed by party a in the future or any change to the name, type, or specifications of * products hereunder are subject to a confirmation by both parties hereto in writing which confirmation, signed thereby, shall be a

14、ttached hereto as its appendix. 4、乙方必須按本合同附件中的約定的銷(xiāo)售價(jià)格進(jìn)行銷(xiāo)售。2.4 party b is required to market color fish products at the price set forth in related appendix attached hereto. 5、乙方保證：其提供的七彩魚(yú)產(chǎn)品的質(zhì)量均符合中華人民共和國(guó)官方規(guī)定的關(guān)于毛絨玩具品或*品的質(zhì)量標(biāo)準(zhǔn)；依據(jù)其向丙方和丁方提供生產(chǎn)七彩魚(yú)產(chǎn)品的相關(guān)制造工藝和技術(shù)生產(chǎn)的毛絨玩具產(chǎn)品的質(zhì)量亦符合中華人民共和國(guó)官方規(guī)定的關(guān)于玩具品或毛絨品的質(zhì)量標(biāo)準(zhǔn)。 2.5 par

15、ty b hereby undertakes and warrants that the quality of such pile toy products as provided by the same will be up to or in line with applicable quality standards prescribed by related competent authorities of the peoples republic of china regarding skin-care products or cosmetics; in addition, the q

16、uality of such * products as manufactured with the manufacturing processes and technologies provided by party a to party c and party d is also in conformity with applicable quality standards prescribed by related competent authorities of the peoples republic of china regarding skin-care products or

17、cosmetics.第三條 七彩魚(yú)產(chǎn)品的生產(chǎn)article 3 manufacture of * products 1、以下品牌的各類(lèi)毛絨玩具產(chǎn)品由丙方直接生產(chǎn)，并提供給乙方進(jìn)行銷(xiāo)售： 3.1 the pile toy products which are of the brands to be listed below shall be directly manufactured by party c for furnishing to party b for sale hereunder: _. 2、以下品牌的各類(lèi)毛絨玩具產(chǎn)品，甲方將向丙方和丁方提供生產(chǎn)該類(lèi)毛絨產(chǎn)品的相關(guān)制造工藝和技術(shù)，由

18、丙方和丁方依據(jù)乙方書(shū)面訂單所載的要求進(jìn)行生產(chǎn)并提供給乙方進(jìn)行銷(xiāo)售； 3.2 party a will furnish to party c and party d related manufacturing processes and technologies necessary for production by party c and party d, subject to the requirements prescribed in the written order placed by party b therewith, of the pile toy products which

19、are of the brands to be indicated below, for sale thereof by party b hereunder; _. 3、丙方和丁方保證：無(wú)論何時(shí)、且無(wú)論本合同是否有效。（1）在未接到乙方的書(shū)面訂單的前提下，丙方和/或丁方不生產(chǎn)任何的七彩魚(yú)毛絨玩具產(chǎn)品；（2）丙方和/或丁方依據(jù)乙方書(shū)面訂單生產(chǎn)的所有毛絨產(chǎn)品只能依據(jù)乙方書(shū)面訂單所載的要求供貨給乙方，不得自得銷(xiāo)售或提供給任何第三方銷(xiāo)售； 3.3 both party c and party d hereby undertake that at any time or at all times and

20、 whether this contract is valid: no color fish pile toy product will be manufactured by party c and/or party d without receiving written orders from party b; and (ii) the pile toy products as manufactured by party c and/or party d hereunder may be only allowed to be sold to party b subject to requir

21、ements set out in applicable written orders as duly placed by party b, and may not be sold by party c and/or party d themselves or itself, nor shall be provided to any third parties for sale thereof; 4、乙方保證：作為七彩魚(yú)毛絨玩具產(chǎn)品在中國(guó)境內(nèi)的銷(xiāo)售商，其進(jìn)貨渠道僅限于依據(jù)本合同約定的渠道（即依據(jù)本合同約定分別向甲方、丙方或丁購(gòu)入相應(yīng)品牌的毛絨產(chǎn)品后銷(xiāo)售），乙方不得向非本合同當(dāng)事方購(gòu)入來(lái)自于任何

22、渠道的七彩魚(yú)產(chǎn)品，但本合同另有約定的除外。 3.4 party b hereby undertakes and warrants that it, acting as the seller of color fish pile toy products within the territory of china, will purchase pile toy product only from the source as stipulated herein, i.e. purchase related pile toy products of various brands, from part

23、y a, party c or party d hereto for sale thereof within china hereunder, party b shall refrain from making any purchase from any third party other than to this contract, of any color fish products acquired in any manner or from any channel, unless and until otherwise provided herein.第四條 產(chǎn)品的質(zhì)量和包裝artic

24、le 4 quality and package of products1、甲方、丙方和丁方提供的毛絨產(chǎn)品的質(zhì)量均應(yīng)符合中華人民共和國(guó)官方規(guī)定的關(guān)于毛絨品或玩具品的質(zhì)量標(biāo)準(zhǔn)； 4.1 the quality of such pile products as provided by party a, party c as well as party d hereunder shall be in line with applicable quality standards regarding appropriate skin-care products or cosmetics that may

25、 be prescribed by related competent authorities of the peoples republic of china.2、丙方和丁方提供的毛絨產(chǎn)品的包裝應(yīng)能保證產(chǎn)品的質(zhì)量、無(wú)任何的破損，并且適合郵寄、運(yùn)輸、儲(chǔ)存的等物流環(huán)節(jié)； 4.2 the package of such pile toy products as provided by party c as well as party d hereunder shall be appropriate to ensure the quality of products, prevent the del

26、ivered products from any possible damage, as well as to logistics or distribution such as delivery by post, transport and storage, etc; 3、七彩魚(yú)毛絨玩具產(chǎn)品的包裝隨貨出售。 4.3 the package of color fish pile toy products will be sold together with such products that may be sold to customers. 第五條 交貨方式article 5 terms

27、of delivery 1、丙方和丁方應(yīng)收到乙方的書(shū)面訂單后天內(nèi)回復(fù)乙方，在得到乙方確認(rèn)后的_日內(nèi)發(fā)貨； 5.1 within _ days upon receipt of a written order duly placed by party b, party c and party d shall make proper response or reply thereto, and make delivery of ordered goods within _days upon confirmation from party b;2、交貨時(shí)間和交貨地點(diǎn)：乙方在訂單中指定的時(shí)間和地點(diǎn)； 5

28、.2 the date and place of such delivery of goods shall be as specified in the written orders duly placed by party b;3、運(yùn)輸方式：在保證產(chǎn)品質(zhì)量、安全、無(wú)瑕疵和交貨時(shí)間前提下的任何方式； 5.3 mode of transportation shall be any mode or form that is appropriate and sufficient to ensure the quality, safety, no-defect as well as delivery

29、time of ordered products; 4、費(fèi)用和風(fēng)險(xiǎn)的承擔(dān)：費(fèi)用由發(fā)貨方負(fù)擔(dān)：在貨物驗(yàn)收通過(guò)前，貨物毀損滅失的風(fēng)險(xiǎn)由發(fā)貨方負(fù)擔(dān)。 5.4 assumption of expenses and risks: it is agreed that related expenses that may arise shall be charged to the account of supplier; and the risk of loss and/or destruction of ordered goods shall be on the shoulders of the said

30、supplier prior to acceptance thereof.第六條 驗(yàn)收方法article 6 acceptance methods 乙方收貨后，應(yīng)在收貨到后的當(dāng)日及次日（次日為假期的，驗(yàn)收日順延至假期最后一天的次日）依據(jù)本合同各方共同確認(rèn)的驗(yàn)收標(biāo)準(zhǔn)對(duì)貨物進(jìn)行驗(yàn)收。乙方在驗(yàn)收過(guò)程中有異議的，應(yīng)及時(shí)通知發(fā)貨方并妥善安排退貨、調(diào)換等手續(xù)。party b shall, on the day when the delivered goods may be received or on the day immediately following the date when the deli

31、vered goods may be received (in case the day immediately following the receipt of delivered goods falls on holiday, then it shall be extended to the day immediately following the end of such holiday), carry out proper inspection on and determine whether to accept such delivered goods in the light of

32、 appropriate acceptance standards mutually agreed to herein. party b shall promptly notify the supplier of any goods that are thought unsatisfactory to party b in the course of aforesaid acceptance, and shall make appropriate arrangement for return and replacement of such rejected or unaccepted good

33、s. 第七條 付款article 7 terms of payment 1、付款時(shí)間：乙方在貨物驗(yàn)收合格后的日內(nèi)付款； 7.1 date of payment: the agreed upon payment shall be paid up within _days after the delivered goods are confirmed to be satisfactory and accepted;_. 2、付款方式：，以人民幣結(jié)算。 7.2 form of payment: the agreed upon payment hereunder shall be paid by wa

34、y of _ in rmb. 第八條 知識(shí)產(chǎn)權(quán)和商業(yè)秘密article 8 intellectual property rights and trade secrets 1、本合同涉及的七彩魚(yú)產(chǎn)品的所有品牌的商標(biāo)權(quán)均歸甲方所有，甲方授權(quán)乙方在宣傳、銷(xiāo)售七彩魚(yú)毛絨玩具產(chǎn)品時(shí)可使用上述商標(biāo)以及甲方的名稱(chēng)，授權(quán)丙方的丁方在生產(chǎn)七彩魚(yú)產(chǎn)品時(shí)可使用上述商標(biāo)。乙方、丙方和丁方僅限于在上述授權(quán)范圍內(nèi)使用七彩魚(yú)產(chǎn)品的相應(yīng)品牌商標(biāo)或甲方的名稱(chēng)，未經(jīng)甲方書(shū)面確認(rèn)，不得越權(quán)使用或授權(quán)任何第三方使用。 8.1 the ownership of and title to any and all trade marks

35、of all brands of color fish products referred to herein shall remain with party a, and party a hereby authorizes party b to use the aforementioned trade marks and name of party a in carrying out appropriate promotions and sales of color fish pile toy products, and hereby authorizes party c and party

36、 d to use the said trade marks in manufacturing related color fish products. party b, party c and party d shall be only allowed to use trade marks of related brands of color fish products hereunder or the name of party a, as appropriate, to the extent as authorized by party a hereunder, and, in the

37、absence of approval of party a in writing, may not use beyond their respective conferred authority nor shall permit any third party to use the said trade marks or party as name, as appropriate, for any reason whatsoever and by any manner. 2、甲方依據(jù)本合同向乙方、丙方和丁方提供的所有涉及七彩魚(yú)產(chǎn)品制造的工藝、技術(shù)、流程等資料均屬甲方所有，乙方、丙方和丁方應(yīng)對(duì)

38、上述秘密承擔(dān)保密義務(wù)，不得向非本合同當(dāng)事泄漏。 8.2 the processes, technologies, flows, etc that are to be provided by party a to party b, party c and party d as stipulated herein and that are in relation to manufacture of color fish products shall remain property of party a, and party b, party c as well as party d are obl

39、iged to keep confidential the aforementioned trade secrets and may not disclose or divulge the same to any party other than those to this contract. 第九條 違約責(zé)任article 9 liabilities for breach of contract1、乙方違反本合同第一條、第二條第4款、第三條第4款約定的，甲方可解除本合同，取消對(duì)乙方的授權(quán)，并要求乙方支付人民幣元的違約金，但甲方事后追認(rèn)的除外。 9.1 in the event where p

40、arty b is in breach of article 1, 2.4 of article 2, and/or 3.4 of article 3 hereof, party a is free to terminate this contract, revoke authorization to party b, without prejudice to its rights to claim for a liquidated damages in the sum of _(rmb), except where party a ratifies or recognizes the act

41、s committed by party b thereafter.2、丙方或丁方違反本合同第二條第3款、第四條第1款的約定的，甲方或乙方可責(zé)令丙方或丁方及時(shí)糾正。逾期不糾正或者丙方或丁方的違約行為造成本合同任何一方嚴(yán)重?fù)p失的，甲方或乙方可取消丙方或丁方生產(chǎn)七彩魚(yú)產(chǎn)品的資格，并可要求丙方或丁方向甲方和乙方各支付人民幣元的違約金。在此情況下，乙方可不受本合同第三條之限制。 9.2 in case party c or party d runs counter to or breaches provisions of 2.3 of article 2 and/or 4.1 of article 4

42、 hereof, party a or party b is entitled to order such breaching party to make proper correction or rectification within a reasonable time limit and in a timely manner. in case the breaching party fails to make appropriate correction or rectifications within such specified time limit or great or seri

43、ous loss is caused to any other parties hereto, as a result of the breach of either party c or party d, party a or party b may disqualify party c or party d, as which is the wrongdoer, from manufacturing related color fish products, without prejudice to the rights to demand party c or party d to pay

44、 a penalty for breach in the sum of_(rmb) to each of party a and party b. in such a case, party b may not be restricted by or subject to provisions of article 3 hereof.3、發(fā)貨方延期交貨或乙方延付貨款的，每延遲一天，應(yīng)償付對(duì)方該批貨款總值0.02的違約金，如果造成對(duì)方損失的，還應(yīng)賠償對(duì)方的損失。延遲超過(guò)天的，對(duì)方可取消該筆訂單，并要求違約方支付人民幣元的違約金。 9.3 in the event the supplier del

45、ays in delivering ordered goods or party b fails to make payment for goods hereunder as scheduled, such supplier or party b shall pay to the other a penalty for breach at the rate of 0.02% of the total value of goods in relation to late delivery or payments in arrears, for each delayed day, as well

46、as an appropriate compensation for any loss incurred by the other as a result thereof.in case such delay continues for a period of _days, the other party is free to cancel related orders and claim against the breaching party for a penalty for breach in the sum of _(rmb). 4、發(fā)貨方由于交貨數(shù)量不足，應(yīng)償付乙方此批貨款總值10的

47、違約金，造成乙方損失的，還應(yīng)賠償乙方的損失。乙方如不按交貨期限收貨或拒收不合格產(chǎn)品，亦應(yīng)按償付發(fā)貨方此批貨款總值10的違約金。任何一方提出增減合同數(shù)量，變動(dòng)交貨時(shí)間的，應(yīng)提前_30_天以書(shū)面形式通知對(duì)方，并征得同意。否則應(yīng)承擔(dān)違約責(zé)任。 9.4the supplier shall pay to party b a penalty for breach at the rate of 10% of the total value of goods involved, for any insufficiency in or shortfall of delivered goods, as well

48、as appropriate compensation for any loss that may be caused thereby. in addition, party b shall also pay to the supplier a penalty at the rate of 10% of the total value of goods that party b fails to receive delivered goods or reject any unqualified products within a specified time limit. in case ei

49、ther party intends to make increase or decrease in contract quantity, or to make proper change to delivery time, such party shall give the other party a written notice of _ days for approval or consent, in case not, such party which is obliged to do so shall be held liable for appropriate liabilities for breach.5、發(fā)貨方所發(fā)產(chǎn)品有規(guī)格不符或質(zhì)量問(wèn)題等情況，乙方有權(quán)拒付貨款，但須先行辦理收貨手續(xù)，并代為保管和立即通知發(fā)貨方。因此所發(fā)生的一切費(fèi)用及損失，由發(fā)貨方承擔(dān)。 9.5 party b is entitled not to pay for any delivered goods that may be determined not in conformity with stated specifications or that may not be in line with related quality stan
