X all risks 10. 其 他 Others: -THIS CONTRACT IS APPLICABLE TO AIR TERMS. -備 注：REMARKS：（a）本合同其他有關(guān)事項(xiàng)均按交貨條款（詳見背面）之規(guī)定辦理，該交貨條款為合同之不可分割部分。 （b）本合同以中英文字書就，兩種文字的條款具有同等效力。 （a）Other matters relating to this Contact shall be dealt with in accordance with the Terms of Delivery as specified overleaf, Which form an integral part of this Contract. （b）This Contract is made out in Chinese and English, both versions being equally authentic. 交 貨 條 款TERMS OF DELIVERY1. 裝運(yùn)單據(jù)：(a)空運(yùn)單一份（b）發(fā)票兩份，注明合同號(hào)碼及嘜頭（如嘜頭超過一個(gè)，發(fā)票須按嘜頭分開）;（c）裝箱單兩份，注明合同號(hào)、嘜頭、每件毛重、凈重、尺寸及貨物包裝情況;（d）賣方出據(jù)的的品質(zhì)證明書正、副本各一份。（e）保險(xiǎn)單正本一套。（f）原產(chǎn)地證明一份。（g）測(cè)試報(bào)告一份。Shipping Documents: (a)One set of airway bill（b）Invoice in 2 copies indicating contract and shipping mark (in case of more than one shipping mark, the invoice shall be issued separately), made out in details as per the relative contract.（c）Packing list in 2 copies indicating contract No., shipping mark, quantity/gross and net weight of each package and packing conditions as called for by the contract.（d）One copy of Certificate of Quality in 1 original issued by the beneficiary.（e）Insurance Policy in 1 original.(f)Certificate of origin in 1 original issued by the beneficiary.(g)Test certification in 1 original.2、質(zhì)量保證: 賣方應(yīng)保證所供貨系由新的最上等材料,頭等工藝制成,全新未曾用過,以及符合本合同規(guī)定的技術(shù)、性能、規(guī)格和技術(shù)要求。設(shè)備的質(zhì)量保證期為設(shè)備正常運(yùn)行后之日起的24（ 二十四 ）個(gè)月。 Guarantee of Quality: The seller guarantee that the commodity hereof is made of the best materials with first class workmanship, brand new and unused, and complies in all respects with the quality, performance and specifications stipulated in this contract and conforms to the technical manuals of the commodities contracted. The Warranty Period lasts 24 (twenty-four) months commencing from the date of the normal running of the Equipment.3.檢驗(yàn)及索賠:在交貨前,賣方應(yīng)出具關(guān)于質(zhì)量、規(guī)格、性能、數(shù)量或重量說明書,證明貨物符合合同規(guī)定。此證明書形成向付款行議付的完整文件的部分,但不作為質(zhì)量、規(guī)格、性能以及數(shù)量或重量的最終結(jié)果。賣方開出的檢測(cè)結(jié)果應(yīng)形成質(zhì)量證明書的一部分 Inspection and Claim: The Seller shall, before making delivery, make a precise and comprehensive inspection of the goods as regards the quality, specification, performance and quantity/weight and issue certificates, certifying that the goods are in conformity with the stipulations of this Contract. The certificates shall form an integral part of the documentation to be presented to the paying bank for negotiation but shall not be considered as final in respect of quality, specification, performance and quantity/weight. Particulars and results of the test carried out by the Seller must be shown in a statement, which has to be attached to the Quality Certificate.(1)待 貨 物 運(yùn) 抵 最 終 用 戶 現(xiàn) 場(chǎng) 后， 買 方 應(yīng) 會(huì) 同 國 家 進(jìn)出口商品 檢 驗(yàn) 檢 疫 局 代 表 和 賣 方 代 表 共 同 在 現(xiàn) 場(chǎng) 對(duì) 設(shè) 備 進(jìn) 行 開 箱 檢 驗(yàn),并由檢疫局開具檢驗(yàn)證書。開箱前1周，最終用戶需通知賣方參加此項(xiàng)初檢。 Upon the arrival of the goods at site of the End-user, the Buyer shall carry on site open package inspection of the goods with participation of representatives from Chengdu Entry-Exit Inspection And Quarantine Bureau and a Survey Report shall be issued therefore. End user shall inform Seller one week before the inspection to have the possibility to join this preliminary inspection.(2)買 方 因 貨 物 與 合 同 不 符 合 而 向 賣 方 提 出 的 任 何 索 賠 要 求 須 憑 國 家 進(jìn)出口貨物 檢 驗(yàn) 檢 疫 局 出 具 的 商 檢 證 書 原 件 提 出， 不 應(yīng) 有 延 誤。 通 常 認(rèn) 為 該 索 賠 應(yīng) 在 設(shè) 備 到 貨 后 六 十 日 內(nèi) 提 出。 Any claim by Buyer stating that the Equipment is not in compliance with this Contract must be made to Seller without delay against original Inspection Certificate issued by Chengdu Entry-Exit Inspection and Quarantine Bureau，which normally deemed not exceeding sixty (60) days after the arrival of the Equipment.(3)索賠的解決Settlement of claims如是賣方責(zé)任,買方提出索賠在合同附件2,3款規(guī)定的索賠期內(nèi),賣方按以下方式解決:In case the sellers are liable for the discrepancies and a claim made by the Buyers within the period of claim or quality guarantee period as stipulated in Clause 2 and 3 of delivery terms of this contract. The seller shall settle the arrangement Buyers in the following ways.a. 同意買方退貨或退貨款給買方，并承擔(dān)買方直接損失和費(fèi)用，包括利息，銀行費(fèi)用，運(yùn)費(fèi)，保費(fèi)，商檢費(fèi)，倉租費(fèi)，裝卸費(fèi)和其他保管費(fèi)Agree to the rejection of the goods and refund to the Buyers the value of the goods so rejected in the same currency as contracted herein, and to bear all direct losses and expenses in connection there with including interest accrued, banking charges, freight, insurance premium ,inspection charges, storage, charges and all other necessary expenses required for the custody and protection of the rejected goodsb. 根據(jù)貨物劣等程度，受損程度或損失總額，買方有權(quán)提出降價(jià)。間接損失除外。Devalued the goods according to the degree of inferiority extent of damage and amount of losses suffered by Buyers. Consequential damages are excluded. C. 換符合合同規(guī)定的貨物，承擔(dān)買方發(fā)生的費(fèi)用和直接損失，賣方應(yīng)按規(guī)定在未來12月內(nèi)換相同質(zhì)量的保證的貨物。Replace the defective goods with new ones, which conform to the specifications, quality and performance as stipulated in this contract, and bear all expenses incurred to and direct losses sustained by the buyers, The seller shall, at the same time, guarantee the quality of the replacement goods for a further 12 months as specified of this contract(4)賣方收到買方索賠通知后, 如果在三十天內(nèi)不答復(fù),應(yīng)視為賣方同意買方提出的一切索賠. Any and all claim shall be regarded as accepted if the Sellers fail to reply within 30 days after receipt of the Buyers claim. 4遲交貨如果賣方未能按合同規(guī)定的時(shí)間按期交貨（本合同第5款規(guī)定的不可抗力除外），在賣方同意支付核定損失額的條件下，買方將同意延長交貨期。核定損失額的支付將由付款銀行從議付款或從履約保證金中扣除。核定損失額比率為每遲交7天，將罰貨物金額的0.5%,不滿7天的按7天計(jì)算，但是，核定損失額的支付不得超過合同金額的5%。如果賣方在推遲10周仍不能交貨，買方有權(quán)因賣方違約終止合同，而賣方仍有義務(wù)支付上述遲交貨罰金?；?于 延 期 交 貨 的 任 何 進(jìn) 一 步 的 權(quán) 利 或 索 賠 不 包 括 在 內(nèi)。Late delivery and penaltyShould the seller fail to effect delivery within the time of shipment as stipulated in this contract (with exception of force majeure), the seller shall pay penalty due to late delivery. The Buyer shall agree to postpone the delivery on condition that the seller agree to pay penalty which will be ducted by the paying bank from the payment under negotiation. The penalty shall be calculated at a rate of 0.5% for every 7 days, less than 7 days shall be counted as 7 days . However , the total amount of penalty shall not exceed 5% of the total value of the commodities involved in late delivery. In case the sellers fail to make delivery ten weeks later than the time of shipment stipulated in this contract, the buyer shall have the right to cancel the contract , and the seller still pay the penalty as aforesaid to the Buyers without delay. Any further rights or claims based on a delayed delivery are excluded.賣 方 按 照 規(guī) 定 時(shí) 間 發(fā) 貨 是 有 條 件 的， 這 是 指： 買 方 及 時(shí) 履 行 了 其 如 下 的 義 務(wù),包 括 交 納 可 能 有 的 預(yù) 付 款 項(xiàng)、 如 約 開 設(shè) 信 用 證、且 及 時(shí) 提 供 所 有可 能 需 要 的 許 可 證 及 批 文。 如 果 上 述 條 件 未 及 時(shí) 得 到 滿 足， 發(fā) 貨 期 則 應(yīng) 相 應(yīng) 延長。If delay is attributable to force majeure as stipulated in Clause 8, or to any other cause beyond the reasonable control of Seller, the delivery/performance periods shall be extended correspondingly.如 果 延 期 歸 咎 于 以 下 第 5條 規(guī) 定 的 不 可 抗 力， 或 其 他 賣 方 無 法 合 理 控 制 的 原 因， 發(fā) 貨 期 應(yīng) 相 應(yīng) 延 長。If delay is attributable to force majeure as stipulated in Clause 16, or to any other cause beyond the reasonable control of Seller, the delivery/performance periods shall be extended correspondingly.5.不可抗力: 在履行合同的過程中,由于不可抗力如戰(zhàn)爭(zhēng)、火災(zāi)、洪水、臺(tái)風(fēng)及地震等因素或其它雙方 認(rèn)可的因素造成賣方(或買方)不能履行合同,賣方(或買方)對(duì)此不負(fù)責(zé)任。賣方(或買方) 應(yīng)在此后的14天之內(nèi)立即將上述情況通知對(duì)方,并將事故發(fā)生地政府主管機(jī)關(guān)出具的事故證明書用空郵寄交買方(或賣方)為證,并取得對(duì)方認(rèn)可。在上述情況下,賣方(或買方)仍 有采取一切必要措施從速交貨的責(zé)任,如果事故持續(xù)10個(gè)星期以上,買方(或賣方)有權(quán)取消本合同。 Force Majeure : The Seller/the Buyer shall not be held responsible for being unable to carry out this contract due to Force Majeur such as war, serious fire, flood. Typhoon and earthquakes or other events agreed upon by both parties, which might occur during the process of manufacturing or in the course of loading or transit. The Seller / the Buyer shall advice the Buyer/Seller immediately of the occurrence mentioned above within fourteen days thereafter, the seller/the Buyer shall send by airmail to the Buyer/the Seller for their acceptance a certificate of the accident issued by the Competent Government Authorities where the accident occurs as evidence thereof. Under such circumstances, the Seller/the buyer, however, is still under obligation to take all necessary measures to expedite/take the delivery of the goods in case the accident lasts for more than 10 weeks, the Buyer or the Seller shall have the right to cancel the contract. 6、仲 裁：一切因執(zhí)行本合同所發(fā)生或與本合同有關(guān)之爭(zhēng)執(zhí)，雙方應(yīng)友好協(xié)商解決。如雙方協(xié)商不能解決時(shí)，此爭(zhēng)執(zhí)應(yīng)提交中國國際貿(mào)易促進(jìn)委員會(huì)仲裁委員會(huì)，按照該仲裁委員會(huì)仲裁程序暫行規(guī)定進(jìn)行仲裁，仲裁地點(diǎn)在北京。仲裁委員會(huì)的裁決為終局裁決，對(duì)雙方均有約束力。仲裁費(fèi)用除非仲裁會(huì)另有決定外，均由敗訴一方負(fù)擔(dān)。Arbitration : All disputes in connection with this Contract or execution thereof shall be amicable settl
