英文工程終止合同協(xié)議書

TerminationAgreementofEngineeringContractThisTerminationAgreementofEngineeringContract(the"Agreement")ismadeandenteredintoasof[date]byandbetween[PartyAname],a[PartyAentitytype]organizedandexistingunderthelawsof[PartyAjurisdiction](hereinafterreferredtoas"PartyA"),and[PartyBname],a[PartyBentitytype]organizedandexistingunderthelawsof[PartyBjurisdiction](hereinafterreferredtoas"PartyB").WHEREAS,PartyAandPartyBenteredintoanEngineeringContract(the"OriginalContract")on[date]forthe[projectname]project(the"Project");andWHEREAS,forcertainreasonsmutuallyagreeduponbybothparties,theyhavedecidedtoterminatetheOriginalContract.NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,andforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartiesheretoagreeasfollows:1.TerminationoftheOriginalContractTheOriginalContractshallbeterminatedeffectiveasofthedateofthisAgreement.AllrightsandobligationsofthepartiesundertheOriginalContractshallceasetoexist,exceptasotherwiseprovidedinthisAgreement.2.ProjectStatusandHandoverPartyBshall,within[numberofdays]daysaftertheexecutionofthisAgreement,providePartyAwithadetailedreportonthecurrentstatusoftheProject,includingbutnotlimitedtocompletedwork,workinprogress,andanyremainingtasks.PartyBshallalsohandovertoPartyAallproject-relateddocuments,materials,andequipmentinitspossession.3.PaymentandSettlement(a)PartyAshallpayPartyBallamountsthataredueandpayableundertheOriginalContractuptothedateoftermination,inaccordancewiththepaymenttermsoftheOriginalContract.Suchpaymentshallbemadewithin[numberofdays]daysafterPartyAhasreceivedandverifiedtheprojectstatusreportandrelevantdocumentsfromPartyB.(b)AnyunspentadvancepaymentsmadebyPartyAtoPartyBshallberefundedbyPartyBtoPartyAwithin[numberofdays]daysaftertheexecutionofthisAgreement.4.ConfidentialityBothpartiesshallcontinuetobeboundbytheconfidentialityprovisionsoftheOriginalContract,ifany,withrespecttoanyconfidentialinformationobtainedduringtheperformanceoftheOriginalContract.TheconfidentialityobligationsshallsurvivetheterminationoftheOriginalContractforaperiodof[numberofyears]years.5.LiabilityandIndemnification(a)Eachpartyshallindemnifyandholdtheotherpartyharmlessfromandagainstanyandalllosses,damages,liabilities,andexpenses(includingbutnotlimitedtolegalfees)arisingoutoforinconnectionwithitsbreachofthisAgreementoritsperformanceoftheOriginalContractuptothedateoftermination.(b)PartyBshallberesponsibleforanyandallliabilitiesandobligationsarisingfromitssubcontractorsorsuppliersinrelationtotheProjectuptothedateoftermination.6.Non-CompeteForaperiodof[numberofmonths/years]months/yearsaftertheexecutionofthisAgreement,PartyBshallnotengageinanyactivitiesthatcompetewithPartyA'sbusinessinrelationtothe[industryorprojectarearelatedtotheterminatedproject].7.EntireAgreementThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.8.AmendmentsandWaiversNoamendment,modification,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessinwritingandsignedbybothparties.9.SeverabilityIfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallnotinanywayinanywaybeaffectedorimpaired.10.GoverningLawThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[governingjurisdiction].11.DisputeResolutionAnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughfriendlynegotiationbetweentheparties.Ifthenegotiationfails,eitherpartymaysubmitthedisputetotheexclusivejurisdictionofthe[court/arbitrationinstitution]locatedin[location].INWITNESSWHEREOF,thepartieshaveexecutedthisTerminationAgreementofEngineeringContractasofthedatefirstabovewritten.Par
