2.TheAgentshalluseitsbesteffortstopromoteandselltheProductsintheTerritory,andshallnotengageinanyactivitiesthatmaycausedamagetotheSeller'sreputationorbusinessinterests.
3.TheSellershallprovidetheAgentwiththenecessarymarketingmaterials,productinformation,andtechnicalsupporttoassisttheAgentinpromotingandsellingtheProducts.
4.TheAgentshallpaytheSelleracommissionof_______percent(_____%),calculatedonthenetsalespriceoftheProductssoldintheTerritory.

10.ThepartiesheretoagreetokeepallconfidentialinformationdisclosedduringthecourseofthisAgreementstrictlyconfidential.
11.ThisAgreementconstitutestheentireagreementbetweenthepartiesheretoandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetherwrittenororal,relatingtothesubjectmatterhereof.
12.ThisAgreementmaybeamendedormodifiedonlybyawritteninstrumentexecutedbybothparties.
13.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof_______.

1.ThePrincipalherebygrantstheAgenttheexclusiverighttosellanddistributetheProductsintheTerritory,subjecttotheprovisionsofthisAgreement.
2.TheAgentshalluseitsbesteffortstopromoteandselltheProductsintheTerritory,andshallnotengageinanyactivitiesthatmaycausedamagetothePrincipal'sreputationorbusinessinterests.
3.TheThirdPartyshallprovidethefollowingservicestotheAgentandPrincipal:
a.Marketingandpromotionalactivities;
b.Technicalandlogisticalsupport;
c.Marketresearchandanalysis;
d.Anyotherservicesagreeduponbytheparties.
4.ThePrincipalshallpaytheAgentacommissionof_______percent(_____%),calculatedonthenetsalespriceoftheProductssoldintheTerritory,plusanadditionalpaymenttotheThirdPartyfortheservicesprovided.
5.TheAgentshallprovidethePrincipalwithmonthlysalesreports,includingbutnotlimitedtothequantity,price,andpaymentstatusoftheProductssoldintheTerritory.

10.ThepartiesheretoagreetokeepallconfidentialinformationdisclosedduringthecourseofthisAgreementstrictlyconfidential.
11.ThefollowingtermsandconditionsareherebyimposedontheAgentandtheThirdPartytoprotectthePrincipal'sinterests:
a.TheAgentshallnotengageinanyactivitiesthatmaycausedamagetothePrincipal'sreputationorbusinessinterests.
b.TheAgentshallnotdiscloseanyconfidentialinformationtoanythirdpartywithoutthePrincipal'spriorwrittenconsent.
c.TheAgentshallnotterminatethisAgreementwithoutthePrincipal'sconsent,unlessthePrincipalhasbreacheditsobligationsunderthisAgreement.
d.TheThirdPartyshallcomplywithallapplicablelawsandregulationsandshallnotengageinanyillegalactivities.
12.ThePrincipalshallhavethefollowingrightsandinterests:
a.ThePrincipalshallhavetherighttoapproveordisapprovetheThirdParty'sservicesandsupport.
b.ThePrincipalshallhavetherighttoterminatethisAgreementwiththeAgentandtheThirdPartyuponbreachoftheirobligations.
c.ThePrincipalshallhavetherighttoreceivemonthlysalesreportsandotherinformationrelatedtothesaleanddistributionoftheProducts.
d.ThePrincipalshallhavetherighttoreceiveaportionofthenetsalespriceoftheProductssoldintheTerritoryascommission.
13.ThefollowingdocumentsareherebyincorporatedintoandmadeapartofthisAgreementbyreference:
a.ThePrincipal'sproductcatalog;
b.ThePrincipal'stermsandconditionsofsale;
c.TheAgent'sbusinesslicense;
d.TheThirdParty'sservicesagreement;
e.Anyotherdocumentmutuallyagreeduponbytheparties.
14.ThisAgreementconstitutestheentireagreementbetweenthepartiesheretoandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetherwrittenororal,relatingtothesubjectmatterhereof.
15.ThisAgreementmaybeamendedormodifiedonlybyawritteninstrumentexecutedbyallparties.
16.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof_______.

c.Tradeshowandeventparticipation;
d.Anyotherservicesagreeduponbytheparties.
4.TheDistributorshallreceiveacommissionof_______percent(_____%),calculatedonthenetsalespriceoftheProductssoldintheTerritory,plusanadditionalfeefortheservicesprovidedbytheThirdParty.

a.TheManufacturershallnotselltheProductstoanyotherdistributorwithintheTerritorywithouttheDistributor'spriorwrittenconsent.
b.TheManufacturershallnotdiscloseanyconfidentialinformationtoanythirdpartywithouttheDistributor'spriorwrittenconsent.
c.TheManufacturershallnotterminatethisAgreementwithouttheDistributor'sconsent,unlesstheManufacturerhasbreacheditsobligationsunderthisAgreement.
d.TheManufacturershallcomplywithallapplicablelawsandregulationsandshallnotengageinanyillegalactivities.
12.TheDistributorshallhavethefollowingrightsandinterests:
a.TheDistributorshallhavetherighttoapproveordisapprovetheThirdParty'sservicesandsupport.
b.TheDistributorshallhavetherighttoterminatethisAgreementwiththeManufacturerandtheThirdPartyuponbreachoftheirobligations.
c.TheDistributorshallhavetherighttoreceivemonthlysalesreportsandotherinformationrelatedtothesaleanddistributionoftheProducts.
d.TheDistributorshallhavetherighttoreceiveaportionofthenetsalespriceoftheProductssoldintheTerritoryascommission.
e.TheDistributorshallhavetherighttonegotiateandagreeupontheadditionalfeefortheservicesprovidedbytheThirdParty.
13.ThefollowingdocumentsareherebyincorporatedintoandmadeapartofthisAgreementbyreference:
a.TheManufacturer'sproductcatalog;
b.TheManufacturer'stermsandconditionsofsale;
c.TheDistributor'sbusinesslicense;
d.TheThirdParty'sservicesagreement;
e.Anyotherdocumentmutuallyagreedupon
