2.0TERM

3.0PAYMENT

3.1PaymentTerms

IntheeventthattheClientfailstomakeanypaymentwithinthestipulatedtime,theContractorshallhavetherighttochargetheClientalatepaymentpenaltyof[Percentage]%permonth,calculatedfromtheduedateuntilthedateofactualpayment.

4.0DELIVERYOFSERVICES

4.1TheContractorshalldelivertheservicestotheClientinaccordancewiththespecificationsandtimelinesoutlinedinAttachmentA.

4.2TheContractorshallprovidetheClientwithaprogressreportat[Frequency],detailingthestatusoftheservicesbeingprovided.

5.0ACCEPTANCE

5.1TheClientshallhavetherighttoinspectandaccepttheservicesprovidedbytheContractorinaccordancewiththetermsandconditionsofthisAgreement.

5.2FailurebytheClienttoinspectandaccepttheserviceswithin[Number]daysoftheContractor'snotificationofcompletionshallbedeemedanacceptanceoftheservices.

6.0TERMINATION

6.1EitherPartymayterminatethisAgreementinwriting,withorwithoutcause,upon[NoticePeriod]days'writtennoticetotheotherParty.

7.0LIABILITY

7.1TheContractorshallbeliableforanydamageorlosscausedtotheClientduetotheContractor'snegligenceorbreachofthisAgreement.

7.2TheClientshallbeliableforanydamageorlosscausedtotheContractorduetotheClient'snegligenceorbreachofthisAgreement.

8.0GENERALPROVISIONS

8.1ThisAgreementconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetherwrittenororal,relatingtothesubjectmatterofthisAgreement.

8.2ThisAgreementmaybeamendedormodifiedonlybyawrittenagreementexecutedbybothParties.

8.3ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

8.4AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughgoodfaithnegotiationsbetweentheParties.IfthePartiesfailtoreachanamicableresolutionwithin[Number]days,thedisputeshallbereferredtoarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution].

7.1TheContractorshallhavetherighttoreceivepaymentsfromtheClientinaccordancewiththeagreed-uponschedule.

7.2TheContractorshallhavetherighttoengagetheservicesoftheThirdPartyasnecessary,subjecttotheClient'sapproval.

7.3TheContractorshallhavetherighttoterminatethisAgreementintheeventofamaterialbreachbytheClient,uponproviding[NoticePeriod]days'writtennoticetotheClient.

8.0RIGHTSANDOBLIGATIONSOFTHETHIRDPARTY

9.0TERMINATION

10.0LIABILITY

10.2TheThirdPartyshallbeliableforanydamageorlosscausedtotheClientduetotheThirdParty'snegligenceorbreachofthisAgreement.

10.3TheClientshallbeliableforanydamageorlosscausedtotheContractorortheThirdPartyduetotheClient'snegligenceorbreachofthisAgreement.

11.0LIMITATIONSOFLIABILITY

11.1TheContractor'sliabilityunderthisAgreementshallbelimitedtodirectdamagesandshallnotexceedthetotalcontractprice.

11.2TheThirdParty'sliabilityunderthisAgreementshallbelimitedtodirectdamagesandshallnotexceedthecompensationagreeduponbetweentheContractorandtheThirdParty.

12.0GENERALPROVISIONS

12.1ThisAgreementconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetherwrittenororal,relatingtothesubjectmatterofthisAgreement.

12.2ThisAgreementmaybeamendedormodifiedonlybyawrittenagreementexecutedbyallParties.

12.3ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

12.4AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughgoodfaithnegotiationsbetweentheParties.IfthePartiesfailtoreachanamicableresolutionwithin[Number]days,thedisputeshallbereferredtoarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution].

11.0GENERALPROVISIONS

11.1ThisAgreementconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetherwrittenororal,relatingtothesubjectmatterofthisAgreement.

11.2ThisAgreementmaybeamendedormodifiedonlybyawrittenagreementexecutedbyallParties.
