REPRESENTATIONSANDWARRANTIES:

1.TheLandlordrepresentsandwarrantsthatitisthelawfulowneroftheProperty(definedbelow)andhastherighttoleasethePropertytotheTenant.

2.TheTenantrepresentsandwarrantsthatitisoflegalage,competenttoenterintothisAgreement,andisnotunderanylegaldisabilityorincapacity.

3.TheLandlordandTenantmutuallyrepresentandwarrantthattheyhaveread,understood,andagreedtothetermsandconditionsofthisAgreement.

PROPERTY:

1.ThePropertyisdescribedasfollows:[PropertyDescription].

2.TheLandlordherebyleasesthePropertytotheTenantforatermof[LeaseTerm],commencingon[StartDate]andendingon[EndDate](hereinafterreferredtoasthe"LeaseTerm").

RENT:

TERMANDTERMINATION:

1.ThisAgreementmaybeterminatedbyeitherpartyupon[NoticePeriod]days'writtennoticetotheotherparty.

3.TheLandlordandtheThirdPartyshallnotbeliableforanyfailureordelayintheperformanceoftheirobligationsunderthisAgreementduetoanycausebeyondtheirreasonablecontrol.

4.TheTenantacknowledgesthattheLandlordandtheThirdPartyarenotresponsibleforanyactsoromissionsoftheTenant.

RIGHTSANDPRIVILEGESOFTHELANDLORD:

1.TheLandlordhastherighttoenterthePropertyatreasonabletimestoinspecttheProperty,makenecessaryrepairs,ortoshowthePropertytopotentialpurchasersortenants.

2.TheLandlordhastherighttorequiretheTenanttovacatethePropertyiftheTenantfailstocomplywiththetermsandconditionsofthisAgreement.

3.TheLandlordhastherighttoterminatethisAgreementiftheTenantfailstopayrentwhendue,breachesanymaterialtermorconditionofthisAgreement,orcausesdamagetotheProperty.

RIGHTSANDPRIVILEGESOFTHETHIRDPARTY:

1.TheThirdPartyhastherighttoactasanintermediarybetweentheLandlordandtheTenant,andtoenforcethetermsandconditionsofthisAgreementonbehalfoftheLandlord.

2.TheThirdPartyhastherighttocollectandremitrentonbehalfoftheLandlordandtodeductanycostsorfeesincurredinconnectionwiththeTenant'suseoftheProperty.

3.TheThirdPartyhastherighttoterminatethisAgreementiftheTenantfailstocomplywiththetermsandconditionsofthisAgreement.

SUMMARYANDPURPOSEOFTHIRD-PARTYINTERVENTION:

TheinvolvementoftheThirdPartyinthisAgreementistofacilitatethetransactionbetweentheLandlordandtheTenant,toensurethattherentiscollectedandremittedinatimelyandaccuratemanner,andtoprovideanadditionallayerofsecurityforbothparties.

PURPOSEANDMEANINGOFLANDLORD-DRIVENTERMS:

TheLandlord'srightsandinterestsareprioritizedinthisAgreementtoprotecttheLandlord'sinvestmentintheProperty,toensuretimelyrentcollection,andtomaintainthePropertyingoodconditionthroughouttheLeaseTerm.TheLandlord'srightstoentertheProperty,terminatetheAgreement,andcollectdamagesforbreachesaredesignedtopreservetheLandlord'sinterestsandtomaintaintheintegrityoftheProperty.
