ndapproval.Indemnification:TheContractingPartiesshallindemnifyeachotheragainstanyclaimsorliabilitiesarisingfromtheactsoromissionsofaThirdParty,providedthatsuchclaimsorliabilitiesarenottheresultofthenegligenceorwillfulmisconductoftheindemnifyingparty.6.DivisionofResponsibilitiesTheresponsibilitiesoftheContractingPartiesandtheThirdPartiesshallbeclearlydefinedintheagreementsenteredintobetweenthem.Anyambiguityorconflictinresponsibilitiesshallberesolvedthroughmutualconsultationandagreement.TheContractingPartiesshallensurethattheThirdPartiesareawareoftheirresponsibilitiesandshallprovidethemwithanynecessaryinstructionsorguidancetofulfilltheirobligationsunderthisContract.TheContractingPartiesshallmonitortheperformanceoftheThirdPartiesandshalltakeappropriateactionstoensurethattheirobligationsaremet.7.TerminationofThirdPartyInvolvementTheContractingPartiesmayterminatetheinvolvementofaThirdPartyatanytime,providedthattheygivetheotherpartyreasonablenoticeandprovideavalidreasonforthetermination.8.DisputeResolutionIntheeventofanydisputesarisingfromtheinvolvementofaThirdParty,theContractingPartiesshallendeavortoresolvethedisputesthroughfriendlynegotiations.Ifthedisputescannotberesolvedthroughnegotiations,theyshallbesubmittedtothearbitrationof______________(ArbitrationInstitution)inaccordancewithitsrules.EndofPart2第三部分：其他補(bǔ)充性說明和解釋說明一：附件列表：1.ProductCatalogueDescription:Adetaileddescriptionoftheproductstobeexported,includingspecifications,qualitystandards,andtechnicaldata.Requirements:Thecatalogueshallbeinaclearandorganizedformat,withimagesanddescriptionsinEnglish.2.TechnicalSpecificationsDescription:Detailedtechnicalspecificationsoftheproducts,includingdimensions,performance,andmaterialrequirements.3.PackingListDescription:Alistofthecontentsofeachpackage,includingitemdescriptions,quantities,andweights.Requirements:ThepackinglistshallbeaccurateandshallbesignedtheSellerandtheBuyerupondelivery.4.InspectionCertificateRequirements:ThecertificateshallbeinEnglishandshallbeissuedwithinaspecifiedperiodbeforeshipment.5.BillofLadingDescription:Adocumentissuedthecarrier,acknowledgingreceiptofthegoodsandspecifyingthetermsandconditionsofshipment.Requirements:ThebillofladingshallbeinEnglishandshallbeinaccordancewiththetermsofthisContract.6.InsurancePolicyDescription:Adocumentissuedtheinsuranceprovider,detailingthecoverageandtermsoftheinsurancepolicy.Requirements:TheinsurancepolicyshallbeinEnglishandshallcoverthefullvalueofthegoods.7.ContractofSaleDescription:AcopyofthecontractofsalebetweentheSellerandtheBuyer,outliningthetermsandconditionsofthetransaction.Requirements:ThecontractshallbeinEnglishandshallbeinaccordancewiththeprovisionsofthisContract.8.CustomsDeclarationDescription:Adocumentsubmittedtothecustomsauthority,declaringthenatureandvalueofthegoodsbeingexported.9.WarrantyCertificateDescription:AcertificateissuedtheSeller,guaranteeingthequalityandperformanceofthegoodsforaspecifiedperiod.Requirements:ThewarrantycertificateshallbeinEnglishandshalldetailthetermsandconditionsofthewarranty.10.ArbitrationAgreementDescription:AnagreementbetweentheContractingParties,outliningtheproceduresandrulesforresolvingdisputesthrougharbitration.Requirements:ThearbitrationagreementshallbeinEnglishandshallbeinaccordancewiththeprovisionsofthisContract.說明二：違約行為及責(zé)任認(rèn)定：1.FailuretoMeetDeliveryDatesDefinition:Failuretodeliverthegoodstheagreedupondate.Responsibility:Thedefaultingpartyshallbeliableforliquidateddamagesequaltoapercentageofthetotalcontractvalue,asspecifiedintheContract.Example:IftheSellerfailstodeliverthegoodstheagreedupondate,theyshallpaytheBuyerliquidateddamagesequalto1%ofthetotalcontractvalueforeachdayofdelay.2.NonCompliancewithQualityStandardsDefinition:Deliveryofgoodsthatdonotmeettheagreeduponqualitystandards.Example:IftheBuyerreceivesgoodsthatdonotmeetthequalitystandards,theymayrequestarefundorreplacementattheSeller'sexpense.3.FailuretoProvideProperDocumentationDefinition:Failuretoprovidetherequireddocumentation,suchastheinspectioncertificate,billoflading,orcustomsdeclaration.Responsibility:Thedefaultingpartyshallbelia
