1.Introduction

2.Definitions

2.2"Goods"meansthegoodsorcommoditiespurchasedbytheBuyerfromtheSeller,whicharesubjecttothisAgreement.

3.ScopeofServices

3.1TheSellershallprovidetheBuyerwiththeInternationalFreightForwardingServicesasdescribedinthisAgreement.

3.2TheSellershallberesponsibleforarrangingtransportationoftheGoodsfromtheSeller'swarehousetotheBuyer'sdesignateddestination,includingbutnotlimitedto,selectingtheappropriatecarrier,arrangingcustomsclearance,andprovidinginsurancecoverage.

3.3TheSellershallensurethatthetransportationoftheGoodsiscarriedoutinatimelyandefficientmanner.

4.Delivery

4.1TheSellershalldelivertheGoodstotheBuyer'sdesignateddestinationwithinthetimeframeagreeduponbybothparties.

4.2IftheSellerfailstodelivertheGoodswithintheagreedtimeframe,theBuyershallbeentitledtoterminatethisAgreementandclaimdamagesfromtheSeller.

5.PaymentTerms

5.1TheBuyershallpaytheSellerfortheInternationalFreightForwardingServicesinaccordancewiththepaymenttermsagreeduponbybothparties.

5.2ThepaymentshallbemadeinUSDollarsandshallbemadebywiretransferoranyotheragreeduponpaymentmethod.

5.3IftheBuyerfailstomakethepaymentontime,theSellershallbeentitledtochargeinterestontheoutstandingamountatarateof__________%perannum.

6.WarrantiesandIndemnification

6.1TheSellerwarrantsthattheGoodswillbetransportedwithduecareandinaccordancewiththeapplicablelawsandregulations.

6.2TheSellershallindemnifytheBuyeragainstanyloss,damage,ordelaycausedbytheSeller'snegligenceorbreachofthisAgreement.

7.ForceMajeure

7.1NeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisAgreementduetocircumstancesbeyonditsreasonablecontrol,including,butnotlimitedto,naturaldisasters,war,strikes,andgovernmentactions.

8.GoverningLawandDisputeResolution

8.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthejurisdictionagreeduponbybothparties.

8.2AnydisputearisingoutoforinconnectionwiththisAgreementshallberesolvedthroughamicablenegotiations.Ifthenegotiationsfail,thedisputeshallbesubmittedtoarbitrationinaccordancewiththerulesoftheInternationalChamberofCommerce("ICC").

9.Miscellaneous

9.1ThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreementsandunderstandings,whetherwrittenororal,relatingtothesubjectmatterofthisAgreement.

9.2AnyamendmentormodificationofthisAgreementshallbemadeinwritingandshallbeeffectiveonlyifsignedbybothparties.

10.Attachments

10.1ThisAgreementissupportedbythefollowingattachments,whichareincorporatedhereinbyreference:
