國際貿(mào)易進(jìn)出口英文合同范本通用合同編號：__________本國際貿(mào)易進(jìn)出口合同（以下簡稱“本合同”）由以下雙方于[合同簽訂日期]簽訂：賣方（以下簡稱“甲方”）：公司名稱：____________________法定代表人：________________地址：______________________聯(lián)系方式：____________________傳真：______________________電子郵箱：____________________買方（以下簡稱“乙方”）：公司名稱：____________________法定代表人：________________地址：______________________聯(lián)系方式：____________________傳真：______________________電子郵箱：____________________1.IntroductionandDefinitions1.1ContractBackgroundThisContractismadeandenteredintoandbetweenPartyAandPartyBforthepurposeofinternationaltradeintheimportandexportof[modityname].ThepartiesagreetoconductbusinessinaccordancewiththetermsandconditionssetforthinthisContract.1.2DefinitionsForthepurposesofthisContract,thefollowingtermsshallhavethemeaningsascribedtothembelow:"Commodity"means[descriptionofthemodity]."Delivery"meansthetransferoftheCommodityfromPartyAtoPartyBinaccordancewiththetermsofthisContract."ForceMajeure"meansaneventorcircumstancebeyondthecontrolofthepartiesthatpreventsordelaystheperformanceofthisContract,includingbutnotlimitedtonaturaldisasters,war,strikes,andgovernmentactions.2.CommodityandQuantity2.1CommodityDescriptionPartyAshallsupplytoPartyB[modityname]of[specificationsandqualitystandards].TheCommodityshallconformtotherelevantinternationalstandardsandtherequirementsofthedestinationcountry.2.2QuantityThequantityoftheCommoditytobesuppliedPartyAtoPartyBis[quantity][unitsofmeasurement].3.PriceandTotalValue3.1UnitPriceTheunitpriceoftheCommodityis[priceperunit]in[currency].Thepriceisinclusiveofallcostsrelatedtotheproduction,packaging,anddeliveryoftheCommoditytotheportofloading.3.2TotalContractValueThetotalcontractvalueiscalculatedmultiplyingthequantityoftheCommoditytheunitprice.Thetotalcontractvalueis[totalamount]in[currency].4.PackingandMarking4.1PackingRequirementsTheCommodityshallbepackedin[packingmaterialsandspecifications]toensureitssafetransportationandstorage.Thepackingshallbesuitableforthemodeoftransportationandtheclimaticconditionsofthedestinationcountry.4.2MarkingandLabelingThepackagesoftheCommodityshallbemarkedandlabeledwiththefollowinginformation:NameoftheCommodityQuantityGrossweightandnetweightManufacturer'snameandaddressCountryoforiginHandlinginstructions5.ShippingandDelivery5.1PortofLoadingandDischargeTheportofloadingis[portofloadingname]andtheportofdischargeis[portofdischargename].5.2ShippingSchedulePartyAshallarrangefortheshipmentoftheCommoditywithin[numberofdays]afterthereceiptofthepaymentfromPartyB.Theestimatedtimeofdeparturefromtheportofloadingis[departuredate]andtheestimatedtimeofarrivalattheportofdischargeis[arrivaldate].5.3DeliveryTermsThedeliveryoftheCommodityshallbemadeon[deliveryterms,suchasFOB,CIF,etc.]basis.TheriskoflossordamagetotheCommodityshallpassfromPartyAtoPartyBinaccordancewiththeapplicabledeliveryterms.6.Insurance6.1InsuranceCoveragePartyAshallarrangeforinsurancecoveragefortheCommodityduringtransportationfromtheportofloadingtotheportofdischarge.Theinsurancecoverageshallinclude[typesofinsurancecoverage,suchasmarineinsurance,warriskinsurance,etc.]andshallbeinanamountsufficienttocoverthevalueoftheCommodity.6.2InsuranceProviderTheinsuranceshallbeprovidedareputableinsurancepany.PartyAshallprovidePartyBwiththeinsurancepolicyandotherrelevantdocumentswithin[numberofdays]aftertheshipmentoftheCommodity.7.InspectionandQualityAssurance7.1InspectionProcedureTheCommodityshallbeinspectedanindependentinspectionagencyappointedPartyBattheportofloadingand/ortheportofdischarge.TheinspectionagencyshallconducttheinspectioninaccordancewiththerelevantinternationalstandardsandtherequirementsofthisContract.7.2QualityStandardsTheCommodityshallconformtothequalitystandardsspecifiedinthisContract.IftheCommodityfailstomeetthequalitystandards,PartyBshallhavetherighttorejecttheCommodityandclaimdamagesfromPartyA.8.PaymentTerms8.1PaymentMethodPartyBshallmakepaymenttoPartyA[paymentmethod,suchasletterofcredit,telegraphictransfer,etc.].8.2PaymentScheduleThepaymentshallbemadeasfollows:[Percentageofthetotalcontractvalue]asadownpaymentwithin[numberofdays]afterthesigningofthisContract.[Percentageofthetotalcontractvalue]uponthepresentationoftheshippingdocuments.Theremainingbalancewithin[numberofdays]afterthearrivaloftheCommodityattheportofdischargeandthepassingoftheinspection.9.ForceMajeure9.1DefinitionofForceMajeureForceMajeureeventsshallincludebutnotbelimitedtonaturaldisasters,actsofGod,war,riots,civilmotion,strikes,lockouts,epidemics,governmentrestrictions,andothereventsbeyondthereasonablecontroloftheaffectedparty.9.2ConsequencesofForceMajeureIfeitherpartyisunabletoperformitsobligationsunderthisContractduetoaForceMajeureevent,theaffectedpartyshallpromptlynotifytheotherpartyinwritingofthenature,extent,andexpecteddurationoftheForceMajeureevent.TheaffectedpartyshalluseitsbesteffortstominimizetheeffectsoftheForceMajeureeventandtoresumetheperformanceofitsobligationsassoonaspossible.IftheForceMajeureeventcontinuesforaperiodof[numberofdays],eitherpartymayterminatethisContractwithoutliabilitytotheotherparty.10.BreachofContractandRemedies10.1BreachofContractDefinitionsAbreachofcontractoccurswhenapartyfailstoperformitsobligationsunderthisContractinatimelyandpropermanner.10.2RemediesforBreachIfapartybreachesthisContract,thenonbreachingpartyshallhavetherighttotakeoneormoreofthefollowingremedies:DemandspecificperformanceoftheobligationsunderthisContract.Claimdamagesforthelossessufferedasaresultofthebreach.TerminatethisContractandclaimdamagesforthelossessufferedasaresultofthetermination.11.DisputeResolution11.1NegotiationIntheeventofadisputearisingoutoforinconnectionwiththisContract,thepartiesshallfirstattempttoresolvethedisputethroughfriendlynegotiation.Thepartiesshallappointrepresentativestoconductthenegotiationwithin[numberofdays]aftertheoccurrenceofthedispute.11.2ArbitrationIfthenegotiationfailstoresolvethedisputewithin[numberofdays],thedisputeshallbesubmittedtoarbitration.Thearbitrationshallbeconductedthe[arbitrationinstitution]inaccordancewithitsrulesofarbitration.Theplaceofarbitrationshallbe[arbitrationplace].Thelanguageofthearbitrationshallbe[languageofthearbitration].11.3JurisdictionNotwithstandingtheaboveprovisionsonarbitration,eitherpartymayseekinjunctiveorotherequitablereliefinacourtofpetentjurisdictionintheeventofabreachorthreatenedbreachofthisContractthatmaycauseirreparableharmtothenonbreachingparty.12.Confidentiality12.1ConfidentialInformationDefinitionForthepurposesofthisContract,"ConfidentialInformation"meansallinformationdisclosedonepartytotheotherpartyinconnectionwiththisContract,includingbutnotlimitedtotechnicalinformation,businessplans,customerlists,andpricinginformation.12.2ObligationsofConfidentialityThereceivingpartyshallkeeptheConfidentialInformationconfidentialandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentofthedisclosingparty.ThereceivingpartyshallusetheConfidentialInformationonlyforthepurposesofthisContractandshallnotuseitforanyotherpurpose.13.IntellectualPropertyRights13.1OwnershipofIntellectualPropertyAllintellectualpropertyrightsinandtotheCommodityandanyrelatedmaterialsprovidedPartyAremainthepropertyofPartyA.PartyBshallnotacquireanyrightsinortosuchintellectualpropertyexceptasexpresslyprovidedinthisContract.13.2ProtectionofIntellectualPropertyThepartiesshalltakeallreasonablemeasurestoprotecttheintellectualpropertyrightsofeachother.Ifeitherpartybeesawareofanyinfringementorpotentialinfringementoftheotherparty'sintellectualpropertyrights,itshallpromptlynotifytheotherpartyandcooperatewiththeotherpartyintakingappropriateactionstoenforcesuchrights.14.MiscellaneousProvisions14.1EntireAgreementThisContractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallpriornegotiations,representations,andagreements,whetherwrittenororal.14.2Amendmentand
