甲方:XXX乙方:XXX20XXCOUNTRACTCOVER專業(yè)合同封面RESUME甲方:XXX乙方:XXX20XXCOUNTRACTCOVER專業(yè)合同封面RESUMEPERSONAL2024年限定品牌飲料獨(dú)家代理協(xié)議版B版本合同目錄一覽1.代理商品及范圍1.1商品種類1.2商品數(shù)量1.3商品質(zhì)量標(biāo)準(zhǔn)2.代理期限2.1起始日期2.2結(jié)束日期3.獨(dú)家代理權(quán)3.1區(qū)域限制3.2銷售限制3.3價格控制4.代理價格及支付方式4.1代理價格4.2支付方式4.3支付時間5.銷售目標(biāo)與獎勵5.1銷售目標(biāo)5.2獎勵政策6.市場宣傳與推廣6.1宣傳費(fèi)用承擔(dān)6.2宣傳材料提供6.3宣傳效果評估7.售后服務(wù)與維護(hù)7.1退換貨政策7.2售后服務(wù)7.3維護(hù)市場秩序8.知識產(chǎn)權(quán)保護(hù)8.1品牌使用權(quán)8.2商標(biāo)保護(hù)8.3專利保護(hù)9.保密協(xié)議9.1保密內(nèi)容9.2保密期限9.3違約責(zé)任10.違約責(zé)任10.1代理商違約10.2品牌方違約11.爭議解決方式11.1協(xié)商解決11.2調(diào)解解決11.3仲裁解決12.合同的生效、變更與終止12.1生效條件12.2合同變更12.3合同終止13.其他約定13.1合同的解釋權(quán)13.2法律適用13.3送達(dá)地址14.雙方簽字蓋章14.1代理商簽字14.2品牌方簽字第一部分:合同如下:1.代理商品及范圍1.1商品種類代理商shallactastheexclusiveagentfortheBrand'sbeverageproductsintheTerritory.The"Brand'sbeverageproducts"shallmeanthebeveragesmanufacturedordistributedtheBrand,asspecifiedintheappendixhereto.1.2商品數(shù)量ThequantitiesoftheBrand'sbeverageproductstobesuppliedtheBrandtotheAgentshallbeasstipulatedintheappendixhereto.TheBrandreservestherighttoadjustthequantitiesfromtimetotimeinitssolediscretion.1.3商品質(zhì)量標(biāo)準(zhǔn)TheBrand'sbeverageproductsshallconformtothequalitystandardssetforthintheappendixhereto.TheBrandagreestousereasonableeffortstomaintainsuchqualitystandards.2.代理期限2.1起始日期2.2結(jié)束日期ThetermofthisAgreementshallendontheExpirationDate.3.獨(dú)家代理權(quán)3.1區(qū)域限制TheAgentshallhavetheexclusiverighttoselltheBrand'sbeverageproductswithintheTerritory.The"Territory"shallmeanthegeographicalareaasspecifiedintheappendixhereto.3.2銷售限制TheAgentshallnotselltheBrand'sbeverageproductsoutsidetheTerritory.3.3價格控制TheAgentshallnotselltheBrand'sbeverageproductsatpriceslowerthantheminimumsuggestedretailpricessettheBrand,exceptwiththeBrand'spriorwrittenconsent.4.代理價格及支付方式4.1代理價格TheAgentshallpurchasetheBrand'sbeverageproductsfromtheBrandatthepricessetforthintheappendixhereto.4.2支付方式TheAgentshallmakepaymentstotheBrandbanktransfertotheBrand'sdesignatedbankaccount,inaccordancewiththepaymenttermssetforthintheappendixhereto.4.3支付時間TheAgentshallmakepaymentstotheBrandwithin__daysafterthedateoftherelevantinvoice.5.銷售目標(biāo)與獎勵5.1銷售目標(biāo)TheAgentshallachievetheannualsalestargetssettheBrand,asspecifiedintheappendixhereto.5.2獎勵政策IftheAgentachievesorexceedstheannualsalestargets,theBrandshallprovidetheAgentwiththeincentivesandrewardssetforthintheappendixhereto.8.知識產(chǎn)權(quán)保護(hù)8.1品牌使用權(quán)TheAgentshallhavetherighttousetheBrand'strademarks,tradenames,andotherintellectualpropertyinconnectionwiththepromotionandsaleoftheBrand'sbeverageproductswithintheTerritory,subjecttotheBrand'sapproval.8.2商標(biāo)保護(hù)TheBrandshalltakeallnecessarystepstoprotectitstrademarksandotherintellectualpropertyrightsintheTerritory,andshallindemnifytheAgentagainstanyclaimsordamagesarisingoutofanyinfringementofsuchrightstheAgent.8.3專利保護(hù)TheBrandshallberesponsibleforobtainingandmaintainingallpatentsandotherintellectualpropertyrightsnecessaryfortheproductionandsaleoftheBrand'sbeverageproducts,andshallindemnifytheAgentagainstanyclaimsordamagesarisingoutofanyinfringementofsuchrightstheAgent.9.保密協(xié)議9.1保密內(nèi)容TheAgentshallkeepconfidentialallproprietaryinformationoftheBrand,includingbutnotlimitedtosalesdata,customerlists,andmanufacturingprocesses,andshallnotdisclosesuchinformationtoanythirdpartywithouttheBrand'spriorwrittenconsent.9.2保密期限TheAgent'sobligationtokeepconfidentialtheBrand'sproprietaryinformationshallcontinueforaperiodof__yearsaftertheexpirationorterminationofthisAgreement.9.3違約責(zé)任IftheAgentbreachesitsobligationtokeepconfidentialtheBrand'sproprietaryinformation,theAgentshallbeliabletotheBrandforalldamagesresultingfromsuchbreach,includingbutnotlimitedtolostprofitsandattorney'sfees.10.違約責(zé)任10.1代理商違約IftheAgentbreachesanymaterialprovisionofthisAgreement,theBrandmayterminatethisAgreementuponwrittennoticetotheAgent.TheAgentshallbeliabletotheBrandforalldamagesresultingfromsuchbreach.10.2品牌方違約IftheBrandbreachesanymaterialprovisionofthisAgreement,theAgentmayterminatethisAgreementuponwrittennoticetotheBrand.TheBrandshallbeliabletotheAgentforalldamagesresultingfromsuchbreach.11.爭議解決方式11.1協(xié)商解決AnydisputesarisingoutoforinconnectionwiththisAgreementshallfirstberesolvedthroughfriendlynegotiationsbetweentheparties.11.2調(diào)解解決Ifthepartiesareunabletoresolvethedisputesthroughnegotiations,eitherpartymaysubmitthedisputestomediationadministeredtheChinaInternationalEconomicandTradeArbitrationCommission(CIETAC)inaccordancewithitsrules.11.3仲裁解決Ifthepartiesareunabletoresolvethedisputesthroughmediation,eitherpartymaysubmitthedisputestoarbitrationinaccordancewiththerulesoftheCIETAC.ThearbitrationshallbeconductedinBeijing,China,intheEnglishlanguage,andthearbitralawardshallbefinalandbindingupontheparties.12.合同的生效、變更與終止12.1生效條件12.2合同變更ThisAgreementmaybeamendedormodifiedonlyawritteninstrumentexecutedbothparties.12.3合同終止ThisAgreementmaybeterminatedeitherpartyuponwrittennoticetotheotherpartyintheeventofabreachofthisAgreementtheotherpartythatisnotcuredwithinareasonableperiodoftime.13.其他約定13.1合同的解釋權(quán)AnyambiguityinthisAgreementshallbeinterpretedinthebroadestsensepossibletoeffectuatetheintentoftheparties.13.2法律適用ThisAgreementshallbegovernedandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina.13.3送達(dá)地址14.雙方簽字蓋章ThepartiesheretohaveexecutedthisAgreementasoftheEffectiveDate,withtheintentionofcreatingalegalandbindingobligation.第二部分:其他補(bǔ)充性說明和解釋說明一:附件列表:1.附件一:商品種類及數(shù)量列表詳細(xì)列出所有品牌飲料產(chǎn)品的種類和數(shù)量,以及預(yù)計的供貨周期。2.附件二:代理價格表詳細(xì)列出各種品牌飲料產(chǎn)品的代理價格及其價格調(diào)整機(jī)制。3.附件三:銷售目標(biāo)及獎勵政策詳細(xì)列出銷售目標(biāo)及其獎勵政策,包括獎勵的種類和計算方式。4.附件四:市場宣傳與推廣計劃詳細(xì)列出市場宣傳與推廣的計劃,包括宣傳材料的提供和宣傳效果評估的標(biāo)準(zhǔn)。5.附件五:售后服務(wù)與維護(hù)政策詳細(xì)列出退換貨政策、售后服務(wù)及其維護(hù)市場秩序的措施。6.附件六:知識產(chǎn)權(quán)文件包括品牌使用權(quán)授權(quán)書、商標(biāo)注冊證書和專利證書等相關(guān)知識產(chǎn)權(quán)文件。7.附件七:保密協(xié)議的具體內(nèi)容詳細(xì)列出保密協(xié)議的內(nèi)容,包括保密信息的定義、保密期限和違約責(zé)任。8.附件八:爭議解決方式的詳細(xì)規(guī)定包括協(xié)商、調(diào)解和仲裁的具體規(guī)定和程序。9.附件九:合同的生效、變更與終止的條件和程序詳細(xì)列出合同生效、變更和終止的條件和程序。說明二:違約行為及責(zé)任認(rèn)定:1.代理商違約行為未能達(dá)到銷售目標(biāo)、未能遵守價格控制規(guī)定、未能履行保密協(xié)議等。2.品牌方違約行為未能提供代理商品、未能維護(hù)商品質(zhì)量標(biāo)準(zhǔn)、未能履行獎勵政策等。3.違約責(zé)任認(rèn)定標(biāo)準(zhǔn)根據(jù)合同條款,對于違約行為造成的損失,違約方需承擔(dān)相應(yīng)的賠償責(zé)任。示例說明:如果代理商
