ion].b.Ifarbitrationisnotsuccessful,thepartiesagreetosubmittothejurisdictionofthecourtsof[Jurisdiction].10.3Mediationa.Priortoanyarbitrationorlitigation,thepartiesshallattemptingoodfaithtomediateanydisputesarisingoutoforrelatingtothisContract.11.MiscellaneousProvisions11.1ForceMajeurea.NeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisContractduetocausesbeyonditsreasonablecontrol,includingactsofGod,naturaldisasters,war,terrorism,governmentactions,orlabordisputes.11.2AssignmentandTransfera.ThisContractmaynotbeassignedortransferredeitherpartywithoutthepriorwrittenconsentoftheotherparty.11.3EntireAgreementa.ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal.12.AttachmentsandSchedules12.1Appendicesa.TheAppendicestothisContractshallbedeemedpartofthisContractandshallhavethesameforceandeffectasifsetforthinfullinthebodyofthisContract.12.2Schedulesa.TheSchedulesattachedtothisContractshallbedeemedpartofthisContractandshallhavethesameforceandeffectasifsetforthinfullinthebodyofthisContract.12.3Exhibitsa.TheExhibitstothisContractshallbedeemedpartofthisContractandshallhavethesameforceandeffectasifsetforthinfullinthebodyofthisContract.13.SignaturesandExecution13.1WitnessRequirementsa.ThisContractshallbeexecutedthepartiesincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.13.2ExecutionofContracta.ThisContractshallbeexecutedon[Date]theparties.13.3AcceptanceofOffera.TheBuyer'sacceptanceofthisContractshallbedeemedtobeeffectiveupontheBuyer'ssignatureonthefaceofthisContract.14.Confidentiality14.1ConfidentialInformationa."ConfidentialInformation"meansanyinformationdisclosedeitherpartytotheotherpartythatismarkedasconfidentialorthatareasonablepersonwouldunderstandtobeconfidentialgiventhenatureoftheinformationandthecircumstancesofdisclosure.14.2UseandDisclosureRestrictionsa.ThepartiesagreetoholdinstrictconfidenceandnottouseordisclosetoanythirdpartyanyConfidentialInformationexceptaspermittedthisContract.14.3ReturnofConfidentialInformationa.UpontheexpirationorterminationofthisContract,eachpartyshallreturnordestroyallConfidentialInformationreceivedfromtheotherparty.第二部分:第三方介入后的修正1.DefinitionofThirdParties1.1"ThirdParties"refertoindividuals,entities,ororganizationsotherthantheSellerandBuyer,includingbutnotlimitedtorealestateagents,brokers,lenders,inspectors,appraisers,attorneys,andanyotherpartiesinvolvedinthetransactionorrelatedservices.2.RoleofThirdParties2.1ThirdPartiesshallperformservicesasagreeduponinthisContractorasmayberequiredlaworregulation.2.2TheroleandresponsibilitiesofeachThirdPartyshallbeclearlydefinedintherespectiveagreementsorcontractsenteredintobetweenthepartiesinvolved.3.AdditionalTermsfortheParties3.1Seller'sAdditionalObligationsa.TheSellershallensurethatallThirdPartiesareadequatelylicensed,insured,andqualifiedtoperformtheirrespectiveservices.b.TheSellershallprovideallnecessaryinformationandaccesstothePropertyfortheThirdPartiestoperformtheirduties.3.2Buyer'sAdditionalObligationsa.TheBuyershallprovideanyrequireddocumentationorinformationtotheThirdPartiespromptlyandaccurately.b.TheBuyershallcooperatewiththeThirdPartiesintheperformanceoftheirduties.4.LiabilityLimitationofThirdParties4.1TheliabilityofThirdPartiesfortheiractionsoromissionsintheperformanceoftheirdutiesunderthisContractshallbegovernedthetermsoftheirrespectiveagreementsorcontracts.4.2TheSellerandBuyershallnotholdeachotherliablefortheactionsoromissionsofThirdPartiesunlesssuchactionsoromissionsaretheresultofthenegligenceorwillfulmisconductoftheSellerorBuyer.5.ThirdPartyIntermediaries5.1RealEstateAgentsandBrokersa.Ifarealestateagentorbrokerisinvolved,theyshallactasintermediariesbetweentheSellerandBuyerandfacilitatethetransaction.b.TherealestateagentorbrokershalldiscloseanyconflictsofinterestorfinancialincentivestheymayhavetotheSellerandBuyer.5.2Lendersa.Ifalenderisinvolved,theyshallprovidefinancingtotheBuyer.b.Thelender'sobligationsshallbegovernedthetermsofthemortgageorloanagreement.5.3InspectorsandAppraisersa.InspectorsandappraisersshallperformtheirrespectiveservicestoassesstheconditionandvalueoftheProperty.b.TheirfindingsandreportsshallbeprovidedtotheSellerandBuyer,andtheyshallberesponsiblefortheaccuracyoftheirwork.6.DivisionofResponsibilities6.1Seller'sResponsibilitiesb.SellershallprovidenecessarydocumentationandaccesstothePropertyforinspectionsandappraisals.6.2Buyer'sResponsibilitiesa.BuyershallobtainnecessaryfinancingandfulfillallfinancialobligationsasagreeduponinthisContract.b.BuyershallcooperatewithallThirdPartiesintheperformanceoftheirduties.6.3ThirdPartyResponsibilitiesa.ThirdPartiesshallperformtheirserviceswithduediligenceandinaccordancewithapplicablelawsandregulations.b.ThirdPartiesshallmaintainconfidentialityofanyConfidentialInformationprovidedtheSellerandBuyer.7.ThirdPartyDisputeResolution7.1IfadisputearisesbetweentheSeller,Buyer,andaThirdParty,thepartiesshallattempttoresolvethedisputeamicably.7.2Ifanamicableresolutioncannotbereached,thepartiesmayseekresolutionthrougharbitrationorlitigation,asprovidedforintherespectiveagreementsorcontracts.8.Indemnification8.1SellerandBuyershallindemnifyandholdeachotherharmlessfromanyclaims,liabilities,ordamagesarisingfromtheactionsoromissionsofThirdParties,exceptasaresultoftheirownnegligenceorwillfulmisconduct.9.ThirdPartyInsurance9.1EachThirdPartyshallmaintainappropriateinsurancecoveragetoprotectagainstanyliabilityarisingfromtheirservices.10.ThirdPartyTermination10.1IfaThirdPartyfailstoperformtheirdutiesorbreachestheirobligationsunderthisContract,theSellerorBuyermayterminatetheirengagementwiththatThirdParty,subjecttothetermsoftheirrespectiveagreementsorcontracts.11.ThirdPartySubstitution11.
