4.WarrantiesandLiability

(a)SupplierwarrantsthattheGoodsshallbefreefromdefectsinmaterialsandworkmanshipandshallconformtothespecificationsandstandardssetforthinthisContract.

(b)Intheeventofanybreachofwarranty,Suppliershall,atitssolediscretion,eitherreplacethedefectiveGoodsorrefundthepurchasepricepaidbyPurchaser.

(c)TheliabilityofSupplierunderthiswarrantyshallbelimitedtothereplacementorrefundofthepurchasepricepaidbyPurchaserforthedefectiveGoods.

5.IntellectualPropertyRights

Suppliershallretainallrights,title,andinterestinandtotheintellectualpropertyrightsrelatedtotheGoods,includingbutnotlimitedtopatents,trademarks,copyrights,andtradesecrets.

6.ForceMajeure

NeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisContractduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,naturaldisasters,war,strikes,oranygovernmentaction.

7.GoverningLawandDisputeResolution

6.Supplier'sObligationsandLimitations

7.ThirdParty'sResponsibilitiesandRights

(c)ThirdPartyshallhavetherighttoaccessSupplier'sfacilitiesandrecordsforthepurposesofconductingqualitycontrolandinspection.

(d)ThirdPartyshallbeentitledtoreceiveafeeforitsservicesassetforthinExhibitB.

8.GoverningLawandDisputeResolution

11.PurposeandSignificanceofPurchaser'sDominance

Purchaser'sdominanceinthisContractisintendedtosafeguarditsinterestsandensurethattheGoodsmeetitsspecificrequirements.Byhavingtherighttorequestinspections,negotiateforpricereductions,andterminatetheContractincaseofnon-compliance,PurchasercanmaintaincontroloverthequalityanddeliveryoftheGoods.

4.Principal'sObligationsandLimitations

(b)PrincipalshallnotinterferewiththeContractor'soperationsunlesssuchinterferenceisnecessaryforthesafetyoftheprojectorthecompliancewithregulations.

5.ProjectManager'sResponsibilitiesandRights
