5.INSURANCE

5.1TheLessorshallobtainandmaintaininsurancefortheEquipmentduringtheLeaseTerm,includingbutnotlimitedtofireinsuranceandliabilityinsurance.

5.2TheLesseeshallobtainandmaintaininsurancefortheLessee'suseoftheEquipmentduringtheLeaseTerm,includingbutnotlimitedtopersonalaccidentinsurance.

6.TRANSFERANDSUBLEASING

6.1TheLesseeshallnottransfer,assign,orsubleasetheEquipmentwithoutthepriorwrittenconsentoftheLessor.

6.2TheLessorshallnottransfer,assign,orsubleasetheEquipmentwithoutthepriorwrittenconsentoftheLessee.

7.TERMINATION

7.1ThisAgreementmaybeterminatedbyeitherpartyupontheoccurrenceofthefollowingevents:

a)AbreachoftheAgreementbytheotherparty;

b)Theinsolvencyorbankruptcyofeitherparty;

c)AnyothereventthatrendersthecontinuationofthisAgreementunlawfulorimpractical.

7.2UponterminationofthisAgreement,theLesseeshallreturntheEquipmenttotheLessoringoodcondition,freefromanyliensorencumbrances.

8.LIABILITY

8.1TheLessorshallbeliableforanydamagetotheEquipmentcausedbytheLessor'sfailuretomaintaintheEquipmentingoodcondition.

8.2TheLesseeshallbeliableforanydamagetotheEquipmentcausedbytheLessee'snegligenceormisuseoftheEquipment.

9.GENERALPROVISIONS

9.1ThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal,relatingtothesubjectmatterhereof.

9.2AnyamendmentormodificationtothisAgreementshallbeeffectiveonlyifinwritingandsignedbybothparties.

9.3IfanyprovisionofthisAgreementisfoundtobeinvalidorunenforceable,theremainingprovisionsshallremaininfullforceandeffect.

9.4ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina.
