2.Quantity,Quality,Specifications,andPackaging:
a.Quantity:ThetotalquantityoftheProductsshallbe___________________________pieces.
b.Quality:ThequalityoftheProductsshallcomplywiththequalitystandardsstipulatedintheProductList(AttachmentNo.1)andtherelevantnationalandindustrystandards.
c.Specifications:ThespecificationsoftheProductsshallbeasspecifiedintheProductList(AttachmentNo.1).
d.Packaging:TheProductsshallbepackedinaccordancewiththepackagingrequirementsstipulatedintheProductList(AttachmentNo.1).
3.DeliveryandTransportation:
a.DeliveryTime:TheSellershalldelivertheProductstothedesignatedaddressoftheBuyerwithin___________________________daysaftertheBuyer’sconfirmationoftheorder.
b.Transportation:ThetransportationoftheProductsshallbearrangedbytheSeller.ThetransportationcostsshallbebornebytheSellerunlessotherwiseagreeduponbytheparties.
4.Payment:
a.PaymentTerms:TheBuyershallpaythepurchasepriceoftheProductstotheSellerwithin___________________________daysafterthereceiptoftheinvoiceissuedbytheSeller.
b.PaymentMethod:Thepaymentshallbemadeby___________________________(e.g.,wiretransfer,creditcard,etc.).
c.Deposit:TheBuyershallpayadepositof___________________________asaguaranteeofperformanceoftheContract.ThedepositshallberefundedtotheBuyeruponthecompletionoftheContract.
5.Warranties:
a.TheSellerwarrantsthattheProductsarefreefromanydefectsandmeetthequalitystandardsstipulatedintheContract.
b.TheSellershallprovidetheBuyerwithawarrantyperiodof___________________________fortheProducts.
6.ForceMajeure:
Intheeventofanyunforeseeablecircumstancesbeyondthecontrolofeitherparty,includingbutnotlimitedtonaturaldisasters,war,strikes,andgovernmentregulations,whichpreventeitherpartyfromfulfillingitsobligationsunderthisContract,theaffectedpartyshallnotifytheotherpartyinwritingwithin___________________________daysoftheoccurrenceofsuchcircumstances,andthepartiesshall協(xié)商(negotiate)ingoodfaithtofindasolution.
7.DisputeResolution:
AnydisputesarisingfromtheexecutionofthisContractshallbesettledthroughfriendlynegotiationsbetweentheparties.Ifthenegotiationsfailtoresolvethedisputes,thepartiesagreetosubmitthedisputestothearbitrationofathirdpartyortothecompetentcourtforadjudication.
8.ValidityandTermination:
ThisContractshallbecomeeffectiveuponthesignatureofbothpartiesandshallremainineffectuntilthefullperformanceofallobligationsundertheContract.EitherpartymayterminatethisContractinwritingwith___________________________days’priornoticetotheotherpartyiftheotherpartyfailstofulfillitsobligationsundertheContract.

a.PartyBshallensurethatthequalityoftheProductsmeetsthespecificationsandstandardsasoutlinedintheProductList(AttachmentNo.1)andallrelevantlawsandregulations.
b.PartyBshalldelivertheProductstoPartyCinatimelymannerasagreedupon.
c.PartyBshallprovidenecessarytechnicalsupportandtrainingtoPartyCforthesuccessfuldistributionoftheProducts.
3.Distributor’sObligations:
a.PartyCshalldistributetheProductsinaccordancewiththeagreedmarketingplanandshallensurethattheProductsaresoldattheagreed-uponprices.
b.PartyCshallmaintainthequalityoftheProductsandprovideafter-salesservicetothecustomers.
c.PartyCshallreportsalesdataandmarkettrendstoPartyAonaregularbasis.
4.Principal’sRightsandObligations:
a.ThePrincipalhastherighttoinspectthequalityandquantityoftheProductsbeforetheyaredistributedbyPartyC.
b.ThePrincipalhastherighttoapprovethemarketingstrategiesproposedbyPartyC.
c.ThePrincipalhastherighttoterminatethisContractifPartyBorPartyCfailstomeettheobligationsasstatedherein.
d.ThePrincipalshallprovidenecessarymarketingmaterialsandpromotionalsupporttoPartyC.
e.ThePrincipalshallpaytheagreed-uponcompensationtoPartyBandPartyCfortheirservices.
5.Principal’sBenefits:
a.ThePrincipalbenefitsfromtheexpertiseofPartyBinclothingmanufacturing,ensuringhigh-qualityProducts.
b.ThePrincipalbenefitsfromPartyC’sestablisheddistributionnetworkandmarketreach.
c.ThePrincipalbenefitsfromthecompetitivepricingstrategyandpromotionaleffortsofPartyC.
d.ThePrincipalbenefitsfromtheregularmarketreportsprovidedbyPartyC,whichaidsinstrategicdecision-making.
6.Manufacturer’sandDistributor’sBenefits:
a.PartyBbenefitsfromtheopportunitytosupplyProductstoareputableretailchain,enhancingitsmarketreputation.
b.PartyCbenefitsfromtheopportunitytoexpanditsproductlineandincreasesalesthroughthecollaborationwiththePrincipal.
7.Manufacturer’sandDistributor’sObligationsinCaseofDefault:
a.Intheeventofnon-compliancewiththequalitystandards,PartyBshallbeliableforthecostofreplacingorrepairingtheProducts.
b.IfPartyCfailstomeetthesalestargetsorbreachesthemarketingplan,PartyCshallbeliableforthefinanciallossesincurredbythePrincipal.
c.Intheeventofabreachofcontract,PartyBorPartyCshallcompensatethePrincipalforanydirectorindirectlosses.
8.LimitationsofLiability:
a.ThePrincipalshallnotbeliableforanyindirectorconsequentiallossesarisingfromtheperformanceornon-performanceofthisContract.
b.PartyBandPartyCshallnotbeliableforanylossescausedbyforcemajeureeventsbeyondtheircontrol.
9.GoverningLawandJurisdiction:
