ContractAgreement

ThisContractAgreement(the"Agreement")ismadeandenteredintoasof[InsertDate],byandbetween[InsertPartyAName],acompanyorganizedandexistingunderthelawsofthePeople'sRepublicofChina("PartyA"),and[InsertPartyBName],acompanyorganizedandexistingunderthelawsof[InsertCountry]("PartyB").

Recitals

WHEREAS,PartyAisengagedinthebusinessof[InsertPartyABusiness];

WHEREAS,PartyBisengagedinthebusinessof[InsertPartyBBusiness];

WHEREAS,PartyAandPartyBwishtoenterintothisAgreementtoestablishthetermsandconditionsoftheirmutualcooperation.

Now,therefore,inconsiderationofthemutualpromisescontainedhereinandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartiesheretoagreeasfollows:

Article1:SubjectMatterofCooperation

1.1PartyAagreestoprovidePartyBwith[InsertService/Product](the"SubjectMatter")inaccordancewiththetermsandconditionssetforthinthisAgreement.

1.2PartyBagreestoaccepttheSubjectMatterprovidedbyPartyAandpayPartyAtheconsiderationasprovidedinthisAgreement.

Article2:TermsofCooperation

2.1PartyAshallprovidetheSubjectMattertoPartyBwithin[InsertTimePeriod].

2.2PartyBshallpayPartyAtheconsiderationfortheSubjectMatterwithin[InsertTimePeriod]afterreceivingtheinvoicefromPartyA.

2.3ThepartiesagreetomaintainconfidentialitywithrespecttoanyproprietaryorconfidentialinformationexchangedbetweentheminconnectionwiththecooperationunderthisAgreement.

Article3:PaymentTerms

3.1PartyBshallpayPartyAthetotalconsiderationfortheSubjectMatterintheamountof[InsertAmount](the"Consideration").

3.2TheConsiderationshallbepaidbyPartyBtoPartyAwithin[InsertTimePeriod]afterreceivingtheinvoicefromPartyA.

3.3Thepartiesmayagreeonanydiscounts,rebatesorotherincentivesasmutuallydetermined.

Article4:WarrantiesandRepresentations

4.1PartyArepresentsandwarrantsthatithasthelegalrightandauthoritytoenterintothisAgreementandtoperformitsobligationshereunder.

4.2PartyBrepresentsandwarrantsthatithasthelegalrightandauthoritytoenterintothisAgreementandtoperformitsobligationshereunder.

Article5:Indemnification

5.1Eachparty(the"IndemnifyingParty")shallindemnifyandholdharmlesstheotherparty(the"IndemnifiedParty")againstanylosses,damages,liabilities,claims,actions,judgments,fines,penalties,costsandexpenses(includingreasonableattorney'sfees)arisingoutoforinconnectionwithanybreachofthisAgreementbytheIndemnifyingParty.

Article6:DisputeResolution

6.1AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughfriendlynegotiation.

6.2Ifthedisputescannotberesolvedthroughnegotiation,eitherpartymaysubmitthedisputestothecourtsofthePeople'sRepublicofChina.

Article7:Miscellaneous

7.1ThisAgreementmaynotbeassignedbyeitherpartywithoutthepriorwrittenconsentoftheotherparty.

7.2ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiationsanddiscussions,whetheroralorwritten,oftheparties.

7.3ThisAgreementmaybeamendedormodifiedonlybyawritteninstrumentexecutedbybothparties.
