WHEREAS,PartyAdesiresto[brieflydescribethepurposeofthecontract];

WHEREAS,PartyBiswillingtoprovidetheservices/productsasspecifiedherein;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thePartiesagreeasfollows:

1.DEFINITIONS

Unlessotherwisedefinedherein,thefollowingtermsshallhavethemeaningsascribedtothem:

a."ConfidentialInformation"meansanyandallinformation,whethertechnical,commercial,orofanyothernature,disclosedbyonePartytotheotherPartyinconnectionwiththisAgreement.

b."ForceMajeure"meansanyeventbeyondthereasonablecontrolofaParty,including,butnotlimitedto,actsofGod,naturaldisasters,war,terrorism,strikes,andgovernmentrestrictions.

2.SERVICES/PRODUCTS

PartyBagreestoprovide[describetheservices/productstobeprovidedbyPartyB]toPartyA,inaccordancewiththetermsandconditionssetforthinthisAgreement.

3.TERM

ThisAgreementshallcommenceontheEffectiveDateandcontinueforaperiodof[Term]unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.

4.CONFIDENTIALITY

EachPartyagreestomaintaintheconfidentialityoftheotherParty'sConfidentialInformationandshallnotdisclosesuchConfidentialInformationtoanythirdpartywithoutthepriorwrittenconsentofthedisclosingParty.

5.INTELLECTUALPROPERTYRIGHTS

PartyAacknowledgesandagreesthatallintellectualpropertyrightsintheservices/productsprovidedbyPartyBaretheexclusivepropertyofPartyBoritslicensors,andnothinginthisAgreementshallbedeemedtotransferanysuchrightstoPartyA.

6.INDEMNIFICATION

EachPartyagreestoindemnify,defend,andholdharmlesstheotherPartyagainstanythird-partyclaims,losses,damages,liabilities,andexpensesarisingoutoforinconnectionwithanybreachofthisAgreementbytheindemnifyingParty.

7.FORCEMAJEURE

NeitherPartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisAgreementduetoaForceMajeureevent.TheaffectedPartyshallpromptlynotifytheotherPartyoftheoccurrenceofaForceMajeureeventandusereasonableeffortstomitigatetheeffectsofsuchevent.

8.TERMINATION

EitherPartymayterminatethisAgreementbygivingwrittennoticetotheotherPartyiftheotherPartybreachesanymaterialtermorconditionofthisAgreementandfailstocuresuchbreachwithin[NoticePeriod]afterreceiptofwrittennotice.

9.MISCELLANEOUS

a.EntireAgreement:ThisAgreementconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal.

b.GoverningLawandJurisdiction:ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningJurisdiction],andanydisputesarisingoutoforinconnectionwiththisAgreementshallbesubjecttotheexclusivejurisdictionofthecourtsof[GoverningJurisdiction].

c.Amendments:ThisAgreementmaybeamendedormodifiedonlybyawritteninstrumentexecutedbybothParties.

INWITNESSWHEREOF,thePartieshaveexecutedthisAgreementa
