ContractforExclusiveDistribution

ThisContractforExclusiveDistribution(the"Contract")ismadeandenteredintoasof[InsertDate],byandbetween[InsertSeller'sName],acompanyorganizedandexistingunderthelawsof[InsertSeller'sCountry](the"Seller"),and[InsertBuyer'sName],acompanyorganizedandexistingunderthelawsof[InsertBuyer'sCountry](the"Buyer").

1.DistributionRights

1.1TheSellerherebygrantstotheBuyertheexclusiverighttodistributetheProducts(asdefinedbelow)intheTerritory(asdefinedbelow)duringtheTermoftheContract.

1.2The"Products"meansallgoodsand/orservicessuppliedbytheSellertotheBuyerunderthisContract.

1.3The"Territory"means[InsertTerritory].

2.ObligationsoftheBuyer

2.1TheBuyeragreestouseitsbesteffortstopromote,marketandselltheProductsintheTerritory.

2.2TheBuyeragreestocomplywithallapplicablelaws,regulationsandstandardsintheTerritoryinrelationtothemarketing,saleanddistributionoftheProducts.

2.3TheBuyeragreestoprovidetheSellerwithregularreportsonthesalesoftheProductsintheTerritory.

3.ObligationsoftheSeller

3.1TheSelleragreestosupplytheBuyerwiththeProductsinaccordancewiththetermsandconditionssetforthinthisContract.

3.2TheSelleragreestoprovidetheBuyerwithreasonabletechnicalandpromotionalsupportinrelationtotheProducts.

4.PricingandPaymentTerms

4.1TheSellershallprovidetheBuyerwithalistofthepricesfortheProducts(the"PriceList").ThepricessetforthinthePriceListshallbethepricesatwhichtheBuyershallpurchasetheProductsfromtheSeller.

4.2TheBuyershallmakepaymentfortheProductsinaccordancewiththepaymenttermssetforthinthePriceList.

5.TermandTermination

5.1ThetermofthisContract(the"Term")shallcommenceontheEffectiveDateandshallcontinueforaperiodof[InsertTerm].

5.2eitherpartymayterminatethisContractuponwrittennoticetotheotherpartyiftheotherpartycommitsamaterialbreachofanyprovisionofthisContractandfailstocuresuchbreachwithin[InsertCurePeriod]afterreceiptofwrittennoticethereoffromtheterminatingparty.

6.Confidentiality

6.1ThepartiesagreetomaintaintheconfidentialityofthetermsandconditionsofthisContract,excepttotheextentthatsuchtermsandconditionsarerequiredtobedisclosedbylaworregulation.

7.GoverningLawandDisputeResolution

7.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[InsertGoverningJurisdiction].

7.2AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedbyarbitrationinaccordancewiththerulesofthe[InsertArbitrationInstitution].

8.EntireAgreement

8.1ThisContractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiationsanddiscussions,whetheroralorwritten,oftheparties.

INWITNESSWHEREOF,thepartieshaveexecutedthisContractasofthedatefirstabovewritten.
