ConfidentialityAgreement(EnglishVersion)

1.PurposeoftheAgreement

ThepurposeofthisConfidentialityAgreement(hereinafterreferredtoas"Agreement")istoensurethattheinformationsharedbetweentheDisclosingPartyandtheReceivingPartyremainsconfidentialandisnotdisclosedtoanythirdpartywithoutpriorwrittenconsent.

2.DefinitionofConfidentialInformation

"ConfidentialInformation"referstoanyandallinformation,whetherinoral,written,electronicorotherform,disclosedtheDisclosingPartytotheReceivingParty.Thisincludes,butisnotlimitedto,technicaldata,knowhow,tradesecrets,businessplans,customerlists,andanyotherproprietaryinformation.

3.ObligationsoftheReceivingParty

TheReceivingPartyagreesto:

MaintaintheconfidentialityoftheConfidentialInformationandnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheDisclosingParty.

UsetheConfidentialInformationsolelyforthepurposespecifiedinthisAgreement.

TakeallreasonablemeasurestoprotecttheConfidentialInformationfromunauthorizedaccess,use,copying,ordisclosure.

4.Exclusions

TheobligationsofconfidentialitysetforthinthisAgreementshallnotapplyto:

InformationthatisindependentlydevelopedtheReceivingPartywithoutaccesstotheConfidentialInformation.

Informationthatisreceivedfromathirdpartywithoutanyobligationofconfidentiality.

5.TermoftheAgreement

ThisAgreementshallremainineffectforaperiodof[Specifytheduration]fromthedateofsigning.However,theobligationsregardingConfidentialInformationshallsurvivetheterminationofthisAgreementforaperiodof[Specifytheduration].

6.ReturnofConfidentialInformation

UpontheterminationofthisAgreementorattheDisclosingParty'srequest,theReceivingPartyshallpromptlyreturnordestroyallConfidentialInformationandanycopiesthereofinitspossession.

7.GoverningLaw

ThisAgreementshallbegovernedandconstruedinaccordancewiththelawsof[Specifythejurisdiction].

BysigningthisAgreement,bothpartiesacknowledgethattheyhaveread,understood,andagreedtobebounditstermsandconditions.

8.NonTransferableRights

TheReceivingPartyshallnottransferorassignitsrightsorobligationsunderthisAgreementtoanythirdpartywithoutthepriorwrittenconsentoftheDisclosingParty.Anyattempttodososhallbenullandvoid.

9.Indemnification

TheReceivingPartyagreestoindemnifyandholdharmlesstheDisclosingPartyagainstanyandalllosses,damages,liabilities,orexpenses(includingreasonableattorney'sfees)incurredasaresultoftheReceivingParty'sbreachofthisAgreement.

10.DisputeResolution

IntheeventofadisputearisingoutoforinconnectionwiththisAgreement,thepartiesshallfirstattempttoresolvethedisputethroughgoodfaithnegotiations.Ifthedisputecannotberesolvedwithinareasonableperiod,itshallbesubmittedtobindingarbitrationinaccordancewiththerulesofthe[Specifyarbitrationassociation],andthedecisionofthearbitrator(s)shallbefinalandbindinguponbothparties.

11.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheparties.

12.Amendments

ThisAgreementmaybeamendedormodifiedonlyawritteninstrumentexecutedbothparties.

15.NoLicenseGranted

ThisAgreementdoesnotgranttheReceivingPartyanyright,,orinterestinortotheConfidentialInformation.TheDisclosingPartyretainsallrights,,andinterestinandtoallConfidentialInformationdisclosedunderthisAgreement.

16.NoWaiver

ThefailureofeitherpartytoenforceanyprovisionofthisAgreementshallnotbedeemedawaiverofsuchprovisionoroftherighttoenforcesuchprovision.

17.Survival

TheprovisionsofthisAgreementthattheirnaturesurviveterminationorexpirationofthisAgreement,includingbutnotlimitedtoconfidentialityobligations,indemnification,anddisputeresolution,shallsurvivesuchterminationorexpiration.

18.NoThirdPartyBeneficiaries

ThisAgreementisintendedforthebenefitofthepartiesheretoandtheirrespectivesuccessorsandassigns,andnothingherein,expressorimplied,isintendedtoorshallconferonanyotherpersonorentityanylegalorequitableright,benefit,orremedyofanynaturewhatsoeverunderorreasonofthisAgreement.

TheheadingsinthisAgreementareforconvenienceonlyandshallnotbeusedtointerpretorconstrueitsprovisions.

22.ExecutioninCounterparts

ThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.
