2024技術(shù)勞務(wù)合同范本共2024TechnologyLaborContractTemplateArticle1:ContractObjectiveThiscontractisenteredintobetweenPartyA(Employer)andPartyB(LaborProvider)todefinethetermsandconditionsofthetechnologylaborservicestobeprovidedbyPartyBtoPartyA.Article2:Definitions"TechnologyLaborServices"refertothespecializedtechnicalworkprovidedbyPartyB,includingbutnotlimitedtosoftwaredevelopment,technicalresearch,andtechnicalsupport."ConfidentialInformation"referstoanyinformationthatisnotpubliclyknownandisdisclosedbyPartyAtoPartyBinthecourseofprovidingthetechnologylaborservices.Article3:ScopeofTechnologyLaborServicesPartyBagreestoprovidethefollowingtechnologylaborservicestoPartyA:__________.Thespecifictasks,requirements,andstandardsforthetechnologylaborservicesaredetailedinAttachment1.Article4:ContractTermThetermofthiscontractshallcommenceon__________andconcludeon__________.Thecontractmaybeextendeduponmutualwrittenagreementofbothparties.Article5:RightsandObligationsofPartyAPartyAhastherighttoreceivethetechnologylaborservicesasstipulatedinthiscontract.PartyAshallmakepaymentstoPartyBfortheservicesrenderedaspertheagreedschedule.PartyAshallprovidePartyBwithnecessaryinformationandresourcestoperformtheservices.Article6:RightsandObligationsofPartyBPartyBhastherighttoreceivepaymentforthetechnologylaborservicesprovided.PartyBshallperformtheservicesprofessionallyandinaccordancewiththeagreedscope.PartyBshallmaintaintheconfidentialityofallinformationprovidedbyPartyA.Article7:LaborRemunerationandPaymentTermsThetotalremunerationforthetechnologylaborservicesis__________(Currency).PartyAshallmakepaymentstoPartyBaccordingtothefollowingschedule:Anadvancepaymentof__________%uponsigningofthiscontract;Aprogresspaymentof__________%uponreachingtheagreedmilestone(s);Thebalanceuponcompletionoftheservices.Article8:ConfidentialityBothpartiesshallkeepconfidentialallinformationmarkedassuchorwhichshouldbereasonablyconsideredconfidential.Theobligationofconfidentialityshallcontinueforaperiodof__________yearsaftertheterminationofthiscontract.Article9:BreachofContractIntheeventofabreachofcontractbyeitherparty,thebreachingpartyshallbeliablefordamagesandshallcompensatethenon-breachingpartyforanylossesincurred.Thespecifictermsofliabilityforbreachofcontractshallbedeterminedbymutualagreementbasedonthecircumstancesofthebreach.Article10:AmendmentsandTerminationThiscontractmaynotbeamendedorterminatedwithoutthemutualconsentofbothparties.Intheeventofforcemajeure,thepartiesmaynegotiateamendmentsorterminationofthecontract.Article11:ForceMajeureForcemajeurereferstounforeseeable,unavoidable,andinsurmountableobjectivecircumstances.Ifapartyisunabletoperformthecontractduetoforcemajeure,itshallpromptlynotifytheotherpartyandprovideevidence.Article12:DisputeResolutionDisputesarisingfromtheperformanceofthiscontractshallfirstberesolvedthroughnegotiation.Ifnegotiationfails,disputesmaybesubmittedto__________forarbitration.Article13:GoverningLawThiscontractshallbegovernedbyandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina.Article14:NoticesandServiceAllnoticesunderthiscontractshallbeinwritinganddeliveredtotheaddressesspecifiedinthiscontractorsuchotheraddressesasmaybedesignatedinwriting.Noticesshallbedeemedeffectiveuponreceipt.Article15:AdditionalProvisionsAnysupplementsormodificationstothiscontractshallbemadeinwritingandshallbeeffectiveuponbeingsignedbytheauthorizedrepresentativesofbothparties.Mattersnotcoveredinthiscontractshallbedeterminedbymutualagreement.Article16:EffectivenessoftheContractThiscontractshalltakeeffectuponbeingsignedbytheauthorizedrepresentativesofbothparties.ForPartyA:__________AuthorizedSignatory:__________Address:__________ContactNumber:__________Date:__________ForPartyB:__________AuthorizedSignatory:__________Address:__________ContactNumber:__________Date:__________Article17:AttachmentsAttachment1:DescriptionofTechnologyLaborServices,includingspecifictasksandperformancemetrics.Attachment2:QualificationCertificatesandResumesofLaborProviders.Attachment3:PaymentScheduleandMilestoneDeliverables.Attachment4:ConfidentialityAgreement.Article18:BreachofContractandDeterminationAbreachofcontractmayoccurinthefollowinginstances:Failuretoperformtheagreedtechnologylaborservices;Delayinperformancebeyondtheagreedtimeline;Disclosureofconfidentialinformationtounauthorizedparties.Breacheswillbedeterminedby:Documentedevidenceofnon-compliancewiththecontractterms;Notificationofthebreachtotheoffendingparty,withanopportunitytoremedythesituationwithinaspecifiedperiod.Article19:LegalTermsandDefinitionsTechnologyLaborServices:SpecifictechnicaltaskstobeperformedbyPartyB,requiringspecializedskillsandknowledge.ConfidentialInformation:AnyproprietaryorsensitiveinformationthatisdisclosedbyPartyAtoPartyBandmustbekeptsecretasperthecontract.ForceMajeure:Unforeseeableeventsthatpreventapartyfromfulfillingitscontractualobligations,suchasnaturaldisasters,war,orgovernmentactions.Article20:IssuesandResolutionsinExecutionIntheeventofachangeinPartyA'srequirements,thepartieswillnegotiateanamendmenttothecontracttoaccommodatethenewrequirements.IfPartyBencounterstechnicalissuesthatimpedeperformance,bothpartieswillcollaboratetofindasolution,whichmayincludeadjustingthetimelineorscopeofwork.Ifapartyisunabletofulfillitsobligationsduetoforcemajeure,thepartieswillconsulttodeterminethebestcourseofaction,whichmayincludetemporarysuspensionorterminationofthecontract.Article21:ApplicableScenariosThiscontracttemplateisapplicabletovarioustechnologylaborserviceengagements,suchassoftwaredevelopmentprojects,technicalconsultingassignments,andengineeringtasks.Thecontractensuresaclearunderstandingandagreementbetweenthepartiesonthescopeofwork,remuneration,andexpectationsforperformance.Attachment1:DescriptionofTechnologyLaborServicesScopeofWork:Adetailedbreakdownofthetaskstobeperformed,includinganyspecificgoalsorobjectives.PerformanceMetrics:Criteriabywhichthequalityandtimelinessofthetechnologylaborserviceswillbeevaluated.Attachment2:QualificationCertificatesandResumesofLaborProvidersProfessionalQualifications:Copiesofcertifications,diplomas,orotherproofofthelaborproviders'professionalqualifications.Resumes:Detailedresumesofthelaborproviders,highlightingrelevantexperienceandskills.Attachment3:PaymentScheduleandMilestoneDeliverablesPaymentTerms:Adetailedscheduleofpayments,includingtheamountandduedatesforeachpayment.MilestoneDeliverables:Alistofkeydeliverablesassociatedwitheachpaymentmilestone.Attachment4:ConfidentialityAgreementConfidentialInformation:Adefinitionofwhatconstitutesconfidentialinformationunderthiscontract.Non-DisclosureCommitment:Theobligationsofbothpartiesregardingtheprotectionandnon-disclosureofconfidentialinformation.Article22:ContractModificationandTerminationAnymodificationstothecontractmustbeagreeduponbybothpartiesanddocumentedinwriting.Thecontractmaybeterminatedbyeitherpartyupontheoccurrenceofcertainconditions,suchasbreachofcontractorforcemajeure.Article23:InterpretationoftheContractTheinterpretationofthiscontractshall
