英文股份轉(zhuǎn)讓合同范本

THISSHARETRANSFERAGREEMENT(the"Agreement")ismadeandenteredintoasofthe__________dayof__________,20__,byandbetween:

[NameofTransferor],a[StateofIncorporation]corporationwithitsprincipalplaceofbusinessat[AddressofTransferor](the"Transferor"),and

[NameofTransferee],anindividualresidingat[AddressofTransferee](the"Transferee").

WHEREAS,theTransferoristheregisteredownerof[NumberofShares]sharesofcommonstockof[NameofCompany],a[StateofIncorporation]corporation(the"Company"),anddesirestosell,transfer,andconveytotheTransfereeallofitsright,title,andinterestinandtosaidsharesofcommonstock;and

WHEREAS,theTransfereedesirestopurchaseandacquirefromtheTransferoralloftheright,title,andinterestinandtosaidsharesofcommonstockonthetermsandconditionssetforthherein.

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedhereinandothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartiesagreeasfollows:

1.TransferofShares:TheTransferorherebysells,transfers,andconveystotheTransferee,andtheTransfereeherebypurchasesfromtheTransferor,alloftheright,title,andinterestinandto[NumberofShares]sharesofcommonstockoftheCompany,freeandclearofanyliens,claims,orencumbrances.

2.PurchasePrice:ThepurchasepricefortheShares(the"PurchasePrice")shallbe[Amount],payablebytheTransfereetotheTransferorinaccordancewiththetermssetforthinthisAgreement.

3.Closing:TheclosingofthesaleandtransferoftheShares(the"Closing")shalltakeplaceattheofficeof[LawFirm],locatedat[Address],onthe__________dayof__________,20__,oratsuchothertimeandplaceasthepartiesmaymutuallyagree.

4.RepresentationsandWarrantiesofTransferor:TheTransferorrepresentsandwarrantstotheTransfereeasfollows:

-TheTransferoristhelegalandbeneficialowneroftheSharesfreeandclearofanyliens,claims,orencumbrances.

-TheTransferorhasthefullright,power,andauthoritytoenterintothisAgreementandtosell,transfer,andconveytheShares.

-Theexecution,delivery,andperformanceofthisAgreementhavebeendulyauthorizedbyallnecessarycorporateactiononthepartoftheTransferor.

5.RepresentationsandWarrantiesofTransferee:TheTransfereerepresentsandwarrantstotheTransferorasfollows:

-TheTransfereehasthefullright,power,andauthoritytoenterintothisAgreementandtopurchaseandacquiretheShares.

-TheTransfereehasthefinancialabilitytopaythePurchasePriceandwilldosoinaccordancewiththetermsofthisAgreement.

6.CovenantNottoSue:TheTransferorcovenantsandagreesnottosuetheTransfereeortheCompanywithrespecttotheSharesorthetransactioncontemplatedbythisAgreement.

7.GoverningLaw:ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthe[StateofGoverningLaw],withoutgivingeffecttoanychoiceoflaworconflictoflawprovisions.

8.EntireAgreement:ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallpriorandcontemporaneousagreementsandunderstandings,whetherwrittenororal.

9.Amendments:ThisAgreementmaybeamendedormodifiedonlybyawritteninstrumentexecutedbybothparties.

10.Waiver:ThefailureofeitherpartytoenforceanyprovisionsofthisAgreementshallnotbeconstruedasawaiverorlimitationofthatparty'srighttosubsequentlyenforceandcompelstrictcompliancewitheveryprovisionofthisAgreement.

11.Severability:IfanyprovisionofthisAgreementisheldtobeinvalidorunenforceable,suchprovisionshallbestruckandtheremainingprovisionsshallbeenforced.

12.Notices:Allnotices,requests,demands,andothercommunicationsrequiredorpermittedhereundershallbeinwritingandshallbedeemedgivenwhendeliveredpersonallyorbyovernightcourierservice,orthree(3)daysafterbeingsentbycertifiedmail,postageprepaid,returnreceiptrequested,totherespectiveaddressesofthepartiessetforthabove,ortosuchotheraddressaseitherpartymaydesignateinwriting.
