ofChina,ClientengagesGuangxianasitsretainedAttorneystodealwithlegalaffairsinitsbusinessoperation.根據(jù)《_律師法》和《_合同法》，當事人聘請廣賢處理法律事項。

廣賢同意接受前述聘請。

.ImportantContractRevieworDraft重大合同審查或起草

AccordingtoClient’srequestGuangxianshalllegallyreviewordraftcontract

documentsforanykindofroutinebusinessincludingbutnotlimitedtotheguaranteecontract,loancontract,constructioncontract,technologycontract,intellectual

propertytransferorlicensecontract,materialsprocurementcontract,productsalesagreement,servicecontract,laborcontractetc.forClientwithoutspecializedprojectcontract;應(yīng)當事人要求，對當事人擬簽訂各類重要合同，包括但不限于擔保合同、貸款合同、建設(shè)工程合同、技術(shù)合同、知識產(chǎn)權(quán)轉(zhuǎn)讓、許可使用合同、物資的采購協(xié)議、產(chǎn)品經(jīng)銷協(xié)議、產(chǎn)品服務(wù)協(xié)議、勞動合同、勞務(wù)合同，進行法律審查或起草合同文本，但屬于專項法律服務(wù)內(nèi)容的除外；

.InternalRulesandRegulationsReview制度審查

AccordingtoClient’srequestGuangxianshallreviewanyimportantinternalrulesandregulationsrelevanttoitsemployees,salescontributor,supplierorbasedonanylegalorregulatoryrulesincludingenvironmentalprotection,firefighting,accountingorfinancialissues;應(yīng)當事人要求，就當事人內(nèi)容涉及當事人與其員工、經(jīng)銷商、供應(yīng)商或根據(jù)法律法規(guī)或監(jiān)管規(guī)則（例如：環(huán)境法規(guī)、消防法規(guī)、會計法或會計規(guī)則、財政稅法等）要求建立的，重要規(guī)章制度進行法律審查。

.Attorney’sOpinions法律意見

AccordingtoClient’srequest,GuangxianshallsubmitopinionsforanyissuerevolvedinClient’sbusinessandinternalmanagement.應(yīng)當事人要求，就當事人業(yè)務(wù)活動和內(nèi)部經(jīng)營管理中涉及的法律問題提供法律意見。

.Attorney’sLetter發(fā)出律師函

AccordingtoClient’srequest,toresolveallrelevantdisputesofbothinternalandoutsidebusinesswithAttorney’sLettertoClient’sdebtororrelevantparty.

應(yīng)當事人要求，就當事人在業(yè)務(wù)活動及內(nèi)部經(jīng)營管理活動中出現(xiàn)的各類糾紛提供咨詢意見或建議，發(fā)出律師函。

.LegalTraining法律知識培訓

InaccordancewithClient’srequest,Guangxianshallprovidelegaltrainingfor

Client’srelevantemployees.應(yīng)當事人要求，對當事人的相關(guān)人員進行法律知識和運用技巧的培訓或舉辦法律講座。

.DocumentsLegalReview文件的法律審查

InaccordancewithClient’srequest,reviewordraftanydocumentswithlegalbindingforceortakeanyobligation,includingbutnotlimittopost,publicity,representation,advertisementwords,externalpromiseorbids;

應(yīng)當事人要求，就當事人對外發(fā)布的具有法律約束力或以承擔一定義務(wù)為內(nèi)容的文件，包括但不限于公告、公示、聲明、廣告語、對外承諾、招標文件等，進行法律審查或擬定相關(guān)文本。

.DealsIntroduction

InaccordancewiththerequestofClient,recruitandintroduceanypartnerorinvestmentforClient,supplyanyoperationalprojectorrelevantinformation;

根據(jù)當事人的要求，招募并引薦合營或合作伙伴或投資者(以下簡稱引薦客戶)，招募并引薦經(jīng)營項目或提供相關(guān)信息；

.MonthlyReport

ProvidelegalinformationpertainedtothebusinessofClient.Suchkindofreportshallbedeliveredmonthly.

為當事人經(jīng)營活動按月提供法律信息。此類報告應(yīng)當按月提供。

4.LitigationorArbitrationService訴訟和仲裁服務(wù)

.Guangxian’sserviceshallexcludelitigationorarbitration.Clientmayconsult

Guangxianforgeneralanalysisofanylitigationbeforebringslawsuitorwithinthreedaysafterreceivingacourtsummons.Guangxianshallsupplylegal

consultingservicebasedhereunder.

依照《_勞動法》有關(guān)規(guī)定，結(jié)合本公司實際，甲乙雙方本著平等、自愿、協(xié)商一致的原則達成如下協(xié)議

4.甲方如因業(yè)務(wù)拓展變化需要對乙方的工作崗位及工作區(qū)域進行調(diào)整，乙方應(yīng)當接受。如因甲方公司業(yè)務(wù)擴展需要或公司合并分立等變更，乙方同意按照法律規(guī)定延續(xù)此合同，并接受甲方安排，在____(某地區(qū))工作。

三、工資Salary

乙方每月的基本工資：RMB績效工資：RMB綜合福利金：RMB，工資總額為RMB元(該金額尚未扣除稅金、住房費用以及社會保險中個人應(yīng)繳的部份)，另甲方予以乙方工資總額7%的住房公積金(如法律規(guī)定住房公積金繳交基數(shù)有上限，則依照法規(guī)執(zhí)行)。試用期滿，經(jīng)考核后,根據(jù)考核結(jié)果確定是否正式錄用，正式錄用后薪金保持不變。甲方將視公司的盈利情況和乙方的考核結(jié)果，于每年的三月份進行薪金調(diào)整。

四、工資的發(fā)放Payment

甲方于每月_____日前通過銀行轉(zhuǎn)帳支付發(fā)放上月工資。

五、超時工作OverTime

乙方應(yīng)致力于提高工作效率，按時完成生產(chǎn)、工作任務(wù)。如因特殊情況需要加班，可自行安排。如乙方希望通過自行安排加班取得加班費，則乙方必須在加班前四小時填寫加班申請表呈總經(jīng)理審批。否則，視為無效加班，詳見《員工手冊》。

PartyBmusttryhisbesttoincreasetheworkingefficiencytomeetPartyA'srequirement.IftherearespecialcircumstancesthatPartyBhastoworkovertime,PartyBcanarrangebythemselves.IfPartyBrequestsOTpayment,he/shemustfillintheOTapplicationformandhaveitapprovedbyGM.OTApplicationFormwithoutauthorizedsignatureisnotvalid.

六、加班費OTCompensation

乙方經(jīng)甲方批準在工作日加班，甲方必須支付給乙方基本工資150%的報酬;休息日被安排工作而甲方又不能夠給予乙方同等時間的補休，則甲方須支付給乙方基本工資200%的報酬;若在國家法定休假日被安排工作,甲方付給乙方基本工資300%的報酬。

IfPartyBworksovertimeandhasapprovedbyPartyA,he/shewillbeofferedthesameperiodofcompensationleaveorOTsalaryaccordingtoLaborLawofPRCChina.

七、假期與福利Holiday&Benefits

1.有薪國家法定假日StatutoryHolidayofPRCChinawithpay

2.有薪婚假/產(chǎn)假/喪假LeaveforMarriage,MaternityandMourningwithpay.

3.有薪年假Annualleavewithpay

4.社會保險SocialInsurance

5.年度獎金Annualbonus(basedonthemonthsworkedwithpartyAattherateofonemonth’swageforeachfullyearworked.)

八、勞動紀律Discipline

乙方應(yīng)嚴格遵守甲方制定的各項規(guī)章制度和勞動紀律(詳請請參照《員工手冊》執(zhí)行)

PartyBshallstrictlyobeyPartyA’regulationsanddiscipline.PleaserefertoPartyA'semployeemanual.

九、保密協(xié)議Confidentiality

乙方需嚴格保守工作過程中接觸和了解到的公司商業(yè)秘密(包括生產(chǎn)技巧、工藝流程、技術(shù)秘密、管理方法、產(chǎn)銷策略、貨源情報、設(shè)計圖紙、成本價格和客戶資料)，否則將受到行政處罰(如無條件解雇、賠償?shù)?;觸犯刑法的，甲方將有權(quán)移交司法機關(guān)處理。乙方調(diào)離甲方，應(yīng)得到甲方同意，并將所有商業(yè)秘密資料移交甲方，同時承擔不向外泄露的義務(wù)，并保證半年內(nèi)不得利用甲方商業(yè)秘密在生產(chǎn)同類且與甲方有競爭關(guān)系的產(chǎn)品的其他企業(yè)內(nèi)任職。否則，甲方有權(quán)要求乙方賠償因此而帶來的一切經(jīng)濟損失。

Therecipientshallundertaketheobligationtokeepconfidential,inaccordancewiththescopeanddurationagreeduponbybothparties,thetechnicalsecretscontainedinthetechnologyprovidedbythesupplier,whichhavenotbeenmadepublic.

十、合同終止Termination

1.終止本合同條件Terminationconditions

A.試用期間，雙方皆可即時通知對方解除本合同;

Duringtheprobationperiod,eithersidecanterminatethecontractbyimmediateeffect.

B.試用期滿后，任何一方欲解除合同，須提前三十日以書面形式通知對方。否則，違約方須向守約方支付違約金(違約金為乙方一個月的工資)，若造成守約方經(jīng)濟損失的，應(yīng)依法承擔賠償責任。

2.甲方在下列情況下可隨時直接地通知乙方解除本合同，無須履行任何法定義務(wù)和手續(xù)，無須向乙方補償Ifanycaseofthefollowingcircumstances,PartyAhastherighttoinformPartyBrescissionofthecontract：

A.乙方在試用期間達不到甲方的要求;PartyB’sperformancecan’tmeetPartyA’srequirement.

B.乙方嚴重失職，給甲方利益造成重大損失的;

3.乙方在下列情況下終止本合同不需向甲方補償

Ifanyoneofthefollowingcircumstances,PartyBhastherightofinformPartyArescissionofthecontractwithoutanycompensation：

A.被非法限制人身自由的手段強迫勞動的;

PartyBisforcedtoworkbyillegalmeans.

B.未按本合同約定支付勞動報酬或勞動條件的;

PartyBcannotgetthesalaryorworkingconditionswhichagreedinthecontract.

十一、甲、乙雙方須共同遵守國家有關(guān)法規(guī)以及甲方《員工手冊》的有關(guān)規(guī)定。

十二、本合同自甲方蓋章、乙方簽署之日起生效。

9一般條款

9GeneralTerms

一般條款為本合同不可分割的一部分。對該條款中任何一款的修改和刪除應(yīng)在備注中注明。TheGeneralTermsshallconstituteanintegralpartoftheContract.AmendmenttoordeletionofanygeneraltermsshallbespecifiedintheRemarks.

10仲裁：凡因本合同引起的或與本合同有關(guān)的任何爭議，雙方同意提交：（中國國際經(jīng)濟貿(mào)易仲裁委員會[CIETAC]；國際棉花協(xié)會[ICA];其它仲裁機構(gòu)），按照申請仲裁時該仲裁機構(gòu)現(xiàn)行有效的仲裁規(guī)則進行仲裁。

10Arbitration:AnydisputearisingfromorinconnectionwiththeContractshallbereferredto(CIETAC，ICA,OTHERS)forarbitrationinaccordancewithitsarbitrationruleseffectiveatthetimeofapplication.

11本合同采用書面形式，由買賣雙方授權(quán)代表簽字。雙方在合同簽訂日之前以其它書面通訊方式,如信函、電報、傳真或電子郵件形式達成的成交內(nèi)容，須由本合同確認。

GENERALTERMS

本一般條款是《棉花買賣合同》不可分割的一部分。

TheseGeneralTermsshallbeanintegralpartoftheCottonPurchaseContract.

1定義

1Definitions

在本合同中,下列詞語的含義如下:

ThefollowingtermsshallhavethefollowingmeaningsintheContract:

·CIQ：中國出入境檢驗檢疫機構(gòu)。

CIQ：ChinaEntry-ExitInspectionandQuarantine

·NCL：不允許超出控制界限。

NCL：Nocontrollimitisallowed.

·USDA：美國農(nóng)業(yè)部。

USDA:UnitedStatesDepartmentofAgriculture

·通知：采用電報、信函、傳真、電子郵件等方式告知對方。

Notification:tonotifytheotherpartybytelegraph,mail,fax,e-mail,orothermethods.

·皮重：棉花包裝材料的重量。

Tare:theweightofcotton’spackagingmaterials.

·凈重：總重扣除皮重后的重量。

NetWeight:thegrossweightlesstare.

·非棉物質(zhì)：混入棉花中對使用有嚴重影響的硬軟雜物，如化纖絲、麻絲、破布、木屑、金屬物品等。

Non-CottonSubstance:softorhardsundriesmixedinthecottonthathaveseriousimpactontheuseofthesame,includingchemicalfiber,flax,cloth,woodenchipsmetalarticles,etc.

·無紡用價值棉花：霉變棉、水漬棉、油污棉、火燒棉、棉花廢料、棉短絨等。

NoSpinningValueCotton:mouldycotton,waterdamagedcotton,oilstainedcotton,burnedcotton,cottonwasteandlinters,etc.

·棉花廢料:加工或使用棉花過程中產(chǎn)生的下腳回收廢料等。

CottonWaste:leftoverand/orrecyclingwasteleftduringtheprocessingoruseofthecotton.

·欺詐棉包：單個棉包中：含有與棉花完全無關(guān)的非棉物質(zhì)；里面含有污染棉花，但從棉包外部或可看出或看不出來；好棉花在外面，次棉花包在里面，以免在常規(guī)檢查中被發(fā)現(xiàn)；有一定數(shù)量的無紡用價值棉花。

FalsePackedBale:cottoninasinglebale:containingsubstancesentirelyforeigntocotton;containingdamagedcottonintheinteriorwithorwithoutanyindicationofsuchdamageupontheexterior;composedofgoodcottonupontheexterioranddecidedlyinferiorcottonintheinterior,insuchamannerasnottobedetectedbycustomaryexamination;orcontainingacertainamountofnospinningvaluecotton.

·混雜棉包：單個棉包中含有一定數(shù)量不同品級、不同長度或不同顏色類型的棉花。

MixedPackedBale:abalecontainingacertainamountofdifferentgrades,staplesorcolorsofcotton.

·溢短裝率：到岸重量超出或少于合同規(guī)定重量的部分占合同總重量的百分率。

WeightToleranceRatio:thepercentageofthepartoftheCIQlandedweightexceedingorshorterthantheweightprovidedbytheContractagainstthetotalcontractweight.

·棉包密度：采用通用棉包密度，是指根據(jù)國際標準化組織——ISO第8115-1986（E）的規(guī)定，一個貨包長度在1060-1400毫米，寬度540毫米，高度700-950毫米。

2包裝

2Packing

適合于海運的緊縮機出口包裝，外裹棉布或其他不能產(chǎn)生異性纖維的包裝，捆扎牢固，包裝完整。如果使用容易產(chǎn)生異性纖維的包裝材料包裝棉花，則賣方須承擔全部清理異性纖維的費用。棉花須以通用密度壓縮貨包的形式供貨。

Compressedexportpackingsuitableforvoyage,outsidewrappedbycottonclothorotherpackingmaterialsthatdonotcontainforeignmatters,tightlyandcompletelypacked.Ifanypackingmaterialsthatmayeasilyproduceforeignmattersareusedtopackthecotton,theSellershallbearalltheexpensesforthecleaningofforeignmatters.Thecottonshallbesuppliedinformsofuniversaldensitycompressedpackage.
