國際貨物運輸委托代理合同（中英文對照）國際貨物運輸委托代理合同（中英文對照）CONTRACTFORTHEINTERNATIONALCARRIAGEAGENT目錄TABLEOFCONTENTS第一條服務范圍Article1Scopeofservice第二條雙方的權利和義務ARTICLE2THERIGHTSANDOBLIGATIONSOFBOTHPARTIES第三條合同價款及支付方式ARTICLE3CONTRACTPRICEANDPAYMENTMETHOD第四條保險ARTICLE4INSURANCE第五條保密條款ARTICLE5CONFIDENTIALITY第六條不可抗力ARTICLE6FORCEMAJEURE第七條違約責任ARTICLE7LIABILITYFORBREACHOFCONTRACT第八條一般性條款ARTICLE8GENERALPROVISIONS部分章節(jié)示例如下：鑒于：Whereas.1、乙方具有國際貨物運輸代理資質和國際貨物運輸代理行業(yè)的豐富經驗；1.PartyBhasthequalificationoftheagentofinternationalcargotransportationandhasrichexperienceintheindustryofinternationalfreightforwarding.2、甲方希望委托乙方為其代理本合同項下貨物的國際運輸及相關服務等事宜；2.PartyAwishestoentrustPartyBtoactastheagent,underthiscontract,fortheinternationaltransportationofcargo,relatedservicesandothermatters.據此，雙方按照公平互利的原則，根據中華人民共和國相關法律法規(guī)就以下條款達成一致：NOWTHEREFORE,thepartiesagreeonthefollowingtermsinaccordancewiththerelevantlawsandregulationsofthePeople'sRepublicofChina,onthebasisoftheprincipleoffairnessandmutualbenefit.第一條服務范圍Article1Scopeofservice1.1乙方根據甲方的委托，作為甲方的代理人代為辦理訂艙、報關、報驗、裝箱、轉運、代為墊代海運運費等相關運輸事宜。具體的服務范圍詳見授權委托書（附件一）。1.1PartyBshallactasPartyA'sagenttohandlebooking,customsclearance,inspection,packing,forwarding,advancingseafreightandotherrelatedtransportationmattersonbehalfofPartyAaccordingtoPartyA'sentrustment.Thespecificscopeofservicesisdetailedinthepowerofattorney(AnnexI).第二條雙方的權利和義務ARTICLE2THERIGHTSANDOBLIGATIONSOFBOTHPARTIES2.1甲方的權利和義務2.1PartyA’srightsandobligations2.1.1甲方委托乙方代為訂艙時，甲方應當及時送交或者傳真給乙方正確、齊備的托運單據。托運單應明確標明甲方訂艙單位名稱、電話、傳真及聯系人并加蓋公章，還有應注明貨物的件數、重量、體積、目的港、裝船日期、貨物品名、運費條款及特別要求等。如果甲方提交的托運單內容不準確、不完整或不合法而導致的任何貨物的損失或者造成乙方和/或第三人的任何損失或者責任，由甲方承擔。如果甲方對貨物運輸沒有特殊要求，乙方按普通貨物辦理運輸。2.1.1PartyAshall，whenPartyAentrustsPartyBtomakebookingonitsbehalf,promptlydeliverorfaxtoPartyBcorrectandcompleteconsignmentdocuments.TheConsignmentNoteshallclearlymarkthename,telephonenumber,faxnumberandcontactpersonofPartyA'sbookingunitandstampedwiththeofficialseal,andshallalsostatethenumberofpieces,weight,volume,portofdestination,dateofloading,nameofcargo,freighttermsandspecialrequirementsofthecargo.ProvidedthatthecontentsoftheConsignmentNotesubmittedbyPartyAareinaccurate,incompleteorunlawful,whichresultinginthelossofanycargoorcausinganylossorliabilitytoPartyBand/orthirdparties,PartyAshallbeliabletherefore.ProvidedthatPartyAhavenoparticularrequirementsforthetransportationofcargo,PartyBwillhandlethetransportationpursuanttoordinarycargo.2.1.3甲方委托乙方代理報關、報驗時，應當提供合法、合格、正確、齊全的報關報驗單證，根據貿易性質不同可包括：合同、發(fā)票、商檢證書、許可證、核銷文件、報關單、手冊、裝箱單及有關批文等。如果因甲方提交的報關報驗單證內容不準確、不完整或不合法而導致的損失和費用由甲方承擔，包括但不限于乙方因此遭受的損失、乙方因此向第三人承擔的責任等。2.1.3ProvidedthatPartyAentrustsPartyBtoactasagentforCustomsclearanceandinspection,itshallprovidelegal,qualified,correctandcompletedocumentsforCustomsclearanceandinspection,whichmayinclude,dependingonthenatureoftrade,contracts,invoices,certificatesofcommodityinspection,permits,verifying/write-offinstrument,Customsdeclarations,manuals,packinglistsandrelevantapprovals,etc.ProvidedthatthecontentoftheCustomsdeclarationandinspectiondocumentswhichsubmittedbyPartyAareinaccurate,incompleteorillegal,PartyAshalltaketheresponsibilitiesofthelossesandexpenses,includingbutnotlimitedtothelossessufferedbyPartyBandtheliabilityofPartyBtothirdpartiestherefore.2.1.4乙方代為甲方辦理貨物的裝箱、中轉運輸時，應在托運單或者相關函電中明示委托事項，包括代為聯系倉儲、裝卸、轉運、短駁、裝拆箱等事宜。2.1.4PartyBshall,whenithandlesthepackingandtrafficintransitofthecargoforPartyA,expresstheentrustedmattersintheConsignmentSliporrelevantcorrespondence,includingcontactingstorage,loading/unloading,transfer,shortbarge,unpackingandothermatters.2.1.5如果甲方要求貨物緊急出運，應事先在托運單“特別要求聲明”中注明或者以其他書面形式通知乙方，并由乙方最后書面確認航期。如果未經乙方書面確認航期，乙方不承擔延誤運輸責任。2.1.5ProvidedthatPartyArequirestheemergencydeliveryofthecargo,itshallindicateornotifyPartyBintheSpecialRequirementsStatementinadvance,whichPartyBshallfinallyconfirminwriting.PartyBshall,wherewithoutitsconfirmationoftheshippingperiod,notbeliablefortransportationdelay.2.2.3如果乙方必要時為甲方墊付海運運費、港口費用及其他代理代辦費用,甲方應當按照本合同的約定償還乙方墊付的款項。2.2.3WherePartyB,asnecessary,advancesseafreight,portchargesandotheragencyfeesonbehalfofPartyA,PartyAshallreimbursePartyBforsuchadvancesinaccordancewiththeprovisionshereof.2.2.4乙方在接到甲方的訂艙單后，應在合理時間向船運公司辦理貨物裝運等手續(xù)。如因船運公司原因未能及時裝運，乙方不承擔責任但應當及時將有關情況通知甲方。2.2.4PartyBshall,totheshippingcompanywithinareasonabletimeuponreceiptofthebookingorderfromPartyA,handletheshipmentofthecargoandotherprocedures.Wheretheshipmentisfailtoeffectshipmentintimeduetotheshippingcompany,PartyBshallnotberesponsiblethereforehowevershallinformPartyAoftherelevantsituationintime.第三條合同價款及支付方式ARTICLE3CONTRACTPRICEANDPAYMENTMETHOD3.1合同價款包括：乙方的運輸代理費以及乙方墊付的海運運費、港口費用、其他代理代辦費用。本合同價款的具體構成詳見附件二。3.1Thecontractpriceincludes:PartyB'sfeeoftransportationagencyandPartyB'sadvanceofseafreight,portchargesandotheragencyfeesonbehalfofPartyA.ThespecificcompositionofthecontractpriceisdetailedinAnnexII.3.2甲方同意在本合同簽定后個工作日內將上述合同價款支付給乙方。3.2PartyAagreestoeffectpaymentoftheabovecontractpricetoPartyBwithinworkingdaysuponsignin?gofthiscontract.第四條保險ARTICLE4INSURANCE4.1乙方應當按照甲方的委托代為辦理貨物運輸保險，險種為。保險費由甲方承擔。4.1PartyBshall,inaccordancewithPartyA'sentrustment,effecttheinsuranceofcargotransportationonbehalfofPartyA,andthetypeofinsuranceshallbe.TheinsurancepremiumshallbebornebyPartyA.4.2發(fā)生保險范圍內的事故后，乙方應當協助甲方向保險公司索賠。4.2PartyBshall,subsequenttooccurrenceofanaccidentcoveredbyinsurance,assistPartyAtoclaimcompensationfromtheinsurancecompany.保密條款ARTICLE5CONFIDENTIALITY5.2除第5.3條規(guī)定的情形外，本合同任何一方不得將秘密信息以任何方式泄露給任何第三方，也不得以任何方式向公眾、媒體披露本協議的簽訂和履行等情況。5.2Exceptasprovidedinarticle5.3,neitherpartyheretoshalldisclosetheconfidentialinformationtoanythirdpartyinanyway,norshallitdisclosetothepublicorthemediainanywaytheconclusionandperformancehereof,etc.5.3以下情況，任何一方均不被視為披露或泄露秘密信息：5.3Neitherpartyshallbedeemedtohavedisclosedordivulgedconfidentialinformationif.5.3.1所披露的信息在披露之前已為公眾所知（但以違反本條款方式披露的除外）。5.3.1Theinformationdisclosedhavebeenpubliclyknownpriortoitsdisclosure(exceptasdisclosedinviolationofthisarticle)不可抗力ARTICLE6FORCEMAJEURE6.1不可抗力事件是指不可預見、不能避免、不能克服的客觀情況，包括地震、臺風、水災、火災及其他自然災害，戰(zhàn)爭、暴亂、騷亂、戒嚴，及其他受影響一方不能控制的客觀情況。6.1Theforcemajeureeventsrefertotheobjectivecircumstanceswhichcannotbeforeseen,avoidedorovercome,includingearthquakes,typhoons,floods,firesandothernaturaldisasters,wars,riots,disturbances,martiallaw,andotherobjectivecircumstancesbeyondthecontroloftheaffectedparty.違約責任ARTICLE7LIABILITYFORBREACHOFCONTRACT如果任何一方不履行合同義務或者履行合同義務不符合約定的，應當承擔繼續(xù)履行、采取補救措施或者賠償損失等違約責任。Thepartywhichfailtoperformitscontractualobligationsorperformsthesameinconsistentlywiththeagreement,shalltakeresponsibilitiesforbreachofcontractsuchascontinuingperformance,takingremedialmeasuresorcompensatingfordamages.7.1甲方的違約責任：7.1PartyA'sliabilityforbreachofcontract:7.1.1違反本合同第三條的規(guī)定延誤支付乙方合同價款的，每延誤一天，支付乙方延誤付款額的萬分之五作為逾期付款違約金。另外，如果甲方未按照合同約定支付乙方費用，乙方有權留置相應的運輸單據，由此產生的所有損失和責任由甲方承擔。7.1.1IfthepaymentofthecontractpricetopartyBisdelayedduetobreachoftheprovisionsofArticle3ofthisContract,PartyBshallbepaidfivetenthousandthsofthedelayedamountasliquidateddamagesforoverduepayment.Inaddition,wherePartyAfailtoeffectpaymenttoPartyBinaccordancewiththecontract,PartyBhastherighttoretainthecorrespondingtransportdocumentsandalllossesandliabilitiesarisingtherefromshallbebornebyPartyA.7.2乙方的違約責任：7.2PartyB'sliabilityforbreachofcontract:7.2.1乙方在履行代理人職責時應當盡心盡責，由于乙方的故意或者重大過失造成貨物損壞或者滅失的，乙方應當按照損壞或者滅失貨物的市場價格賠償甲方，但是不包括貨物因延遲等原因造成的經濟損失以及任何其他在簽訂本委托合同時所無法合理預見的損失。在任何情況下，乙方的賠償責任都不應超出每件元人民幣或每公斤

元人民幣的責任限額，兩者以較低的限額為準。7.2.1PartyBshallexerciseduediligenceintheperformanceofitsdutiesasagentandshallindemnifyPartyA,subjecttothemarketpriceofthedamagedorlostcargo,suchdamageorlossduetoitsintentionalorgrossnegligence,howeverexcludingeconomiclossduetodelayofthecargosandanyotherlosswhichisnotreasonablyforeseeableatthetimeofenteringintothisengagementcontract.InnoeventshallPartyB’sliabilityexceedthelimitofliabilityofRMBYuanperpieceorRMBYuanperkilogram,whicheverislower.7.2.2乙方應當承擔因未能履行合同義務或不按合同約定履行義務所導致發(fā)生的其他情況給甲方造成的任何損失和/或責任。7.2.2PartyBshallbearanylossand/orliabilitytoPa
