整理國際土木工程建筑承包合同中英文對照InternationalCivilEngineeringandConstructionContractinChineseandEnglish承包雙方的基本信息BasicInformationoftheContractingParties承包人（乙方）：[_______________]（以下簡稱乙方）。Contractor(PartyB):[_______________](hereinafterreferredtoasPartyB).業(yè)主（甲方）：[_______________]（以下簡稱甲方）。Owner(PartyA):[_______________](hereinafterreferredtoasPartyA).雙方身份、權(quán)利、義務(wù)、履行方式、期限、違約責(zé)任Identification,Rights,Obligations,Performance,TermandBreachofContractofBothParties第一條合同目的及范圍ContractPurposeandScope1.1本合同的目的是規(guī)定乙方承包工程并按照約定完成工程的全部設(shè)計、建造、驗收工作，保證工程的質(zhì)量，確保按照合同的規(guī)定完成工程，并根據(jù)合同支付報酬。甲方以合法的方式取得建設(shè)或經(jīng)營所必須的權(quán)利，并按照工程合同支付工程款項。ThepurposeofthisContractistoregulatetheconstructionprojectundertakenbyPartyB,completeallthedesign,constructionandacceptanceworkaccordingtotheagreedprocedures,ensurethequalityoftheworkandcompletetheprojectinaccordancewiththeContract,andreceivepaymentbasedontheContractterms.PartyAshallobtainthenecessaryrightsnecessaryforconstructionoroperationinalawfulmannerandpaytheconstructionfeesaccordingtotheContract.1.2本合同的范圍包括以下內(nèi)容：ThescopeofthisContractincludes:1.2.1工程的分段及里程碑;Projectbreakdownandmilestone;1.2.2工期和進度;Projectdurationandschedule;1.2.3工程變更的程序、方法、內(nèi)容以及工期、費用的調(diào)整方式;Theprocedures,methods,content,andadjustmentmethodsforprojectchanges,aswellasadjustmentstodurationandcost;1.2.4工程的質(zhì)量和安全標(biāo)準(zhǔn);Qualityandsafetystandardsfortheproject;1.2.5報酬及方式;Paymentandmethod;1.2.6保證金的支付與退還;PaymentandrefundofthePerformanceBond;1.2.7合同的履行和完成的條件;ConditionsforContractperformanceandcompletion;1.2.8對違約、解除和賠償?shù)募s定;Agreedprovisionsforbreach,terminationandcompensation;1.2.9糾紛解決的程序和方式;Disputeresolutionproceduresandmethods;1.2.10合同的生效和解除條件。ConditionsforContracteffectivenessandtermination.第二條工程標(biāo)準(zhǔn)及規(guī)定StandardsandRegulationsfortheProject2.1工程符合中華人民共和國國家標(biāo)準(zhǔn)和行業(yè)標(biāo)準(zhǔn)，以及已經(jīng)通過有關(guān)部門審批的設(shè)計方案。TheProjectcomplieswiththestandardsandregulationssetbythePeople'sRepublicofChinaandIndustryStandards,aswellasthedesignapprovedbytherelevantdepartment.2.2工程必須在法律規(guī)定的期限內(nèi)完成并達(dá)到合同規(guī)定的質(zhì)量標(biāo)準(zhǔn)和驗收標(biāo)準(zhǔn)。TheProjectmustbecompletedwithinthestatutoryperiodandmeetthequalityandacceptancestandardssetforthintheContract.第三條工程變更ProjectChanges3.1如需改變工程內(nèi)容，應(yīng)征得甲方同意，并與甲方協(xié)商達(dá)成一致。Ifchangesareneededtotheprojectcontent,PartyA’sconsentmustbeobtainedandaconsensusmustbereachedthroughconsultationwithPartyA.3.2雙方應(yīng)簽訂書面變更協(xié)議并在工程款項中進行相應(yīng)的調(diào)整。BothpartiesshallsignawrittenvariationagreementandadjustthecorrespondingamountintheProjectFees.第四條工期與進度DurationandSchedule4.1本工程期限為[__________]年。ThetermoftheProjectis[__________]years.4.2工期，自合同生效之日起計算，支付工程定金后，乙方應(yīng)在[__________]年內(nèi)完成整個工程。TheconstructiondurationshallbecalculatedfromtheeffectivedateoftheContract.AfterthepaymentoftheConstructionDeposit,PartyBshallcompletetheentireProjectwithin[__________]years.4.3工程進度應(yīng)根據(jù)工程計劃表按期完成，在以下情況下，乙方不得延遲工期:Theprojectscheduleshallbecompletedaccordingtotheprojectschedule.PartyBshallnotdelaytheconstructionperiodunderthefollowingcircumstances:4.3.1合同約定開始和結(jié)束時間;ThestartandendtimearespecifiedintheContract;4.3.2甲方按期付款;PartyApaysontime;4.3.3不可抗力和其他不可預(yù)見的情況;Forcemajeureandotherunforeseencircumstances;第五條工程資金ProjectFunds5.1工程款包括：Projectfeesinclude:5.1.1工程建設(shè)費;Constructioncosts;5.1.2保證金;Performancebond;5.1.3防腐涂料使用費。Thecostofanti-corrosioncoating.5.2工程款應(yīng)根據(jù)合同約定和工程進度分期支付，并通過銀行結(jié)算。ProjectfeesshallbepaidininstallmentsaccordingtotheContractandProjectScheduleandsettledthroughbanktransactions.5.3甲方應(yīng)當(dāng)按照約定支付工程款，乙方未按照規(guī)定完成工程的，甲方可以不支付相應(yīng)的工程款。PartyAshallpaytheprojectfeesasagreed.IfPartyBfailstocompletetheProjectasstipulated,PartyAmaywithholdcorrespondingprojectfees.第六條竣工和驗收FinalCompletionandAcceptance6.1工程竣工后，乙方應(yīng)書面報告甲方，請甲方組織驗收。AfterthecompletionoftheProject,PartyBshallsubmitawrittenreporttoPartyAandrequestthatPartyAorganizetheacceptance.6.2工程驗收標(biāo)準(zhǔn)為合同所規(guī)定的技術(shù)標(biāo)準(zhǔn)和驗收標(biāo)準(zhǔn)。TheacceptancestandardsfortheProjectshallbethetechnicalstandardsandacceptancestandardsstipulatedintheContract.6.3工程竣工驗收合格后，雙方應(yīng)并簽署《工程移交書》或《移交和接管證書》。Aftersuccessfulacceptance,bothpartiesshallsignthe"ProjectTransferDocument"or"TransferandAcceptanceCertificate."第七條違約與損失LiabilityforBreachandLosses7.1如果乙方違反本合同的規(guī)定，甲方有權(quán)要求乙方立即改正或采取其他必要措施，以避免或減少違約損失。IfPartyBviolatestheprovisionsofthisContract,PartyAhastherighttorequestthatPartyBimmediatelycorrectortakeothernecessarymeasurestoavoidorreducethebreachloss.7.2如果乙方因故不能履行本合同，應(yīng)該盡快向甲方報告，并在無法履行的原因消失后立即執(zhí)行本合同。IfPartyBcannotperformthisContractduetoforcemajeure,itshallreporttoPartyAassoonaspossibleandimmediatelyimplementthisContractafterthereasonforthefailuretoperformhasdisappeared.第八條糾紛解決DisputeResolution8.1在本合同過程中產(chǎn)生的爭議應(yīng)當(dāng)協(xié)商解決。DisputesarisingduringtheimplementationofthisContractshallberesolvedthroughconsultation.8.2如果協(xié)商不成，任何一方可以向所屬區(qū)域的仲裁委員會提起仲裁。Ifconsultationfails,eitherPartymayrequestarbitrationfromtheArbitra
